BACKGROUND/DISCUSSION:

The Spindrift School of Performing Arts, a nonprofit organization providing affordable arts programming for Pacifica youth, has operated at the Leased Property since 2015 under a Lease Agreement with City. SSPA utilizes nine modular classroom and studio buildings at the Leased Property to deliver instruction in music, dance, and theater.

The original Lease Agreement was approved by City Council in 2014, effective October 1, 2015, and was amended once in January 2016 to align the Lease Agreement dates with SSPA’s building permit approvals (“First Amendment”). The First Amendment states that the Lease Agreement expires on September 30, 2025.

SSPA has remained in good standing, continues to fulfill its mission in service to the community, and has expressed interest in continuing operations at the site. In collaborative discussions with SSPA, both parties agreed to keep the terms of the lease substantially the same, and the SSPA has confirmed their support of this agreement.

PROPOSED AMENDMENT:

The proposed Second Amendment to the Lease Agreement includes the following key terms:
• A five-year extension of the term of the Lease Agreement until September 30, 2030. • An option for an additional five-year extension term that, if exercised and agreed to by Pacifica City Council 2
September 08, 2025
the parties, would continue the term of the Lease Agreement until September 30, 2035. • Continuation of the existing rent structure, which includes below-market rental rates to support the nonprofit’s community-based programming.
• No substantive changes to use or operations.

Any updates needed to comply with current City standards or legal requirements will be incorporated during final review.

ALTERNATIVE ACTION:

Do not approve the agreement and provide staff with alternative direction.

RELATION TO CITY COUNCIL GOALS AND WORK PLAN:

This action supports the City Council’s goal of fostering a Healthy and Compassionate Community by promoting access to youth arts programming and maintaining strong partnerships with local nonprofits.

FISCAL IMPACT:

There is no anticipated negative fiscal impact. Effective as of the Extension Commencement Date, SSPA will pay annual base rent of $7,311 ($609.25 monthly), with rent increasing by 2.5% annually during the Extension Term and any exercised Additional Extension Term. The existing rent structure was designed to be intentionally below market to support SSPA’s nonprofit mission. In lieu of market-rate rent, SSPA provides substantial public benefit through affordable and accessible programming for Pacifica residents.
