THIRD AMENDMENT TO AGREEMENT FOR CONSULTANT SERVICES
This Third Amendment to Agreement for Consultant Services ("Third Amendment") is made and entered into this 19th day of August, 2025, by and between THE CITY OF PACIFICA, a municipal corporation (hereinafter referred to as "CITY") and MIG, Inc., a California corporation (hereinafter referred to as "CONSULTANT').
RECITALS
WHEREAS, on December 20, 2024, CITY and CONSULTANT entered into that certain agreement entitled "Agreement for Consultant Services" ("Agreement") to provide on-call planning services and related services; and
WHEREAS, on May 12, 2025, the City Council authorized CITY and CONSULTANT to enter into a First Amendment to that Agreement to increase the Cost Ceiling of the Agreement; and WHEREAS, on July 14, 2025, the City Council authorized CITY and CONSULTANT to enter into a Second Amendment to that Agreement to extend the Term of the Agreement; and WHEREAS CITY and CONSULTANT now desire to enter into this Third Amendment to increase the Cost Ceiling in section 2.1 ("Compensation") of the Agreement.
AGREEMENT
NOW, THEREFORE, for the considerations hereinafter set forth, the parties hereby amend the Agreement as follows:
Section 2.1 of the Agreement, "Compensation" is hereby amended to read as follows:
Compensation. Compensation for the Services shall be in accordance with Exhibit A, attached hereto and incorporated herein. It is agreed that the compensation for the Services shall not exceed $165,000 ("Cost Ceiling").
2. Agreement in Effect. Except as amended by this Third Amendment, the Agreement shall remain in full force and effect.
3. Counterpart Signatures. This Third Amendment may be signed in multiple counterparts which, when signed by all parties, shall constitute a binding agreement.
