NINTH AMENDMENT TO AGREEMENT FOR CONSULTANT SERVICES
This Ninth Amendment to Agreement for Consultant Services (the "Ninth Amendment") is made and entered into this 1s day of July 2026, by and between THE CITY OF PACIFICA, a municipal corporation (hereinafter referred to as "CITY") and Raney Planning & Management, Inc., a California Corporation (hereinafter referred to as "CONSULTANT").
RECITALS
WHEREAS, on May 3, 2016, CITY and Consultant entered into that certain agreement entitled "Agreement for Consultant Services" ("Agreement"') to provide contract and related services; and
WHEREAS, on November 15, 2016, the City and Consultant entered into a First Amendment to that Agreement to increase the cost ceiling under the Agreement; and WHEREAS, on August 14, 2017, the City and Consultant entered into a Second Amendment to that Agreement to increase the cost ceiling and effective date under the Agreement; and
WHEREAS, on September 10, 2018, the City and Consultant entered into a Third Amendment to that Agreement to increase the cost ceiling and effective date under the Agreement; and
WHEREAS, on November 12, 2019, the City and Consultant entered into a Fourth Amendment to that Agreement to increase the cost ceiling and effective date under the Agreement; and
WHEREAS, on March 9, 2020, the City and Consultant entered into a Fifth Amendment to that Agreement to increase the cost ceiling and effective date under the Agreement; and WHEREAS, on July 12, 2021, the City and Consultant entered into a Sixth Amendment to that Agreement to increase the cost ceiling and effective date under the Agreement; and WHEREAS, on June 26, 2023, the City and Consultant entered into a Seventh Amendment to that Agreement to increase the cost ceiling and effective date under the Agreement; and
WHEREAS, on July 14, 2025, the City and Consultant entered into an Eighth Amendment to that Agreement to increase the cost ceiling and effective date under the Agreement; and
WHEREAS, City and Consultant now desire to enter into this Ninth Amendment to increase the Cost Ceiling in section 2.1 (Compensation") and extend the completion date identified in section 3.1 ("Effective Date") of the Agreement. - 1-

AGREEMENT
NOW, THEREFORE, for the considerations hereinafter set forth, the parties hereby amend the Agreement as follows:
1. Section 2.1 of the Agreement, "Compensation" is hereby amended to read as follows:
Compensation. Rates for the Services shall be in accordance with Exhibit A, attached hereto and incorporated herein. It is agreed that the compensation for the Services shall not exceed $1,105,000 ("Cost Ceiling").
2. Section 3.1 of the Agreement, "Effective Date" is hereby amended to read as follows:
Effective Date. This Agreement shall become effective upon execution of the second signature and shall remain in full force and effect until the Services are completed (the "Term"). CONSULTANT agrees to complete all services by June 30, 2027.
3. Agreement in Effect. Except as amended by this Ninth Amendment, the Agreement shall remain in full force and effect.
4. Counterpart Signatures. This Ninth Amendment may be signed in multiple counterparts which, when signed by all parties, shall constitute a binding agreement.
