EIGHTH AMENDMENT TO AGREEMENT FOR CONSULTANT SERVICES
This Eighth Amendment to Agreement for Consultant Services (the "Eighth Amendment") is made and entered into this 22nd day of June 2026, by and between THE CITY OF PACIFICA, a municipal corporation (hereinafter referred to as "CITY") and M-Group, a California Corporation (hereinafter referred to as "CONSULTANT").
RECITALS
WHEREAS, on July 22, 2016, CITY and Consultant entered into that certain agreement entitled “Agreement for Consultant Services” (“Agreement”) to provide on-call planning and related services; and
WHEREAS, on November 15, 2016, City and Consultant entered into a First Amendment to the Agreement; and
WHEREAS, on January 22, 2018, City and Consultant entered into a Second Amendment to the Agreement; and
WHEREAS, on December 4, 2018, City and Consultant entered into a Third Amendment to the Agreement; and
WHEREAS, on January 27, 2020, City and Consultant entered into a Fourth Amendment to the Agreement; and
WHEREAS, on July 12, 2021, City and Consultant entered into a Fifth Amendment to the Agreement; and
WHEREAS, on June 26, 2023, City and Consultant entered into a Sixth Amendment to the Agreement; and
WHEREAS, on June 9, 2025, City and Consultant entered into a Seventh Amendment to the Agreement; and
WHEREAS, City and Consultant now desire to enter into this Eighth Amendment to increase the Cost Ceiling in section 2.1 (“Compensation”) by $70,000 with a total amount not to exceed $1,320,000 and extend the completion date identified in section 3.1 (“Effective Date”) of the Agreement to June 30, 2027.
AGREEMENT
NOW, THEREFORE, for the considerations hereinafter set forth, the parties hereby amend the Agreement as follows:
1. Section 2.1 of the Agreement, “Compensation” is hereby amended to read as follows:

Compensation. Rates charged for the Services shall be in accordance with Exhibit A, attached hereto and incorporated herein. It is agreed that the compensation for the Services shall not exceed $1,320,000 (“Cost Ceiling”).
1.1. Section 3.1 of the Agreement, “Effective Date” is hereby amended to read as follows:
Effective Date. This Agreement shall become effective upon execution of the second signature and shall remain in full force and effect until the Services are completed (the “Term”). CONSULTANT agrees to complete all services by June 30, 2027.
2. Agreement in Effect. Except as amended by this Eighth Amendment, the Agreement shall remain in full force and effect.
3. Counterpart Signatures. This Eighth Amendment may be signed in multiple counterparts which, when signed by all parties, shall constitute a binding agreement.

1. M-Group will invoice the client by billable hours per month or percentage of task completed.
2. Hourly rates are subject to annual adjustment on January 1st.
3. M-Group adds a 10% administration fee to Subconsultant invoices.
4. Mileage costs of $0.75/mile may be charged for staff traveling beyond their Bay Area region (SF/South Bay, East Bay, North Bay).
5. Work over 8 hours per day, on holidays, or after business hours may be charged at 125% of the above-listed rates, upon client approval.
