MASTER AGREEMENT FOR CONSULTANT SERVICES
AMENDMENT NO. 1
This AMENDMENT NUMBER 1 is entered into as of the 28th day of September, 2026 (“Amendment No. 1”), by and between the CITY OF PACIFICA, herein called the “City,” and DHI Water and Environment Inc. hereinafter called the “Consultant.” City and Consultant may be referred to individually as “Party” and collectively as “Parties”.
RECITALS
A. WHEREAS, City and Consultant entered into a Master Agreement for Consultant Services on January 24, 2025, for value-engineering and model-driven solutions to minimize energy consumption and optimize wastewater treatment plant operations services (“Original Master Agreement”); and
B. WHEREAS the Original Master Agreement identified an end of term date in Section 3.1 as December 31, 2026; and
C. WHEREAS, the Parties desire to extend that date to December 31, 2027.
AGREEMENT
A. Amendment. The Parties agree that the Original Master Agreement shall be amended as set forth below.
1. Section 3.1 “Effective Date”. This Agreement shall become effective upon execution of the second signature and shall remain in full force and effect until December 31, 2027 (the “Term”). Notwithstanding the foregoing, this Agreement may be extended for successive one-year term(s) upon mutual, written approval by the City Manager or his/her designee and Consultant. Work authorized by a Task Order shall be performed in accordance with the schedule set forth in the Task Order.
2. Agreement in Effect. All other provisions of the Original Master Agreement, except as amended herein, shall remain in full force and effect. [Signatures on Next Page]
