a. The site, stmctl!re, briilding or Object exhibits exceptional historic I significance and meets one .or more of the criteria /is_ted below:
The Blankenhorn/Gilmore residence is a unique example of a rustic ranch-style home with a rambling floor plan that tells the history of residential development in the Smoke Tree Ranch community. The home demonstrates exceptional historic significance_ because of its association with the history of "dude ranch" resorts in Palm Springs and its association with respected master architects Garrett Van Pelt, Jr., and Albert Frey.
(Criterion 1) The resource is associated with events that have made a meaningful contribution to the nation, state or commqnity;
No information was provided indicating any significant event was directly associated with this site. The site does not qualify under"Criterion i.
(Criterion 2) The resource is associated with the lives of persons whq made a meaningful contribution to national, state or local history; The report describes the two main owners associated with the property: Louis "L. Mac" McLaughlin Blanken horn and Donald S. Gilmore. Blankenhorn, one of the original developers of Smoke Tree Ranch and the city of Rancho Mirage, hired architect Garrett Van Pelt, Jr. to design 1 the home which he owned from 1929 to 1935.' The house was then sold to Donald S. Gilmore in 1935 and stayed in the family's possession until 1990. It was during this time Donald Gilmore became the president and general manager of the leading'pharmaceutical company in the United States, Upjohn. Architect Albert ·Frey designed any additions or remodels made to the home during the years of 194 7 to 1990. . -
Blankenhorn m~de meaningful contributions to the desert communities and specifically played a critical role in setting th~ development stand.ards for Smoke Tree Ranch, and Gilmore was a nationally recognized business leader th"at made important advancements in the pharmaceutical world during the time he owned and stayed at the home, thus, the City Council finds Criterion ii is met. · · · · · _ · - :
(Criterion 3) The resource reflects or exemplifies a particular period of national, state or local history;-.
Smoke Tree Ranch was a subdivision developed during the time of the Great Depression. The home was designed as a rancli--style home with strong rustic elements such as low-pitched roofs, board-and-batten siding, wood or steel encased windows, and asymmetrical plans and elevations. The rambling floor plan is also considered a chara_cteristic of a ranch style home. As one of the ~arliest examples of a residential structure in the subdivision, the scale,. form and exterior building palette utilized at this home set the tone for the rest of the development.
Additions to the home were made during the post World War II period but the overall aesthetic I of the ranch was embraced. The additions continued the use of simple forms and paid close attention to scale and proportions. The building is an example of how a ranch style home was intended to expand and adapt to the needs of tlie owner. The home exemplifies a specific time Item 1G - Page 12

period of development in Palm Springs is a historically significant community, thus, the site qualifies as a historic resource under Criterion iii.
(Criterion 4) The resource embodies the distinctive characteristics of a type, period or method of construction;
Unlike the National Register criterion concerning construction, the Palm Springs evaluation of construction addresses the type (of construction), the period (of construction) and the method (of construction). It appears that standard wood frame construction methods were used to construct the building and the additions. The construction methods are conventional; therefore, contrary to the report, the City Council finds thffproject does not qualify for this criterion. (Criterion 5) The resource presents the work of a master builder, designer, artist, or architect whose individual genius influenced his age, or that possesses high artistic value; ·
The original home was designed by master architect Garrett Van Pelt, Jr. who was based in Pasadena and Santa Barbara. He was recognized and praised by his colleagues for his understanding of residential design. (The report goes into more detail about his contributions to the field 'of architecture and design.) . ··
The additions to the home were completed by the renowned architect Albert Frey who is recognized for his contributions to the mid-century modern movement. The Blanken horn/Gilmore residence embodies the design talent of both architects and demonstrates their understanding of mass/scale, form, and site planning. The report also reveals the unique relationship of employee and employer between the two architects. Frey had an advantage in understanding the design intent surrounding the origirial home since he worked for the original architect prior to designing the new additions. Both architects influenced the field with their designs, therefore, Criterion v is met.
(Criterion 6) The resource represents a significant and distinguishable entity whose components may lack individual distinction, as used- in evaluating applications for designation of historic districts, for parcels on which more than one entity exists; or
No information has been provided that the resource qualifies under Griterion vi. ··(Criterion 7) The resource bas yielded_ or may ,be likely to . yield information important. to national, state or local history or prehistory. · No information has been provided on any pre-historic significance of the site.
SECTION 2: PART "B" ANALYSIS OF HISTORIC INTEGRITY.
Analysis of lntegritv (PSMC 8. 05. 070 (C, 1,b). The site, structure, building or object retains one or more of-the following aspects of integrity, as established in the Secretary of the Interior's Standards: integrity of design, materials, workmanship, location, setting, feeling, or association.
Item 1G - Page 13
Resolution No. 25158
Beginning on page 38 of the report is an evaluation of the site relative to the seven aspects or I qualities of historic integrity, as recognized by the National Register of Historic Places. The seven 1 aspects or qualities include location, design, setting, materials, workmanship, feeling, and association. The report concludes that the site retains a high degree of integrity and is further analyzed below:
1. Location:
The resource remains in its original location of construction, therefore, retains its integrity of location.
2. Design:
The mass/scale, form and building materials of the home are consistent with the original design intent. The irregular footprint of the home evolved from an L-shaped floor plan to a Li-shaped floor plan, however, the idea of a rambling/asymmetric design remains consistent. While there are certain elements on the newer additions t~at reflect contemporary building solutions to address the owner's needs, the architect demonstrates an understanding of the original design and emulates the rustic style of the original design and does not compete with the main facades of the home, therefore, th·e design integrity remains intact.
3. Setting:
Located within the Smoke Tree Ranch development, the desert setting around the horne has been maintained and · remains relatively unchanged. The open and rural setting not only preserves views, but it aiso highlights the site placement 9f the home, thus the integrity of setting is intact.
4. Materials:
The use and rhythm created by the board-and-batten siding, steel casement window details and openings, and wood roof shingles are key components of the exterior fa9ade that remain consistent throughout the home; therefore, the .integrity of materials is.._!ntact.
5. Workmanship:
Conventional construction methods were utilized and the aesthetic for the home emphasizes simplicity rather than· craft. The exterior of the, home. is well maintained, and the original workmanship is evident.
6. Feeling:
The home is in a preserved rural setting and. the design of the building represents the time period I
in which.it was originally constructed. The rustic, ranch-style home remains integrated with the I desert landscape, thus the original feeling of the site remains intact. .
7. Association:

Resolution No. 25158
The design and condition of the property is an excellent example of a rambling ranch style home associated with the "dude ranch" aesthetic of Smoke Tree Rach is-maintained through the use of simple forms, building materials and its integration into the desert context. The home's association with the two architects, Pelt anq Frey, are visible in the overall form and fenestration of the home; therefore, the home's association to ·the time· periods it represents, and the architects remain intact.
SECTION 3: DEFINING HISTORIC CHARACTERISTICS
In considering a recommendation for historic resource designation it is important to distinguish those physical elements that are original or from the period of significance that contribute to the resource's historic significance from alterations, additions or features that were added at a later time that may be sympathetic to the original character, but which may create a false sense of historicity. Distinguishing original character-defining features from non-original elements aids the City Council when it is tasked with evaluating future alterations to the historic resource.
following is a list of character-defining features identified by the City Council:
Character-defining features of the resource are as follows:
• One-story ranch home with an emphasis on horizontality • Low pitched wood shake roof ,
• Board-and-batten wood siding
• Deep roof eaves with extended roof rafters
• Covered front porch, patios and arcades
• Two shed roofs on either side of tlie low pitch gable roof of the orig in al home 1 • Masonry chimney along the roof ridge of the low-pitched gable roof visible on the west facade
• Irregular/rambling floor plan
• Steel-framed windows
• Natural dese~ setting
Non-contributing elements:~·
• Large swimming pool.and spa in the central courtyard of the home • Hardscaped walkways·, patios and driveways
• Rooftop mounted mechanical equipment and screening
• Parcel across the street is owned by the current owners but does not contain any part of the historic resource
• Fruit trees and lawn area
SECTION 4: ENVIRONMENTAL ASSESSMENT · ·
The proposed historic resource designation is not subject to the California Environmental Quality Act (CEQA) pursuant to Sections 15060(c)(2) (the activity will not result in a direct or reasonably 1 The original shed roof on the north side of the home, which was visible from the front elevation, was removed as part of an alteration completed by architect Albert Frey in 1947.

SECTION 5: CONDITIONS THAT APPLY TO HISTORIC SITES:
According to Section 8.05 of the Municipal Code, the following shall apply to a Class 1 Historic Resource:
1. It shall meet the definition of a Class 1 historic site as outlined in Municipal Code Section
8.05.020.
2. An archival file on the property shall be maintained by the City.
3. It may be qualified as 'historic' at the federal , state, and/or county level.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
PALM SPRINGS, CALIFORNIA, DESIGNATING THE
ROYAL HAWAIIAN ESTATES CONDOMINIUM LOCATED
AT 1774 S. PALM CANYON DRIVE AS A HISTORIC
DISTRICT.
WHEREAS, Chapter 8.05 of the Palm Springs Municipal Code allows for the establishment of historic districts; and
WHEREAS, on August 25, 2009, the representative of the Royal Hawaiian Estates Condominium Homeowners Association, Bill Lewallen, filed an application requesting a historic district be established for the condominium development; and WHEREAS, notice of a public hearing of the Historic Site Preservation Board of the City of Palm Springs to consider designation of the subject property as a Class 1 historic site was issued in accordance with applicable law; and WHEREAS , on November 10, 2009, Board voted 5 to 2 (Grattan and Strahl opposed) to recommend that the City Council establish a historic district for the condominium development; and
WHEREAS, on February 3, 2010, the City Council conducted a public hearing, following notification in the manner prescribed by law, at which hearing the Council received a staff report, associated exhibits and historical research, and written and oral testimony; and
WHEREAS, the City Council has reviewed and considered all of the evidence in connection with the proposed district, including but not limited to the staff report, application and historical research, and all written and oral testimony presented.
THE CITY COUNCIL OF THE CITY OF PALM SPRINGS DOES HEREBY RESOLVE AS FOLLOWS:
SECTION 1. That the proposed historic district is Categorically Exempt from environmental review, in accordance with Section 15331 (Historical Resources Restoration/Rehabilitation) of the California Environmental Quality Act (CEQA), as the proposed historic district meets the conditions outlined for preservation of a historic resource.
SECTION 2. That the proposed Royal Hawaiian Estates Condominium Historic District conforms to the definition of a historic district, as contained in Section
8.05.020.b of the Palm Springs Municipal Code, because the proposed district meets the following findings of Section 8.05.020.a:
Item 1G - Page 19
Resolution No. 22657
1. The properties reflect and exemplify a particular period of the national, state or local history, because the Royal Hawaiian Estates' unique architectural detailing is an excellent example of its type, period, and method of construction. The complex completed in two phases in 1961 and 1962, as designed by architects Wexler and Harrison reflects one of the Desert Modern styles, as applied to multi-family development in Palm Springs in the early 1960's. The architects' successful and unique interpretation of Polynesian architectural forms in an International Style, along with their use of bold color and geometric shapes and forms adds to the importance of these buildings. Defining historic characteristics of the buildings include:
a. Exaggerated gables over the ends of the buildings.
b. Projecting slanted ridge beams.
c. Elaborately detailed wooden Tiki-Style elements.
d. Triangular clerestory windows and vaulted ceilings.
e. Large stylized "Outrigger", "Flying Sevens".
f. Orange painted cement plaster triangle as part of "outriggers". g. Wood diagonal siding.
h. Natural rock building walls.
i. Concrete block screen at pool painted orange.
j. Tiki-Style statues and stone carvings.
2. The properties embody the distinctive characteristics of a type, period or method of construction, because the Royal Hawaiian Estates condominium complex was built over a two year period and remains largely intact: All twelve buildings and the surrounding site retain the look of their original design and construction. The Desert Polynesia time period which took root in the early sixties was one of several modern design themes that advanced the idea of indoor/ outdoor living possibilities in Palm Springs. The Desert Polynesian style was short-lived , but resulted in the unique architectural elements of the Royal Hawaiian Estates.
3. The properties present the work of a master builder, designer, artist, or architect whose individual genius influenced his age; or that possesses high artistic value, because the Royal Hawaiian Estates present the work of one of Palm Springs' (and the Coachella Valley's) most prolific and accomplished architectural team of Donald Wexler and Rick Harrison. Wexler and Harrison's skills as architects in the early 1960's are clearly reflected in the condominium development which is a good example of contemporary Polynesian- influenced design concepts. The complex is one of the few remaining Tiki-Style buildings in Palm Springs and is of importance as an example of this architectural style as designed by a master architect and builder.
SECTION 4. That the Royal Hawaiian Estates Condominium, including twelve multi-unit residential buildings and all associated landscaping and grounds are hereby established as the Royal Hawaiian Estates Historic District, subject to the following conditions:
Item 1G - Page 20
Resolution No. 22657
1. The property owner shall permit the City to place at 177 4 S. Palm Canyon Drive a historic marker of the City's choosing . The marker shall be placed in a location visible from the public right-of-way. The owner shall maintain the marker in the location installed and pay for the replacement cost if the plaque is lost, stolen, or otherwise removed from the property.
2. That the City Clerk shall submit the Council Resolution to the County recorder for recordation within 90 days of the effect ive date of this resolution.
3. Any alterations or modifications to the exterior approved prior to the designation of this site by the City Council shall be deemed acceptable .
SECTION 5. That all structures and site landscaping of the Royal Hawaiian Estates Condominiums site are hereby designated "contributing structures " of the Royal Hawaiian Estates Historic District, and are therefore subject to the following conditions.
4. All future modifications to all contributing structures and site features, including but not limited to building, landscaping, lighting, walls , and fences shall require Architectural Approval pursuant to Section 94.04.00 of the Palm Springs Zoning Ordinanc e and HSPB review pursuant Municipal Code Ordinance 8.05.180.
5. No permit shall be issued for the alterat ion of the landscaping or building exterior , including any and all of the defining elements and characteristi cs without prior approval by the Historic Site Preservation Board.

THE CITY COUNCIL OF THE CITY OF PALM SPRINGS RESOLVES:
SECTION 1: FINDINGS - PART "A", CRITERIA FOR HISTORIC RESOURCES .
Evaluation of the Application. Pursuant to Municipal Code Section 8.05.070 {C, 1,a), the HSPB shall evaluate the application and make findings in conformance with the following criteria:
Item 1G - Page 24
Resolution No 25099
Criteria for the Designation of Class 1 Historic Resources. A s ite, structure, building or object may be designated as a Class 1 historic resource, provided both of the following I findings ("a" and "b") are met:
a. The site, structure, building or object exhibits exceptional historic significance and meets one or more of the criteria listed below:
The home's original design exhibits modernist principles through the use of simple forms and materials using large expanses of glass, a low, flat, thin roof plane that visually emphasizes the horizontality of the home, and an open carport. Certain alterations have diminished or eliminated important historic characteristics like the infill of the courtyard and carport and changes to the front yard landscape and hardscape. Although many of the original characteristics of the home remain, City Council finds the various alterations reduce the historic integrity and significance of the resource.
(Criterion i) The resource is associated with events that h ave made a meaningful contribution to the nation, state or community; The report does not list any events associated with the home that contributed to the nation, state or community . Thus, it does not qualify under Criterion i. (Criterion ii) The resource i s associated with the lives of persons who made a meaningful contribution to national, state or local history; As referenced in the report, the first owners of the home were Cecil C. Hutchens and Charlotte C . Hutchens. The Hutchens purchased the home in 1953 while it was still under construction and customized the home according to their needs, prior to moving into the home in 1954. Cecil worked for influential individuals in the community and the family were active members of the local community but their association does not rise to the level of meaningful contribution to national, state or local history. City Council finds the site does not qualify as a historic resource under Criterion ii.
(Criterion iii) The resource reflects or exemplifies a particular period of national, state or local history;
The Hutchens Residence was constructed in the post-World War II period in local history when young architects were experimenting with modernist principals when designing new residential architecture in Palm Springs. Combining modern and new technologies in building materials with the desert climate created a new aesthetic. Identified as one of the focal points of Mid-century Modern architecture, the residential homes constructed during this time contribute greatly to this identity.
The Hutchens Residence retains some of the qualities from that period such as I
the simple rectilinear form of construction and use of floor-to-ceiling height glass, I but alterations noted above diminished the home's ability to stand as an Item 1G - Page 25

Resolution No. 25099
outstand ing example from the mid-century period . Although the report asserts the home exempl ifies the mid-20ths century period, City Council finds that because of alterations made over time, the home reflects changes made over time rather than a single distinctive period , therefore , City Council finds the site does not qualify under Criter ion iii.
(Criterion iv) The resource embodies the distinctive characteristics of a type, period or method of construction;
Unlike the National Register criterion concerning construc tion, the Palm Springs evalua tion of constructio n addresses the type (of construction) , the period (of construction ) and the method (of const ruction) . This criterion in the local ordinance does not evalu ate design themes, certai n periods in architecture , or styles of architecture as outlined in the report. While the exposed wooden beams and glass in residential construc tion provided a new aesthetic , the home was built u sing conventional methods of constru ction. City Council finds the building's type , period and method of constru ction method are not distinctive and thus the building does not qualify under Criterion iv.
(Criterion v) The resource present s the work of a master builder, designer, artist, or architect whose individual genius influenced his age, or that possesses high artistic value;
As noted in the report , the Hutchens Residence was designed by architects Donald Wexler and Richard Harrison as one of their early residential commissio ns. The partnership betwe en Wexler and Harrison was formed in 1952 and their office designed projects that ranged from residential to comme rcial to civic uses. The firm's design style reveals a strong interest in enginee ring and simple design expression . Their work as architects not only influenced local architects and designers of their time, but it continues to influen ce contemporary designers today as Palm Springs celebrates the Desert Modern style of architecture . As the work of master architects from a time early on in their prolific career, City Counc il finds the home qual ifies under Criteri on v.
(Criterion vi) The resource represents a significant and distinguishable entity whose components may lack individua l distinction, as used in evaluating applications for designatio n of historic districts, for parcel s on which more than one entity exists; or
No information has been provid ed that the resource qualifies under Criterion vi. (Criterion vii) The resource has yielded or may be likely to yield information important to national, state or local history or prehistory.
No information has been provid ed on any pre-historic significan ce of the site.

SECTION 2: PART "B" ANALYS IS OF HISTOR IC INTEGRITY .
Analysis of Integrity. (PSMC 8. 05. 070 (C, 1,b). The site, structure, building or object retains one or more of the following aspects of integrity, as established in the Secretary of the Interior's Standards : integrity of design, materials , workmanship, location, setting, feeling, or association .
Beginn ing on page 49 of the report is an evaluatio n of the site relative to the seven aspects or qual ities of histori c integrity , as recognized by the Nationa l Register of Histor ic Places . The seven aspects or qualit ies include location , design , setting, materia ls, workmanship , feeling, and associat ion. The existing degree of histori c integrity is analyzed below :
1. Location :
The Hutchens residen ce remains in its original location of construction , therefore , retains its integrity of location .
2. Design:
I
The flat roofed home has a series of clerestory windows near the front entry and the enclosed carport and an expansive use of glass on the front and rear elevations create the appearance of transparency . The repet itive pattern created by the exposed beams and rafters became a strong aestheti c feature , and the design of the non-bearing walls I throughout the site formed the visual horizontali ty of the home . Small alcoves and a courtyard were incorporated into what appears to be the original layout. Although the infill of the origina l courtyard was done early on, this alteration changed the exper ience of the structure within the site, and enclosing the carport changed the perceived massing of the home . The summary of changes to the home that impact its design are as follows :
additions , infill, driveway , hedges and gates that obscure the original open feel of the front of the home and these alterat ions impair the design integrity of the home . Thus , the home has a marginal degree of design integr ity.
3. Setting:
The original setting of Deep We ll Estates tract was open , undeveloped desert . While the area continues to exist as a residential neighborhood , the desert setting has been lost to the developmen t of single-family homes in all directions . Hedges , privacy walls and non native trees have also diminished the open , natura l feel of the desert . Although desert landscape exists around the front of the home simi lar to that seen in the early photos , the large square slabs of concrete separated by concrete strips with exposed aggregate dimin ishes the historic character of the front of home. The integrity of setting no longer exists .
I
Item 1G - Page 27
I
I
I
Resolution No 25099
4. Materials :
One of the more notable uses of material is the slumpstone exterior block walls that extend into the interior of the home. While the slumpstone wall remain intact, the horizontal , dark grey wood panels on the exterior are not original features . The clerestory windows are another feature that accentuate the horizontality of the home. The home is of conven tional standard materials, most of which are still intact and has material integrity .
5. Workmanship :
The home is of average workmanship commo n for the era of the 1950's. The use of standard materials, the thin fascia detail and the overhangs appear origina l to the home.
6. Feeling :
Despite alterations noted above , the building generally retains its feeling as a custom built single-family home built in the Desert Modern style of architecture .
7. Association :
There have been various exterior changes that have been made to the home over time but the resource generally retains its integrity of associati on with the mid-century Modern Movement and Desert Modern ism through its use of simple form , materials, the low horizontality in its massing .
Criteria for the Designation of Class 2 Historic Resources. A site, structure, building or object may be designated as a Class 2 historic resource , provided the site, structure, building or object exhibits significance and meets one or more of the criteria listed in subsection (c)(1)(a) above. A Class 2 historic resource shall not be required to meet the findings for integrity as described in subsection (C)(1)(b) above.
The Hutchens Residenc e is a well-maintained home with many surviving characteristics reminiscent of the Mid-century Modern Movement ; however , the analysis shows that impactful alterations have reduced the home's historic integrity . While the associations with master architects and architectural movements lend itself to a historic connec tion, City Council finds the alterations made to key features of the home are substantial enough to diminish the historic integrity of the site.
SECTION 3: DEFINING HISTORIC CHARACTERISTICS
In considering a recommendation for historic resource designation it is important to distinguish those physical elements that are original or from the period of significance that contribute to the resource 's historic significance from alterat ions, additions or features that were added at a later time that may be sympathetic to the original character, but which may create a false sense of historicity. Distinguishing origina l character-defining Item 1G - Page 28
Resolution No. 25099
features from non-original elements aids the HSPB when it is tasked with evaluating future alterations to the historic resource .
as follows :
Character-defining features of the resource are as follows:
• Flat roofed one-story structure .
• Original slumpstone block walls including the character istic in which the slumpstone wall at the carport does not extend up to the roof, but rather stops short to reveal the wood posts that are actually doing the work of supporting the roof.
• Original slumpstone fireplace and barbeque that visually extends the slumpstone material from inside to outside and visually separates areas of the back yard.
This projection of a wall plane from inside to out at the front entry is also a character-defining feature .
• Thin horizontal fascia .
• Exposed beams in the overhangs surrounding perimeter of house. • Large expanses of glass and clerestory windows .
Non-contributing elements :
I
• Privacy wall, hedge and gate at the front of the property facing Mesquite Avenue . I • Enclosed carport w ith garage doors .
• Enclosed courtyard for the maid's quarters in 1954.1
• Add ition to south of the master bedroom in 1956.2
• Drywall finish over original insulation board ceiling . • Rooftop mechan ical equipment including solar panels. • Hardscape pavers located in the front yard of the property . • The swimming pool and landscap ing.
SECTION 4: ENVIRONMENTAL ASSESSMENT
The proposed historic resource designation is not subject to the California Environmental Quality Act (CEQA) pursuant to Sections 15060(c)(2) (the activity will not result in a direct or reasonably foreseeable indirect physical change in the environment) and 15060(c)(3) (the activity is not a project as defined in Section 15378) of the CEQA Guidelines, California Code of Regulations , Title 14, Chapter 3, because it has no potential for resulting in physical changes to the environment , directly or indirectly. 1 The courtyard was filled in to make room for a maid's quarters by the first resident, prior to moving into the home. Despite this alteration being an early change, the courtyard was as a significant feature that was part of the design intent. The complete enclosure of this space reduces the design integrity of this ho~. I 2 The small addition made to the home in 1956 was not part of the original floorplan but was done in a manner that is subordi nate to the original design and located on a non-primary fa9ade. While the element is not a contributing feature, it is not one that reduces design integrity Item 1G - Page 29

Dear Ms. Yoon,
I am wri=ng to express our interest in the Mills Act applica=on for our property at 239 E Twin Palms Drive, part of the historic Royal Hawaiian Estates. We have undertaken comprehensive restora=on efforts, addressing both aesthe=c and structural aspects. Our work to date includes restoring the shared front walkway and back pa=o concrete slabs to their original designs and introducing landscaping that adheres to the community's plant and rock paleXe.
Addi=onally, we have addressed exterior wear from previous ownership by patching and repain=ng the en=re exterior with the community's heritage paint paleXe. While these efforts have significantly improved the property, they also present a substan=al financial commitment.
We are hopeful that the tax incen=ves provided by the Mills Act will help soZen the financial burden of the work completed and enable us to save for the re-installa=on of the "Flying Sevens" – the community's most striking and recognizable outdoor architectural feature.
The Royal Hawaiian Estates Community's designa=on as a Class 1 historic site by the Palm Springs City Council in 2010 underscores the importance of our restora=on efforts. The Mills Act tax incen=ves are crucial in suppor=ng our con=nued work to preserve the estate's architectural heritage.
Thank you for considering our applica=on. We look forward to the opportunity to discuss how the Mills Act can contribute to the realiza=on of our restora=on vision.
Respec_ully yours,

The Owner, the HOA, and the City acknowledge and agree that the primary consideration to the City for the execution of this Agreement is the substantial benefit to the citizens of Palm Springs accruing from the rehabilitation and maintenance of the Property, and the primary consideration to the Owner and HOA is the economic advantage that will accrue to the Owner and HOA as a result of the possible effect upon the assessed value of the Property of the restrictions on the use and preservation of t he Property imposed hereunder. SPECIFIC PROJECTS
(Section 4.3)
1. Restoration of front, rear and side facias. The facia needs a full restoration to maintain its integrity. There is water damage since there are no rain gutters. There is also cracking and sun damage that was covered with new paint, but the facia was not restored. We will restore this correctly to maintain the home as a historic resource, especially because Wexler was known for his low -slung roofs with narrow facia.
2. Remove wood flooring on exterior walls and replace with period appropriate wood and stucco. Estimated cost 14-18k. The prior owners added interior wood flooring to areas on the front and rear exterior of the home. We would like to remove all the wood flooring from the exterior walls and retore any original material that may be remaining underneath. If no original material is remaining, then we will replace with a period-appropriate replacements to preserve and maintain the home as a historic resource.
3. Replace garage doors. A prior owner enclosed the carport and added two very contemporary garage doors made of steel and glass. We would like to replace both garage doors with much more subtle, simple and white colored garage doors to match the white color of the house.
4. Roof and window restoration . We are currently dealing with a leaking roof in one area and a very large leaking window in another area.
5. Re-coat entire roof with elastomeric acrylic coating to maintain the integrity o f the roof and the house which needs to be “re-foamed” or “re-coated” every 5-6 years.
6. Electrical improvements. The electrical was updated, but some circuits are overloaded and a second electrical box is recommended to accommodate things, including the energy efficient improvements we have made.
7. Energy Efficiency Improvements. We added solar panels to the house to help reduce electricity usage.
8. Grade of concrete at back doors. The prior owners poured a new concrete patio near the rear doors. The grade of the concrete drained towards the house and during severe rainstorms water came into the house.
9. Exterior lights. The prior owners added various contemporary lights to the exterior of the house.
10. Gate for front wall. Prior owners added a contemporary gate that is taller than the original permitter wall. We would like to replace the gate with one is that the same height as the permitter wall to help the gate look more original and less contemporary.
11. Mold and structural damage from prior water leaks. Interior restoration was needed in the area between the primary bathroom and the original “sewing room” off the primary bathroom.

CITY COUNCIL STAFF REPORT
DATE: MARCH 14, 2024 CONSENT CALENDAR
SUBJECT: A CCEPTANCE OF ARNICO PHASE 4 SEWER IMPROVEMENTS, CITY PROJECT 21-17
FROM: Scott C. Stiles, City Manager
BY: Engineering Services Department
SUMMARY:
Staff has successfully completed another Measure “J” funded project. Formal City Council acceptance of the Arnico Phase 4 Sewer Improvements, City Project 21- 17, is required to document the completion of public works improvements to allow the City’s filing of a Notice of Completion with the Riverside County Recorder in accordance with Section 9200 of the California Civil Code.
RECOMMENDATION:
1. Accept the public works improvement identified as Arnico Phase 4 Sewer Improvements, City Project 21-17 (“Project”), as completed in accordance with the plans and specifications; and
2. Authorize the City Engineer to execute and file for recordation with the Riverside County Recorder a Notice of Completion for Arnico Phase 4 Sewer Improvements, City Project 21-17.
BACKGROUND:
On April 27, 2023, the City Council awarded a construction contract in the amount of $648,135 to Pacific West Underground, Inc. for the installation of the Arnico Phase 4 Sewer Improvements, City Project 21- 17. Once the contract and purchase order were issued, submittals were sent and reviewed, long lead items ordered, and construction schedule finalized.
STAFF ANALYSIS:
Construction of the Project started July 19, 2023, and was determined to be substantially complete on December 12, 2023. Staff recommends City Council accept the completed Project as required by S ection 9200 of the California Civil Code and authorize the City Item 1H - Page 1

Acceptance of Arnico Phase 4 Sewer Improvements, CP 21-17
Engineer to file and record a Notice of Completion to be submitted to the County. A copy of the Notice of Completion is included as Attachment A.
ENVIRONMENTAL ASSESSMENT
:
In accordance with the California Environmental Quality Act (“CEQA”) Guidelines Section 15303 “New Construction or Conversion of Small Structures”, Class 3 projects consist of water main, sewage, electrical, gas, and other utility extensions, including street improvements, of reasonable length to serve such construction. The City is extending its sewage service. Therefore, Staff has determined that the Arnico Phase 4 Sewer Improvements, City Project No. 21-17, is considered categorically exempt from CEQA.
ALIGNMENT WITH STRATEGIC PLANNING:
This item aligns with City Council Priority 2A, Improve City Facilities – Prioritize deferred maintenance.
FISCAL IMPACT:
There was one (1) change order in the amount of $84,162 related to demobilization and mobilization due to the stop notice issued by Frontier Communications and unforeseen conditions of abandoning seepage pits per Riverside County Environmental Health Department. Sufficient funds are available in the Project funding accounts to address this final balancing change order. The final construction cost is $732,297, which represents an 11.5% increase from the original contract price. The final balancing change order is included as Attachment B.
The City is holding retention funds in the amount of $32,406.75 for Pacific West Underground pending the filing the Notice of Completion with the County Recorder’s Office.

FINAL CONTRACT CHANGE ORDER
CP 21‐17 Arnico Tract Sewer Phase 4
Contractor: Pacific West Underground Date: February 26, 2024
CONTRACT CHANGE ORDER SUMMARY
This lump sum Final Change Order is to address the shutdown of the project per Frontier’s Communications request. The Contractor submitted a USA ticket for the utility companies to mark the location of their utilities to avoid conflict and damage to their main and service lateral utility. Frontier was marking their utilities on Arnico Str
eet and could not discover their utility at 2031 Arnico Street. Since they could not locate their utility, they issued a stop notice per California Government Code 4216.7. They cited (a) If a subsurface installation is damaged by an excavator as a result of failing to comply with Section 4216.2 or 4216.4, or subdivision (b) of Section 4216.3, or as a result of failing to comply with the operator’s (UtiliQuest) requests to protect the subsurface installation as specified by the operator before the start of excavation, the excavator shall be liable to the operator of the subsurface installation for resulting damages, costs, and expenses to the extent the damage
s, costs, and expenses were caused by the excavator’s failure to comply. Frontier Communications did not provide a time frame when the Contractor could restart the work. The Contractor demobilized and then remobilized to complete the project.
During the design of the contrac t drawings, the consultant and the City performed research on the existing septic system for each property. The City of Palm Springs had one record and the Department of Environmental Health for Riverside County had information on three properties of the septic system. During bidding, it was assumed that the other properties had i nstalled a leach field. Instead, It was discovered that the remaining properties had seepage pits installed. No documentation was provided on Riverside County’s website. The City received a verbal from the Riverside County’s health inspector that seepage pits must be abandoned like septic tanks. The City has determined that this was an unforeseen conditio n and the price submitted by the Contractor fair and reasonable to abandon the seepage pits per Riverside County Environmental Health Department.

SUBJECT: APPROVE CONTRACT SERVICES AGREEMENT NO. 24S046 WITH ARCONAS INC. FOR THE PURCHASE AND INSTALLATION OF
PASSENGER SEATING AT THE PALM SPRINGS INTERNATIONAL
AIRPORT
FROM: Scott C. Stiles, City Manager
BY: Department of Aviation
SUMMARY:
This action will approve Contract Services Agreement No. 24S046 with Arconas Inc. (Arconas) in an amount not to exceed $ 232,846.71, for the purchase and installation of passenger seating at the Palm Springs International Airport (Airport).
RECOMMENDATION:
1. Approve Contract Services Agreement No. 24S046 (Attachment A) with Arconas Inc. for the purchase and installation of passenger seating at the Palm Springs International Airport in an amount not to exceed $232,846.71 for a one-year term.
2. Authorize the City Manager or designee to execute all necessary documents.
BUSINESS PRINCIPAL DISCLOSURE:
According to the Public Integrity Disclosure form ( Attachment B) submitted on January 12, 2024, Arconas Inc. is registered in the State of Delaware.
BACKGROUND:
As a part of the new Airport concessions project, the construction of the Cactus to Clouds restaurant and bar is currently underway in the Sonny Bono Concourse atrium, and the project is scheduled to be completed in the summer of 2024. Cactus to Clouds will be a premier dining, socializing, and networking location for Airport passengers and stay and play visitors next to the gate hold rooms.
Item 1I - Page 1
City Council Staff Report
March 14, 2024 -- Page 2
Award Arconas Inc. Contract Services Agreement
On March 7, 2023, the Airport’s food and beverage concessionaire Paradies Lagardère (Paradies) presented to the Airport Commission’s Ad Hoc Design Review Committee a design concept rendering of Cactus to Clouds that included seating outside the footprint of the Paradies bar and restaurant ( Attachment C ). The Ad Hoc Design Review Committee and City staff agree that the surrounding seating would be complementary seating to the surrounding Cactus to Clouds restaurant and bar and the Bono Concourse.
STAFF ANALYSIS:
Staff has determined that acquiring the seating for the surrounding area of the Cactus to Clouds restaurant and bar is essential for ensuring that the ambiance aligns seamlessly for providing a welcoming and vibrant space for Airport passengers to enjoy during their time at the Airport and that the acquisition of visually appealing seating will contribute to a positive and memorable passenger experience. The new seating will replace approximately 70 seats in the Sonny Bono Concourse.
Arconas is the sole source provider of the seating (Attachment D). Pursuant to 7.05.020 of the Municipal Code, a contract may be awarded without competition when there is only one source for the required item or service. Staff is recommending the approval of the sole source agreement with Arconas for the purchase and installation of passenger seating at the Airport.
ENVIRONMENTAL ASSESSMENT:
The requested City Council action is not subject to the California Environmental Quality Act (“CEQA”) because (1) it is not a “project” as that term is defined under CEQA, and (2) even if it were a project under CEQA, it would be categorically exempt from CEQA under State CEQA Guidelines section 15301.
Pursuant to Section 15378(a), a “Project” means the whole of an action, which has a potential for resulting in either a direct physical change in the environment, or a reasonably foreseeable indirect physical change in the environment. According to Section 15378(b), a “Project” does not include: (5) Organizational or administrative activities of governments that will not result in direct or indirect physical changes in the environment.
Moreover, even if the requested action were a project under CEQA, it is categorically exempt under State CEQA Guidelines section 15301. Section 15301 categorically exempts from CEQA the “minor alteration of existing public or private structures, facilities, mechanical equipment, or topographical features, involving negligible or no expansion of use beyond that existing at the time of the lead agency’s determination.” Here, the requested action falls squarely within this exemption as the action simply involv es the replacement of existing seating with new seating within the Bono Concourse, and none of the exceptions to this categorical exemption apply. For each of the foregoing reasons, the requests action is categorically exempt from CEQA.

FAA – 09 Copeland Anti-Kickback
APPLICABILITY -
The Copeland (Anti-Kickback) Act (18 USC § 874 and 40 USC § 3145) makes it unlawful to induce by force, intimidation, threat of dismissal from employment, or by any other manner, any person employed in the construction or repair of public buildings or public works, financed in whole or in part by the United States, to give up any part of the compensation to which that person is entitled under a contract of employment. The Copeland Act also requires each contractor and subcontractor to furnish weekly a statement of compliance with respect to the wages paid each employee during the preceding week.
Contract Types –
Construction – This provision applies to all construction contracts and subcontracts financed under the AIP that exceed $2,000.
Equipment – This provision applies to all equipment installation projects (e.g., electrical vault improvements) financed under the AIP that exceed $2,000. This provision does not apply to equipment acquisitions where the equipment is manufactured at the vendor’s plant (e.g., SRE and ARFF vehicles).

If such tasks result in work that qualifies as construction, alteration, or repair and it exceeds $2,000, the PSA must incorporate the Copeland Anti-kickback provision.
Property –Ordinarily, land acquisition projects would not involve employment of laborers or mechanics and thus the Copeland Anti-Kickback provision would not apply. However, land projects that involve installation of boundary fencing and demolition of structures would involve laborers and mechanics. The City must include this provision if the land acquisition project involves employment of laborers or mechanics for a contract exceeding $2,000.
REQUIREMENT -
Contractor must comply with the requirements of the Copeland “Anti -Kickback” Act (18 USC 874 and 40 USC 3145), as supplemented by Department of Labor regulation 29 CFR part 3. Contractor and subcontractors are prohibited from inducing, by any means, any person employed on the project to give up any part of the compensation to which the employee is entitled. The Contractor and each Subcontractor must submit to the City, a weekly statement on the wages paid to each employee performing on covered work during the prior week. City must report any violations of the Act to the Federal Aviation Administration.

Professional Services – The emergence of different project delivery methods has created situations where Professional Service Agreements (PSAs) includes tasks that meet the definition of construction, alteration, or repair as defined in 29 CFR Part 5. If such tasks result in work that qualifies as construction, alteration, or repair and it exceeds $2,000, the PSA must incorporate this clause.
Property – Ordinarily, land acquisition projects would not involve employment of laborers or mechanics and thus the provision would not apply. However, land projects that involve installation of boundary fencing and demolition of structures would involve laborers and mechanics. The City must include this provision if the land acquisition project involves employment of laborers or mechanics for a contract exceeding $2,000.
Fencing Projects – Fencing projects that exceed $2,000 must include this provision.

The Federal Aviation Administration or the CIty shall upon its own action or upon written request of an authorized representative of the Department of Labor withhold or cause to be withheld from the Contractor under this contract or any other Federal contract with the same prime contractor, or any other federally -assisted contract subject to Davis -Bacon prevailing wage requirements, which is held by the same prime contractor, so much of the accrued payments or advances as may be considered necessary to pay laborers and mechanics, including apprentices, trainees, and helpers, employed by the Contractor or any subcontractor the full amount of wages required by the contract. In the event of failure to pay any laborer or mechanic, including any apprentice, trainee, or helper, employed or working on the site of the work, all or part of the wages required by the contract, the Federal Aviation Administration may, after written notice to the Contractor, City, Applicant, or Owner, take such action as may be necessary to cause the suspension of any further payment, advance, or guarantee of funds until such violations have ceased.
3. Payrolls and Basic Records.
(i) Payrolls and basic records relating thereto shall be maintained by the Contractor during the course of the work and preserved for a period of three years thereafter for all laborers and mechanics working at the site of the work. Such records shall contain the name, address, and social security number of each such worker; his or her correct classification; hourly rates of wages paid (including rates of contributions or costs anticipated for bona fide fringe benefits or cash equivalents thereof of the types described in 1(b)(2)(B) of the Davis -Bacon Act); daily and weekly number of hours worked; deductions made; and actual wages paid. Whenever the Secretary of Labor has found under 29 CFR 5.5(a)(1)(iv) that the wages of any laborer or mechanic include the amount of any costs reasonably anticipated in providing benefits under a plan or program described in section 1(b)(2)(B) of the Davis -Bacon Act, the Contractor shall maintain records that show that the commitment to provide such benefits is enforceable, that the plan or program is financially responsible, and that the plan or program has been communicated in writing to the laborers or mechanics affected, and records which show the costs anticipated or the actual costs incurred in providing such benefits. Contractors employing apprentices or trainees under approved programs shall maintain written evidence of the registration of apprenticeship programs and certification of trainee programs, the registration of the apprentices and trainees, and the ratios and wage rates prescribed in the applicable programs. (ii)(A) The Contractor shall submit weekly for each week in which any contract work is performed a copy of all payrolls to the Federal Aviation Administration if the agency is a party to the contract, but if the agency is not such a party, the Contractor will submit the payrolls to the applicant, the City, or Owner, as the case may be, for transmission to the Federal Aviation Item 1I - Page 39
Revised 4.13.23 Page 36 of 65
Administration. The payrolls submitted shall set out accurately and completely all of the information required to be maintained under 29 CFR § 5.5(a)(3)(i), except that full social security numbers and home addresses shall not be included on weekly transmittals. Instead the payrolls shall only need to include an individually identifying number for each employee (e.g., the last four digits of the employee’s social security number). The required weekly payroll information may be submitted in any form desired. Optional Form WH–347 is available for this purpose from the Wage and Hour Division Web site at http://www.dol.gov/esa/whd/forms/wh347instr.htm or its successor site. The prime contractor is responsible for the submission of copies of payrolls by all subcontractors. Contractors and subcontractors shall maintain the full social security number and current address of each covered worker and shall provide them upon request to the Federal Aviation Administration if the agency is a party to the contract, but if the agency is not such a party, the Contractor will submit them to the applicant, the City, or Owner, as the case may be, for transmission to the Federal Aviation Administration, the Contractor, or the Wage and Hour Division of the Department of Labor for purposes of an investigation or audit of compliance with prevailing wage requirements. It is not a violation of this section for a prime contractor to require a subcontractor to provide addresses and social security numbers to the prime contractor for its own records, without weekly submission to the sponsoring government agency (or the applicant, City, or Owner).
(B) Each payroll submitted shall be accompanied by a "Statement of Compliance," signed by the Contractor or subcontractor or his or her agent who pays or supervises the payment of the persons employed under the contract and shall certify the following:
(1) That the payroll for the payroll period contains the information required to be provided under 29 CFR § 5.5(a)(3)(ii), the appropriate information is being maintained under 29 CFR § 5.5 (a)(3)(i), and that such information is correct and complete; (2) That each laborer and mechanic (including each helper, apprentice, and trainee) employed on the contract during the payroll period has been paid the full weekly wages earned, without rebate, either directly or indirectly, and that no deductions have been made either directly or indirectly from the full wages earned, other than permissible deductions as set forth in Regulations, 29 CFR Part 3;
(3) That each laborer or mechanic has been paid not less than the applicable wage rates and fringe benefits or cash equivalents for the classification of work performed, as specified in the applicable wage determination incorporated into the contract. (C) The weekly submission of a properly executed certification set forth on the reverse side of Optional Form WH -347 shall satisfy the requirement for submission of the “Statement of Compliance” required by paragraph (3)(ii)(B) of this section. (D) The falsification of any of the above certifications may subject the Contractor or subcontractor to civil or criminal prosecution under Section 1001 of Title 18 and Section 231 of Title 31 of the United States Code.
(iii) The Contractor or subcontractor shall make the records required under paragraph (3)(i) of this section available for inspection, copying, or transcription by authorized representatives of the City, the Federal Aviation Administration, or the Department of Labor and shall permit such representatives to interview employees during working hours on the job. If the Contractor or subcontractor fails to submit the required records or to make them available, the Federal agency Item 1I - Page 40
Revised 4.13.23 Page 37 of 65
may, after written notice to the Contractor, the City, applicant, or Owner, take such action as may be necessary to cause the suspension of any further payment, advance, or guarantee of funds. Furthermore, failure to submit the required records upon request or to make such records available may be grounds for debarment action pursuant to 29 CFR § 5.12.
4. Apprentices and Trainees.
(i) Apprentices. Apprentices will be permitted to work at less than the predetermined rate for the work they performed when they are employed pursuant to and individually registered in a bona fide apprenticeship program registered with the U.S. Department of Labor, Employment and Training Administration, Office of Apprenticeship Training, Employer and Labor Services, or with a State Apprenticeship Agency recognized by the Office, or if a person is employed in his or her first 90 days of probationary employment as an apprentice in such an apprenticeship program, who is not individually registered in the program, but who has been certified by the Office of Apprenticeship Training, Employer and Labor Services or a State Apprenticeship Agency (where appropriate) to be eligible for probationary employment as an apprentice. The allowable ratio of apprentices to journeymen on the job site in any craft classification shall not be greater than the ratio permitted to the contractor as to the entire work force under the registered program. Any worker listed on a payroll at an apprentice wage rate, who is not registered or otherwise employed as stated above, shall be paid not less than the applicable wage rate on the wage determination for the classification of work actually performed. In addition, any apprentice performing work on the job site in excess of the ratio permitted under the registered program shall be paid not less than the applicable wage rate on the wage determination for the work actually performed. Where a contractor is performing construction on a project in a locality other than that in which its program is registered, the ratios and wage rates (expressed in percentages of the journeyman’s hourly rate) specified in the Contractor’s or subcontractor’s registered program shall be observed. Every apprentice must be paid at not less than the rate specified in the registered program for the apprentice’s level of progress, expressed as a percentage of the journeymen hourly rate specified in the applicable wage determination.
Apprentices shall be paid fringe benefits in accordance with the provisions of the apprenticeship program. If the apprenticeship program does not specify fringe benefits, apprentices must be paid the full amount of fringe benefits listed on the wage determination for the applicable classification. If the Administrator determines that a different practice prevails for the applicable apprentice classification, fringes shall be paid in accordance with that determination. In the event the Office of Apprenticeship Training, Employer and Labor Services, or a State Apprenticeship Agency recognized by the Office, withdraws approval of an apprenticeship program, the Contractor will no longer be permitted to utilize apprentices at less than the applicable predetermined rate for the work performed until an acceptable program is approved. (ii) Trainees. Except as provided in 29 CFR § 5.16, trainees will not be permitted to work at less than the predetermined rate for the work performed unless they are employed pursuant to and individually registered in a program which has received prior approval, evidenced by formal certification by the U.S. Department of Labor, Employment and Training Administration. The ratio of trainees to journeymen on the job site shall not be greater than permitted under the plan approved by the Employment and Training Administration. Every trainee must be paid at not less than the rate specified in the approved program for the trainee’s level of progress, expressed as a percentage of the journeyman hourly rate specified in the applicable wage determination. Trainees shall be paid fringe benefits in accordance with the provisions of the Item 1I - Page 41
Revised 4.13.23 Page 38 of 65
trainee program. If the trainee program does not mention fringe benefits, trainees shall be paid the full amount of fringe benefits listed on the wage determination unless the Administrator of the Wage and Hour Division determines that there is an apprenticeship program associated with the corresponding journeyman wage rate on the wage determination that provides for less than full fringe benefits for apprentices. Any employee listed on the payroll at a trainee rate that is not registered and participating in a training plan approved by the Employment and Training Administration shall be paid not less than the applicable wage rate on the wage determination for the classification of work actually performed. In addition, any trainee performing work on the job site in excess of the ratio permitted under the registered program shall be paid not less than the applicable wage rate on the wage determination for the work actually performed. In the event the Employment and Training Administration withdraws approval of a training program, the Contractor will no longer be permitted to utilize trainees at less than the applicable predetermined rate for the work performed until an acceptable program is approved. (iii) Equal Employment Opportunity. The utilization of apprentices, trainees, and journeymen under this part shall be in conformity with the equal employment opportunity requirements of Executive Order 11246, as amended, and 29 CFR Part 30.
5. Compliance with Copeland Act Requirements.
The Contractor shall comply with the requirements of 29 CFR Part 3, which are incorporated by reference in this contract.
6. Subcontracts.
The Contractor or subcontractor shall insert in any subcontracts the clauses contained in 29 CFR §§ 5.5(a)(1) through (10) and such other clauses as the Federal Aviation Administration may by appropriate instructions require, and also a clause requiring the subcontractors to include these clauses in any lower tier subcontracts. The prime contractor shall be responsible for the compliance by any subcontractor or lower tier subcontractor with all the contract clauses in 29 CFR § 5.5.
7. Contract Termination: Debarment.
A breach of the contract clauses in paragraph 1 through 10 of this section may be grounds for termination of the contract, and for debarment as a contractor and a subcontractor as provided in 29 CFR § 5.12.
8. Compliance with Davis-Bacon and Related Act Requirements.
All rulings and interpretations of the Davis -Bacon and Related Acts contained in 29 CFR Parts 1, 3, and 5 are herein incorporated by reference in this contract.
9. Disputes Concerning Labor Standards.
Disputes arising out of the labor standards provisions of this contract shall not be subject to the general disputes clause of this contract. Such disputes shall be resolved in accordance with the procedures of the Department of Labor set forth in 29 CFR Parts 5, 6, and 7. Disputes within the meaning of this clause include disputes between the Contractor (or any of its subcontractors) and the contracting agency, the U.S. Department of Labor, or the employees or their representatives.

10. Certification of Eligibility.
(i) By entering into this contract, the Contractor certifies that neither it (nor he or she) nor any person or firm who has an interest in the Contractor’s firm is a person or firm ineligible to be awarded Government contracts by virtue of section 3(a) of the Davis -Bacon Act or 29 CFR §
5.12(a)(1).
(ii) No part of this contract shall be subcontracted to any person or firm ineligible for award of a Government contract by virtue of section 3(a) of the Davis-Bacon Act or 29 CFR § 5.12(a)(1). (iii) The penalty for making false statements is prescribed in the U.S. Criminal Code, 18 USC § 1001.

AIP funded contracts are non -procurement transactions, as defined by 2 CFR § 180.970. Covered transactions include any AIP -funded contract, regardless of tier, that is awarded by a contractor, subcontractor, supplier, consultant, or its agent or representative in any transaction, if the amount of the contract is expected to equal or exceed $25,000. This includes contracts associated with land acquisition projects.
REQUIREMENT -
A11.3.1 Bidder or Offeror Certification
By submitting a bid/proposal under the solicitation for this contract, the Contractor must have certified that neither it nor its principals are presently debarred or suspended by any Federal department or agency from participation in this transaction.
A11.3.2 Lower Tier Contract Certification
CERTIFICATION OF LOWER TIER CONTRACTORS REGARDING DEBARMENT The Contractor, by administering each lower tier subcontract that exceeds $25,000 as a “covered transaction”, must verify each lower tier participant of a “covered transaction” under the project is not presently debarred or otherwise disqualified from participation in this federally assisted project. The Contractor will accomplish this by:
1. Checking the System for Award Management at website: http://www.sam.gov.
2. Collecting a certification statement similar to the Certification of Offerer /Bidder Regarding Debarment, above.
3. Inserting a clause or condition in the covered transaction with the lower tier contract.
If the Federal Aviation Administration later determines that a lower tier participant failed to disclose to a higher tier participant that it was excluded or disqualified at the time it entered the covered transaction, the FAA may pursue any available remedies, including suspension and debarment of the non-compliant participant.

APPLICABILITY – all contracts with Airports that have a DBE program on file with the FAA.
Contract Assurance (§ 26.13) –
The Contractor or subcontractor shall not discriminate on the basis of race, color, national origin, or sex in the performance of this contract. The Contractor shall carry out applicable requirements of 49 CFR part 26 in the award and administration of Department of Transportation-assisted contracts. Failure by the Contractor to carry out these requirements is a material breach of this contract, which may result in the termination of this contract or such other remedy as the City deems appropriate, which may include, but is not limited to:
1) Withholding monthly progress payments;
2) Assessing sanctions;
3) Liquidated damages; and/or
4) Disqualifying the Contractor from future bidding as non-responsible.
Prompt Payment (§26.29) – The prime contractor agrees to pay each subcontractor under this prime contract for satisfactory performance of its contract no later than [10 days] days from the receipt of each payment the prime contractor receives from [the City]. The prime contractor agrees further to return retainage payments to each subcontractor within [30 days] days after the subcontractor’s work is satisfactorily completed. Any delay or postponement of payment from the above referenced time frame may occur only for good cause following written approval of the [City]. This clause applies to both DBE and non-DBE subcontractors.
Termination of DBE Subcontracts (49 CFR § 26.53(f)) –
The prime Contractor must not terminate a DBE subcontractor listed in response to the solicitation (or an approved substitute DBE firm) without prior written consent of the City. The prime Contractor shall utilize the specific DBEs listed to perform the work and supply the materials for which each is listed unless the Contractor obtains written consent of the City.
Unless City consent is provided, the prime Contractor shall not be entitled to any payment for work or material unless it is performed or supplied by the listed DBE.
The City may provide such written consent only if the City agrees, for reasons stated in the concurrence document, that the prime Contractor has good cause to terminate the DBE firm.
For purposes of this paragraph, good cause includes the circumstances listed in 49 CFR §26.53.
Before transmitting to the City its request to terminate and/or substitute a DBE subcontractor, the prime Contractor must give notice in writing to the DBE subcontractor, with a copy to the City, of its intent to request to terminate and/or substitute, and the reason for the request.
The prime contractor must give the DBE five days to respond to the prime contractor's notice and advise the City and the Contractor of the reasons, if any, why it objects to the proposed Item 1I - Page 45

termination of its subcontract and why the City should not approve the prime Contractor's action. If required in a particular case as a matter of public necessity (e.g., safety), the City may provide a response period shorter than five days.
In addition to post-award terminations, the provisions of this section apply to preaward deletions of or substitutions for DBE firms put forward by offerors in negotiated procurements.

During the performance of this contract, the Contractor agrees as follows:
(1) The Contractor will not discriminate against any employee or applicant for employment because of race, color, religion, sex, sexual orientation, gender identity, or national origin.
The Contractor will take affirmative action to ensure that applicants are employed, and that employees are treated during employment, without regard to their race, color, religion, sex, sexual orientation, gender identify, or national origin. Such action shall include, but not be limited to, the following: employment, upgrading, demotion, or transfer; recruitment or recruitment advertising; layoff, or termination; rates of pay or other forms of compensation; and selection for training, including apprenticeship. This provision shall not apply to instances in which an employee who has Item 1I - Page 50
Revised 4.13.23 Page 47 of 65
access to the compensation information of other employees or applicants as a part of such employee's essential job functions discloses the compensation of such other employees or applicants to individuals who do not otherwise have access to such information, unless such disclosure is in response to a formal complaint or charge, in furtherance of an investigation, proceeding, hearing, or action, including an investigation conducted by the employer, or is consistent with the contractor's legal duty to furnish information. (4) The Contractor will send to each labor union or representative of workers with which it has a collective bargaining agreement or other contract or understanding, a notice to be provided by the agency contracting officer, advising the labor union or workers’ representative of the Contractor’s commitments under this section 202 of Executive Order 11246 of September 24, 1965, and shall post copies of the notice in conspicuous places available to employees and applicants for employment.
(5) The Contractor will comply with all provisions of Executive Order 11246 of September 24, 1965, and of the rules, regulations, and relevant orders of the Secretary of Labor. (6) The Contractor will furnish all information and reports required by Executive Order 11246 of September 24, 1965, and by the rules, regulations, and orders of the Secretary of Labor, or pursuant thereto, and will permit access to his books, records, and accounts by the contracting agency and the Secretary of Labor for purposes of investigation to ascertain compliance with such rules, regulations, and orders.
(7) In the event of the Contractor’s noncompliance with the nondiscrimination clauses of this contract or with any such rules, regulations, or orders, this contract may be canceled, terminated, or suspended in whole or in part and the Contractor may be declared ineligible for further Government contracts in accordance with procedures authorized in Executive Order 11246 of September 24, 1965, and such other sanctions may be imposed and remedies invoked as provided in Executive Order 11246 of September 24, 1965, or by rule, regulation, or order of the Secretary of Labor, or as otherwise provided by law. Item 1I - Page 51
Revised 4.13.23 Page 48 of 65
b. “Director” means Director, Office of Federal Contract Compliance Programs (OFCCP), U.S.
Department of Labor, or any person to whom the Director delegates authority; c. “Employer identification number” means the Federal social security number used on the Employer’s Quarterly Federal Tax Return, U.S. Treasury Department Form 941; d. “Minority” includes:
(1) Black (all persons having origins in any of the Black African racial groups not of Hispanic origin);

2. Whenever the Contractor, or any subcontractor at any tier, subcontracts a portion of the work involving any construction trade, it shall physically include in each subcontract in excess of $10,000 the provisions of these specifications and the Notice which contains the applicable goals for minority and female participation and which is set forth in the solicitations from which this contract resulted.
3. If the Contractor is participating (pursuant to 41 CFR part 60 -4.5) in a Hometown Plan approved by the U.S. Department of Labor in the covered area either individually or through an association, its affirmative action obligations on all work in the Plan area (including goals and timetables) shall be in accordance with that Plan for those trades which have unions participating in the Plan. Contractors must be able to demonstrate their participation in and compliance with the provisions of any such Hometown Plan. Each contractor or subcontractor participating in an approved plan is individually required to comply with its obligations under the EEO clause and to make a good faith effort to achieve each goal under the Plan in each trade in which it has employees. Revised 4.13.23 Page 49 of 65
The Contractor is expected to make substantially uniform progress in meeting its goals in each craft during the period specified.
5. Neither the provisions of any collective bargaining agreement, nor the failure by a union with whom the Contractor has a collective bargaining agreement, to refer either minorities or women shall excuse the Contractor’s obligations under these specifications, Executive Order 11246, or the regulations promulgated pursuant thereto.
6. In order for the nonworking training hours of apprentices and trainees to be counted in meeting the goals, such apprentices and trainees must be employed by the Contractor during the training period, and the Contractor must have made a commitment to employ the apprentices and trainees at the completion of their training, subject to the availability of employment opportunities. Trainees must be trained pursuant to training programs approved by the U.S. Department of Labor.
7. The Contractor shall take specific affirmative actions to ensure equal employment opportunity. The evaluation of the Contractor’s compliance with these specifications shall be based upon its effort to achieve maximum results from its actions. The Contractor shall document these efforts fully, and shall implement affirmative action steps at least as extensive as the following:
a. Ensure and maintain a working environment free of harassment, intimidation, and coercion at all sites, and in all facilities at which the Contractor’s employees are assigned to work. The Contractor, where possible, will assign two or more women to each construction project. The Contractor shall specifically ensure that all foremen, superintendents, and other onsite supervisory personnel are aware of and carry out the Contractor’s obligation to maintain such a working environment, with specific attention to minority or female individuals working at such sites or in such facilities. b. Maintain a current file of the names, addresses, and telephone numbers of each minority and female off -the-street applicant and minority or female referral from a union, a recruitment source, or community organization and of what action was taken with respect to each such individual. If such individual was sent to the union hiring hall for referral and was not referred back to the Contractor by the union or, if referred, not employed by the Contractor, this shall be documented in the file with the reason therefor, along with whatever additional actions the Contractor may have taken. d. Provide immediate written notification to the Director when the union or unions with which the Contractor has a collective bargaining agreement has not referred to the Contractor a minority person or woman sent by the Contractor, or when the Contractor has other information that the union referral process has impeded the Contractor’s efforts to meet its obligations.
e. Develop on-the-job training opportunities and/or participate in training programs for the area which expressly include minorities and women, including upgrading programs Item 1I - Page 53
Revised 4.13.23 Page 50 of 65
and apprenticeship and trainee programs relevant to the Contractor’s employment needs, especially those programs funded or approved by the Department of Labor.
The Contractor shall provide notice of these programs to the sources compiled under 7b above.
f. Disseminate the Contractor’s EEO policy by providing notice of the policy to unions and training programs and requesting their cooperation in assisting the Contractor in meeting its EEO obligations; by including it in any policy manual and collective bargaining agreement; by publicizing it in the company newspaper, annual report, etc.; by specific review of the policy with all management personnel and with all minority and female employees at least once a year; and by posting the company EEO policy on bulletin boards accessible to all employees at each location where construction work is performed.
g. Review, at least annually, the company’s EEO policy and affirmative action obligations under these specifications with all employees having any responsibility for hiring, assignment, layoff, termination, or other employment decisions including specific review of these items with onsite supervisory personnel such superintendents, general foremen, etc., prior to the initiation of construction work at any job site. A written record shall be made and maintained identifying the time and place of these meetings, persons attending, subject matter discussed, and disposition of the subject matter. h. Disseminate the Contractor’s EEO policy externally by including it in any advertising in the news media, specifically including minority and female news media, and providing written notification to and discussing the Contractor’s EEO policy with other contractors and subcontractors with whom the Contractor does or anticipates doing business. i. Direct its recruitment efforts, both oral and written, to minority, female, and community organizations, to schools with minority and female students and to minority and female recruitment and training organizations serving the Contractor’s recruitment area and employment needs. Not later than one month prior to the date for the acceptance of applications for apprenticeship or other training by any recruitment source, the Contractor shall send written notification to organizations such as the above, describing the openings, screening procedures, and tests to be used in the selection process.
j. Encourage present minority and female employees to recruit other minority persons and women and, where reasonable, provide after school, summer, and vacation employment to minority and female youth both on the site and in other areas of a contractor’s work force.
k. Validate all tests and other selection requirements where there is an obligation to do so under 41 CFR part 60-3.

personnel and employment related activities to ensure that the EEO policy and the Contractor’s obligations under these specifications are being carried out. n. Ensure that all facilities and company activities are nonsegregated except that separate or single -user toilet and necessary changing facilities shall be provided to assure privacy between the sexes.
o. Document and maintain a record of all solicitations of offers for subcontracts from minority and female construction contractors and suppliers, including circulation of solicitations to minority and female contractor associations and other business associations.
p. Conduct a review, at least annually, of all supervisor’s adherence to and performance under the Contractor’s EEO policies and affirmative action obligations.
8. Contractors are encouraged to participate in voluntary associations, which assist in fulfilling one or more of their affirmative action obligations (7a through 7p). The efforts of a contractor association, joint contractor -union, contractor-community, or other similar group of which the Contractor is a member and participant may be asserted as fulfilling any one or more of its obligations under 7a through 7p of these specifications provided that the Contractor actively participates in the group, makes every effort to assure that the group has a positive impact on the employment of minorities and women in the industry, ensures that the concrete benefits of the program are reflected in the Contractor’s minority and female workforce participation, makes a good faith effort to meet its individual goals and timetables, and can provide access to documentation which demonstrates the effectiveness of actions taken on behalf of the Contractor. The obligation to comply, however, is the Contractor’s and failure of such a group to fulfill an obligation shall not be a defense for the Contractor’s noncompliance.
9. A single goal for minorities and a separate single goal for women have been established.
The Contractor, however, is required to provide equal employment opportunity and to take affirmative action for all minority groups, both male and female, and all women, both minority and non -minority. Consequently, the Contractor may be in violation of the Executive Order if a particular group is employed in a substantially disparate manner (for example, even though the Contractor has achieved its goals for women generally, the Contractor may be in violation of the Executive Order if a specific minority group of women is underutilized).
10. The Contractor shall not use the goals and timetables or affirmative action standards to discriminate against any person because of race, color, religion, sex, sexual orientation, gender identity, or national origin.
11. The Contractor shall not enter into any subcontract with any person or firm debarred from Government contracts pursuant to Executive Order 11246.
12. The Contractor shall carry out such sanctions and penalties for violation of these specifications and of the Equal Opportunity Clause, including suspension, termination, and cancellation of existing subcontracts as may be imposed or ordered pursuant to Executive Order 11246, as amended, and its implementing regulations, by the Office of Federal Contract Compliance Programs. Any contractor who fails to carry out such sanctions and Item 1I - Page 55

penalties shall be in violation of these specifications and Executive Order 11246, as amended.
13. The Contractor, in fulfilling its obligations under these specifications, shall implement specific affirmative action steps, at least as extensive as those standards prescribed in paragraph 7 of these specifications, so as to achieve maximum results from its efforts to ensure equal employment opportunity. If the Contractor fails to comply with the requirements of the Executive Order, the implementing regulations, or these specifications, the Director shall proceed in accordance with 41 CFR part 60-4.8.
14. The Contractor shall designate a responsible official to monitor all employment related activity to ensure that the company EEO policy is being carried out, to submit reports relating to the provisions hereof as may be required by the Government, and to keep records. Records shall at least include for each employee, the name, address, telephone numbers, construction trade, union affiliation if any, employee identification number when assigned, social security number, race, sex, status (e.g., mechanic, apprentice, trainee, helper, or laborer), dates of changes in status, hours worked per week in the indicated trade, rate of pay, and locations at which the work was performed. Records shall be maintained in an easily understandable and retrievable form; however, to the degree that existing records satisfy this requirement, contractors shall not be required to maintain separate records.
15. Nothing herein provided shall be construed as a limitation upon the application of other laws which establish different standards of compliance or upon the application of requirements for the hiring of local or other area residents (e.g. those under the Public Works Employment Act of 1977 and the Community Development Block Grant Program).
