Sarah,

Below please find a list of our proposed modificati ons along with the reasoning behind each item.

REQUESTED MODIFICATION JUSTIFICATION SHEET
GENERAL / SITE ITEMS:

1. Upgrade perimeter walls from
stucco finish to split face
Split face CMU is more durable and requires less
maintenance. A-100

2. Change trash structure and
storage structure from corten
steel to painted CMU
The corten steel finish no longer blends with the
other finishes on the project and painted CMU will
be more durable and easier to maintain.

A-100

3. Reduce number of site storage
structures to one
Removed at client request. A-100

4. Move all storm water to below

City Council Staff Report
DATE: NOVEMBER 6, 2024
TO: HONORABLE MAYOR AND CITY COUNCIL
FROM: OPERATIONS DEPARTMENT

FINANCE DIVISION
DISTRICT: ALL
SUBJECT: ADOPT RESOLUTION NO. CC 2024 -082, A RESOLUTION OF THE

CITY COUNCIL OF THE CITY OF PALMDALE APPROVING THE

ISSUANCE OF REVENUE BONDS BY THE CALIFORNIA

MUNICIPAL FINANCE AUTHORITY IN AN AGGREGATE

OUTSTANDING PRINCIPAL AMOUNT NOT TO EXCEED
$15,000,000 TO FINANCE AND REFINANCE A 48 -UNIT QUALIFIED RESIDENTIAL RENTAL PROJECT FOR THE BENEFIT OF 9TH
STREET E. HOUSING, LP, A CALIFORNIA LIMITED PARTNERSHIP,

OR ANOTHER ENTITY TO BE CREATED BY MILARE HOUSING
INVESTMENTS, INC. (OR AN AFFILIATE), AND CERTAIN OTHER

MATTERS RELATING THERETO

RECOMMENDATION
Staff recommends that the City Council:

1. Conduct the public hearing to accept public testimony on the issuance of the revenue bonds by the California Municipal Finance Authority (CMFA) and on the nature and location of the affordable housing project proposed to be financed for the benefit of the Borrower; and,

2. Adopt Resolution No. CC 2024-082, approving a plan of finance for the issuance of the CMFA multifamily housing revenue bonds in an aggregate amount not to exceed $15,000,000 to finance and refinance the acquisition, construction, improvement, and equipping of a 48 -unit qualified residential rental project (the “Project”) to be owned and operate d by the Borrower and located at 38732 9th Street E. in the City of Palmdale, California (the “City”).

Report to Mayor and City Council
Re: Public Hearing regarding Resolution No. CC 2024-082 November 6, 2024

Page 2 ends

BACKGROUND
The Borrower requested that the CMFA serve as the municipal issuer of multifamily housing revenue bonds in an aggregate principal amount not to exceed $15,000,000 to finance the Project.

In order for all or a portion of the Bonds to qualify as tax-exempt bonds, Section 147(f) of the Internal Revenue Code of 1986 (Code) requires that the Bonds be approved by the applicable elected representative after a public hearing following reasonable public notice. The City Council is the elected legislative body of the City and is an “applicable elected representative” under Section 147(f) of the Code. Staff requests that the City Council conduct the noticed public hearing, which is an opportunity for interested parties to express their views on the issuance of the Bonds and on the nature and location of the Project.

DISCUSSION
CALIFORNIA MUNICIPAL FINANCE AUTHORITY:

The CMFA was created on January 1, 2004, pursuant to a joint exercise of powers agreement to promote economic, cultural, and community development through the financing of economic development and charitable activities throughout California. To date, over 350 municipalities, including the City of Palmdale, have become members of CMFA.

The CMFA was formed to assist local governments, non-profit organizations, and businesses with the issuance of taxable and tax-exempt bonds aimed at improving the standard of living in California. The CMFA’s representatives and its Board of Directors have considerable experience in bond financings.

The CMFA is a public entity, separate and apart from each member. The debts, liabilities, and obligations of the CMFA do not constitute debts, liabilities, or obligations of the members.

Payment of the Bonds to be issued by the CMFA for the Project will be the sole responsibility of the Borrower, and the City will have no financial, legal, or moral obligation, liability, or responsibility for the Project or the repayment of the Bonds. All financing documents with respect to the issuance of the Bonds will contain clear disclaimers that the Bonds are not obligations of the City and are to be paid for solely by funds provided by the Borrower.

Holding the public hearing pursuant to Section 147(f) of the Code described above allows the Project to qualify for tax-exempt financing to the extent that the Bonds are issued by a public agency such as CMFA. An alternative to the issuance of tax-exempt Report to Mayor and City Council
Re: Public Hearing regarding Resolution No. CC 2024-082 November 6, 2024

Page 3 ends

Bonds by the CMFA to finance the Project is for the Borrower to obtain its own conventional financing. The Bond underwriter has represented that the ability to issue the Bonds through the CMFA after compliance with Section 147(f) requirements will result in a lower effective interest rate payable by the Borrower.

Participation by the City in the CMFA will not impact the City’s appropriations limits and will not constitute any type of indebtedness by the City. Outside of holding the public hearing and adopting the required resolution, no other participation or activity of the City or the City Council with respect to the issuance of the Bonds will be required.

FISCAL IMPACT
$0; there is no fiscal impact associated with this action.

The Board of Directors of the California Foundation for Stronger Communities, a California non-profit public benefit corporation (the “Foundation”), acts as the Board of Directors for the CMFA. Through its conduit issuance activities, the CMFA shares a portion of the issuance fees it receives with its member communities and donates a portion of these issuance fees to the Foundation for the support of local charities. With respect to the City of Palmdale, it is expected that 25% of the issuance fee attributable to the City will be granted by the CMFA to the general fund of the City. Such grant may be used for any lawful purpose of the City. The amount of revenue to the City would be determined upon issuance of the bonds by CMFA.
