AMENDMENT NO. 2 TO CONTRACT NO. C3780
BETWEEN THE CITY OF PALO ALTO AND
LELAND STANFORD JUNIOR UNIVERSITY
FOR EMERGENCY COMMUNICATIONS SERVICES
This Amendment No. 2 (this "Amendment") to Contract No. C3780 (the "Contract" as defined below) is entered into as of June 1, 2026, by and between the CITY OF PALO ALTO, a California chartered municipal corporation ("CITY"), and the BOARD OF TRUSTEES OF THE LELAND STANFORD JUNIOR UNIVERSITY ("Stanford"), a body having corporate powers under the State of California and a public charity under 501(c)(3) of the IRS Code, located at 450 Jane Stanford Way, Stanford, California 94305. CITY and STANFORD are referred to collectively as the "Parties" in this Amendment.
RECITALS
The Contract (as defined below) was entered by and between the Parties hereto for the provision of emergency communications services as detailed therein.
The Parties now wish to amend the Contract in order to extend the term by one year to September 30, 2027.
NOW, THEREFORE, in consideration of the covenants, terms, conditions, and provisions of this Amendment, the Parties agree:
SECTION 1. Definitions. The following definitions shall apply to this Amendment:
a. Contract. The term "Contract" shall mean the Palo Alto-Stanford Emergency Communications Agreement between STANFORD and CITY, dated 1976, as amended by:
• Amendment 1, dated August 7, 1987.
b. Other Terms. Capitalized terms used and not defined in this Amendment shall have the meanings assigned to such terms in the Contract.
SECTION 2. Section 1.2 (Term) of the Contract is hereby amended to read as follows:
1.2 Term
Unless sooner terminated, or unless extended by mutual agreement of the parties, this Agreement shall terminate on September 30, 2027 at 11:59 p.m. The parties hereto intend to extend this Agreement so long as it is mutually advantageous and shall meet at least six months prior to the scheduled termination hereof and discuss the terms of any such extension.

SECTION 3. Legal Effect. Except as modified by this Amendment, all other provisions of the Contract, including any exhibits thereto, shall remain in full force and effect.
SECTION 4. Incorporation of Recitals. The recitals set forth above are terms of this Amendment and are fully incorporated herein by this reference.
