A program of the Cardiac Therapy Foundation of the Mid Peninsula September 21, 2026
Letter of Intent for the Mutual Cooperation between the City of Palo Alto (hereinafter "the City") and the Cardiac Therapy Foundation of the Midpeninsula (hereinafter the "CTF"), a nonprofit 501(c)(3) organization incorporated in the State of California, currently doing business as HeartFit For Life (and thus commonly known in the community as HeartFit For Life).
Advancing a Memorandum of Understanding with the Palo Alto Unified School District ("PAUSD"), the City is and has been master planning the development of a new Cubberley Community Center (hereinafter the "New Cubberley Community Center") on a 15-acre portion of the Cubberley site, dependent on City acquisition of an additional seven acres from the PAUSD in addition to the eight acres the City already owns there.
CTF has operated its cardiac rehabilitation programs in Palo Alto since 1970 at various locations including the Cubberley Community Center since 2003, currently (and for many years) under a rental arrangement with the City.
From CTF's beginnings in 1970, CTF has helped thousands of people, Palo Alto residents and others, to contend with their cardiac, pulmonary, diabetic and related medical conditions and thus live longer and healthier lives. CTF wishes to continue to do so indefinitely in Palo Alto, as it has done in the past for more than a half-century. CTF thus seeks a long-term home where it can continue to do so without periodic concern as to where it will be from time to time, as has happened in the past. That home would best be in dedicated space in a new Wellness Center (hereinafter the "New Wellness Center") or other compatible space acceptable to CTF in the New Cubberley Community Center.
The City and CTF now wish to negotiate a public-private collaboration to establish a long- term home for CTF at the New Cubberley Community Center (preferably in the New Wellness Center) by achieving the following strategic objectives:

1. Construct or renovate facilities at Cubberley to create dedicated space for CTF, while utilizing shared community amenities such as a lobby, restrooms and possibly other amenities. Dedicated means that the space would be used exclusively by CTF throughout the entire time of its tenure in the New Cubberley Community Center, although, as described below, a portion of the space that is allocated to CTF may be shared with others (for example, Avenidas or the City).
2. Collaborate on space needs and operational requirements to include adequate exercise space for CT's participants (including CT's exercise equipment and chairs), separate, but contiguous office space, and secure storage space for CT's computer and medical equipment holding CT's participant's HIPAA-related (i.e., private) personal medical information. Opportunities for sharing space with complementary uses will be explored.
3. CTF will undertake a fundraising effort to raise a substantial portion of the expected capital development costs for CT's dedicated space at Cubberley (and possibly more) and will endeavor to supplement funds acquired by the City (or others).
4. Establish an occupancy plan in which CTF would have dedicated use of designated space within a New Wellness Center or other compatible space acceptable to CTF in the New Cubberley Community Center in which to offer its cardiac rehabilitation services to Palo Altans and the community at large as it has in the past, including the time it has been at the current Cubberley site under rental arrangement with the City since 2003.
5. Explore the possibility of sharing a portion of CT's allocated space (but not its dedicated office or exercise equipment space) with one or more other organizations when such allocated space is not being used by CTF, with CTF having first preference to establish when it will be using its allocated space.
6. Mutually agree to the programs to be conducted by others in CTF's shared space and under what terms and conditions such usage will take place.

4. Community engagement and outreach planning in conjunction with the City and other organizations.
5. Project schedule and milestones.
6. Options for either party to modify or terminate the project planning effort.
