REPORT TO CITY COUNCIL
SUBJECT: Approval of Resolution No. 2026- authorizing the City Manager, or his designee, to review, approve, and process progress payments on three (3) active City construction contracts - Parlier and Newmark Roundabout Project (A&M No. 222-023), Parlier Flood Control & Groundwater Banking Project (A&M No. 223-011), and Parlier Basin Improvements Project / OSG Richard Flores Basin Phase 2 (A&M No. 225-005) - without separate City Council action on each payment, and confirming that all change order authority remains with the City Council.

RECOMMENDATION:

Staff recommends the City Council adopt Resolution No. 2026-_ _ delegating to the City Manager, or his designee, the authority to review, approve, and process progress payment estimates on the three (3) active construction contracts identified in this report, up to each contract's Total Authorized Contract Amount, subject to the written payment recommendation of the City Engineer and the conditions stated herein. This authorization is limited to payment for work already performed under contracts the City Council has already awarded. It delegates no authority to award a contract, to execute a change order, or to increase any contract price or contract time.

BACKGROUND:

The City of Parlier currently has three (3) construction contracts in active progress, with a combined authorized value of approximately $7.2 million. Each contract requires the Contractor to submit a monthly payment application for work completed during the preceding period. Under the City's current practice, every individual progress payment is placed on a City Council agenda as a separate action item before it can be paid.

A progress payment is not a discretionary decision. By the time a payment application reaches the City, the quantities have already been measured in the field, verified against the bid item list, and reconciled by the City's Resident Engineer, who issues a signed Progress Payment Report and Summary Sheet and a written payment recommendation from the City Engineer. The payment is for work the City has already received. Placing that ministerial confirmation on a Council agenda adds four to seven weeks to a statutory thirty (30) day payment clock without adding any technical or fiscal control that has not already been exercised.

ACTIVE CONSTRUCTION CONTRACTS:

The following table summarizes the three contracts covered by the proposed authorization. All figures are current as of August 10, 2026. The Council-Approved Change Orders column reflects only those change orders the City Council has adopted; change order requests submitted by a Contractor but not yet acted on by the City Council are excluded from the contract ceiling and are described below.

Parlier and Newmark Roundabout Project (A&M No. 222-023). The City Council awarded this contract to R.J. Berry Jr., Inc. of Selma, California on May 7, 2026 in the amount of $1,180,366.00, for construction of a roundabout at Parlier Avenue and Newmark Avenue, including concrete and stamped concrete work, raised crosswalks, asphalt paving, landscaping and irrigation, street lighting, striping and signage. The project is federally funded under Federal-Aid Project No. STPCML-5252(035) with STBG and CMAQ funds and Measure C local transportation funds, and carries a contract time of 129 working days with a completion date of December 17, 2026. Progress Payment No. 1 has been processed in the gross amount of $248,969.58; Progress Payment No. 2 is currently in review.

Five (5) change order requests have been submitted by the Contractor on this project, totaling $30,981.00: No. 1, portable changeable message signs ($9,434.60); No. 2, "Businesses Are Open" signage ($675.97); No. 3, water valve replacement, cancelled by the City at no cost; No. 4, delay and extra work associated with a 2-inch water service hot tap where the existing main differed from the main shown on the plans ($16,753.00); and No. 5, the sinusoidal ramp profile directed by Change Directive No. 1 ($4,117.00 as submitted, under review). None of these requests has been approved by the City Council, and none is included in the Total Authorized Contract Amount shown above. The Contractor included $26,864.00 of this change order work on Progress Payment No. 2; the City Engineer rejected those line items and directed that they be removed from the payment application pending City Council action on the change orders, which staff will bring forward separately. This sequence is the process the proposed Resolution preserves: change orders to the City Council, payment for approved work by staff.

Parlier Flood Control & Groundwater Banking Project (A&M No: 223-011). The City Council awarded this contract to Cal Valley Construction, Inc. of Fresno, California on September 18, 2025 in the amount of $2,548,078.00, with a Council-approved contingency of $254,807.80, for retrofitting of the Foothill, Avila and Tuolumne retention basins to increase storage and enable groundwater recharge through connections to Consolidated Irrigation District facilities. The project is funded by the 2022 Proposition 1, Round 2 IRWM Implementation Grant administered by the California Department of Water Resources, and carries a contract time of 191 calendar days from the January 8, 2026 Notice to Proceed. Four (4) progress payments have been processed totaling $1,714,061.25 net of $90,213.75 in retention, and Progress Payment No. 5 is currently in process.

Parlier Basin Improvements Project — OSG Richard Flores Basin, Phase 2 (A&M No. 225-005). The City Council awarded this contract to Yanez Construction, Inc. of Reedley, California on February 19, 2026 in the amount of $3,357,955.00, with a Council- approved contingency of $335,795.50, for storm drain and basin outlet improvements including a gravity-feed storm drain system, 48-inch storm drain manholes, and an underground retention chamber system. The project is funded by the United States Environmental Protection Agency Sewer Overflow and Stormwater Reuse Municipal Grant, administered by the State Water Resources Control Board under Agreement No.

D2419002, which carries a firm grant funding deadline of January 30, 2027. Four (4) progress payments have been processed totaling $1,714,887.75 net of $90,257.25 in retention, and Progress Payment No. 5 is currenty in process.

NEED FOR THE AUTHORIZATION AND RISK OF CONTINUING CURRENT PRACTICE:

1. Statutory exposure to interest on late progress payments. California Public Contract Code section 20104.50 requires a local agency to pay an undisputed and properly submitted payment request within thirty (30) days of receipt. A request that is not proper must be returned to the Contractor, with a written explanation of the deficiency, within seven (7) days; any delay beyond that seven-day window is subtracted from the City's thirty-day allowance. A payment made after the deadline accrues interest at the legal rate under Code of Civil Procedure section 685.010(a) - currently ten percent (10%) per annum - payable by the City. Because the City Council meets on a fixed cycle, a verified payment application that arrives after an agenda deadline can wait four to seven weeks before it is even eligible for action. On a payment of $500,000, every thirty (30) days of delay past the statutory deadline costs the City approximately $4,110 in interest that is not reimbursable by any grant.

2. Grant and reimbursement schedule risk. All three contracts are reimbursement- based. The Parlier Basin Improvements Project is funded under a State Water Resources Control Board grant agreement with a hard funding deadline of January 30, 2027, and the Roundabout Project is a federal-aid project subject to Caltrans Local Assistance invoicing requirements. The City cannot request reimbursement for work it has not yet paid for. Every payment cycle held for a Council agenda delays the City's own reimbursement request by the same interval, extends the period during which City funds are advanced, and consumes schedule against a grant expiration the City cannot extend.

3. Contractor performance and claim exposure. Contractors price public work on the assumption of a thirty-day payment cycle. Sustained late payment invites requests for schedule relief, slowed production, subcontractor and supplier disputes, stop payment notices, and, in the extreme, a contractor's election to suspend work. Each of these converts an administrative delay into a cost and time claim against the City that is generally not grant-eligible.

4. Retention and closeout. Public Contract Code section 7107 requires release of retention within sixty (60) days after the date of completion of the work of improvement, and imposes a charge of two percent (2%) per month on any amount improperly withheld, in lieu of interest, together with attorney's fees to a prevailing claimant. As these three projects approach completion this winter, the same agenda-cycle delay that now affects progress payments would apply to retention release. For that reason, and because final acceptance is a genuine policy decision, final payment and release of retention are expressly reserved to the City Council under this authorization.

AUTHORITY UNDER THE PARLIER MUNICIPAL CODE:

The action requested is consistent with the City's existing purchasing ordinance and requires no amendment to it.

Payment authority. Parlier Municipal Code section 2.10.040(l) charges the City Manager with expenditure control, providing that no expenditure shall be submitted or recommended to the City Council except on approval of the City Manager or his authorized representative. No provision of the Municipal Code reserves to the City Council the approval of an individual progress payment on a contract the Council has already awarded. A progress payment is neither the award of a contract nor an amendment to one; it is payment of an amount already earned under a contract the Council approved. The delegation requested here therefore operates within authority the Municipal Code already contemplates. Government Code section 37208 is to the same effect: demands upon a city that conform to an approved budget need not be audited by the City Council before payment, and may be paid by the treasurer on the written order of the officer charged with expenditure control.

Contract award and change order authority - not requested. Every change order on these three projects will continue to be brought to the City Council for approval, as it is today.

PROPOSED AUTHORIZATION:

If adopted, the Resolution would provide as follows:

1. Scope. The City Manager, or his designee, is authorized to review, approve, and process progress payment estimates on the three (3) construction contracts identified in this report, in the amounts recommended in writing by the City Engineer, without separate City Council action on each payment.

2. Ceiling. Cumulative payments under each contract shall not exceed that contract's Total Authorized Contract Amount, defined as the original contract amount awarded by the City Council plus the value of all change orders approved by the City Council.

No payment shall be approved that would cause cumulative payments to exceed that ceiling.

3. Conditions precedent. No payment shall be processed under this authorization unless it is supported by (a) a Progress Payment Report and Summary Sheet prepared and signed by the Resident Engineer; (b) a written payment recommendation from the City Engineer; (c) a conditional waiver and release upon progress payment executed by the Contractor in the form required by Civil Code section 8132; (d) current certified payroll and labor compliance records; and (e) retention withheld at the rate required by the contract documents, presently five percent (5%).

4. Reserved to the City Council. This authorization does not extend to, and the City Council expressly reserves, the following actions: the award of any contract; the approval or execution of any change order; final payment; release of retention; acceptance of the work and recording of the Notice of Completion; any contract time extension that would waive or reduce liquidated damages; and settlement of any contractor claim.

5. Duration. This authorization shall remain in effect as to each contract until final acceptance of that contract by the City Council, and may be modified or rescinded by the City Council at any time.

CHANGE ORDERS — EXPRESSLY EXCLUDED FROM THIS AUTHORIZATION:

Because the distinction between paying for work already built and authorizing new work is the entire basis of this request, it is stated here explicitly.

1. No delegated change order authority. This authorization delegates no authority to execute a change order. Every change order on these three contracts - for cost increases to the contract price, and whether or not it adjusts contract time — continues to require City Council approval, exactly as it does today. Nothing in this action changes that.

2. No increase in contract price or contract time. The authorization is limited to payment for work already performed under each contract as awarded by the City Council and as amended by change orders the City Council has approved. It cannot be used to pay for work that has not been authorized through that process.

3. How an approved change order interacts with this authorization. When the City Council approves a change order, the resulting revised contract amount becomes the new Total Authorized Contract Amount for that contract. Work performed under that approved change order is then payable through the ordinary progress payment process described in this report, without the payment itself returning to the City Council a second time. The Council approves the change; staff pays for it as it is built.

4. Documentation. Every change order will continue to be documented on the City Engineer's change order form — stating the cost basis, any adjustment to contract time, and the resulting revised contract amount, signed by the Resident Engineer and the City Engineer, and presented to the City Council for approval.

For the City Council's reference, the following table shows the construction contingency approved at award for each contract and the change orders the City Council has approved against it to date. The Parlier and Newmark Roundabout Project award, adopted May 7, 2026, did not establish a construction contingency. That project now has $30,981.00 in change order requests pending, with no contingency to draw against, so each will require a separate City Council appropriation. Staff recommends the City Council consider establishing a construction contingency for that project when it next acts on a change order.

Project Council-Approved Change Orders to Contingency
Contingency Date Remaining
222-023 Parlier & Newmark Roundabout None established $0.00 Not applicable 223-011 Flood Control & Groundwater $254,807.80 $1,907.18 $252,900.62 Banking
225-005 Parlier Basin Improvements (OSG $335,795.50 $92,280.00 $243,515.50 Ph. 2)
FISCAL IMPACT:

There is no negative impact to the City's General Fund and no new appropriation is requested. This action does not authorize any new expenditure and does not increase any contract; it changes only who approves payment for work already awarded, performed, and verified, and all payments remain capped at amounts the City Council has already approved. All three contracts are funded from restricted grant and special revenue sources as shown below.

Adoption of this Resolution is expected to reduce cost to the City by eliminating avoidable interest under Public Contract Code section 20104.50 and by accelerating the City's own grant reimbursement requests. Denial of the Resolution carries a quantifiable cost: at the ten percent (10%) statutory rate, each thirty (30) day period of avoidable delay on the approximately $3.3 million in payments remaining across these three contracts represents roughly $27,000 in potential interest exposure, payable from unrestricted funds.

RECOMMENDED MOTION:
"I move that the City Council adopt Resolution No. 2026-_ authorizing the City Manager, or his designee, to review, approve, and process progress payments on the Parlier and Newmark Roundabout Project, the Parlier Flood Control & Groundwater Banking Project, and the Parlier Basin Improvements Project, up to each contract's Total Authorized Contract Amount and subject to the conditions stated in the Resolution; and reserving to the City Council the award of any contract, the approval of any change order, final payment, release of retention, and acceptance of the work." Alternative Motions:

1. Adopt the Resolution for a limited term of twelve (12) months, requiring the City Council to affirmatively renew the authorization after reviewing its operation.

2. Adopt the Resolution as to the two basin projects (223-011 and 225-005) only, and continue requiring City Council action on each payment for the Parlier and Newmark Roundabout Project.

3. Adopt the Resolution with a per-payment ceiling, above which an individual progress payment would return to the City Council for action.

4. Deny the Resolution and continue requiring City Council action on each individual progress payment, accepting the interest exposure under Public Contract Code section 20104.50 and the associated grant reimbursement and schedule risk described in this report.

4. No delegation of contract award or change order authority. This Resolution delegates no authority to award any contract and no authority to approve or execute any change order.

Every change order on the three contracts identified in Section 1 shall continue to require the prior approval of the City Council. This Resolution does not authorize any increase in contract price or contract time.

5. Effect of a change order approved by the City Council. Upon approval of a change order by the City Council, the resulting revised contract amount shall constitute the Total Authorized Contract Amount for purposes of Section 2, and work performed under that change order shall be payable under the authority granted in Section 1 without further separate City Council action on the payment.

AGENDA ITEM:

MEETING DATE: 08/20/2026
DEPARTMENT:

Administration/Engineer

REPORT TO CITY COUNCIL
SUBJECT:

Adoption of Resolution No. 2026- awarding a construction contract to Yanez Construction, Inc. for the City of Parlier Citywide Transmitter Replacement Project (Water Meter Endpoint (Transmitter) and Register Retrofit Project), Bid No. 2026-WM-01, A&M Project No. 226-053; approving a construction contingency and construction management and inspection services; authorizing the City Manager or Mayor to execute the agreement on behalf of the City; and authorizing the execution of progress payments within the authorized contract amount without further Council action.

RECOMMENDATION:

Staff recommends the City Council adopt Resolution No. 2026- taking the following actions with respect to the Citywide Transmitter Replacement Project (Project No. 226-053):

1. Award the construction contract to Yanez Construction, Inc. of Reedley, California, the lowest responsive and responsible bidder, in the corrected and contractor-confirmed amount of $345,000.00;

2. Authorize the City Manager or Mayor to execute the construction contract and all related documents, subject to approval as to form by the City Attorney, and to issue the Notice to Proceed;

3. Approve a construction contingency of $34,500.00 (10% of the contract amount) and authorize the City Manager to approve change orders within that contingency;

4. Approve construction management and inspection services of $17,250.00 (5% of the contract amount); and

5. Authorize the City Manager, or his or her designee, the City Engineer, to review, approve, and execute progress payments to the Contractor for work completed under the contract, up to and including the total authorized contract amount, without further City Council action.

BACKGROUND:

The City owns and maintains approximately 1,500 water service connections that are currently read manually in the field. Manual reading limits the City's ability to detect leaks and tampering, to verify consumption between billing cycles, and to provide customers with usage information, and it places a recurring labor demand on Public Works staff. The Citywide Transmitter Replacement Project converts the water system to a fully cellular Advanced Metering Infrastructure (AMI) platform.

The project consists of replacing the existing meter encoder registers with City-furnished Badger Meter HR-E LCD 8-dial registers, installing City-furnished Badger Meter ORION® Cellular (LTE- M) endpoints, and installing under-lid mounting hardware and replacing meter box lids where necessary. Each endpoint is programmed, commissioned, and tested to verify two-way cellular communication with the City's Badger Meter BEACON® managed host system, and BEACON® is integrated with the City's utility billing system and verified through an Integration Acceptance Test. The scope also includes cellular activation coordination, training and O&M documentation, a one-year post-acceptance warranty period, and all mobilization, project management, traffic control, site restoration, and appurtenant work. The City furnishes the registers, endpoints, and lids. The project is locally funded, and the City Engineer's Estimate was $365,000.00.

BIDDING PROCESS:

The project was advertised and bid as a formal public works project in accordance with the California Public Contract Code and the City's purchasing requirements. The bidding milestones were as follows:

Date (2026) Milestone
July 16 Notice Inviting Bids published in the Mid Valley Times and posted to the Central California Builders Exchange online plan room (21 days before bid opening).

July 28 Pre-bid meeting and job walk held at 1100E. Parlier Avenue.

July 31 Deadline for written bidder questions.

August 6 Bids received until 2:00 p.m. and opened publicly and read aloud at 2:05 p.m. at Parlier City Hall.

BIDS RECEIVED:

One (1) sealed bid was received and was opened publicly and read aloud at 2:05 p.m. on August 6, 2026 at Parlier City Hall. The basis of award is the Total Base Bid for Items 1 through 9.

Rank Bidder Total Base Bid (as
corrected)
1 Yanez Construction, Inc. — Reedley, CA (CSLB Lic. No. 911672; $345,000.00 DIR Reg. No. 1000047349)
Yanez Construction, Inc. was the sole bidder. The corrected Total Base Bid is $20,000.00, or approximately 5.5%, below the City Engineer's Estimate. Because the project was advertised and noticed in accordance with the Contract Documents and applicable law and the bid is within the Engineer's Estimate, staff does not recommend rejection and rebidding.

BID DISCREPANCIES AND CONTRACTOR ACKNOWLEDGMENT:

The City's review of the bid identified three discrepancies on the Section 5 Bid Schedule and Bid Proposal Form, none of which affected the unit prices submitted:

1. The Total Base Bid stated in figures ($335,000.00) did not agree with the sum of the bidder's own item extensions for Items 1 through 9 ($345,000.00), understating that sum by $10,000.00.

2. The Total Base Bid stated in words read "three hundred thirty five hundred thousand," which is not a valid dollar amount and corresponds to neither figure. Because the written amount could not be read as a number, the Bid Proposal Form provision giving the written total precedence could not be applied and the bid total was ambiguous as submitted

3. The Section 7 Non-Collusion Declaration was dated August 8, 2026, two days after the bid opening, which the City understood to be a clerical error in the date entry.

The Bid Proposal Form provides that a unit price governs over its extension. Applying each submitted unit price to the estimated quantity produces extensions identical to those on the bid, totaling $345,000.00; the only error was in the addition of the total line, and no unit price was changed. The City accordingly determined the final Total Base Bid to be $345,000.00. On August 7, 2026 the City issued a Notice of Bid Discrepancies and Request for Confirmation of Bid Amount, and Efrain Yanez, President of Yanez Construction, Inc., executed and returned the Bidder Acknowledgment and Concurrence the same day, confirming the corrected total, that the unit prices, quantities, and extensions are otherwise correct as submitted, that the Non-Collusion Declaration was executed on or before August 6, 2026, and that the firm remains bound by its bid at that amount. The signed acknowledgment is attached, and the ambiguity is resolved.

BID EVALUATION AND CONTRACTOR VERIFICATION:

Staff evaluated the bid against the bid responsiveness checklist and the Contract Documents. All nine (9) line item extensions were independently recomputed and each equals quantity multiplied by unit price. The bid was prepared and signed in wet ink, a unit price was submitted for each item, the required Bid Bond was included, the Non-Collusion Declaration and Addenda Certification Statement were completed and signed, and the bid is materially and mathematically balanced. CSLB and DIR records were verified as current, and references reported satisfactory performance on comparable work. Staff has determined that Yanez Construction, Inc. submitted the lowest responsive bid and is a responsible contractor. A Notice of Intent to Award was issued on August 7, 2026, subject to Council approval and satisfaction of all contract execution requirements.

FISCAL IMPACT:

Based on the corrected bid, the total estimated construction cost, inclusive of contingency and construction management and inspection, is $396,750.00. The project is locally funded.

Citywide Transmitter Replacement Project (Project No. 226-053) Amount Construction Contract - Yanez Construction, Inc. $345,000.00 Construction Contingency (10% of construction contract) $34,500.00 Construction Management (5% of construction contract) $17,250.00 Total Estimated Construction Cost $396,750.00
Less: Amount Currently Budgeted - Local Funds (Fund No.

Additional Appropriation Requested $.

The 10% contingency provides for change orders arising from field conditions encountered during the retrofit, including non-functional meter bodies, deteriorated meter boxes, and connections that cannot be retrofitted as assumed. The bid also carries a $10,000.00 Extra Work Allowance under Bid Item 5, drawn only upon written authorization of the City Engineer; to the extent the allowance and contingency are not expended, those funds will not be drawn. Construction management and inspection at 5% covers construction observation, submittal and RFI review, verification of endpoint programming and commissioning, progress payment review, and project closeout. The contract amount is within the Engineer's Estimate; the total estimated cost exceeds that estimate by $31,750.00 solely because contingency and construction management are carried in addition to the contract.

CONTRACT ADMINISTRATION AND PAYMENT AUTHORITY:

Adoption of the recommended Resolution is intended to serve as the only City Council approval required to process payments under this contract. Progress payments are routine, ministerial disbursements for work that has already been performed, measured, and verified in the field, and the total amount payable is fixed by the contract the Council is awarding. Returning each monthly payment application to the City Council would delay payment to the Contractor, expose the City to prompt-payment interest under the Public Contract Code, and provide no additional fiscal control. Staff therefore recommends that the City Manager, or his or her designee, the City Engineer, be authorized to review, approve, and execute progress payments to the Contractor, including release of retention following recordation of the Notice of Completion and expiration of the applicable statutory period, up to and including the total authorized contract amount, without further Council action. Each progress payment will be supported by a quantity-verified pay estimate prepared by the Resident Engineer and will remain subject to the City's normal accounts payable review and to the labor compliance and certified payroll requirements of the Contract Documents.

This authorization extends only to payments for work within the awarded contract amount. Any change order or other adjustment to contract cost will be processed through the City's staff-level approval process, documented by the Resident Engineer and recommended by the City Engineer, and may be approved by the City Manager only to the extent it is funded by the construction contingency approved by this action and falls within the City Manager's purchasing authority as established by the Parlier Municipal Code. Any change order that would exceed the approved contingency or the City Manager's purchasing authority will be returned to the City Council for approval before the work is authorized
RECOMMENDED MOTION (AND ALTERNATIVE MOTIONS IF EXPECTED):

I move to adopt Resolution No. 2026- awarding the construction contract for the Citywide Transmitter Replacement Project, Project No. 226-053, to Yanez Construction, Inc. in the amount of $345,000.00; authorizing the City Manager or Mayor to execute the construction contract and all related documents and to issue the Notice to Proceed; approving a construction contingency of $34,500.00 and construction management and inspection services of $17,250.00; authorizing the City Manager, or his or her designee, the City Engineer, to approve and execute progress payments within the authorized contract amount without further Council action; and appropriating the funds necessary to complete the project.

Alternative Motion: I move to reject the bid received and direct staff to rebid the project.

RESOLUTION NO. 2026-—

CITY OF PARLIER

RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PARLIER, CALIFORNIA, AWARDING A CONSTRUCTION CONTRACT TO YANEZ CONSTRUCTION, INC. FOR THE

CITY OF PARLIER CITYWIDE TRANSMITTER REPLACEMENT PROJECT (WATER METER ENDPOINT (TRANSMITTER) AND REGISTER RETROFIT PROJECT), BID NO. 2026- WM-01; APPROVING A CONSTRUCTION CONTINGENCY AND CONSTRUCTION MANAGEMENT AND INSPECTION SERVICES; AUTHORIZING THE CITY MANAGER OR MAYOR TO EXECUTE THE AGREEMENT ON BEHALF OF THE CITY; AND AUTHORIZING

THE CITY MANAGER OR DESIGNEE TO EXECUTE PROGRESS PAYMENTS WITHIN THE AUTHORIZED CONTRACT AMOUNT WITHOUT FURTHER COUNCIL ACTION.

WHEREAS, the Notice Inviting Bids for the City of Parlier Citywide Transmitter Replacement Project, Bid No. 2026-WM-01, was published in the Mid Valley Times and posted to the Central California Builders Exchange online plan room starting on July 16, 2026; and WHEREAS, the project comprises retrofitting approximately 1,500 existing City-wide water service connections to a fully cellular Advanced Metering Infrastructure (AMI) system by replacing the existing meter encoder registers with City-furnished Badger Meter HR-E LCD registers, installing City-furnished Badger Meter ORION® Cellular (LTE-M) endpoints and under-lid mounting hardware, replacing meter box lids where necessary, programming and commissioning each endpoint to the City's BEACON® managed host system, integrating BEACON® with the City's utility billing system, and all appurtenant work required by the Contract Documents, with the City furnishing the registers, endpoints, and lids; and
WHEREAS, the following bid for the project was publicly opened and read aloud at the Parlier City Hall, 1100 E. Parlier Avenue, on August 6, 2026 at 2:05 p.m.:

CONTRACTOR BID AMOUNT
Yanez Construction, Inc. $345,000.00
WHEREAS, the City Engineer's Estimate for the project was $365,000.00; and WHEREAS, the City's review of the bid identified discrepancies on the Section 5 Bid Schedule and Bid Proposal Form, consisting of a Total Base Bid in figures that did not agree with the sum of the bidder's own item extensions, a Total Base Bid in words that did not state a readable dollar amount, and a Non-Collusion Declaration bearing a date after the bid opening, none of which affected the unit prices submitted; and, because the Bid Proposal Form provides that a unit price governs over its extension, application of each submitted unit price to the estimated quantity produces extensions totaling $345,000.00, and the City accordingly determined the final Total Base Bid to be $345,000.00 without change to any unit price; and
WHEREAS, on August 7, 2026 the City issued a Notice of Bid Discrepancies and Request for Confirmation of Bid Amount, and Yanez Construction, Inc. executed and returned the Bidder Acknowledgment and Concurrence the same day confirming the final Total Base Bid of $345,000.00 (Three Hundred Forty-Five Thousand Dollars and No Cents), confirming that its unit prices, quantities, and extensions are otherwise correct as submitted and that the Non-Collusion Declaration was executed on or before August 6, 2026, and confirming that the firm remains bound by its bid at that amount, thereby resolving the ambiguity in the bid as submitted; and WHEREAS, the City Engineer has evaluated the bid, determined that Yanez Construction, Inc. submitted the lowest responsive bid and is a responsible contractor, and recommended award of the construction contract in the amount of $345,000.00; and WHEREAS, the City Council desires that progress payments for work completed under the awarded contract be processed at the staff level so that the Contractor is paid promptly for work already performed and verified, and intends that this Resolution constitute the only Council approval required to execute payments under the contract as awarded; and WHEREAS, the project is funded with local funds of the City, and the City Council desires to appropriate the funds necessary to complete the project.

NOW THEREFORE, IT IS HERBY RESOLVED by the City Council of the City of Parlier as follow:

1. Upon the recommendation of the City Engineer, the construction contract for the City of Parlier Citywide Transmitter Replacement Project (Water Meter Endpoint (Transmitter) and Register Retrofit Project), Bid No. 2026-WM-01, is awarded to Yanez Construction, Inc. in the amount of three hundred forty-five thousand dollars ($345,000.00).

The City approves a construction contingency in the amount of $34,500.00 (10% of the contract amount), and the City Manager is authorized to approve change orders within that contingency.

3. The City approves construction management and inspection services in the amount of $17,250.00 (5% of the contract amount).

The City Manager or Mayor is authorized to sign the City's standard form of contract for construction projects, as contained in the bid package, on behalf of the City of Parlier, subject to approval as to form by the City Attorney.

S. The City Manager is authorized to execute, on behalf of the City, all agreements, certifications, amendments, invoices, payment requests, and other documents necessary to implement the project, and to issue the Notice to Proceed upon the Contractor's satisfaction of all contract execution requirements, including the required payment and performance bonds and insurance.

6. The City Council appropriates the funds necessary to complete the project, in an amount not to exceed $396,750.00, consisting of the construction contract, the construction contingency, and construction management and inspection services.

The City Manager, or his or her designee, the City Engineer, is authorized to review, approve, and execute progress payments to the Contractor for work completed under the contract, including release of retention following recordation of the Notice of Completion and expiration of the applicable statutory period, up to and including the total authorized contract amount, without further action of the City Council. This Resolution constitutes the City Council's approval of all payments made under the contract as awarded, and no further Council approval or action is required to process routine progress payments.

8. Change orders and other adjustments to contract cost shall be processed through the City's staff-level approval process, documented by the Resident Engineer and recommended by the City Engineer, and may be approved and executed by the City Manager only to the extent funded by the construction contingency approved by Section 2 above and within the City Manager's purchasing authority as established by the Parlier Municipal Code. Any change order that would exceed the approved contingency or the City Manager's purchasing authority shall be returned to the City Council for approval prior to authorizing the work.

RE: City of Parlier
Water Meter Endpoint (Transmitter) and
Register Retrofit Project
Bid No. 2026-WM-01 | A&M Project No. 226-053
Bid Discrepancies and Confirmation of Bid Amount
Dear Mr. Yanez,
Bids for the above-referenced project were opened on August 6, 2026 at 2:05 p.m. Yanez Construction, Inc. was the sole bidder. In the course of the City's bid review, several discrepancies were identified on the Section 5 Bid Schedule and Bid Proposal Form. None of these discrepancies affect the unit prices your firm submitted, and the City intends to proceed with recommending award of this contract to Yanez Construction, Inc. However, because the written total does not agree with the bid schedule, the bid as submitted is unclear on its face and requires your written confirmation before the award package can move forward to the City Council.

Discrepancies Identified

1. Total Base Bid in figures does not agree with the sum of the item extensions. The extensions entered for Items 1 through 9 total $345,000.00. The amount entered on the TOTAL BASE BID line is $335,000.00, which understates the sum of your own extensions by $10,000.00.

Item Description Qty Unit Unit Price Extension
1 Mobilization (not to exceed 5% of Total Base Bid) 1 LS $15,000.00 $15,000.00 2 Project Management, Safety, Public Notification, 1 $20,000.00 $20,000.00 Traffic Control, and Site Restoration
3 egister swap and ORION® Cellular endpoin 1,500 EA $150.00 $225,000.00 stallation, programming, BEACON® commissionin
and data upload
4 Meter box lid replacement (where required) - per lid 300 EA $50.00 $15,000.00 Extra Work Allowance 1 Allow. $10,000.00 $10,000.00
BEACON® System Setup, Configuration, and Cellular 1 LS $12,500.00 $12,500.00 Activation Coordination
7 Billing System Integration and Integration Acceptance 1 LS $12,500.00 $12,500.00 Test (IAT)
8 Training and O&M Documentation LS $10,000.00 $10,000.00 One-Year Post-Acceptance Warranty and Support $25,000.00 $25.000.00 TOTAL BASE BID (Items 1 through 9) $345,000.00
1100 E. Parlier Avenue, Parlier, California 93648 • (559) 646-3545 FAX (559) 646-0416

2. Total Base Bid in words is not a readable dollar amount. The Total Base Bid (in words) line reads "three hundred thirty five hundred thousand," which does not state a valid dollar amount and does not correspond to either $335,000.00 or $345,000.00. The Bid Proposal Form provides that, in the event of a discrepancy between the total in figures and the total in words, the total in words shall govern. Because the written amount cannot be read as a number, that provision cannot be applied and the bid total is ambiguous as submitted.

3. Non-Collusion Declaration bears a date after the bid opening. The Section 7 Non-Collusion Declaration is executed "August 8, 2026," two days after the August 6, 2026 bid opening. The City understands this to be a clerical error in the date entry and requests written confirmation that the declaration was in fact executed on or before the bid opening date.

Final Bid Amount
The Bid Proposal Form provides that, in the event of a discrepancy between the unit price and the extension, the unit price shall govern. Applying each unit price to the estimated quantity shown on the bid schedule produces extensions identical to those entered on your bid, and those extensions total $345,000.00. The only error is in the addition of the total line. No unit price is changed, added, or reduced by this correction.

Accordingly, the City's determination is that the final Total Base Bid for this project is $345,000.00 (Three Hundred Forty-Five Thousand Dollars and No Cents).

This corrected total does not affect the responsiveness of your bid in any other respect. Mobilization at $15,000.00 represents 4.35% of the corrected Total Base Bid and remains within the 5% maximum. Your Bid Bond is written in the sum of ten percent (10%) of the total amount of the bid rather than as a fixed dollar figure, and therefore remains sufficient at the corrected amount ($34,500.00); you may wish to confirm the same with your surety.

Requested Action
Please sign and return the acknowledgment below no later than August 14, 2026, confirming each of the following:
• The final Total Base Bid for Bid No. 2026-WM-01 is $345,000.00, as derived from the unit prices submitted;
• The unit prices, estimated quantities, and item extensions on vour bid schedule are otherwise correct as submitted and are not changed by this correction; and • The Section 7 Non-Collusion Declaration was executed on or before August 6, 2026, and the date shown on that form is a clerical error.

This letter is a request for clarification of your bid. It does not constitute an award of contract, a change to the Contract Documents, or authorization to proceed with any work. Award remains subject to approval by the City Council of the City of Parlier and to your firm's satisfaction of all contract execution requirements, including bonds and insurance. Upon receipt of your signed acknowledgment, the City will proceed with the award package at the corrected amount of $345,000.00.

REPORT TO CITY COUNCIL
SUBJECT:

Consideration of Ordinance No. 26-04 Regarding Formation of a Planning Commission and the Duties Thereof
RECOMMENDATION:

City Council to waive the second reading of and adopt Ordinance No. 26-04.

BACKGROUND:

At the regular City Council meeting on February 5, 2026, staff made a presentation regarding the formation and duties of a planning commission. Pursuant to Parlier Municipal Code (PMC) Section 18.48.020(A), Council directed staff to return with a resolution of intention to begin the process of amending the text of Title 18 (Zoning) of the PMC to create and assign duties to a planning commission. Council adopted a resolution of intention to initiate text changes on March 5, 2026. Staff made a second presentation on May 21, 2026. Ordinance No. 26- 04 was originally scheduled for introduction on June 18 but was continued to the July 16, 2026 regular meeting. One July 16, the Council conducted a public hearing and voted to introduce and waive the first reading of Ordinance No. 26-04.

PROPOSAL & DISCUSSION:

Ordinance No. 26-04 would add Chapter 2.36 to the Parlier Municipal Code to create a planning commission and would amend Chapters 16.01. 16.05, and 16.07 regarding certain administrative functions related to mapping procedures. The City Manager would be tasked with creating an application process for persons interested in being part of the commission and would present suitable applicants for the Mayor's consideration. One commissioner would be seated from each council district with a fifth commissioner being at large. The Mayor would present the eligible applicants to the Council for approval. At its inaugural meeting, to be determined by the City Manager following appointment of a full commission, the commission would vote internally for a chair and vice chair and would set the day and time of its future meetings.

As noted in previous presentations, the commission is already charged with several responsibilities under the City's zoning ordinance. Those would not change; they would simply be considered by the commission instead of the city council. Procedures related to mapping processes would change somewhat. The commission would be the final approving body for parcel maps (four parcels or fewer) and a recommending body to the city council for maps of five or more lots.

PUBLIC NOTICE
For the public hearing on July 16, 2026, a notice of public hearing was published in The Business Journal on July 6, 2026 and a similar notice was posted at City Hall and on the City's website. No additional noticing is required for this second reading.

ENVIRONMENTAL:

Adoption of Ordinance No. 26-04 consists solely of changes to administrative procedures and does not authorize or approve any development or physical changes. Accordingly, it has no potential to significantly affect the environment and is therefore not subject to CEQA as indicated in CEQA Guidelines Section 15061(b)(3).

FISCAL IMPACT:

There is minimal fiscal impact related to staff costs for document preparation and research.

2. Within twenty days after receiving the waiver certificate or with such additional time as may be reasonably necessary, the city engineer shall determine whether the waiver certificate is technically correct and conforms with the approved tentative parcel map. If approved, he or she shall so certify upon the waiver certificate.

3. After affixing his or her signature upon the waiver certificate, the city engineer shall deliver the certificate to the city administrator who shall present the certificate to the county recorder for filing. When the certificate is presented to the county recorder and is accepted by him or her, he or she shall file and index the same in the official records of the county.

E. Waiver of the parcel map shall not preclude the payment of fees as provided by Section 16.10.010. Said fees shall be calculated in the same manner as though a parcel map had been required and shall be paid prior to the filing of the waiver certificate with the city administrator.

Section XII. Section 16.07.050 Chapter 16.07 of Title 16 of the Parlier Municipal Code is hereby amended to read as follows:

REPORT TO CITY COUNCIL
SUBJECT:

Consideration of Ordinance No. 26-05 adding restaurants as a permitted use within the C-5 (General Commercial) zone district
RECOMMENDATION:

City Council to waive the second reading of and adopt Ordinance No. 26-05.

BACKGROUND:

On February 18, 2026, the Community Development Department received an application from Jasmine Nell of Bottom Line Group (Applicant), requesting authorization for the construction of an 11,200 sqft commercial building and a 5,800 sqft canopy covering ten (10) double sided fuel pumps (20 fueling positions) at the southwest corner of Manning Avenue and South Academy Avenue. The 11,200 sqft commercial building would include a convenience store (with fuel sales), sit down restaurant, and a quick serve restaurant (QSR) with the operation of a drive through.

The subject property is located within the C-5 zone district, where alcohol sales within convenience stores and restaurants operating a drive through are allowed subject to the approval of a CUP. Additionally, the Project proposes a sit down restaurant as a part of the development (Project). At its regular meeting on June 18, 2026, the City Council heard and considered the proposal. No action was taken as there was no motion to either approve or deny the project. The applicant made an informal presentation to the City Council at its July 16, 2026 regular meeting.

At a duly noticed public hearing on August 6, 2026, the City Council introduced and waived the first reading of Ordinance No. 26-05 and adopted Resolution No. 2026-65, approving the CUP subject in part to adoption of Ordinance No. 26-05.

PROPOSAL & DISCUSSION:

Sit-down restaurants are not permitted in the C-5 zone district. A ZTA has been proposed to add them to the list of permitted uses. The proposed ZA would make sit down restaurants, not including alcohol sales, a generally permitted use in the C-5 zone district, while sit down restaurants proposing the sale of alcohol would be allowed with the approval of a CUP.

PUBLIC NOTICE
On May 11, 2026, a notice of public hearing for the Project was published in The Business Journal and mailed to property owners within 300 feet of the Project site. However, the notice was not posted at City Hall at least ten (10) days prior to the scheduled public hearing, as required. As a result, the Project was continued to the June 18, 2026 City Council meeting. Subsequently, a second notice of public hearing was published in The Business Journal and sent via U.S. Mail to property owners within 300 feet of the Project site on June 8, 2026. No action was taken at the June 18 meeting and the proposal was not continued, so a third notice of public hearing was published in The Business Journal, sent via U.S. Mail to property owners within 300 feet of the Project site, and posted at City Hall and on the City's website on July 27, 2026. No additional noticing is required for this second reading.

ENVIRONMENTAL:

The first step in complying with the California Environmental Quality Act (CEQA) is to determine whether the activity in question constitutes a "project" as defined by CEQA, Public Resources Code Section 21000, et seq. and the CEQA Guidelines, California Code of Regulations Section 15000, et seq. The second step is to determine whether the project is subject to or exempt from the statute. This proposal qualifies as a project under CEQA because it involves the issuance to a person of a "lease, permit, license, certificate, or other entitlement for use" as described in CEQA Guidelines Section 15378. However, the City anticipates that the Project will be consistent with the City of Parlier General Plan and General Plan Environmental Impact Report under California Environmental Quality Act Guidelines Section 15183. Accordingly, the City Council found the Project to be exempt from CEQA under CEQA Guidelines Section 15183. A Notice of Exemption for the Project was filed with the County Clerk on August 10, 2026 and with the State Clearinghouse on August 11, 2026.

FISCAL IMPACT:

Costs for processes initiated by applicants are paid for through application fees. There is no impact to the General Fund or other City funds. Development of the site as proposed would increase property tax revenue generated by the site.

REPORT TO CITY COUNCIL
SUBJECT:

Approval of Joint Powers Agreement with the County of Fresno for Participation in the Urban County Program for Community Development Block Grant (CDBG), HOME Investment Partnerships (HOME), and Emergency Solutions Grants (ESG) Entitlement Funding for Federal Grant Years 2027, 2028, and 2029

RECOMMENDATION
Adopt Resolution No. 2026-— approving the Joint Powers Agreement between the City of Parlier and the County of Fresno for participation in the County's Urban County Program for Community Development Block Grant (CDBG), HOME Investment Partnerships (HOME), and Emergency Solutions Grants (ESG) entitlement funding for Federal Grant Years 2027, 2028, and 2029, and authorize the City Manager to execute the agreement and any documents necessary to implement the agreement on behalf of the City.

BACKGROUND
The County of Fresno administers an Urban County Program through the U.S. Department of Housing and Urban Development (HUD) for Community Development Block Grant (CDBG), HOME Investment Partnerships (HOME), and Emergency Solutions Grants (ESG) entitlement funding. The program allows participating cities within Fresno County to cooperate with the County in carrying out eligible housing, community development, infrastructure, and homeless service activities.

The City of Parlier has the opportunity to continue participating in the County's Urban County Program by entering into a new Joint Powers Agreement for Federal Grant Years 2027, 2028, and 2029. The agreement recognizes that the County and participating cities are public agencies authorized under California Government Code Section 6500 to enter into joint powers agreements and that participation allows housing and community development activities to be undertaken on a regional basis.

The proposed agreement will commence July 1, 2027. Although the agreement covers three federal grant years, it remains in effect until the applicable CDBG, HOME, and ESG funds and program income have been expended, projects have been completed and closed out, and applicable audits have been resolved. The agreement anticipates this process may continue through June 30, 2043 or later.

DISCUSSION
Approval of the Joint Powers Agreement will allow the City of Parlier to participate with Fresno County in the Urban County Program for Federal Grant Years 2027, 2028, and 2029.

Under the agreement, Fresno County is responsible for overall administration and implementation of the Urban County Program, including determining community development needs, establishing program goals, preparing and submitting the Consolidated Plan and Annual Action Plans, completing required performance reports, and submitting required assurances and certifications to HUD. The County retains final authority for approving CDBG, HOME, and ESG program activities and priorities.

As a participating city, Parlier will continue to have the opportunity to utilize CDBG funding for eligible community development activities. The distribution of new CDBG funding to participating cities is based upon the methodology identified in Exhibit B of the agreement.

All proposed expenditures remain subject to federal requirements and the terms of the Urban County Program.

The City will be required to develop and complete eligible CDBG activities in a timely manner. Applications for eligible activities are required to be submitted to the County no later than July 31 prior to the beginning of each program year. The City must also conduct at least one annual public meeting when seeking approval for a new CDBG-funded activity to provide residents an opportunity to participate in recommending activities for the program.

Participation also provides access to regional housing and homeless assistance programs.

HOME funds are made available by the County for eligible activities, including housing development and multifamily housing preservation; however, participating cities do not receive individual HOME allocations. ESG funding is administered by the County for homeless services and other eligible activities in partnership with the Fresno-Madera Continuum of Care, and participating cities similarly do not receive individual ESG allocations.

The agreement requires participating cities to comply with applicable federal requirements relating to fair housing, civil rights, accessibility, citizen participation, and other HUD program requirements. The City must also maintain records demonstrating compliance and cooperate with the County on housing and community development activities.

An important provision of the agreement is that participating jurisdictions may not withdraw from or terminate the agreement during the Federal Grant Years 2027, 2028, and 2029 or while the agreement remains in effect. The agreement does not, however, prevent the City from independently determining whether it wishes to participate in the Urban County Program beginning with Federal Grant Year 2030.

Approval of the agreement will therefore continue the City's participation in a regional framework for accessing federal community development, housing, and homeless assistance resources administered through Fresno County.

FISCAL IMPACT
There is no direct General Fund expenditure associated with approving the Joint Powers Agreement.

Participation provides the City with access to its allocation of CDBG funding for eligible community development activities in accordance with the funding distribution methodology contained in the agreement. The exact amount available to the City will depend upon annual federal appropriations and the allocation methodology established under the Urban County Program.

The City is responsible for complying with all applicable federal and subrecipient requirements. If the City is required to repay funds as the result of a federal audit finding, cancels a funded activity without completion, fails to perform under a subrecipient agreement, or fails to meet a national CDBG objective, the City may be required to reimburse the applicable CDBG funds.

LEGAL REVIEW
The Joint Powers Agreement should be reviewed and approved as to legal form by the City Attorney prior to execution.

CONCLUSION
Participation in the Fresno County Urban County Program provides the City of Parlier with continued access to federal resources supporting eligible community development, infrastructure, housing, and related activities. Approval of the proposed Joint Powers Agreement will allow the City to participate in the CDBG, HOME, and ESG Urban County Program for Federal Grant Years 2027, 2028, and 2029.

Staff recommends that the City Council approve the agreement and authorize the City Manager to execute the agreement and any related documents necessary for the City's continued participation.

AGENDA ITEM: #

OF PARI
MEETING DATE: 08/06/2026
DEPARTMENT: Administration/Engineering

REPORT TO CITY COUNCIL
SUBJECT: Adoption of Resolution No. 2026-_ _awarding an On-Call Engineering Services Agreement for State and Federally Funded Projects to A&M Consulting Engineers, approving a Public Interest Finding for a noncompetitive (single-proposal) award, and authorizing the City Manager to execute related documents.

RECOMMENDATION: Staff recommends the City Council adopt Resolution No. 2026- _: (1) approving the Public Interest Finding (Caltrans LAPM Exhibit 12-F) for a noncompetitive, single-proposal award and authorizing its submittal to the Caltrans District Local Assistance Engineer (DLAE) for approval; (2) awarding the On-Call Engineering Services Agreement for State and Federally Funded Projects to A&M Consulting Engineers in an amount not to exceed $4,000,000 for a three-year term with two optional one-year extensions (five years maximum); (3) authorizing the City Manager to execute the Agreement, the Public Interest Finding, and related Caltrans documents, with the Agreement effective upon Caltrans DLAE approval; and (4) authorizing the City Manager to approve the two optional one-year extensions within the not-to-exceed amount.

BACKGROUND: The City of Parlier delivers a variety of state and federally funded capital projects and requires on-call professional civil engineering and related services (including grant writing, environmental documentation, right-of-way, design/PS&E, and construction management) to deliver those projects in compliance with the Caltrans Local Assistance Procedures Manual (LAPM) and applicable federal and state requirements. Consultant services for federally funded projects must be procured through a qualifications-based selection (QBS) process under the Brooks Act (40 USC 1101-1104), 23 USC 112, 23 CFR Part 172, and 2 CFR Part 200. On March 18, 2026, the City issued a Request for Qualifications (RFQ) for On-Call Engineering Services for State and Federally Funded Projects, which was posted on the City's website, with Statements of Qualifications (SOQs) due April 20, 2026. The City received one (1) SOQ, from A&M Consulting Engineers. The City's selection committee evaluated the SOQ against the RFQ criteria and determined the firm to be qualified, and the City negotiated rates determined to be fair and reasonable. Because only one proposal was received, LAPM Chapter 10 requires the City to justify a noncompetitive procurement and to document a Public Interest Finding (Exhibit 12-F: Cost-Effectiveness / Public Interest Finding / A&E Noncompetitive), which must be approved and signed by the Caltrans DLAE; LAPM also provides that re-advertisement be considered. The City considered re-advertisement and determined that proceeding is in the public interest because the RFQ was adequately advertised, no other firms responded, A&M Consulting Engineers is qualified with fair and reasonable rates, and timely consultant support is needed to deliver the City's grant-funded projects. The proposed Agreement is an on-call, task-order contract with a not-to-exceed amount of $4,000,000 and a term of three (3) years with two optional one-year extensions (five years maximum); no work is authorized except through City-approved task orders, and the Agreement becomes effective upon Caltrans DLAE approval of the Public Interest Finding.

FISCAL IMPACT: The Agreement is not-to-exceed $4,000,000 over its term. Costs are incurred only through individual task orders authorized by the City and are funded by the applicable federal and state funding program for each project (such as CMAQ, HIP, ATP, and CDBG), together with the City's budgeted local match. There is no direct impact to the General Fund beyond budgeted local match obligations, and no costs are incurred absent an authorized task order.

CEQA: The award of an on-call professional services agreement is not a "project" subject to CEQA because it will not cause a direct or reasonably foreseeable physical change to the environment (CEQA Guidelines §§ 15060(c)(3) and 15378). Project- specific environmental review under CEQA and NEPA will be completed for each task order, as applicable, before any project work begins.
