Audit Scope and Objectives
We will audit the financial statements of the Daycare Special Revenue Fund (the Fund) of the City of Parlier, 2028, June 30, 2029, and June 30, 2030, the related statements of revenue, expenditures and changes in fund balance - governmental funds for the years then ended, and the disclosures (collectively, the "financial statements") Also, the following supplementary information accompanying the financial statements will be subjected to the auditing procedures applied in our audit of the financial statements and certain additional procedures, including comparing and reconciling such information directly to the underlying accounting and other records used to prepare the financial statements or to the financial statements themselves, and other additional procedures in accordance with auditing standards generally accepted in the United States of America (GAAS), and we will provide an opinion on it in relation to the financial statements as a whole:
1) Schedule of expenditures of federal and state awards 2) Audited attendance and fiscal report forms
3) Supplementary schedules as required by the CDE audit guide issued by the California Department of Education The objectives of our audit are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and issue an auditor's report that includes our opinion about whether your financial statements are fairly presented, in all material respects, in conformity with accounting principles generally accepted in the United States of America. Reasonable assurance is a high level of assurance but is not absolute assurance and therefore is not a guarantee that an audit conducted in accordance with GAAS and Government Auditing Standards will always detect a material misstatement when it exists.
Misstatements, including omissions, can arise from fraud or error and are considered material if there is a substantial likelihood that, individually or in the aggregate, they would influence the judgment of a reasonable user made based on the financial statements.
The objectives also include reporting on internal control over financial reporting and compliance with provisions of laws, regulations, contracts, and award agreements, noncompliance with which could have a material effect on the financial statements in accordance with Government Auditing Standards.
Auditor's Responsibilities for the Audit of the Financial Statements We will conduct our audit in accordance with GAAS and the standards for financial audits contained in Government Auditing Standards, issued by the Comptroller General of the United States, and will include tests of your accounting records and other procedures we consider necessary to enable us to express such an opinion. As part of an audit in accordance with GAAS and Government Auditing Standards, we exercise professional judgment and maintain professional skepticism throughout the audit.
We will evaluate the appropriateness of accounting policies used and the reasonableness of significant accounting estimates made by management. We will also evaluate the overali presentation of the financial statements, including the disclosures, and determine whether the financial statements represent the underlying transactions and events in a manner that achieves fair presentation. We will plan and perform the audit to obtain reasonable 1 assurance about whether the financial statements are free of material misstatement, whether from (1) errors, (2) fraudulent financial reporting, (3) misappropriation of assets, or (4) violations of laws or governmental regulations that are attributable to the Organization or to acts by management or employees acting on behalf of the Organization.
Because the determination of waste and abuse is subjective, Government Auditing Standards do not expect auditors to perform specific procedures to detect waste or abuse in financial audits nor do they expect auditors to provide reasonable assurance of detecting waste or abuse.
Because of the inherent limitations of an audit, combined with the inherent limitations of internal control, and because we will not perform a detailed examination of all transactions, there is an unavoidable risk that some material misstatements may not be detected by us, even though the audit is properly planned and performed in accordance with GAAS and Government Auditing Standards. In addition, an audit is not designed to detect immaterial misstatements or violations of laws or governmental regulations that do not have a direct and material effect on the financial statements. However, we will inform the appropriate level of management of any material errors, fraudulent financial reporting, or misappropriation of assets that comes to our attention. We will also inform the appropriate level of management of any violations of laws or governmental regulations that come to our attention, unless clearly inconsequential. Our responsibility as auditors is limited to the period covered by our audit and does not extend to any later periods for which we are not engaged as auditors.
We will also conclude, based on the audit evidence obtained, whether there are conditions or events, considered in the aggregate, that raise substantial doubt about the Organization's ability to continue as a going concern for a reasonable period of time.
Our procedures will include tests of documentary evidence supporting the transactions recorded in the accounts, tests of the physical existence of inventories, and direct confirmation of receivables and certain assets and liabilities by correspondence with selected individuals, funding sources, creditors, and financial institutions. We will also request written representations from your attorneys as part of the engagement.
Audit Procedures-Internal Control
We will obtain an understanding of the Organization and its environment, including the system of internal controi, sufficient to identify and assess the risks of material misstatement of the financial statements, whether due to error or fraud, and to design and perform audit procedures responsive to those risks and obtain evidence that is sufficient and appropriate to provide a basis for our opinion. Tests of controls may be performed to test the effectiveness of certain controls that we consider relevant to preventing and detecting errors and fraud that are material to the financial statements
noncompliance matters that have a direct and material effect on the financial statements. Our tests, if performed, will be less in scope than would be necessary to render an opinion on internal control and, accordingly, no opinion will be expressed in our report on internal control issued pursuant to Goverment Auditing Standards. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentation, or the override of internal control. An audit is not designed to provide assurance on internal control or to identify deficiencies in internal control. Accordingly, we will express no such opinion. However, during the audit, we will communicate to you and those charged with governance internal control related matters that are required to be communicated under AICPA professional standards and Government Auditing Standards.
Audit Procedures-Compliance
As part of obtaining reasonable assurance about whether the financial statements are free of material misstatement, we will perform tests of the City of Parlier (Parlier Academy of Excellence)'s compliance with the provisions of applicable laws, regulations, contracts, agreements, and grants. However, the objective of our audit will not be to provide an opinion on overall compliance and we will not express such an opinion in our report on compliance issued pursuant to Government Auditing Standards.
Responsibilities of Management for the Financial Statements Our audit will be conducted on the basis that you acknowledge and understand your responsibility for designing, implementing, and maintaining effective internal controls relevant to the preparation and fair presentation of financial statements that are free from material misstatement, whether due to fraud or error, and for evaluating and monitoring ongoing activities to help ensure that appropriate goals and objectives are met; following laws and regulations; and ensuring that management and financial information is reliable and properly reported. Management is also responsible for implementing systems designed to achieve compliance with applicable laws, regulations, contracts, and grant agreements. You are also responsible for the selection and application of accounting principles, for the preparation and fair presentation of the financial statements and all accompanying information in conformity 2 with accounting principles generally accepted in the United States of America, and for compliance with applicable laws and regulations and the provisions of contracts and grant agreements.
You are also responsible for making drafts of financial statements, all financial records, and related information available to us; for the accuracy and completeness of that information (including information from outside of the general and subsidiary ledgers); and for the evaluation of whether there are any conditions or events, considered in the aggregate, that raise substantial doubt about the Organization's ability to continue as a going concern within one year after the date that the financial statements are available to be issued. You are also responsible for providing us with (1) access to all information of which you are aware that is relevant to the preparation and fair presentation of the financial statements, such as records, documentation, identification of all related parties and all related-party relationships and transactions, and other matters; (2) additional information that we may request for the purpose of the audit; and (3) unrestricted access to persons within the Organization from whom we determine it necessary to obtain audit evidence. At the conclusion of our audit, we will require certain written representations from you about the financial statements; compliance with laws, regulations, contracts, and grant agreements; and other responsibilities required by GAAS and Government Auditing Standards.
Your responsibilities include adjusting the financial statements to correct material misstatements and confirming to us in the management representation letter that the effects of any uncorrected misstatements aggregated by us during the current engagement and pertaining to the latest period presented are immaterial, both individually and in the aggregate, to the financial statements taken as a whole.
You are responsible for the design and implementation of programs and controls to prevent and detect fraud, and for informing us about all known or suspected fraud affecting the Organization involving (1) management, (2) employees who have significant roles in internal control, and (3) others where the fraud could have a material effect on the financial statements. Your responsibilities include informing us of your knowledge of any allegations of fraud or suspected fraud affecting the Organization received in communications from employees, former employees, grantors, regulators, or others. In addition, you are responsible for identifying and ensuring that the Organization complies with applicable laws, regulations, contracts, agreements, and grants and for taking timely and appropriate steps to remedy fraud and noncompliance with provisions of laws, regulations, contracts, and grant agreements that we report.
You are responsible for the preparation of the supplementary information, which we have been engaged to report on, in conformity with accounting principles generally accepted in the United States of America. You agree to include our report on the supplementary information in any document that contains, and indicates that we have reported on, the supplementary information. You also agree to include the audited financial statements with any presentation of the supplementary information that includes our report thereon.
Management is responsible for establishing and maintaining a process for tracking the status of audit findings and recommendations. Management is also responsible for identifying and providing report copies of previous financial audits, attestation engagement, performance audits, or other studies related to the objectives discussed in the Audit Scope and Objectives section of this letter. This responsibility includes relaying to us corrective actions taken to address significant findings and recommendations resulting from those audits, attestation engagements, performance audits, or other engagements or studies. The Organization is also responsible for providing management's views on our current findings, conclusions, and recommendations, as well as your planned corrective actions for the report, and for the timing and format for providing that information.

SUBJECT:
Settlement Agreement and Release ("Agreement") between CITY OF PARLIER ("Plaintiff") and SARBAT BHALA, INC. ("Defendant") in Fresno County Superior Court Case No. 24CECG05090
RECOMMENDATION
Approve the Agreement.
BACKGROUND
In 2017, the City sold three parcels in Assessor's Parcel Number 355-021-49t, Parcel 1, Parcel 2 (the Outlet A basin parcel), and Parcel 3, to the Defendant corporation. The purpose was the development of an Indian Cultural Center. However, the development never took place, and under the agreement, the property was to revert back to the City. There was an agreement where the City agreed to pay to defendant the original purchase price of $45,870 in exchange for title of the property to be transferred to the City. The City issued payment to defendant consistent with the oral agreement and a grant deed was executed on behalf of defendant.
However, due to a misspelling of the grantor's name, the deed could not be recorded. The City filed suit to quiet title to the property, and eventually the parties reached the Agreement. In exchange for executing a new grant deed, Defendant will retain the $45,870.00 previously paid to it by Plaintiff, and each party shall bear its own attorneys' fees and costs incurred in connection with the action.

REPORT TO CITY COUNCIL
SUBJECT:
Award of the Base Bid for the Parlier Veterans Park FEMA Repairs Project (No. 225-026) to Yanez Construction, Inc., and related contingency, construction management budget, and City Manager change order authority.
RECOMMENDATION:
Staff recommends that the City Council adopt Resolution No. 2026-
1. Awarding the construction contract to Yanez Construction, Inc. of Reedley, California, the lowest responsive and responsible bidder, in the Base Bid amount of $315,499.00, with no Bid Additives;
2. Approving a construction contingency of $40,313.76, equal to 10% of the total authorized project cost, for a total authorized construction amount of $355,812.76;
3. Allocating and appropriating $47,324.85 (15% of the contract amount) for construction management and inspection, for a total authorized project cost of $403,137.61;
4. Authorizing the City Manager to approve change orders within the approved contingency, without further City Council action;
5. Authorizing progress payments at the staff level upon the written recommendation of the City Engineer; and
6. Authorizing the City Manager to execute the agreement on behalf of the City.
BACKGROUND:
Veterans Park sustained flood damage during the February 21, 2023 storm event under Federal Disaster Declaration DR-4699-CA. The damage is covered by FEMA Public Assistance Project Worksheet No. 443 (Federal Project No. 729823, Category G), obligated June 10, 2025.
The Base Bid work reconstructs the baseball and softball infield, replaces the chain link fence and gate, replaces the park irrigation system and hydroseeds turf, and completes site grading and restoration within the park limits. Contract time is 60 working days with liquidated damages of $700.00 per working day. The Project is subject to Build America, Buy America requirements and to federal and State prevailing wage. The work must be completed and the closeout documentation submitted within the performance period for PW 443, which runs to April 3, 2027 under the time extension requested of the California Governor's Office of Emergency Services. Three Bid Additives - a scoreboard, a play structure and replacement light poles - were also bid. They are new improvements rather than repairs to flood-damaged facilities, are not eligible for FEMA reimbursement, and are presented for the City Council's consideration as a separate item on this agenda to be funded from the General Fund. This item concerns only the Base Bid work.

The Engineer's Estimate for the Base Bid work was $367,000.00. The low bid is 14.0% below the Engineer's Estimate.
BID DISCREPANCIES AND CONTRACTOR ACKNOWLEDGMENT:
The Yanez and Harris bids contained arithmetic errors between the unit prices bid and the item extensions written. Bid Book page 105 provides that the unit price prevails; applying that provision, no unit price was changed and the corrected totals are those shown above. Yanez Construction, Inc. is the low bidder on both the as-written and the corrected figures.
The remaining irregularities in the low bid are minor: addendum numbers and dates were not entered on the Acknowledgment of Addenda page, the license was typed 91672 rather than 911672 on the Proposal page, and Exhibit 12-B Parts 1 and 2 were left blank These will be corrected before the contract is executed, and staff recommends the City Council waive them.
BID EVALUATION AND CONTRACTOR VERIFICATION:
Yanez Construction, Inc. holds an active Class "A" contractor's license (No. 911672) and current Department of Industrial Relations registration; a City of Parlier Business License is required at award. All required certifications and a bidder's bond in the amount of 10% of the bid were submitted. Mobilization is 4.06% of the corrected Base Bid, within the 5% cap. The firm is presently under contract with the City on the Basin Improvements Project (City Project No. 225-005).
The City Engineer finds the bid responsive and the bidder responsible. A Notice of Intent to Award was issued to all bidders of record on August 26, 2026, and the protest period closed on August 31, 2026 with no protest filed.
CONTRACT ADMINISTRATION AUTHORITIES REQUESTED:
Two administrative authorities are requested so the Project can be delivered within the performance period for PW 443 without a separate City Council action on each routine construction document.
Progress payments. Progress payments will be approved at the staff level upon the written recommendation of the City Engineer, subject to 5% retention and paid within the time required by Public Contract Code section 20104.50. Final payment, release of retention and acceptance of the work remain with the City Council.
Change orders. This action formally establishes change order authority for the Base Bid work. The City Manager is authorized to approve change orders within the $40,313.76 contingency approved by the City Council at award, which is equal to 10% of the total authorized project cost, subject to the following limits:
• The $355,812.76 total authorized construction amount may not be exceeded; any change order above it returns to the City Council for prior approval. • Each change order requires the City Engineer's written recommendation and must be executed in writing before the work is performed, except in an emergency. • No change may alter the FEMA-approved scope of work under PW 443 without prior written concurrence from Cal OES and FEMA
• Any time extension that would waive liquidated damages requires City Council approval.
• Change orders are reported to the City Council on the consent calendar quarterly and • again at project acceptance.
The construction management appropriation is separate from the contract and is not available for change orders. The delegation applies only to the Base Bid work awarded by this item and may be modified or rescinded by the City Council at any time.
FISCAL IMPACT:
Base Bid work - FEMA eligible. The Base Bid restores the flood-damaged facility and is within the scope of work approved under PW 443. These costs are reimbursable at the 75% federal share, and the remaining 25% is covered by the State share under the California Disaster Assistance Act. No local match is required for the Base Bid work. The total authorized project cost of $403,137.61 is within the obligated project amount of $586,897.72.
Base Bid - recommended award Amount
Construction contract - Yanez Construction, Inc. $315,499.00 Construction contingency (10% of total project cost) $40,313.76 Construction management and inspection (15%) $47,324.85 Total authorized project cost - FEMA eligible $403,137.61 Funding - FEMA PA, DR-4699-CA, PW 443 Amount
Federal share (75%) $440,173.29
State share (25%) $146,724.43
Total obligated project amount $586,897.72
General Fund impact — none from this item. No General Fund appropriation is requested by this item. The three Bid Additives, which are not grant eligible and do require a General Fund appropriation, are the subject of the companion item on this agenda:
"Award of Bid Additives Nos. 1, 2 and 3." If the City Council adopts both resolutions, the two awards are combined into a single contract with Yanez Construction, Inc., with the costs of each accounted for separately. Adoption of this item does not commit the City Council to award any Bid Additive.
RECOMMENDED MOTION (AND ALTERNATIVE MOTIONS IF EXPECTED):
Recommended motion:
"I move to adopt Resolution No. 2026- awarding the construction contract for the Base Bid of the Parlier Veterans Park FEMA Repairs Project, City Project No. 225-026, to Yanez Construction, Inc. in the Base Bid amount of $315,499.00, with no Bid Additives; approving a construction contingency of $40,313.76, equal to 10% of the total authorized project cost, for a total authorized construction amount of $355,812.76; allocating and appropriating $47,324.85 for construction management and inspection, for a total authorized project cost of $403,137.61; waiving the minor irregularities in the low bid; authorizing the City Manager to approve change orders within the approved contingency and to approve progress payments at the staff level; and authorizing the City Manager to execute the agreement on behalf of the City."
Alternative actions:
1. Award the Base Bid without delegating change order authority, returning every change order to the City Council for prior approval.
2. Reject all bids and re-advertise. Re-advertisement would add several months to the schedule, would forfeit the competitively bid prices now in hand, and would place the remaining performance period for PW 443, and therefore federal reimbursement, at risk.

WHEREAS, the City Council desires to fund the Bid Additives from the General Fund, to approve a construction contingency and a construction management and inspection budget for the Bid Additives on the same terms approved for the Base Bid work, and to delegate change order and progress payment administration within those Council-approved amounts so the work can be completed concurrently with the Base Bid work; and

The authorizations in Sections 6 and 7 apply only to the Bid Additive work awarded by this Resolution, remain in effect until the City Council accepts the work as complete, and may be modified or rescinded by the City Council at any time.
9. This Resolution is contingent upon the City Council's adoption of the companion resolution awarding the Base Bid for the Project to Yanez Construction, Inc. If that companion resolution is not adopted, this Resolution is of no force or effect and the General Fund appropriation made by Section 5 does not take effect. Upon adoption of both resolutions, the City Manager is authorized to execute a single contract with Yanez Construction, Inc. in the combined amount of $542,059.00 if all three Bid Additives are awarded, provided that the contingency, construction management appropriation, change order authority and funding source established by each resolution continue to apply separately to the work each resolution awards.
10. The City Manager is authorized to sign the City's standard form of contract for construction projects, as contained in the bid package and as approved by the City Attorney, on behalf of the City of Parlier, and the City Clerk is directed to complete the blanks in Sections 2 and 5 to reflect the Bid Additives awarded by the City Council, using the corresponding figures from Exhibit A.
