Page 3 of 4 ends

Mayor Gordo introduced the item. Rebecca Takahashi, Senior Internal Auditor, presented a PowerPoint presentation outlining employee perception of the City’s ethics climate, the strength of internal controls related to ethics, and benchmarking policies and procedures against best practices.

Vice Mayor Wilson asked for clarification on who was in charge of notifying Statement of Economic Interest (Form 700) filers when the filing is due. Ms.

Takahashi responded that Mark Jomsky, City Clerk, is responsible for sending out the notices. Mayor Gordo added the function of the City Clerk is to make sure the filing is completed, not the review of the content and reminded the public that Form 700 reveals all financial interests for elected officials and certain appointed positons within the City. Vice Mayor Wilson also asked if there were any known conflicts as consequences to the lack of best practices. Jennifer Curtis, Director of Human Resources, indicated there are no known issues and clarified that Human Resources focuses on the outside employment forms. If an employee indicates, they have an outside employment, that employee’s form is routed to their Director for approval. There is a plan for better tracking, reporting, and follow-up in 2022.

Mayor Gordo asked staff for their recommendation on how to remedy the concerns identified in the audit. Ms. Takahashi responded that the audit findings recommend for the City Manager to form an ad-hoc review committee that includes the City Clerk, City Attorney, and the Human Resources Departments to discuss the violations and how to address them.

The Finance/Audit Committee acknowledged receiving the report.

6. MITIGATION FEE ACT ANNUAL REPORTS

Mayor Gordo introduced the item as a receive and file report.

Matthew Hawkesworth, Director of Finance, stated there were no anomalies; the report is created to comply with state requirements.

Vice Mayor Wilson asked for the balance of the unallocated current project balance related to the residential impact fees. Mr. Hawkesworth will provide the information.

The Finance/Audit Committee acknowledged receiving the report.

7. FINANCIAL UPDATE- COVID-19 EXPENDITURES

Matthew Hawkesworth, Director of Finance, provided a PowerPoint Presentation outlining the current COVID-19 expenditures.

Page 5 ends

Special Finance/Audit Committee

Page 4 of 4 ends

Vice Mayor Wilson asked for an explanation of the $4.9 million spent on COVID- 19 sick leave. Mr. Hawkesworth stated the expenditure was a result of a federal mandate under the CARES Act mandating cities to provide up to 80 hours of COVID-19 sick leave to eligible employees, they were for a specific period of time that expired in early 2021, and they were not eligible for reimbursement. The $4.9 million represents hours used and paid.

Mayor Gordo inquired when staff would be submitting reimbursement requests for all the projects. Mr. Hawkesworth responded that reimbursement requests have been submitted for projects that have closed and it will take up to 18- months for reimbursements. Since the state is still operating under a declared state of emergency the City continues to accrue expenses, the typical timeline for total reimbursement is two-years after the incident.

The Finance/Audit Committee acknowledged receiving the report.

F. ADJOURN

With no further business to come before the Finance/Audit Committee, the meeting adjourned at 3:34 p.m.

Agenda Report
TO: Honorable Mayor and City Council
THROUGH: Finance Committee
FROM: Water and Power Department
January 10, 2022
SUBJECT: AUTHORIZATION TO ENTER INTO A CONTRACT WITH PFM

FINANCIAL ADVISORS LLC FOR INDEPENDENT REGISTERED

MUNICIPAL ADVISOR SERVICES FOR THE WATER AND POWER

DEPARTMENT FOR A PERIOD OF THREE YEARS, WITH TWO

OPTIONAL ONE YEAR EXTENSIONS FOR A TOTAL AMOUNT NOT
TO EXCEED $250,000
RECOMMENDATION:

It is recommended that the City Council:

1. Find that the proposed action is not a project subject to the California Environmental Quality Act (CEQA) pursuant to Section 21065 of CEQA and Sections 15060(c)(2), 15060(c)(3), and 15378 of the State CEQA Guidelines and, as such, no environmental document pursuant to CEQA is required for the project; and

2. Authorize the City Manager to enter into a contract, as the result of a competitive selection process, as specified by Section 4.08.047 of the Pasadena Municipal Code, with PFM Financial Advisors LLC for three years in an amount not to exceed $150,000 with two optional one-year extensions not to exceed $50,000 each, subject to the approval of the City Manager. Competitive bidding is not required pursuant to City Charter Section 1002(F) ( contracts for professional or unique services).

BACKGROUND:

The Water and Power Department ("PWP") is responsible for the operations and activities of the City of Pasadena's ("City") Electric System and Water System ("System" or collectively, "Systems"), which provide electric and water services to nearly all customers within the City limits and water service to some customers outside the City limits.

Page 2 of 4 ends

PWP requires the services of an Independent Registered Municipal Advisor ("IRMA") to act as an objective financial advisor and economic market expert to provide advice and assistance on existing and new debt issuances, financing structures, and timing of debt issuance; including but not limited to pricing, call provision options, and rating agency strategy. The IRMA is also expected to provide support services to coordinate the administration and issuance of debt. The services include communication with rating agencies, coordination with bond and tax counsel in advance of securities offerings to ensure acceptance of the financing structure and to deliver an unqualified opinion and tax certificate, and assist in negotiations with bond insurers and/or letter of credit providers. These services require an IRMA to perform as a fiduciary with the required registrations and certifications of the Securities and Exchange Commission and the Municipal Securities Rulemaking Board.

Furthermore, the IRMA is expected to provide continuing updates and advice on the impact of current or proposed state or federal legislation and market conditions that could affect PWP's financial plans, identify options that balance varying priorities and risks, and perform other financial advisory services as needed including advising PWP on debt refunding opportunities.

REQUEST FOR PROPOSALS AND PROPOSAL EVALUATION
On August 4, 2021, PWP issued a Request for Proposals ("RFP") for Independent Registered Municipal Advisor services which was posted on PlanetBids. To support the participation of Pasadena businesses, staff sent email communications to over 100 Pasadena businesses whose PlanetBids registration profiles most closely matched the scope of work in the RFP. The direct communications ensured that local businesses were notified about the solicitation and provided them with the opportunity to contact the city with any detailed questions about the City's procurement procedures. • On July 27, 2021, staff sent emails to over 100 Pasadena businesses with general information of the scope of work from the RFP in advance of the formal issuance.
• On August 3, 2021, an additional email communication was sent to Pasadena businesses to announce the formal issuance of the solicitation. • On August 5, 2021, a third email communication was sent to Pasadena businesses to confirm that the RFP had been officially issued.

Fifteen prospective proposers downloaded the RFP, none of which were located in Pasadena. Despite the additional outreach, no Pasadena businesses responded to the RFP. The deadline for RFP submissions was August 26, 2021.

Three qualified professional firms responded and submitted proposals by the August 26, 2021 deadline:

1. Public Financial Management ("PFM") Financial Advisors LLC, Los Angeles, CA

2. Public Resources Advisory Group ("PRAG"), Los Angeles, CA

3. Fieldman, Rolapp & Associates, Inc. ("Fieldman"), Irvine, CA

Page 10 ends

Award and Contract with PFM Financial Advisors LLC
January 10, 2022

Page 3 of 4 ends

The proposals were evaluated by a panel of four staff members from PWP and the Department of Finance based on the specific criteria stated in the RFP. The scoring for all the responding firms is provided in the following table:

Max Point Averaae Score
Evaluation Criteria per Criteria PFM PRAG ,.Fieldman
Total 100 87.25 85.76 69.56
PWP conducted follow-up interviews with the two highest scoring firms and determined that PFM provided a broader range of relevant experience and access to more extensive services and staff. Based upon the scoring of the responses to the RFP and the results of the interview process, staff is recommending the award of an IRMA contract to PFM.

It is recommended that PFM be awarded a contract in an amount not to exceed $150,000 for an initial period of three years with two optional one-year extensions not to exceed $50,000 per year subject to the approval of the City Manager. The amount is based on an estimated 150 service hours per year, although the actual hours in a given year may vary based on specific needs for support. The service hours would cover advisory activities not related directly to bond transactions and would be used only as needed for specific services rendered. Fees related directly to bond issuances will be assessed separately and included in the cost of issuance for the transaction. PFM has no prior contracts with the City of Pasadena. The Finance and Administration division of PWP will be responsible for managing the contract and will review all invoices for services provided by PFM to ensure completion of work and accuracy of the invoices.

The proposed contact fully complies with the Competitive Bidding and Purchasing Ordinance P.M.C. 4.08 and the rules and regulations promulgated thereunder. The proposed contract will be managed by staff in the PWP Finance and Administration Division.

COUNCIL POLICY CONSIDERATION:

This action supports the City Council's strategic goal to maintain fiscal responsibility and stability.

ENVIRONMENTAL ANALYSIS:

The proposed contract for an independent financial advisor and economic market expert to provide advice and assistance on existing and new debt issuances to PWP is an administrative action that would not cause either a direct physical change in the environment or a reasonably foreseeable indirect physical change in the environment.

Therefore, the proposed action is not a "project" subject to CEQA, as defined in Section 21065 of CEQA and Section 15378 of the State CEQA Guidelines. Since the action is not a project subject to CEQA, no environmental document is required.

FISCAL IMPACT:

The total cost of this action, including the two optional extensions, is $250,000 over a five-year term. This amount includes $150,000 for the initial three-year term, and $50,000 for each one year extension for a total maximum contract cost of $250,000.

Funding for this action will be addressed by the utilization of current and future year budgeted appropriations in Water Operating Fund (Account 42107980-811500) and Power Operating Fund (Account 42109230-811500).

MEETING OF.AGENDA ITEM NO.

Page 21 ends

Amendments to Fiscal Year 2022 Adopted Operating Budget January 10, 2022

Page 2 of 4 ends

BACKGROUND:

Throughout the fiscal year, budget amendments are necessary to account for unanticipated changes to the adopted budget. These revenue and appropriation amendments are presented to the City Council for consideration. This Agenda Report includes proposed amendments to the FY 2022 Operating Budget as adopted by the City Council on June 21, 2021. The proposed budget amendments are a result of grants awarded to the Public Health Department after adoption of the budget.

Pasadena Public Health Department (PPHD) recommends recognizing revenue and appropriating $260,650 in the Public Health Fund (203) for three grants. This will support an additional 3.25 limited-term FTEs and program related expenses. The details are as follows:
a. California Department of Public Health - Children and Youth with Special Health Care Needs (CYSHCN) Innovation Grant
The Department recommends recognizing revenue and appropriating $117,015 to the Public Health Fund in FY 2022. Secondly, the PPHD recommends adding

2.0 FTE limited-term, grant-funded positions at a total cost of $69,871 through June 30, 2022, which will support a 1.0 FTE Program Coordinator I and a

1.0 FTE Community Service Representative II. The remaining $47,144 is requested to support the purchase of supplies, training, and consultant services.

The California Department of Public Health CYSHCN grant will: 1) Provide system navigation support and linkages to healthcare services, social services, and other peer-to-peer support and mentoring services for children and youth with special health care needs; 2) Support transition of youth into the adult health care system; and 3) Promote family health information networks that increase collaboration between agencies and parents. The total grant award is $969,620 and the remaining $852,605 will be presented to City Council through the annual budget development process in future fiscal years to support program activities through June 30, 2025.
b. California Department of Public Health - California Equitable Recover/ Initiative The Department recommends recognizing revenue and appropriating $58,635 to the Public Health Fund. Secondly, the PPHD recommends adding a 1.0 FTE limited-term, grant funded Community Services Representative III at a total cost of $41,534 through June 30, 2022. The remaining $17,101 is requested to support the purchase of program supplies and services. The funding is provided by the Centers of Disease Control and Prevention (CDC), as a pass-through grant from the California Department of Public Health (CDPH). The purpose of the California Equitable Recovery Initiative grant is to address COVID-19 and advance health equity for disproportionately impacted racial and ethnic groups, rural populations, those experiencing socioeconomic disparities, and other underserved within state and local health jurisdictions The total grant award is $200,000 and the remaining $141,365 will be presented to City Council through the annual budget development process for next fiscal year to support program activities through May 31, 2023.

c. L.A. Care Health Plan - COVID-19 Vaccine Incentive Grant The Department recommends recognizing revenue and appropriating $85,000 to the Public Health Fund. The funding is provided by the L.A. Care Health Plan.

The purpose of this grant is to increase COVID-19 vaccinations for L.A. Care members living in Pasadena, prioritizing communities that have disproportionately been affected by COVID-19 and have lower vaccinations, such as African Americans and Latinx communities. Funding will support portions of existing authorized staff as well as outreach strategies which include social media ads, user generated video contests, and promotora (i.e. community health worker) supported canvassing and pop-up vaccine clinics. The grant funding term is October 1, 2021 to February 28, 2022.
d. Los Angeles County Development Authority - Lead Free Homes Program The Department recommends modifying an existing limited-term position associated with this grant, which is already budgeted in the FY 2022 Operating Budget. The modification entails reclassifying an existing Work Experience Aide to a Community Services Representative II in order to better align with the grant's needs, as well as increasing the position from 0.75 FTE to 1.0 FTE. The requested change will result in a projected $33,000 in cost for salaries and benefits but no additional appropriations are requested at this time because there is sufficient grant revenue and appropriations in the FY 2022 Budget to support the requested modification. Funded by the Los Angeles County Development Authority (LACDA), the Lead Free Homes grant will fund outreach and enrollment of owners and tenants in a lead remediation program for residential structures built before 1951 that are home to children under age 6, pregnant women, or properties frequently visited by children under age 6. The grant will fund outreach and enrollment activities in Northwest Pasadena and segments ofAltadena, East Pasadena, and Monrovia.

Financial Update January 2022
This update provides details on key revenue and expenditure data through the first-half of the fiscal year.

Property Tax payments, which are primarily made up of first-half payments from November and the unsecured payments, are in line with the budgeted forecast.

Payments for secured property tax for the first-half of the year totaled $25.1 million, which is an increase of $1.0 million from the same period last year. This revenue is not reflected in the actuals in Attachment A as the bulk of it was received in December 2021. With the Consumer Price Index (CPI) continuing to be well above 2.0% year-over year, the forecast for Fiscal Year (FY) 2023 will include CPI growth at the maximum property tax rate at 2.0% plus additional growth from real estate transactions of an additional 2-3%.

Sales Tax revenue realized continued recovery_as compared to the prior year. While some tax revenue from online sales retailers dipped slightly, it was more than made up from year-over-year growth at local brick and mortar locations. Despite supply chain challenges, new auto sales continue to be robust and many of the City's larger retailers have recovered well. While the loss of some businesses such as Sears will hurt revenue in the short-term, many of the closures were anticipated and considered in the future forecasts. If sales tax revenue, both the regular Bradley Burns 1.0% and the local Measure I, remain resilient, actual revenue may come in $2-3 million higher than budgeted for FY 2022.

Transient Occupancy Tax (TOT) has improved since the prior year and monthly TOT is in line with the budgeted estimates. While total TOT revenue will still be well below pre pandemic levels, it will likely double compared to FY 2021. Monthly TOT is averaging more than $1 million per month, which is a positive sign, especially in light of the fact that the Constance Hotel remains closed thereby reducing the City's available inventory.

Additionally, December saw the return of large conferences at the Pasadena Center Operating Company, which provides an instant boost to both occupancy and average
