ROSE BOWL OPERATING COMPANY
Matthew Hawkesworth, Director of Finance, provided introductory comments, Darryl Dunn, General Manager and Mo Salama, Controller, Rose Bowl Operating Company, provided a PowerPoint presentation and responded to questions.
Councilmember Kennedy asked how the Rose Bowl Operating Company (RBOC) plans to address the anticipated $5.1 million loss and stressed that the RBOC must stay in the black . Daryl Dunn responded that the RBOC plans to return to the full City Council on May 23 with their 5-year Proforma plan that will address revenue opportunities, capital improvement, and community enhancements.
Vice Mayor Wilson requested an explanation on the bond subsidy line item at $3 million. Mo Salama explained it was a debt service subsidy related to the Build America Bonds.
Chair Gordo requested clarification on the $4 million loss seen from fiscal years 2019 to 2021 and congratulated the Legacy Foundation and the RBOC staff for projecting $13.4 million in future revenue due to the number of events secured, which include s two very popular football games. He also added that the RBOC should look at the City’s model and consider providing health benefits to the families of the RBOC staff.
Councilmember Williams requested a clear breakdown of the RBOC’s total revenue for Fiscal Year 2022 including the grant received from the Shuttered Venue and the City’s debt service payment and requested that these figures be more transparent in future presentations so that it is easier for the public to understand.
Public Speak ers Donna Sider, Pasadena resident and Sonja Berndt, Pasadena resident, discouraged the City from continuing to move general fund funds to the Rose Bowl Operating Company’s debt service.
A discussion was held stemming from the public speakers comments asking the City to stop transferring General Fund dollars to the RBOC’s debt service, Vice Mayor Wilson agreed with the speakers and asked the RBOC to think creatively and develop a new busin ess plan that draws attention to the needs of the community while focusing on revenue generating opportunities. Councilmember Kennedy suggested surveying

the RBOC’s neighbors for an interest in building an upscale hotel in the Arroyo Seco open space or bringing a world class soccer team to call the Rose Bowl home and reminded the committee that it has been known for approximately 10 years that the current RBOC situation was forecasted, despite the COVID-19 pandemic. Chair Gordo disagreed with the public speakers and reminded the committee that the voters have placed a limit on the revenue generating opportunities for the RBOC and suggested a conversation on establishing a parking tax . Councilmember Williams suggested placing guardrails on how the RBOC can spend money and expressed discontent along with the public in her opinion as to why the RBOC provided full bonuses and a 15.5% pay increases to some of the staff while operating in the red.
Gloria Acevedo, Recording Secretary, reported that five letters providing comment on the item were received, distributed to the Committee and posted online.
Following discussion, on the order of the Chair, and by consensus of the Committee, the information was received and filed.

PASADENA MUNICIPAL CODE CHAPTERS 4.44 AND 4.101
TO ENHANCE THE CITY’S ABILITY TO COLLECT UNPAID
TRANSIENT OCCUPANCY TAXES AND TOURISM
BUSINESS IMPROVEMENT DISTRICT MONIES
Request for Ordinance to Amend Municipal Code
July 11, 2022
July 11, 2022
TO: Honorable Mayor and City Council
THROUGH: Finance Committee
FROM: Department of Finance
SUBJECT: DIRECTION TO PREPARE AN ORDINANCE AMENDING
PASADENA MUNICIPAL CODE CHAPTERS 4.44 AND 4.101 TO
ENHANCE THE CITY’S ABILITY TO COLLECT UNPAID
TRANSIENT OCCUPANCY TAXES AND TOURISM BUSINESS
IMPROVEMENT DISTRICT MONIES
RECOMMENDATION:
It is recommended that the City Council:
1. Find that the proposed actions are exempt from the California Environmental Quality Act (“CEQA”) pursuant to State CEQA Guidelines Section 15061(b)(3) (Common Sense Exemption); and
2. Direct the City Attorney to prepare and return with an ordinance within 60 days to enhance the City's ability to collect delinquent Transient Occupancy Tax or Tourism Business Improvement District monies.
BACKGROUND:
As the City Council is aware, the City has been attempting to collect unpaid Transient Occupancy Tax (TOT), penalties and interest from the former owner and operator of the Sheraton Hotel through civil litigation in a California court and through one of the operator’s bankruptcy proceedings in a Delaware bankruptcy court. In order to strengthen provisions relating to administration and collection of the City’s TOT and Tourism Business Improvement District (TBID) monies, staff recommends that the City Council direct the City Attorney to prepare an ordinance amending the TOT ordinance (Chapter 4.44) and TBID ordinance (Chapter 4.101) to make the following changes, among others:
a. Allow the City to file a certificate of lien for outstanding TOT or TBID (i.e., providing that the final City decision confers lienholder rights, without the need to litigate the issue);
b. Allow enforcement by warrant, seizure and sale of hotel property;
Request for Ordinance to Amend Municipal Code
July 11, 2022
c. Allow imposition of TOT and TBID liability on successor owners consistent with state law;
d. Allow imposition of attorney’s fees and costs where the City brings an action to recover unpaid TOT and TBID; and
e. Add criminal and civil penalties in addition to TOT and TBID penalties and interest already allowed.
Staff also recommends additional clean-up amendments to the TOT and TBID ordinance to conform the two enforcement processes to each other. For example, staff recommends both ordinances allow operators to appeal assessments to the City Council. Both ordinances assess TOT and TBID on the same hotel revenues, but only the TOT ordinance presently allows for an appeal to the City Council, following a tax administrator assessment.
Currently, the Pasadena Municipal Code (PMC) provides for penalties up to 50% of the amount of the tax and an additional penalty of up to 25% if the delinquent payment is due to fraud. Interest on unpaid taxes accrues at 1% per month. The PMC does not provide for specific enforcement action nor does it define the means by which the City may attempt to collect the debt. The proposed PMC amendments will provide several options to collect debt beyond a traditional civil court filing.
COUNCIL POLICY CONSIDERATION:
The proposed amendments of Chapter 4.44 and 4.101 would help maintain fiscal responsibility, support and promote quality of life and the local economy, and ensure public safety and generate additional revenue for the City of Pasadena.
ENVIRONMENTAL ANALYSIS:
This proposed Ordinance is categorically exempt from the California Environmental Quality Act (CEQA) pursuant to State CEQA Guidelines section 15061(b)(3) because there is no possibility that the activity in question may have a significant effect on the environment.

ITEM 2
FINANC
IAL UPDATE JULY 2022
Financial Update
July 11, 2022
originally anticipated. Additionally, the former Constance Hotel remains closed; however, the new owners are working towards a reopening later this summer.
Ut
ility Users Tax (UUT ) revenue in FY 2022 has been bolstered by the completion of several audits during the second half of the fiscal year that generated more than $2.0 million in one-time revenue. The City Council took action on June 20, 2022 to recognize the audit related revenue and appropriate funds related to the audit fees. The ongoing revenue related to the audit findings has helped keep the future UUT forecast relatively stable.
Co
nstruction Tax rev enue for FY 2022 is less than FY 2020, but greater than FY 2021. At year-end the actual revenue is likely to be slightly lower than the budget. Since this revenue source fluctuates based on the timing of building permits being pulled, it is relatively normal for the actuals to vary to budget in any given year. Staff will continue to monitor this revenue source should adjustments be required in FY 2023.
Bu
siness License Tax rev enue continues to trend lower than prior years. Business License Inspectors have been actively working through the delinquent list and have found that many out of town businesses have not renewed due to no business being conducted in Pasadena. Additionally, the temporary or one-day licenses typically obtained for special events remained down for the first half of the fiscal year, although revenue has increased. Overall, Business License Tax revenue will come in approximately $1.0 million under budget.
Lic
enses and Permit rev enue was reported as trending above budget in the prior update and continued with that trend. Plan review, plan check, and utility excavation related revenue is all well above budget through May. By year-end this revenue category will finish several hundred thousand more than budget.
Inve
stment Ear nings are reported as a loss through May 2022. The overall reported loss of $4.55 million is a combination of cash investment earnings of $400,000 and unrealized losses of $4.97 million. It is important to highlight that the reported losses are book losses related to unrealized losses of the City’s investment portfolio and do not represent actual or realized losses to the City’s cash position. Since the City typically purchases bonds at or below Par Value, that Par Value will be returned on the maturity date of the bond. The unrealized loss reported on the financial statement reflects the loss value if the City were to sell the bonds early at the current market value. Since the City has no intention to sell the bonds and incur the losses, these unrealized losses will slowly shift to unrealized gains as bonds get closer to their maturity dates. For example, the City may purchase a $5.0 million US Treasury at Par Value with a maturity date in 2025 and coupon rate of 0.65%. The value of that bond today may be $4.6 million to reflect a yield closer to 2.8% instead of the original 0.65%. The $400,000 difference between $5.0 million and $4.6 million would therefore be recorded as an unrealized loss despite the reality that in 2025 the bond will once again be worth $5.0 million and
Financial Update
July 11, 2022
interest payments will be received per the coupon rate of 0.65%. With the Federal Government increasing short-term rates by 75 basis points in June, bond prices have continued to fall as interest rates rise, and will result in additional unrealized losses being recorded in June.
Other General Fund revenue categories such as rental income and charges for services are tracking in-line with the budget. Revenue will continue to be tracked closely as payments made in July and August for many of the City’s major tax categories are accrued back to June and will be recorded for FY 2022.
The attached Revenue Analysis is through May 2022 and includes a comparison to both FY 2021 and FY 2020 for the same period. This multi-year comparison helps to provide some context to the recovery as compared to FY 2021 and some of the remaining losses as compared to FY 2020. One note for the comparison is the General Fund Miscellaneous Revenue category for FY 2020, the reported amount includes the proceeds from the sale of the Concord Senior Housing Complex.
General Fund Expenditures as noted in prior financial updates, staff has worked diligently in FY 2022 to maintain expenditures within budget since only minimal increases were included from the prior year. With the City experiencing a larger than normal number of vacancies during the year in some areas, personnel has trended lower than budget overall and should finish the year under budget. Additionally, as presented during the department presentations to the City Council sub-committees, a portion of the anticipated savings is attributed to less part-time staffing last summer and the timing of the second Fire Department training academy that is taking place a couple months later than originally planned. Some of the overall personnel savings has been utilized in the services and supplies category to backfill with consultants or temporary staffing. The City’s level of budget authority provides that departments can shift funds between these two categories as long as the transfers remain within the same department and fund.
Looking forward to FY 2023, the City Council Committee structure for department budget presentations initiated this past May will be continued with planned quarterly financial updates to each committee. This will provide each committee with an opportunity to learn more about financial trends for both revenue and expenditures that are department specific along with assessing the need to changes during the year.
