ACTION BY WRITTEN CONSENT
OF THE BOARD OF DIRECTORS OF
GEOSYNTEC CONSULTANTS, INC.
The undersigned. Board of Directors ("Board") of GEOSYNTEC CONSULTANTS, INC., a Florida corporation (the "Company"), did hereby consent in writing, effective as of February 29, 2024, to the following:
Powers and Duties of Officers as Conferred by the Board:
WHEREAS, pursuant to the by-laws, the officers of the Company shall consist of a President, Secretary and other such officers, including a Chairman of the Board and one or more Vice Presidents, which are appointed by the Board;
WHEREAS, each Chairman of the Board, President, Secretary, Assistant Secretary, Treasurer, Executive Vice President, and Vice President shall have the authority to execute contracts and bind the Company;
WHEREAS, on April 21, 2017 the Board adopted a Resolution establishing an additional category of officer referred to as a Practice Officer;
