The undersigned, (a) Patriot Container Acquisition Corp., the sole member of Wastequip, LLC, an Ohio limited liability company ("Wastequip"); (b) Wastequip, the sole member of each of: (i) Toter, LLC, a North Carolina limited liability Company ("Toter"), (ii) Cusco Fabricators, LLC, an Ohio limited liability company ("Cysco"), (iii) WDO LLC, an Ohio limited liability company ("WQD"), (iv) Parts Place, LLC, a Delaware limited liability company ("Parts Place"); (v) Wastequip Manufacturing Company LLC, an Ohio limited liability company ("Wastequip ManufacturinR"); (vi) Amrep Manufacturing Company, LLC, a Delaware limited liability company ("Am rep"); (vii) ConFab Manufacturing Company, LLC, a Delaware limited liability company ("ConFab"); (viii) Container Pros, LLC, a Delaware limited liability company ("Container Pros"); (viii) Wastebuilt Environmental Solutions, LLC, a Delaware limited liability company ("Wastebuijt"); and Wastely, LLC, a Delaware limited liability company ("Wastety") (c) Toter, the sole member of each of: (i) Toter International I LLC, a North Carolina limited liability company ("Toter I") and (ii) Toter International It LLC, a North Carolina limited liability company ("Toterll"); (d) Toter I and Toter II, the sole membersof(i) Toterde Mexico, S. de R.L. de C.V. ("Toterde Mexico"); (ii) Fabricantes Consolidados, S. de R.L. de C.V. ("Fabricantes"); and (iii) Toter Mex, S. de R.L. de C.V. ("Toter Mex"); and (e) Wastequip Manufacturing, the sole member of Galbreath LLC, an Indiana limited liability company ("Galbreath" and together with Wastequip, Toter, Cusco, WQD, Parts Place, Wastequip Manufacturing, Amrep, ConFab, Container Pros, Wastebuilt, Wastely, Toter I, Toter II, Toter de Mexico, Fabricantes, Toter Mex and Galbreath, the "Wastequip Entities") acting pursuant to their powers under each of the respective limited liability company agreements of each of the Wastequip Entities hereby consent to, approve, and adopt the resolutions and the actions set forth below:
WHEREAS, pursuant to the limited liability company agreements of each of the Wastequip Entities, the respective member of each entity is permitted to appoint or remove officers of each entity in its sole discretion;
NOW THEREFORE BE IT RESOLVED, that each of the Wastequip Entities hereby appoints the Officers to their position of such designated Wastequip Entity attached as Exhibit A hereto, from the date hereof until his/her earlier death, resignation or removal or until his/her successor shall have been duly elected and qualified, and any others who may have been previously appointed have been so removed;
RESOLVED, that the authorized Officers of each Wastequip Entity (the "Authorized Officers") are, and each of them hereby is, authorized, empowered and directed, in the name and on behalf of the Wastequip Entities to take all actions and do all things including, without limiting the generality of the foregoing resolution, execute, amend, deliver and file, as appropriate, alt agreements, acknowledgements, confirmations, instruments and other documents, which are necessary or desirable to otherwise implement and effectuate the transactions contemplated by the foregoing resolutions, the authority for the taking of such actions and the execution and delivery of such agreements, acknowledgements, confirmations, instruments and documents to be conclusively evidenced thereby; and
RESOLVED FURTHER, that al! actions heretofore taken by the Authorized Officers (or any one or more of them) in connection with any one or more of the matters referred to in the foregoing resolutions are hereby confirmed, approved and ratified in all respects.
