CEQA Determination: The City finds that this action is not a project under the California Environmental Quality Act pursuant to State Guidelines Section State CEQA Guidelines, §§ 15060, subd. (c)(2)-(3), 15378.

Facts
1. A fixed based operator is a commercial business granted the right by the airport sponsor to operate on an airport and provide aeronautical services such as fueling, hangaring, tie-down and parking, aircraft rental, aircraft maintenance, flight instruction, and other related services.
2. Municipally-owned airports with moderate to high traffic volume, such as the Paso Robles Airport (KPRB), typically utilize a private FBO company to provide these services to general aviation customers.
3. Since the early 1970’s, KPRB has contracted for provision of Full Service FBO services to the flying public. Since that time, several companies have operated the Full Service FBO concession at KPRB, including Golden Carriage Air, Oasis, The Executive Air Center, Aero Service, North American Jet Charter Inc., and most recently ACI Jet.
4. After North American Jet Charter Inc. unexpectedly closed in 2010, ACI Jet stepped in on an emergency basis to provide FBO services. In 2011, a contract with ACI Jet was signed for a total contractual term of 10 years. Upon expiration of the 10-year term the City administratively extended the contract four times in short term or one-year increments with the contract ultimately expiring on October 31, 2023. Currently the contract is being held over on a month-to-month basis and will expire upon execution of a new Full Service FBO contract.
5. Prior to and in preparation for the expiration of the Full Service FBO contract, a subcommittee of the Airport Commission was formed to discuss the services and important considerations in selecting a provider. Airport Commissioners Ben Andros, Marc Dart, and Chairman Eric Cook sat on the subcommittee. Subcommittee conclusions were:
a. The City should retain local control of the Airport; b. The FBO provider should have a strong relationship with the maintenance mechanic, preferably as an employee of the FBO;
c. If the FBO Service provider commits to no capital investment in the Airport, a short-term contract (five years) is appropriate;
d. If the FBO Service provider commits to significant capital investment in the Airport, a longterm contract commensurate with the level of investment is appropriate.
6. Given the criticality of FBO services to KPRB, the City contracted with Aviation Management Consulting Group to assist in drafting the request for proposals document. Draft versions were discussed with the Airport Commission subcommittee and City staff prior to publication.
Joint City Council and Airport Commission Meeting Agenda
7. On April 14, 2023, the RFP document was published online and through normal City channels. The document was circulated until the June 29, 2023 submission deadline. On May 8, 2023, a site visit for potential proposers was held. Proposers had an opportunity to submit clarifying questions until May 18, 2023. Two addendums to the RFP were issued in response to written questions from proposers and issued to all those firms that had indicated an interest in submitting a proposal.
8. Included in the RFP document are required parameters and negotiable offerings. Minimum products, services, and facilities to be provided by the successful FBO were detailed on page 3 of the RFP and include the following:
a. Retail aircraft fueling services and self-service fueling as well as an FBO receptive to exploring alternative fuel options such as sustainable aviation fuel (SAF), unleaded aviation fuel, electric, hydrogen; and upgrading the current self-service system such as the addition of an electric hose reel for self-serve fueling and loyalty programs for based aircraft;
b. Aircraft ground handling services (including parking guidance, towing, etc.); c. Crew and passenger services (including baggage handling, ground transportation arrangements, etc.);
d. Operation of the Unicom radio, monitoring the CTAF and issuing necessary public information involving airport operations and status;
e. Tie-down and apron parking rental management;
f. Crew and passenger amenities and facilities;
g. Emergency service to disabled general aviation aircraft (i.e., towing/transporting disabled aircraft);
h. Sale of miscellaneous retail pilot supplies;
i. Maintenance for both piston and jet aircraft; and
j. Aircraft charter services.
9. Negotiable real estate offerings were detailed on page 2 of the RFP and include the following:
a. Existing facilities owned by the City:
i. The Executive Air Center, a purpose built FBO building at 4990 Wing Way which includes 10,000 SF Hangar and 8,600 SF of office space; ii. 80,400 SF dedicated FBO ramp located in front of the Executive Air Center; iii. Dedicated portions of the Airport Terminal building including a 546 SF office, 1,780 SF restaurant, and City-managed but FBO maintained (janitorial) 745 SF public access, restrooms, and 1,333 SF terminal lobby area; iv. City owned aviation fuel storage to be maintained and operated by the FBO including:
1. 12,000-gallon AvGas storage tank
2. 20,000-gallon Jet A storage tank
3. QT- Pod self-service system
b. Development area:
i. 3.2 Acre (165,794 SF) parcel adjacent to the Airport Terminal along taxiway Delta was identified for aviation development.
10. The anticipated lease term was detailed on pages 3 and 4 of the RFP. If capital investment was not provided by the proposer the anticipated term was 5 years. If capital investment was provided, the term was to be negotiated with the City with a maximum available term being 40 years depending on the level of approved capital investment. Consistent with existing City and FAA best practices the improvements developed by the proposer shall revert to the City upon expiration of the lease term.
11. The City received two proposals for FBO Services --Loyd’s Aviation and ACI Jet. Following the RFP submission deadline an evaluation review committee was formed to independently evaluate the
Joint City Council and Airport Commission Meeting Agenda proposal based on standard criteria identified in section 4.12 and 4.13 of the RFP. The evaluation committee was made up of nine members including Eric Cook, Chair of the Airport Commission; Ben Andros, Airport Commissioner; Kendal Pearson, KPRB Flight School Owner/Operator; James Tully, Battalion Chief, Paso Robles CALFIRE Air Attack Base; Michael Byrne, Assistant Airport Manager, San Mateo County; Paul Sloan, Economic Development Manager; Chris Huot, Assistant City Manager; Freda Berman, Public Works Director and Mark Scandalis, Airport Manager. The proposal review committee preferred Loyd’s Aviation’s proposal by a count of 5 to 4 based on individual scores of the review committee members. The average score for Loyd's Aviation was 91.1 points and the average score for ACI Jet was 86.8 points out of a possible 110 points.
12. Given that the proposers were rated so closely, both firms were invited for an in-person presentation and interview. The interview committee was comprised of seven members including Eric Cook, Chair, Airport Commission; Ben Andros, Airport Commissioner; Kendall Pearson, KPRB Flight School Owner/Operator; Courtney Johnson, Director of Airports, San Luis Obispo Country Regional Airport; Brett Godown, Airport Manager, Salinas Municipal Airport; Jim Saunders, community member and Airport developer and Mark Scandalis, Airport Manager. After the interview process, the interview committee preferred Loyd’s Aviation in a 4-3 vote. Preference for Loyd’s was given because of the positive impression of their customer service, culture fit with Paso Robles, attentiveness to general aviation operations, and consistency with the offerings detailed in the RFP.
13. The interview committee recommended negotiating with both proposers in order to seek the best overall arrangement for the City, acknowledging a preference for Loyd’s Aviation.
Options
1. Authorize staff to negotiate with both proposers(Loyd’s Aviation and ACI Jet) in order to seek the best overall arrangement for the City; or
2. Negotiate exclusively with Loyd’s Aviation to seek the best overall arrangement for the City; or
3. Negotiate exclusively with ACI Jet to seek the best overall arrangement for the City; or
4. Reject all proposals and republish the Request for Proposals for FBO Services; or
5. Direct staff to conduct a feasibility study to operate the FBO in-house; or
6. Provide alternative direction to staff; or
7. Retain the existing month-to-month lease.
Analysis and Conclusions
Of the two proposals received for the full service FBO contract, City staff believe both have advantages and disadvantages. Ultimately, Loyd’s Aviation and ACI Jet put forth development concepts that if realized, would provide a significant increase in the level of service to the flying public and capital investment in the Airport for the betterment of the Airport.
City staff reviewed confidential financial statements from both FBO proposals, including three-year profit/loss statements, statements of financial capacity, and proof of insurance. Both proposers were deemed capable of providing the required services.
Highlights of each proposal are as follows:
1) Loyd’s Aviation proposes:
a) Leasing the existing facility offerings detailed in the RFP; b) An expansion of the Airport Terminal building to the south including a two-story executive FBO building, a customer service desk, a flight planning area, a pilot’s lounge, a passenger lounge, and three additional restrooms;
Joint City Council and Airport Commission Meeting Agenda c) On-site car rental services;
d) A phased development (two to three hangars at a time) of 19 additional small to mid-size hangars on the 3.2 acre development area;
e) An initial 5-year term with an option to extend long term upon completion of the Airport Terminal expansion;
f) A negotiated split on aircraft parking fees with rates set by the City Council per the adopted comprehensive fee schedule;
g) To address the aircraft maintenance obligations of the RFP, Loyd’s was open to supporting local businesses however possible, including a contractual relationship with the existing onsite maintenance shops or opening its own maintenance shop should the need arise. During the interview process Loyd’s indicated their maintenance activity in Bakersfield is ~40% light aircraft and that they are a Piper and Cessna authorized repair station. 2) ACI Jet proposes:
a) Leasing the existing facility offerings detailed in the RFP; b) An expansion of the Airport Terminal to the south including a two-story executive FBO building, customer service desk, a flight planning area, a pilot lounge, a passenger lounge, and the remodeling of the existing restroom facility rather than the addition of new restrooms in the Airport Terminal expansion;
c) One 18,000 SF corporate jet hangar and a development concept for the 3.2 acre offered parcel.
ACI Jet proposed a 40-year term on all areas except the 3.2-acre parcel of which they proposed a 10-year term with a 30-year first right of refusal on the parcel if they did not develop the area within the initial 10-year term.
d) Included as part of, and contingent on, the ACI Jet proposal was the long-term lease of an additional, approximately 250,000 square feet (“SF”) of ramp area not identified by the City to be leased by the prospective FBO. This additional ramp area fronts the Airport Terminal and includes all premium ramp space at the Airport: the Terminal Ramp, Transient Ramp, the Heliport, and the Terminal Overflow Ramp.
i) In question #1 of addendum #2 ACI Jet asked whether these areas were offered for lease to which the City responded “No, all the areas in the attached photo are not expressly part of the facilities to be leased by the successful proposer …” Despite confirmation by the City that the additional areas were not offered, ACI Jet retained these areas in their proposal.
Furthermore, on page 23 of the ACI Jet proposal it states “development is contingent upon our ability to lease the following additional areas.” ACI Jet offered a 40-year term on this additional ramp space. For the first 10 years of the term, rent would be set at $0.12/SF/year with an 80% ACI/20% City split on the parking fees generated on the ramp area of which rates are set by ACI Jet. Following the initial 10-year term, the City would receive Fair Market Value for the ramp space and no longer receive a revenue share for parking fees on the leased areas.
For the entire term, the City would remain responsible for the maintenance and upkeep of the parking areas leased by ACI Jet.
ii) During the interview process ACI Jet confirmed they would not provide capital investment in the Airport unless they were able to lease the additional ramp space. e) To address the aircraft maintenance obligations of the RFP, ACI Jet proposed a subcontract with a local maintenance provider for general aviation maintenance with support for turbine and Jet aircraft out of their repair station in San Luis Obispo.
Future Negotiation:
Joint City Council and Airport Commission Meeting Agenda Per the provisions of the RFP the City retains the right to negotiate with one or more proposers and the right to terminate negotiations at any time without liability before awarding the agreement. Following discussion between interview committee members it was agreed if the City were to negotiate with either one or both proposers, the following negotiated points should be considered:
1) Loyd’s Aviation:
a) Seek an improved proposal for the Airport Terminal expansion design to more closely match the existing building;
b) Focus on FBO operated aircraft maintenance services rather than a subcontract arrangement; and c) Development of the 19 additional hangars en masse rather than phased. 2) ACI Jet:
a) Seek a reduction in the amount of leased space and exclusion of first right of refusal language to align with the offerings of the RFP;
b) Focus on FBO operated aircraft maintenance services rather than a subcontract arrangement; c) Seek improved restroom access in the Airport Terminal expansion design; d) Retain the ability for City Council to set rates and fees for aeronautical charges; and e) Detail customer service level guarantees.
Fiscal Impact
Currently the City receives $179,433 per year in lease revenue from the existing full service FBO contract.
Upon review of the proposer’s financial plans, both proposals offered roughly $150,000 per year in lease revenue to the City for the areas offered in the RFP. Since all terms are negotiable the City is unable to determine the actual financial impact until negotiations are completed but it is expected the City would receive lease revenue in line with fair market values for property at the Airport.
CEQA
The City finds that this action is not a project under the California Environmental Quality Act pursuant to State Guidelines Section State CEQA Guidelines, §§ 15060, subd. (c)(2)-(3), 15378.
Recommendation
While staff does not have a specific recommendation, should the City Council authorize staff to negotiate with one or both of the proposers, staff would recommend the City Council direct staff to negotiate on the points above under “Future Negotiation,” in addition to any other considerations to achieve the most favorable overall arrangement for the City.

1. Section 2.2 (Description of the Airport/FBO Property and Facilities/Aircraft Parking and Storage) does not include the Terminal Ramp. Why is that the case? What is the City’s expectation of the FBO when it comes to use and management of the Terminal Ramp?
A: The terminal ramp was inadvertently omitted from Section 2.2. It is depicted on page 24 of the document. For the terminal ramp, and other public ramps not under agreement with the FBO it is expected that the FBO help manage day to day parking and general directing of aircraft to parking as needed and in conjunction with Airport staff.
2. Section 2.2 (The Proposal should indicate whether and, if so how, the current subtenants would be accommodated, expanded, or transitioned.) Please provide a list of all current agreements the city has on all of the proposed properties with Attachment 1
Joint City Council and Airport Commission Meeting Agenda Bid Addendum No. ___, DPW No. ___ Page 2 of 3
associated rates and terms, including the seasonal agreement for the Skycrane Helicopter.
A: This Section speaks to the subtenants under the current FBO lease hold; Joe’s 19er Diner in the Airport Terminal restaurant space; and Air Methods and Air Jav Aviation in the Executive Air Center. As these three tenants are subtenants of the current FBO, the City does not have any agreements with the companies. The prospective FBO should indicate if these subtenants would be accommodated, expanded, or transitioned. Any seasonal agreement with the Skycrane Helicopter would be outside of the purview of the Full Service FBO Request for Proposals and under the Department of Forestry.
3. Section 2.2 (The FBO will be responsible for collecting all applicable overweight waivers and remitting related fees to the City.) What are the official weight limits that the airport can accommodate? What is considered overweight from the City’s perspective? Have these numbers been provided to the Military to inform appropriate revisions to the Giant Report and for knowing the threshold to request waivers? A: The official weight limits for the Airport can be found on page 7, Table 2 “Airport Infrastructure” of the RFP document. The Military is kept up to date on current Airfield conditions through routine inspections.
4. Section 2.2, Helicopter Parking Spots Attachment 9 depicts 7 helicopter parking spots. Which are for FBO use?
A: 6 parking positions are to the east of the Helipad. A prospective FBO may propose exclusive use of a helicopter parking position, including preferred location for consideration.
5. Section 2.2, Attachment 3. 13,000 sf cutout dedicated for periodic fire emergency operations. What constitutes emergency fire operations? Who collects rent / fees when this space is used for this purpose?
A: An emergency fire operation is considered to be a situation where the City Fire Department responds to an incident at the airfield. An example, among other situations, would be an aircraft crash. Fees and rents would not be collected during a short-term emergency situation. If need be, a prospective FBO can elect not to include this square footage in any agreement with the City, permanently keeping it clear and reserving the square footage for emergency response. If a prospective FBO includes this area as part of an agreement with the City, the area would be kept clear of semi-permanent or not readily movable assets. The intended use of the space is light aircraft storage, easily moved in case of emergency. The space’s proximity to the Airport Fire Station and ingress/egress to the airfield dictate its special use condition.
6. Section 2.8 Anticipated Rents and Fees: The City currently has established flow fees but the RFP requests both proposed Storage and flow fees. Is the City’s intent that proposers would identify an additional amount to be paid to the City moving forward?
A: Fuel flowage fees will be the only fees assessed for the use of the City owned fuel storage facility.

7. Section 4.12 Evaluation Criteria. When scoring, are the points divided up evenly amongst the bullet points listed within the defined proposed content? For example, are the 25 possible points for “Qualifications and Experience” divided evenly between the 6 bullet points of 5.3 (Qualifications and Experience)? A: Evaluation criteria are as defined in 4.12, are ranked and graded holistically based on the key elements listed for each of the parts of the proposal content in Section 5.
8. Do full page tab dividers count toward the proposal's maximum page count? A: No, dividers between sections are not included in the maximum page count.
9. If using double-side printing for our proposal, are we charged one or two pages toward the proposal's maximum page count?
A: Double-sided printing is considered two pages.
10. Do attachments count toward the proposal's maximum page count? A: Except for schematic or renderings depicting proposed development plans, attachments are included in the maximum page count.
11. Do embedded documents within the proposal, if kept in their original format or scanned copies of originals, need to meet the Times New Roman and minimum 11pt font size requirement?
A: No, embedded content can be kept in its original format provided content is easily legible.

2. Does the City currently have any month to month, quarterly, or annual agreements with any user, other than the current FBO, on any of the proposed FBO lease hold areas depicted in the RFP? If so, what rates are these users paying to ulize space? a. No. Unless otherwise negoated, rates are based off the current fee schedule adopted by City Council.
Attachment 1
Joint City Council and Airport Commission Meeting Agenda Bid Addendum No. ___, DPW No. ___ Page 2 of 3
3. Can the City authorize addional pages for proposers subming a development plan? a. By way of this Addendum the City authorizes an addional 10 pages for proposers subming a development plan.
4. If a proposer submits confidenal informaon (i.e. financial statements) under a separate cover and designates them as confidenal, are those pages counted against the 35 page total? a. No. Confidenal documents can be submited under a different cover and will not count towards the total number of pages allowable.
5. Are the subleases with the exisng FBO a public document? a. Yes.
6. Is it possible to eliminate the requirement of providing aircra maintenance, but allowing the FBO to decide to engage in aircra maintenance in the hangar if the business was viable? a. Aircra maintenance is required per the City Council adopted Minimum Standards for the Full Service FBO and cannot be eliminated.
7. How are fees now collected on behalf of the airport? Including landing, parking and anything else that is not on the FBO designated ramp?
a. Generally, the City itself handles collecon of airport fees on areas not under FBO lease hold with the excepon of overweight fees idenfied in the RFP (if applicable).
8. Is there a revenue split for collecng these fees?
a. A revenue split may be a negoated point if the proposer chooses to include it in their proposal.
9. There appears to be a significant amount of land not idenfied in the RFP for development. Is it possible to idenfy that land and expectaons for future development? a. In addion to the idenfied parcel on page 26 of the RFP document, APN numbers 025- 471-035, 025-471-038, 025-471-037, 025-471-036, 025-471-030 may be available for aeronaucal development.
10. Who holds the environmental responsibilies, such as CEQA, NEPA, SWPPP and any other environmental standards? Is it the airport, or the tenants (FBO)? a. Developers/FBO are responsible for any environmental documents associated with their potenal development or lease hold.
11. Are there any known contaminants, or other environmental issues idenfied on airport property?
a. Being an ex-military base, it is unknown if the enrety of the airport’s acreage has contaminants. It is known there are a number of vernal pools potenally housing environmentally sensive ferry shrimp. To the best of the City’s knowledge, the idenfied parcel on page 26 or parcels idenfied in the answer to Queson 9 above are not encumbered by said challenges.
