MEETING DATE: September 20, 2022
ITEM NO: 5.14
SUBJECT: Approve the Seventh Amendment to the employment contract between City Manager Ken Irwin and the City of Patterson.

RECOMMENDATION
Motion to Approve the Seventh Amendment to the employment contract between City Manager Ken Irwin and the City of Patterson (attached).

BACKGROUND
Ken Irwin (“City Manager”) has worked for the City of Patterson (the “City”) in different capacities since 2012. He served as the Director of Engineering, Building and Capital Projects until becoming the City Manager in 2014. On October 16, 2014, the City Council (“Council”) approved an employment agreement establishing the terms of the City Manager’s employment with the City (the “Agreement”). The Council has approved subsequent amendments to the Agreement.

On July 19, 2022, the Council completed a performance evaluation of the City Manager. Based on this evaluation, the Council has requested a revision to the City Manager’s contract duration, eligible compensation, and benefits.

ANALYSIS
In recognition of Mr. Irwin’s performance, the Council has requested revisions to the Agreement, which will memorialize certain changes (“Seventh Amendment”). The proposed Seventh Amendment will extend the contract term through October 16, 2027; provide for a minimum 3% annual base salary increase, effective October 16th of each year; and fully paid (100%) retiree medical, dental, and vision after 10 years of service, provided Mr. Irwin is not let go for cause or otherwise terminates his employment with the City. In addition, Mr. Irwin shall have the option to work an 9/80 work schedule. Mr. Irwin will continue to receive annual performance evaluations and the remaining provisions of the Agreement will remain unchanged.

RECOMMENDED ACTION
Based on the information contained herein, staff recommends that the Council approve the Seventh Amendment.

ALTERNATIVE ACTIONS
The Council may select any of the following actions:
(1) Approve the Seventh Amendment without any changes;
(2) Approve the Seventh Amendment with changes and revisions; or (3) Reject the Seventh Amendment entirely.

FISCAL IMPACT
Appropriation for the provisions in the contract shall be included in the City’s biennial operating budgets.
