SUBJECT: Adopt Resolution No. 2023-07 Updating the Senior Center Board of Directors’ (“Board”) Mission, Terms, Authority, and Duties.
RECOMMENDATION
Motion to Adopt Resolution No. 2023-07 Updating the Senior Center Board of Directors’ (“Board”) Mission, Terms, Authority, and Duties.
BACKGROUND
The Board is an advisory body to the Patterson City Council (“City Council”) related to planning, coordination, and development of programs and activities for the senior population of the City. It is necessary to periodically review the Board’s governing documents and the roles and responsibilities of the Board to ensure they adequately address the needs of the City’s senior population and align with the mission of the City Council.
The Board’s structure and rules have historically been comprised of a compilation of resolution amendments over several years. The proposed Resolution supersedes Resolution No. 2005-52, the most recent resolution which establishes the Board’s rules and processes. The new Resolution restructures the Board’s bylaws, provides updates and clarification to the Board’s function and scope of duties and makes other non-substantive clerical changes.
The revised bylaws contain substantive changes to the structure of the Board membership and duties. For example, the Bylaws establish residency and age requirements for Board membership. The Board will be comprised of five (5) members appointed by the City Council, each who shall be a City resident and a senior (age 55 and over). The Bylaws modify the removal process, which now will allow for the removal of a Board member by a majority vote of all members of the City Council. Previously, removal of a Board member required a four-fifth vote of the City Council. The change in the removal requirement mirrors the removal requirements for other City commissions and committees.
The Bylaws also clarify the duties and responsibilities of the Board and memorializes the Board’s role as advisory to the City Council. The Board’s responsibilities are to make recommendations to the City Council for services and programs, issue recommendations pertaining to related expenditures of the Senior Center, advise other City boards, commissions, and departments affecting senior residents and encourage coordination among organizations providing related services.
There are no changes to the role of the Board Chair and Vice Chair, appointment date, and meeting attendance requirement. However, the Bylaws have been updated to reflect a maximum of two (2), one (1) year term limits for the position of Chair and two (2), one (1) year terms for the position of Vice Chair. The terms may be served consecutively. There are also no changes to the terms of office for each Board member which serves a term of two (2) years. If there is no member of the Board willing to serve as Chair or Vice Chair in a particular year, a member who has previously served in this capacity may serve an additional term with the concurrence of Council. Each member shall continue to serve at the pleasure of the City Council.
The revisions also contain non-substantive changes which reorganize the sections and requirements in the Bylaws.
FISCAL IMPACT
Adoption of this Resolution No. 2023-07 will have no fiscal impact.
POLICY ALTERNATIVES
The City Council’s options are:
1. Adopt the Resolution No. 2023-07 without any changes;
2. Adopt the Resolution No. 2023-07 with changes and revisions; or
3. Reject the Resolution No. 2023-07 entirely.
