This transfer will enable the Successor Agency to complete all required closeout activities associated with its final dissolution and result in a “note receivable” due to the General Fund associated with the loans being assumed by the General Fund.
CITY COUNCIL AGENDA REPORT – SPECIAL MEETING OF NOVEMBER 5, 2025
REPAYMENT, ASSIGNMENT AND ASSUMPTION OF LOANS TO THE SUCCESSOR
AGENCY FUND TO FACILITATE THE SUCCESSOR AGENCY DISSOLUTION
Background:
On August 19, 2025, the Los Angeles County Oversight Board approved the City’s request to dissolve the Successor Agency to the former Redevelopment Agency. The California Department of Finance (DOF) subsequently approved the dissolution on September 17, 2025, in accordance with Section 34187 of the California Health & Safety Code. The Successor Agency must remit all remaining assets to the Los Angeles County Auditor-Controller’s Office within 100 days of the DOF approval, which includes any liquid cash or loans/accounts receivable owed to the Successor Agency.
Discussion:
As the Successor Agency approaches final dissolution, all remaining assets must be remitted to the Los Angeles County Auditor-Controller. The Successor Agency currently holds approximately $3.1 million in assets, including two (2) receivables totaling $299,313. This amount reflects funds owed to the Successor Agency by third parties that participated in the former RDA’s business development and improvement programs.
These amounts are scheduled to be repaid over the next several years.
To facilitate the Successor Agency’s timely dissolution in accordance with statutory mandates, the City will transfer the remaining balance due on these loans ($299,313) from the Successor Agency Fund to the General Fund to liquidate the receivables, and in exchange, the Successor Agency will assign the loans and future rights to receive repayment to the City. This transfer allows the receivables to be reassigned to the General Fund, preserving the City’s repayment rights while enabling the Successor Agency to complete its statutory dissolution.
Once received, the Successor Agency will remit the funds received from the City to the County Auditor-Controller for distribution to the affected taxing entities, as required by law. The City will then retain the receivables until repayment is complete.
This transaction advances several public purposes and benefits:
• Compliance with dissolution law: This allows the Successor Agency to meet statutory requirements for retiring all enforceable obligations before dissolution, and to do so expeditiously.
• City’s strategic position: It preserves the City’s financial interest in the receivables while enabling dissolution.
• Audit readiness: It provides a clear, auditable trail that demonstrates City Council authorization consistent with Government Code Sections 37350 and 40602, and the redevelopment dissolution statutes.
CITY COUNCIL AGENDA REPORT – SPECIAL MEETING OF NOVEMBER 5, 2025
REPAYMENT, ASSIGNMENT AND ASSUMPTION OF LOANS TO THE SUCCESSOR
AGENCY FUND TO FACILITATE THE SUCCESSOR AGENCY DISSOLUTION
Conclusion:
Staff recommends that the City Council authorize staff to prepare and execute an assignment and assumption agreement and the transfer of notes receivable of $299,313 from the Successor Agency Fund to the General Fund. This action will enable the timely dissolution of the Successor Agency while preserving the City’s financial interests in the receivables.
