Consideration of a First Amendment to the Agreement with Good City Company for Services Related to the Preparation of Objective Design Standards for Residential Buildings
RECOMMENDATION
Approve the proposed First Amendment to the Agreement (Attachment 1) with Good City Company for services related to the preparation of objective design standards (ODS) for residential buildings.
EXECUTIVE SUMMARY
Good City Company, in partnership with Van Meter Williams Pollack, LLC, is under contract with the City of Piedmont to prepare objective design standards for residential buildings (1-4 unit buildings, ADUs, mixed-use and multifamily buildings). They are also tasked with drafting recommended revisions to the Piedmont City Code for consistency with the new objective design standards.
The time needed to prepare draft ODS and complete multiple internal reviews of the draft took longer than expected so the timeline for completion and adoption of the new ODS for 1-4 unit buildings and the updates to the ODS for accessory dwelling units (ADUs) and mixed-use/multifamily buildings has been delayed into the early part of 2026. Accordingly, the contract amendment elongates the term of the agreement. No other changes are proposed.
FISCAL IMPACT
The change in term will have no fiscal impact.
CITY ATTORNEY REVIEW
The attached document was reviewed and approved as to form.
CONCLUSION AND NEXT STEPS
Staff recommends that the City Council approve the Amendment for Consultant Services with Good City Company, changing the term of the agreement from December 31, 2025 to March 31, 2026. Should the City Council approve the amendment, staff will work with the Good City Company and Van Meter Williams Pollack team to complete the final set of tasks related to the preparation and adoption of objective design standards.

FIRST AMENDMENT TO AGREEMENT
This Amendment to the Agreement (“Amendment”) is made and entered into on this ___ day of September, 2025, (the “Effective Date”) by and between the City of Piedmont, a municipal corporation (hereinafter referred to as “City”) and Good City Company, a California corporation (hereinafter referred to as “Consultant”). City and Consultant may be referred to individually as “Party” and collectively as the “Parties.”
R E C I T A L S
A. City and Consultant entered into an Agreement dated August 19, 2024 (“Original Agreement”), under which Consultant provides certain services in connection with preparation of objective design standards for residential buildings and drafting recommended revisions to the Piedmont City Code for consistency with the new objective design standards.
B. The Parties now wish to enter into this First Amendment to the Original Agreement to extend the Consultant’s time for completion of Services in the Agreement to March 31, 2026.
C. All capitalized terms not otherwise defined in this Amendment shall have the respective meanings provided in the Original Agreement.
A G R E E M E N T
NOW, THEREFORE, the parties hereto agree as follows:
1. The Parties agree that the Recitals set forth above are true and correct and are incorporated herein.
2. The Parties agree that Consultant’s time to complete the specified Services as provided in Section 3.1 of the Original Agreement is hereby extended from December 31, 2025, to March 31, 2026.
3. Unless explicitly amended by this Amendment, all terms and provisions of the Agreement shall remain in full force and effect.
