seeding of the entire field that took place in May, the field was reopened for the community’s enjoyment in June. Additional upgrades to the irrigation system using the FY 2025/26 budget are planned for October/November of this year. • Fernandez Park Sewer Lateral: To address the severely damaged lateral sewer pipe (cased in concrete) that connects the park’s restrooms to the main that runs along Tennent Avenue, various methods of repair or replacement were investigated. As a result, a pipe insert that eliminated the need for any demolition to the existing walkway or concrete casing was installed, along with two pumps and a well. This construction technique has proven to be effective, and the system functioned efficiently during the high use of special events that took place during the month of June. This emergency project was funded by enterprise fees funds.
• Pinon Trunk Sewer Capacity Phase 2 Project (SS2401): In May 2024, Phase 2 of the Project was advertised for construction with bids received by June 4, 2024. On June 25, 2024, the City Council awarded a construction contract to the lowest responsive and responsible bidder, K.J. Woods Construction, Inc. The Notice to Proceed was issued on October 14, 2024, and the work has been underway since. The project construction was initially planned for completion by the end of July 2025 with project close-out by the end of September 2025. However, various issues have arisen including breakages to EBMUD pipe at three different occasions. Staff have held several field and virtual meetings with the contractor’s team, as well as meetings with neighboring residents and staff of EBMUD. Most recently, staff submitted a letter of concern to the contractor listing issues with construction practices in relation to the project’s standard plans and specifications. Improvements are currently being pursued to address the concerns raised.
• Roble Avenue Storm Drain Improvement Project (SW2001): The Roble Avenue Drain Improvement Project is expected to exceed the retrofit requirements of the Municipal Regional Storm Water of 1.16 acres, and establish road improvements including the provision of a sidewalk. Staff issued a request for proposals on November 27, 2024, with proposals received by January 9, 2025. A qualified consultant has since been selected by a panel based on the submitted proposals and follow-up interviews. A contract for the environmental review and design was approved by the City Council on June 3rd, 2025. Following the contract signing by all parties, the construction kick-off meeting took place on July 2nd, 2025.
• Active Transportation Plan (RO2106): On March 7, 2023, the City Council awarded a contract to GHD, Inc. to develop an Active Transportation Plan (ATP) for the City of Pinole with the objectives to promote walking, cycling, and connectivity to public transit.

The set objectives aim to improve public health and safety, reduce greenhouse gas emissions, and enhance the livability of our community. GHD produced a draft ATP report which was presented to the Traffic and Pedestrian Safety Committee (TAPS) on January 8, 2025. Input from the TAPS, City staff and the community are being incorporated into the ATP. Due to the significant revisions and additions needed, an amendment to the GHD contract was approved by City Council on June 17, 2025, that increased the budget by a not-to-exceed amount of $30,000 to be paid at the satisfactory completion of the plan and extended the contract term to December 31, 2025. The signing of the contract amendment was completed on July 1, 2025, to reactivate the project.
• Storm Drain Master Plan (IN1703): On August 15, 2023, City Council awarded a contract to West Yost Associates (West Yost) to develop the City’s Storm Drain Master

Page 470 of 533 ends

Plan. This project is intended to identify, analyze and prioritize the capital improvement needs of the City’s storm water management system to reduce flood risks, enhance public safety and protect City assets. Findings and recommendations developed during preparation of the Storm Drain Master Plan will be used by staff to develop or update CIP projects, and the final Plan will be presented to City Council. Staff are in regular coordination with the West Yost team (consultant). Site inspections of the drain inlets throughout the city are presently underway by the consultant along with an update of the associated mapping.
• San Pablo Avenue Bridge Replacement (RO1710): Age and condition assessment of the San Pablo Avenue bridge supports replacement. In February 2020, the City awarded a contract to a consultants’ team to conduct the Preliminary Engineering (PE) and advance the project. Work on the project was recently resumed, and the environmental review (CEQA and NEPA) is scheduled for completion by December 31, 2025, with the project design commencing in early 2026. The project is receiving Highway Bridge Program (HPB), Strategic Management Planning Program (STMP), and Transportation Land-Use Connections (TLC) grant funds. Through coordination with Caltrans, the City received an early release of the HBP grant funds to support the PE work. In addition, staff coordinated with the West County Transportation Commission team and changes were approved by the WCCTC Board on May 23, 2025, which extended the term of the STMP grant agreement by an additional four years and allowed flexibility in the use of the grant funds. Consequently, a fourth amendment to agreement with Consor North America, Inc. was approved by City Council on July 1, 2025, thereby increasing the consultant’s compensation by a not-to-exceed amount of $199,300 (funded by HBP grant fund) for completing the project’s environmental review and associated approvals. In addition, a sixth amendment to agreement with GrayBowen-Scott is being considered by City Council on July 15, 2025, for increasing the consultant’s compensation by a not-to-exceed amount of $350,005 (to be funded by STMP grant fund) and extending the agreement to June 30, 2027, to provide project management support services through completion of the PE phase.

• Month of April: 134 inspections were performed, 35 permits (1 encroachment, 18 sewer lateral, 2 transportation, and 14 utility encroachment) were issued, and $37,090.10 permit fees were collected.
• Month of May: 187 inspections were performed, 44 permits (1 encroachment, 17 sewer lateral, and 26 utility encroachment) were issued, and $47,859.25 permit fees were collected.

Damages which the City would suffer in the event of delay include loss of the use of the project, and, in addition, expenses of prolonged employment of an architectural and engineering staff; costs of administration, inspection, and supervision; and the loss suffered by the public within the City by reasons of the delay in the completion of the project to serve the public at the earliest possible time. Accordingly, the parties hereto agree, and by execution of this Agreement, Contractor acknowledges that he/she understands, has ascertained and agrees, that the amounts set forth herein as liquidated damages shall be presumed to be that amount of damages sustained by the failure of Contractor to complete the entire work within the times specified.
15 LIQUIDATED DAMAGES. The amount of the liquidated damages to be paid by Contractor to the City for failure to complete the entire work in the specified number of Working or Calendar Days (as extended, if applicable) will be Two Hundred Fifty Dollars ($250.00) for each Calendar Day, continuing to the time at which the work is completed. Such amount is the actual cash value agreed upon as the loss to the City resulting from Contractor's delay. 16 TERMINATION AFTER ALLOTED WORKING OR CALENDAR DAYS. In addition to any rights it may have, the City may terminate this Contract at any time after the allotted number of Working or Calendar Days as adjusted by any extensions of time for excusable delays that may have been granted. Upon such termination, Contractor shall not be entitled to receive any compensation for services rendered by him before or after such termination, and he shall be liable to the City for liquidated damages for all periods of time beyond such termination date until the work is completed.
17 CONTRACT BANKRUPT. If Contractor should commence any proceeding under the Bankruptcy Act, or if Contractor be adjudged a bankrupt, or if Contractor should make any assignment for the benefit of creditors, or if a receiver should be appointed on account of Contractor's insolvency, then the City may, without prejudice to any other right or remedy,

Page 483 of 533 ends

City of Pinole Construction Services Agreement Page 7 of 16 terminate the Contract and complete the work by giving notice to Contractor and his surety according to the provisions of Section 1-15 of the General Conditions. The City shall have the right to complete, or cause completion of the work, all as specified in the General Provisions of the Standard Specifications.
18 PERFORMANCE AND PAYMENT BONDS. The Contractor shall, before beginning said work, file two bonds with the City, each made payable to the City. These bonds shall be issued by a Surety Company authorized to do business in the State of California, and shall be maintained during the entire life of the Contract at the expense of the Contractor. a) One bond shall be in the amount of one hundred percent (100%) of the Contract and shall guarantee the Faithful Performance of the Contract. b) The second bond shall be the Payment Bond required by Part 4, Title 15, Chapter 7, Division Three of the Civil Code of the State of California and shall be in the amount of one hundred percent (100%) of the Contract.

Any alteration or alterations made in any provision of this Contract shall not operate to release any surety from liability on any bond required hereunder and the consent to make such alterations is hereby given, and any surety on said bonds hereby waives the provisions of Section 2819 of the Civil Code.

Bonds shall only be accepted from an “Admitted surety insurer,” which means an insurer to which the Insurance Commissioner has issued a certificate of authority to transact surety insurance in this state. Contractor must submit the original, or a certified copy, of the unrevoked appointment, power of attorney, bylaws or other instrument entitling or authorizing the person who executed the bond to do so.

All bonds submitted shall include the following:

1. Full name and address of the Contractor Surety, and the City;

2. Contract Date;

3. Exact Contract Sum;

4. Project Name and Address;

5. Signature of the Contractor

6. Corporate Seal, if applicable;

7. Signature of Authorized Surety Representative;

8. Notarization of the Contractor and Surety;

9. Power of Attorney; and

10. Local contact for surety, with name, phone number, and address to which legal notices may be sent.
19 SUBSTITUTION OF SECURITIES OF MONEY WITHELD. At any time prior to final payment, Contractor may request substitution of securities for any money withheld by the City to ensure performance of the Contract. At the expense of the Contractor, securities equivalent to the money withheld may be deposited with the City or with an approved financial institution as escrow agent according to a separate Security Agreement. Securities eligible for substitution shall include those listed in Section 16430 of the Government Code or bank or savings and loan certificates of deposit.

CITY COUNCIL
REPORT 9.M.

DATE: JULY 15, 2025
TO: MAYOR AND COUNCIL MEMBERS
FROM: Andrea Dwyer, Community Services Director, 5107249820, [email protected]
Lilly Whalen, Community Development Director, 510-724-9832, [email protected]
SUBJECT: ADOPT A RESOLUTION AUTHORIZING THE CITY OF PINOLE TO APPLY FOR THE LAND AND WATER CONSERVATION FUND (LWCF) PROGRAM.

RECOMMENDATION
To pursue grant funding to support priority park rehabilitation projects, Staff recommends that the City Council adopt a Resolution (Attachment A) authorizing the City of Pinole to apply for the Land and Water Conservation Fund (LWCF) program through the California Department of Parks and Recreation, and authorizing the City Manager or designee to execute and submit the application and any related documents required.

BACKGROUND
The Land and Water Conservation Fund (LWCF) is a federally funded grant program administered in California by the Department of Parks and Recreation. It provides matching grants to local governments for the acquisition or development of public outdoor recreation areas and facilities. The program’s purpose is to preserve, develop, and assure access to outdoor recreation resources for current and future generations.

The City of Pinole is preparing an application for LWCF funding to support the rehabilitation of two key recreation assets:
• The Caretaker’s House, a historic structure in need of repair and adaptive reuse to support outdoor public programming; and
• The Dog Park, which requires accessibility, safety, and amenity improvements to better serve the community.

These projects align with the LWCF’s goals to improve access and enjoyment of public open spaces and will preserve recreational use and community heritage.

REVIEW AND ANALYSIS
The LWCF program operates on a competitive basis and requires that applicants:
• Submit a full application by August 5, 2025;

Page 526 of 533 ends

• Demonstrate project readiness and local match funding (on a 50/50 reimbursement basis);
• Comply with federal and state requirements, including CEQA and the National Environmental Policy Act (NEPA), as applicable;
• Ensure long-term protection of funded sites for outdoor recreation use.

If awarded, the grant would help the City revitalize two aging amenities. The Caretaker’s House, currently an aging and unusable facility, would be rehabilitated to provide the community with a historically revitalized space supporting outdoor recreation opportunities, educational programs, volunteer coordination, and other community-serving activities. This project would preserve the site’s historic character while transforming it into a functional space for residents to gather, learn, and enjoy outdoor activities.

The Dog Park would benefit from improvements such as enhanced ground surfacing, new activity features for dogs and their owners, upgraded fencing, accessible paths, hydration stations, shaded seating, and other ADA-compliant amenities. Additionally, the project would establish a community garden to address food insecurity, promote sustainable food production, and offer educational programming in which community members can actively participate.

Adoption of the proposed resolution will authorize the City Manager or designee to submit the application and all related documentation on behalf of the City.

Applying for grant funding is not a “project” under the California Environmental Quality Act (CEQA) pursuant to CEQA Guidelines Section 15378(b)(4), as it involves fiscal and administrative activity that does not result in a physical change to the environment. Any specific project funded through the LWCF would undergo the appropriate CEQA review before implementation.

FISCAL IMPACT
There is no immediate fiscal impact to the General Fund associated with this action. If the grant is awarded, a 50% local match will be required, which is currently allocated in the CIP.

CITY COUNCIL
REPORT 10.A.

DATE: JULY 15, 2025
TO: MAYOR AND COUNCIL MEMBERS
FROM: Lilly Whalen, Community Development Director, 510-724-9832, [email protected]
SUBJECT: CONDUCT A PUBLIC HEARING AND ADOPT A RESOLUTION APPROVING

THE ISSUANCE OF THE CALIFORNIA MUNICIPAL FINANCE AUTHORITY QUALIFIED 501(C)(3) BONDS IN AN AGGREGATE PRINCIPAL AMOUNT NOT TO EXCEED $65,000,000 FOR THE PURPOSE OF FINANCING OR

REFINANCING THE ACQUISITION, REHABILITATION, IMPROVEMENT AND

EQUIPPING OF BAYSIDE APARTMENT HOMES AND CERTAIN OTHER

MATTERS RELATING THERETO

RECOMMENDATION
Staff recommends that the City Council take the following actions:
1) Conduct the public hearing under the requirements of Tax and Equity Fiscal Responsibility Act (“TEFRA”) and the Internal Revenue Code of 1986, as amended (the “Code”).
2) Adopt the Resolution (Attachment A) approving the issuance of the Bonds by the California Municipal Financing Authority (“CMFA”) for the benefit Step Up Housing, a California nonprofit public benefit corporation through a special purpose entity (together, the “Borrower”), to provide for the financing of the Project. Such adoption is solely for the purposes of satisfying the requirements of TEFRA, the Code and the California Government Code Section 6500 (and following).

BACKGROUND
The Borrower requested that CMFA serve as the municipal issuer of bonds in an aggregate principal amount not to exceed $65,000,000 of qualified 501(c)(3) bonds (the “Bonds”). The proceeds of the Bonds will be used to finance or refinance the acquisition, rehabilitation, improvement and equipping of a multifamily rental housing project located at 530 Sunnyview Drive, Pinole, California.

In order for all or a portion of the Bonds to qualify as tax-exempt bonds, the City of Pinole must conduct a duly noticed public hearing (the “TEFRA Hearing”) providing the members of the community an opportunity to speak in favor of or against the use of tax-exempt bonds for the financing of the Project. Following the close of the TEFRA Hearing, the City Council must provide its approval of the issuance of the Bonds for the financing of the Project.

CMFA was created on January 1, 2004 pursuant to a joint exercise of powers agreement to

Page 530 of 533 ends

promote economic, cultural and community development, through the financing of economic development and charitable activities throughout California. To date, over 350 municipalities have become members of CMFA.

CMFA was formed to assist local governments, non-profit organizations and businesses with the issuance of taxable and tax-exempt bonds aimed at improving the standard of living in California. CMFA’s representatives and its Board of Directors have considerable experience in bond financings.

REVIEW AND ANALYSIS
The Bonds to be issued by CMFA for the Project will be the sole responsibility of the Borrower, and the City will have no financial, legal, moral obligation, liability or responsibility for the Project or the repayment of the Bonds. All financing documents with respect to the issuance of the Bonds will contain clear disclaimers that the Bonds are not obligations of the City or the State of California, but are to be paid for solely from funds provided by the Borrower.

There are no costs associated with membership in CMFA and the City will in no way become exposed to any financial liability by reason of its membership in CMFA. In addition, participation by the City in CMFA does not impact the City’s appropriations limits and will not constitute any type of indebtedness by the City. Outside of holding the TEFRA hearing and adopting the required resolution no other participation or activity of the City or the City Council with respect to the issuance of the Bonds will be required.

FISCAL IMPACT
The California Foundation for Stronger Communities—a nonprofit public benefit corporation— serves as the Board of Directors for the California Municipal Finance Authority (CMFA). As part of its conduit financing activities, CMFA allocates a portion of its issuance fees to member agencies and donates another portion to the Foundation in support of local charities.

With respect to the City of Pinole, it is expected that that a portion of the issuance fee attributable to the City will be granted by CMFA to the General Fund of the City. Such grant may be used for any lawful purpose of the City.

To provide an example, following the 2023 TEFRA hearing for the Satellite Affordable Housing Associates (SAHA) project at 811 San Pablo Avenue (Valor Village), the City received $10,265.47—representing 25% of the initial issuance fees from SAHA’s $30 million tax-exempt bond issuance.
