OF DIRECTORS

CENTRAL COAST BLUE REGIONAL RECYCLED

WATER AUTHORITY BOARD OF DIRECTORS

STAFF REPORT
Agenda Item #9.G
Meeting Date: October 6, 2026

TITLE:

Dissolution of the Central Coast Blue Regional Recycled Water Authority

RECOMMENDATION:

Pismo Beach City Council:

1. Adopt a Resolution authorizing the dissolution of the Central Coast Blue Regional Recycled Water Authority, execution of a Termination Agreement, and execution of any and all related actions necessary to terminate the Authority;

Pismo Beach Public Financing Agency Board of Directors:

2. Adopt a Resolution authorizing the dissolution of the Central Coast Blue Regional Recycled Water Authority, execution of a Termination Agreement, and execution of any and all related actions necessary to terminate the Authority;

Central Coast Blue Regional Recycled Water Authority Board of Directors:

3. Adopt a Resolution authorizing the dissolution of the Authority and execution of any and all related actions necessary to terminate the Authority.

DISCUSSION:

The Cities of Arroyo Grande, Grover Beach, and Pismo Beach entered into a joint exercise of powers agreement (Agreement) for participation in the Central Coast Blue recycled water project, which Agreement established the Central Coast Blue Regional Recycled Water Authority (JPA) effective October 7, 2022.

Effective June 30, 2024, the cities collectively agreed, by the First Amendment to the Agreement, to reflect the withdrawal of Arroyo Grande and Grover Beach, at the request of those cities, and to reflect the addition of the Pismo Beach Public Financing Agency as a Member Agency, as well as other amended provisions. Effective July 1, 2024, the remaining Member Agencies collectively agreed, by the Second Amendment to the Agreement, to formally effectuate the Pismo Beach Public Financing Agency’s status as a signatory to the Agreement. As such, the City of Pismo Beach and the Pismo Beach Public Financing Agency are currently the sole members of the JPA.

At present, all grant funds and other assets for the Central Coast Blue project belong to the City of Pismo Beach, the real property necessary for the construction of the treatment facility and its ancillary wells has been transferred to the ownership of the City of Pismo Beach, and at such time that contracts are awarded for the project, including design, construction, construction management, and inspection, those vendor services will be Council Agenda 10-6-2026 9.G-1

awarded by and contracted with the City of Pismo Beach. No other agencies have come forth as project partners, and as such, there is no longer a need for a JPA to own or manage any aspect of the project or related assets. The JPA, as a stand-alone legal entity, is staffed by existing Pismo Beach officials and requires its own, separate corporate administration and compliance with open meeting laws, tax and finance laws, public records laws, political reform laws, the maintenance of legal counsel, etc., which requires a significant investment of time and energy that is now superfluous.

Staff therefore recommends that the Central Coast Blue Regional Recycled Water Authority be terminated and dissolved, and that any of the JPA’s remaining tangible and intangible assets be transferred to the City of Pismo Beach. Staff recommends that the Council authorize the Administrative Services Director to make the closeout entries and discontinue the Authority water and wastewater funds after receivables, payables, assets, and obligations are resolved. The Public Financing Agency is an entity administered by the City of Pismo Beach, and as such there is no aspect of the dissolution that requires negotiation with other agencies.

The resolutions provided as Attachments 1, 2, and 3 will authorize the dissolution of the JPA through action of the Member Agencies (the City of Pismo Beach and the Pismo Beach Public Financing Agency, respectively) and approval of the Board of the Authority itself, through execution of a JPA Termination Agreement (Attachment 4). The attached resolutions authorize the personnel of the agencies to take any further steps necessary to effectuate the dissolution, which process will involve filings with California tax agencies, the Secretary of State, the Attorney General, and others. This process is expected to take six to 12 months, but the process may take longer.

Conclusion and Recommendation
In order to simplify the administration of the Central Coast Blue project and eliminate the superfluous legal entity, staff recommends that the City Council, the Board of Directors of the Public Financing Agency, and the Board of Directors of the Central Coast Blue Regional Recycled Water Authority adopt respective resolutions (Attachments 1, 2, and 3) authorizing the dissolution of the Authority, the execution of a Termination Agreement (Attachment 4), and directing personnel to take all further actions necessary to effectuate the corporate dissolution.

FISCAL IMPACT:

There is no additional fiscal impact associated with adopting the three resolutions as the City of Pismo Beach already holds all the assets, grants, revenues, and expenditures of the Central Coast Blue project.

The City maintains two separate funds for the water and wastewater components of the Authority. The City resolution includes the Council authorizing the Administrative Services Director to make the accounting entries and discontinue the Authority water and wastewater funds after receivables, payables, assets, and obligations are resolved.
