Professional Services Agreement with John L. Hunter and Associates, Inc. For National Pollutant Discharge Elimination System (NPDES) Consulting Services Financial Impact:
Fiscal Impact:
Expense: $200,000 Total Cost for Services Over 3 Years Budgeted: $25,000 FY 2025-26 Operating Budget (103593-6099) $87,500 Estimated for FY 2026-27 Operating Budget (103593-6099) $87,500 Estimated for FY 2027-28 Operating Budget (103593-6099) Summary:
The most recent National Pollutant Discharge Elimination System Municipal Separate Storm Sewer System ("NPDES/MS4") Permit for the Santa Ana Region ("SAR") of Orange County was adopted on May 22, 2009. The new permit is currently being reviewed by the SAR review board. The new iteration of the Santa Ana MS4 permit will include revisions to the current regulations. As a result of these regulations, the City will continue to be tasked with many regulatory program management and development compliance goals, all of which are currently unfunded State mandates.
John L. Hunter and Associates, Inc. ("JLHA") has been providing professional NPDES consulting assistance to many Orange County cities within the SAR for many years. Since 2013, the City has utilized the services of JLHA to conduct the City's Industrial/Commercial Facilities Inspection Program. In February 2014, JLHA services were expanded to assist in other NPDES/MS4 permit and program management tasks due to limited staffing resources.
This included completing the annual report (known as the Program Effectiveness Assessment), conducting annual trainings, advising City Staff, and representing the City as necessary at Countywide meetings, along with conducting compliance inspections on behalf of the City. In addition, JLHA has been involved in the development of the new permit and has extensive experience managing the City's NPDES program. Lastly, JLHA provides plan reviews of Water Quality Management Plans for new private development projects, storm water protection plans for construction operations, as well as inspections of structural storm water capture systems installed by developers on private property.
Recommendation:
Recommended Action: It is recommended that the City Council take the following actions:
1. Approve a Professional Services Agreement with John L. Hunter and Associates, Inc., for a three-year contract not-to-exceed amount of $200,000 for NPDES Consulting Services with one (1) two-year term extension, based on consultant performance and at the discretion of the City; and
2. Authorize the City Administrator to extend term of agreement based on consultant performance and at the discretion of the City; and
3. Authorize the City Administrator to increase contract amendments up to 10%; and
4. Authorize City Administrator to extend the term of agreement based on Section 4.1 of the Agreement; and
5. Authorize the City Administrator and/or her designee to execute all the necessary documents in a form approved by the City Attorney.
Strategic Plan Statement:
There is no specific strategic planning goal or objective associated with this agenda item.
Discussion:
In accordance with Federal and State clean water regulations, all cities and counties must comply with NPDES/MS4 permit requirements. The Federal Clean Water Act of 1972 created the NPDES for the purpose of reducing and preventing pollutants from discharging into streams, creeks, rivers and ultimately the ocean, which are all considered waters of the United States. The NPDES encompasses a regulatory permit program authorizing State governments through the Federal Environmental Protection Agency to regulate pollutant discharges into these waters. In accordance with these regulations, all cities and counties must comply with NPDES regulations as outlined by the State Regional Water Quality Control Board. The State is divided into multiple NPDES regions, and the City of Placentia falls within the SAR. Each region maintains its own NPDES/MS4 permit which provides the regulatory framework to which each city as a co-permittee must adhere. The current NPDES/MS4 permit for the SAR was adopted on May 22, 2009, and was amended on October 29, 2010. The next iteration of the Santa Ana MS4 permit is currently under review by the SAR Review Board. This next iteration will include modifications to existing regulations that will result in new regulatory requirements, which the City will need to enforce and comply with.
The regulations with which co-permittees must comply and enforce are extensive and burdensome and are an unfunded mandate. The City's NPDES program requires extensive management and development work. In addition to ensuring that the City's municipal activities comply with permit regulations, the City is required to conduct significant public outreach; review and analyze private development project impacts on storm water quality; inspect private, commercial and industrial activities; conduct water quality monitoring and reporting; investigate illicit discharges into the City's MS4 System; and inspect construction site activities.
As a result of the extensive regulatory burden that the NPDES program creates on City staffing resources, Placentia, along with many other cities rely upon professional consulting assistance to help manage their programs as well as provide inspection services. Staff prepared an RFP for NPDES Stormwater Program Management Services. A total of four (4) proposals were received from qualified consulting firms with extensive experience in NPDES Program Management. Staff reviewed the submitted proposals and the cumulative composite score for the firm’s proposal is noted below:

Staff recommends awarding the contract to John L. Hunter and Associates (JLHA). JLHA has extensive experience and expertise in providing professional NPDES services. They currently provide similar NPDES services to 48 agencies in Southern California. They have served the City of Placentia successfully for the past 12 years and are very familiar with every facet of the City's NPDES program. JLHA has also been involved with the development of the updated SAR MS4 permit due to be adopted in the near future and their understanding of the new permit will be a valuable resource to the City in ensuring full compliance with the new regulatory requirements.
The term of the proposed Professional Services Agreement will be for a total of 36 months from June 17, 2025 through June 17, 2028. One (1) contract term extension for two (2) years is also provided but is based upon consultant performance and is at the discretion of the City.
Funds are budgeted in the FY 2025-2026 proposed Operating Budget to continue providing these services through the end of the proposed contract term ending on June 17, 2028.
Fiscal Impact Summary:
The recommended actions will award a proposed Professional Services Agreement with John L. Hunter and Associates Inc. for a three-year not-to-exceed contract amount of $200,000. A total of $25,000 has been allocated for these services in the FY 2025-26 Operating Budget to cover these services. As such, sufficient funds exist for the recommended actions.

Should the City request in writing additional services that increase the hereinabove described "Scope of Services", an additional fee based upon the Consultant's standard hourly rates shall be paid to the Consultant for such additional services. 6.13. Public Records Act Disclosure. Consultant has been advised and is aware that this Agreement and all reports, documents, information, and data, including, but not limited to, computer tapes, discs, or files furnished or prepared by Consultant, or any of its subcontractors, pursuant to this Agreement and provided to City may be subject to public disclosure as required by the California Public Records Act (California Government Code Section 7920.000 et 8 [John L. Hinter and Associates Inca
Rev. 01/2024
seq.). Exceptions to public disclosure may be those documents or information that qualify as trade secrets, as that term is defined in the California Government Code Section 7924.510, and of which Consultant informs City of such trade secret. The City will endeavor to maintain as confidential all information obtained by it that is designated as a trade secret. The City shall not, in any way, be liable or responsible for the disclosure of any trade secret including, without limitation, those records so marked if disclosure is deemed to be required by law or by order of the Court.
6.14. Conflict of Interest. Consultant and its officers, employees, associates, and subconsultants, if any, will comply with all conflict of interest statutes of the State of California applicable to Consultant's services under this agreement, including, but not limited to, the Political Reform Act (Government Code Sections 81000, et seq.) and Government Code Section 1090.
During the term of this Agreement, Consultant and its officers, employees, associates, and subconsultants shall not, without the prior written approval of the City Representative, perform work for another person or entity for whom Consultant is not currently performing work that would require Consultant or one of its officers, employees, associates, or subconsultants to abstain from a decision under this Agreement pursuant to a conflict of interest statute. Consultant's duties and services under this Agreement shall not include preparing or assisting the City with any portion of the City's preparation of a request for proposals, request for qualifications, or any other solicitation regarding a subsequent or additional contract with the City. The City shall at all times retain responsibility for public contracting, including with respect to any subsequent phase of this project.
Consultant's participation in the planning, discussions, or drawing of project plans or specifications shall be limited to conceptual, preliminary, or initial plans or specifications.
Consultant shall cooperate with the public entity to ensure that all bidders for a subsequent contract on any subsequent phase of this project, if any, have access to the same information, including all conceptual, preliminary, or initial plans or specifications prepared by Consultant pursuant to this Agreement.
6.15. Responsibility for Errors. Consultant shall be responsible for its work and results under this Agreement. NPDES Stormwater Program Management Services (RFP No. PW -25-02) June 3, 2025
4. Understanding & Approach
Our approach to the management and implementation of our NPDES services is to ensure we are providing responsive, high-quality services that are tailored to the needs and interests of our clients. From there, our focus is 1) determining what is needed to ensure our clients' continued NPDES compliance, and then 2) assisting our clients in implementing cost-effective solutions to meet or exceed compliance expectations.
We are committed to cost-saving and value -adding measures. For instance, by providing NPDES services to multiple cities in Orange and LA County, we achieve an economy of scale for meetings, representation, technical assistance, planning, and reporting, passing those savings on to the City.
Our team is led by a Project Manager. The Project Manager ensures services are provided on time, within the budget, and are of high quality, and also serves as the main point -of -contact. The team is organized so there is more than one expert ("lead") for any task listed in the City's RFP, and that more than one team member can serve as a point -of contact. This "good" redundancy helps ensure that all services are provided on time, within the budget, and are of high quality. Our team also incorporates multiple levels of review of project deliverables by qualified team members. This is done to provide an unbiased assessment of our accuracy, completeness, and adherence to regulations and best practices. For example, the Project Manager will review and provide internal comment on compliance reports prepared by a Team Lead. Both team members have extensive experience preparing these reports. Another example is that our Senior field staff review field inspection reports, have inspectors correct reports when necessary, and summarize the results to the Project Manager.
The Program Manager and senior staff meet weekly with program team members to discuss program budgets, services provided, and the quality of work. These meetings serve to both assure continued quality and resolve any issues that may affect the quality of work. We have also developed applications to streamline and improve the QA/QC process, which optimizes quality of work while minimizing the QA/QC expense.
We have an extensive training program for our personnel. All new personnel are trained generally in our company's approach as well as specifically in the proper implementation of the NPDES services they will provide. Training is conducted by managers and senior staff and continues on a regular basis for years. It includes both hands-on training in the field and in the office. Managers and senior staff also meet with personnel on a weekly basis to continue their education and to review work conducted in the prior week.
The services we provide are on an annual basis, with many annual deadlines for tasks such as compliance reports, studies, and field inspections. We have a proven track record of providing similar services to your city— as well as our many other municipal clients—for years without missing these deadlines, and we are confident we will continue to meet them in the coming years. Our team also has depth of experience in this work, with multiple team members independently capable of providing multiple tasks. This provides additional assurance that all tasks will be completed on schedule.

I.
Training
I.a
Prepare materials and hold training sessions for targeted city staff positions in:
i. WQMP review process and BMP verification and maintenance inspections ii. Construction BMP standards
iii. Construction BMP standards and SWPPP requirements
iv. Applicable elements of the Municipal Activities Program V. Illicit discharge detection, elimination, clean-up, reporting, documentation vi. Other MS4 NPDES training topics as requested by the City We will work with the City to provide training to new and current staff. This may include Code Enforcement staff; Public Works 0&M staff; plan reviewers, planners, building officials, inspectors, permit techs, and engineers. Note that we have already prepared generalized training materials, so preparation expenses for training are minimized. Our approach to staff training is to provide key personnel with the essential elements of the MS4 Permit relevant to their job. We emphasize the internal staff process and specific job responsibilities. Although we have excellent training materials, including a dedicated training portal, we emphasize Q&A with City staff. We also provide slide presentations, key program forms, templates, and documentation.
J.
Monitoring and Reporting Program
J.a
Prepare the City's Individual MS4 NPDES Annual Report (PEA) We will first complete as much of the numeric elements of the Report as possible with the City's available data. For the remaining data we will develop information request forms and provide them to applicable City staff. We will then review the completed forms with City staff and incorporate comments into the Draft Annual Report. Based on available data we will prepare responses to program status and assessment elements of the Draft Annual Report. We are available to submit the final version of the Annual Report prior to the final deadline. Meeting the deadline is dependent upon receiving timely responses from the City. Although we will endeavor to prepare Reports that comply with the requirements of the SAR Water Board, their assessment of the Reports in terms of M54 NPDES Permit compliance depends on the information provided by the City.
J.b
Prepare quarterly reports for Industrial/Construction NPDES Permit facilities We will prepare and submit quarterly reports. Our approach to this task will mirror those listed in the prior section.
J.c
Update and maintain online GIS databases) of program records We will store all service -related documents on a secured Google Drive account and all inspection - related records on a secured Google Cloud account using a dedicated and customized application driven by Google's AppSheet. All records will be secured and accessible to City staff online.
Page22
NPDES Stormwater Program Management Services (RFP No. PW -25-02) June 3, 2025 Table 4. Approach to NPDES Stormwater Program Management Services RFP Task Description
Should the City have an online NPDES database management system, we will use the system for record keeping.
5.1. Additional Work That May Complement and Enhance the City's Scope of Work The scope of work is comprehensive in terms of meeting the MS4 Permit Program requirements for a municipality in North Orange County. However, the city may consider conducting a program self -audit to identify, assess, and correct potential non-compliance issues and areas for improvement before external regulatory inspections or incidents occur. We have represented the Cities of Compton (11/2024), Diamond Bar (2019), Glendale (2020), Seal Beach (2006, 2010), South Gate (11/2024), Stanton (2010, 2014), and Villa Park (2019), and also assisted the City of LA (1/2024) in MS4 NPDES compliance audits conducted by state and federal regulators. These audits included detailed reviews of records for NPDES subprograms managed and implemented by our Project Teams.
Our approach is to follow the audit preparation procedures we implemented in these prior audits. We start by conducting a self -audit with key staff using a checklist based on MS4 Permit requirements. This self -audit includes 1) conducting mock walkthroughs of industrial/commercial, construction, and WQMP post construction inspections with City inspectors, 2) requesting, compiling, and reviewing all relevant compliance documentation, and 3) advising the City of any potential deficiencies and recommending solutions and guidance prior to the audit. After the self -audit, we will prepare a presentation of the City's NPDES Program.
Note that of the many Regional Water Board and EPA NPDES Program audits that we personnel participated in, none resulted in enforcement actions.

INSURANCE REQUIREMENTS
A. Minimum Scope and Limits of Insurance
City reserves the right to review any and all of the required insurance policies and/or endorsements, but has no obligation to do so. Failure to demand evidence of full compliance with the insurance requirements set forth in this Agreement or failure to identify any insurance deficiency shall not relieve Consultant from, nor be construed or deemed a waiver of, its obligation to maintain the required insurance at all times during the performance, including any extension thereof, of this Agreement.
Consultant shall obtain, maintain, and keep in full force and effect during the life of this Agreement, including any extension thereof, all of the following minimum scope of insurance coverages:
1. Commercial General Liability Insurance

The aggregate limit, encompassing the above coverage, shall apply separately to this project/location. If Consultant maintains higher limits than the specified minimum limits, City requires and shall be entitled to coverage for the higher limits maintained by the Consultant.
2. Business Automobile Liability Insurance
Business automobile liability for all owned, hired, leased, and non -owned vehicles at least as broad as the most current version of ISO Business Auto Coverage form CA 00 01, with a policy limit of not less than Two Million Dollars ($2,000,000.00) combined single limit per accident. If Consultant maintains higher limits than the specified minimum limits, City requires and shall be entitled to coverage for the higher limits maintained by the Consultant.
3. Workers' Compensation and Employer's Liability Insurance Workers' compensation insurance as required by the State of California and Employer's Liability Insurance with a minimum limit of One Million Dollars ($1,000,000.00) per accident for any employee or employees of Consultant. By signing this Agreement, the Consultant acknowledges and agrees to the following:
I am aware of the provisions of Section 3700 of the Labor Code which require every employer to be insured against liability for Workers' Compensation or to undertake self-insurance in accordance with the provisions of that code, and I will comply with such provisions before commencing the performance of the work of this contract.
The Consultant shall also comply with Section 3800 of the Labor Code by securing, paying for, and maintaining in full force and effect for the duration of this Agreement, complete workers' compensation insurance, and shall furnish a certificate of insurance to the Project Manager before execution of this Agreement by the City. The City, its officers, officials, agents, employees, and volunteers shall not be responsible for any claims in law or equity occasioned by failure of the Consultant to comply with this Section.
4. Professional Errors and Omissions ("E&O") Liability Insurance Professional errors and omissions ("E&O") liability insurance appropriate to the Consultant's profession, with limits of not less than Two Million Dollars ($2,000,000.00) per occurrence and Three Million Dollars ($3,000,000.00) aggregate. The retroactive date must be shown and must be before the date of the contract or the beginning of contract work. Insurance must be maintained and evidence of insurance must be provided for at least five (5) years after completion of the contract of work. If coverage is canceled or non -renewed, and not replaced with another claims -made policy form with a retroactive date prior to the contract effective date, the Consultant must purchase "extended reporting coverage" for a minimum of five (5) years after completion of contract work. A copy of the claims reporting requirements must be submitted to the Project Manager for review. If Consultant maintains higher limits than the specified minimum limits, City requires and shall be entitled to coverage for the higher limits maintained by the Consultant.
5. Standards for Insurance Companies

3. The Consultant's insurance coverage shall be primary insurance coverage at least as broad as ISO CG 20 01 04 13 as respects the City of Placentia, its officers, officials, agents, employees, and volunteers. Any other insurance maintained by the City of Placentia shall be excess and not contributing with the insurance provided by this policy.
