PLACENTIA CITY COUNCIL AGENDA REPORT
Meeting Date: June 16, 2026
Submitted by: Ontoine Lewis
From: Public Works
Subject:
AMENDMENT NO. 2 TO MAINTENANCE SERVICES AGREEMENT WITH WEST COAST ARBORISTS INC. FOR TREE TRIMMING SERVICES
Financial Impact:
Expense: $266,336 Annual Contract Amount
Budgeted: $332,000 Proposed FY 26/27 Budget(101-80403-6012 & 218-80000-6012) Summary:
On June 20, 2023, the City Council awarded a Maintenance Services Agreement to West Coast Arborists, Inc. ("WCA") to provide citywide tree trimming services in an annual amount of $258,830 with a cumulative contract not to exceed amount of $776,490 over 3 years. On February 6, 2025, contract amendment No. 1 was approved within the City Administrator's authority which removed the wall vine trimming services from WCA's scope of work. The term of the current agreement is for three (3) years and is set to expire on June 30, 2026, and includes a two-year term extension at the City's discretion. Staff recommends this proposed Amendment No. 2 for City Council consideration to increase the contract not -to -exceed by an additional $532,672, or $266,336 per year to account for a rate increase of 2.9 percent and a contract term extension for two additional years, resulting in a new cumulative contract not to exceed amount of $1,309,162. The future cost of services will be proposed in the operating budgets for future fiscal years.
Recommended Action:
It is recommended that the City Council:
1. Approve Amendment No. 2 to the Maintenance Services Agreement with West Coast Arborists, Inc., for tree -trimming services in an amount not to exceed $266,336 per year (or $532,672 over two years), and extend the agreement for an additional two (2) years; and
2. Authorize the City Administrator to approve agreement amendments and contract change orders up to ten percent (10%) of the cumulative two-year contract amount, or $53,267; and
3. Authorize the City Administrator and/or her designee to execute all necessary documents, in a form approved by the City Attorney.
Strategic Plan Statement:
This item is associated with Strategic Goal No. 3: Infrastructure, Facilities, and Public Spaces 1 by maintaining city trees.
Discussion:
The Public Works Department utilizes WCA's services to maintain trees on arterial roadways, City parks, and public property owned and maintained by the City. The current service contract includes regular tree pruning and vine trimming along with as -needed tree removal, tree planting, emergency response, and arborist services. On June 30, 2023, the City Council approved a Maintenance Services Agreement with WCA for tree trimming services in the amount of $776,490 over an initial three-year term or $258,830 per year, with the option to extend the agreement for one (1) additional two-year term based upon contractor performance and at the discretion of the City. On February 6, 2025, contract amendment No. 1 was approved within the City Administrator's authority which removed the wall vine trimming services from WCA's scope of work due to the City's desire to utilize another company for this service. This reduced the annual amount paid to WCA from $258,830 to $206,830, but still kept the contract capacity at $776,490.
This amendment extends the existing agreement to provide tree -trimming services for an additional two-year term ending June 30, 2028.
Financial Summary:
The recommended actions will approve Amendment No. 2 to the Maintenance Services Agreement with WCA, increasing the contract amount by $266,336 per year over the next two years, or $532,672, for a new cumulative not -to -exceed contract amount of $1,309,162. Atotal of $332,000 is allocated for tree trimming and related services in the Proposed FY 2026-27 Budget. This amount consists of two funds: General Fund and State Gas Tax. $170,000 is allocated to the General Fund through account 101-80403-6012. The State Gas Tax fund allocated $162,000 through account 218-80000-6012.

If, and to the extent this Agreement incorporates by reference any provision of any document, such provision shall be deemed a part of this Agreement. Nevertheless, if there is any conflict among the terms and conditions of this Agreement and those of any such provision or provisions so incorporated by reference, the conflict shall be resolved by giving precedence in the following order, if applicable: This Agreement, the City's Request for Proposals, the Consultant's Proposal.
6.18. Costs. Each party shall bear its own costs and fees incurred in the preparation and negotiation of this Agreement and in the performance of its obligations hereunder except as expressly provided herein.

6.23. Waiver. The delay or failure of either party at any time to require performance or compliance by the other of any of its obligations or agreements shall in no way be deemed a waiver of those rights to require such performance or compliance. No waiver of any provision of this Agreement shall be effective unless in writing and signed by a duly authorized representative of the party against whom enforcement of a waiver is sought. Detailed Tree Site Characteristics
The advanced technology provides
a valuable tool to urban forestry
professionals by displaying specific
tree site information along with a
representative photograph of the
species type and a recommended
maintenance field. ArborAccess'
built-in quality control features assist
in data accuracy. As maintenance
is performed, the work history is
updated and accompanied with
bi-weekly invoices. This process
eliminates the need for dual -

inventory current and accurate.
Maintenance Records
Accurate maintenance records for each location oftentimes can assist the Agency with liability claims. Maintaining a detailed history of the work performed at each location demonstrates good faith in preserving its urban forest. It is imperative that work requests are pulled from the system prior to the work being performed, otherwise inventory accuracy is not guaranteed. 25 I,

Fresh mulch will deplete nitrogen from the surface of the soil which will reduce unwanted weeds. Once the mulch has decayed, it returns nitrogen which helps build the duality of soil for plants. A large amount of tree debris is processed by WCA and used in large scale mulching projects for establishing native plants in open space areas. •O,',V O T is made iron n fine ground branches, leaves or other organic material. Since a number of trees require, removal, it wcis important to create an environmentally sound and socially responsible alt8ma ii`1e to importing lumber ,`Porn othz-,,r areas and to reduce the demand of trees from natural forests.

AMENDMENT OF OTHER INSURANCE CONDITION -
PRIMARY OR PRIMARY AND NON-CONTRIBUTORY WHEN
REQUIRED BY CONTRACT
This endorsement modifies insurance provided under the following:
PRODUCTS/COMPLETED OPERATIONS LIABILITY COVERAGE PART (EXCESS) PRODUCTS/COMPLETED OPERATIONS LIABILITY COVERAGE PART (EXCESS — BROAD FORM) With respect to other insurance available to any
person or organization who is an additional insured
under this Coverage Part, the following replaces
Paragraph 4., Other Insurance of Section IV —
PRODUCTS/COMPLETED OPERATIONS LIABILITY
CONDITIONS:
4. Other Insurance
If other valid and collectible insurance is available
to the insured for a loss we cover under
Coverages A or B of this Coverage Part, our
obligations are limited as follows:
a. Primary Insurance When Required By
Contract
If you have agreed in a written contract,
written agreement or permit that this
insurance be primary, then subject to the "self-
insured retention", this insurance is primary . If
other insurance is also primary, we will share
with all that other insurance by the method
described in Paragraph c. below.
b. Primary And Non -Contributory To Other
Insurance When Required By Contract
If you have agreed in a written contract,
written agreement, or permit that this
insurance is primary and non-contributory with
the additional insured's own insurance, then
subject to the "self-insured retention", this
insurance is primary, and we will not seek
contribution from that other insurance.
Paragraphs a. and b. do not apply to other
insurance to which the additional insured has been
added as an additional insured.
c. Method Of Sharing
If all of the other insurance permits
contribution by equal shares, we will follow this
method also. Under this approach each
insurer contributes equal amounts until it has
paid its applicable limit of insurance or none of
the loss remains, whichever comes first.
If any of the other insurance does not permit
contribution by equal shares, we will contribute
by limits. Under this method, each insurer's
share is based on the ratio of its applicable
limit of insurance to the total applicable limits
of insurance of all insurers.
