1 SIDE LETTER AGREEMENT BETWEEN THE COUNTY OF CONTRA COSTA AND

THE CITY OF PLEASANT HILL
This Side Letter Agreement is made as of July 1, 2022, by and between the County of Contra Costa, a political subdivision of the State of California (“County”), and the City of Pleasant Hill, a municipal corporation of the State of California, in the County (“City”), with respect to the following:

WHEREAS, County and City have entered into that certain City-County Animal Services Agreement, effective as of July 1, 2022 (the “Agreement”); and WHEREAS, as requested by City, County has agreed to provide clarification of Section

13.d in the Agreement.

NOW THEREFORE, County and City agree as follows:

1. Section 13.d of the Agreement is clarified as follows:

Section 13.d of the Agreement means that each year, the County will prepare a reconciliation report of budgeted cost compared to actual costs incurred by the County to provide Animal Services throughout the County during the immediately preceding fiscal year to ensure the Annual Fee described in Section 13.a.iii covers only actual costs incurred by the County to provide Animal Services throughout the County. The reconciliation report will be completed and sent to the City in the month of August for each fiscal year. Any cost savings for that fiscal year will reduce the County’s budgeted cost in the following year to provide Animal Services throughout the County, and thereby reduce the per capita Annual Fee, as reflected in the formula in Section

13.a.iii.

2. Any capitalized term not defined herein shall have the meaning ascribed to such term in the Agreement.

3. Aside from the agreed upon terms set forth above, the terms and conditions of the Agreement shall remain in effect as provided therein. Furthermore, nothing in this Side Letter Agreement shall be construed to affect the interpretation of any other section(s) of the Agreement, except for those explicitly referenced above.
