FIRST AMENDMENT TO THE AGREEMENT FOR PROFESSIONAL SERVICES WITH
RUGGERI-JENSEN-AZAR (RJA) FOR PROFESSIONAL DESIGN SERVICES This First Amendment to the Agreement for Professional Design Services is entered as of , 2022 between the City of Pleasant Hill ("City") and RJA, Inc. ("Consultant").
WHEREAS, City and Consultant entered into an Agreement for Professional Services ("Agreement") on February 7, 2017; and
WHEREAS, City and Consultant entered into an Agreement to assist the City with Professional Design Services; and
WHEREAS, City and Consultant now wish to amend the Agreement to extend the scope, term and compensation.
NOW, THEREFORE, the parties agree as follows:
1. Section 1 of the Agreement is amended to read:
"1. Scope of Work. The revised Consultants Scope of Work is enclosed and is to be attached to the contract as Exhibit A".
2. Section 2 of the Agreement is amended to read:
"2. Time of Performance. The services of Consultant shall continue and be extended until June 30, 2023."
3. Section 3 of the Agreement is amended to read:
"3. Compensation. RJA's original proposal is in the amount of $197,521 for the requested professional design services. This first amendment is in the amount of an additional $76,400. In no event shall Consultant's compensation exceed the total amount of $273,921 without additional written authorization from the City. Consultant compensation will be based in accordance with the Cost Proposal set forth in Exhibit A, which is attached hereto and incorporated herein by reference. Payment by City under this Agreement shall not be deemed a waiver of defects, even if such defects were known to the City at the time of payment."
4. All other provisions of the Agreement shall remain in effect.
