FIRST AMENDMENT TO THE AGREEMENT FOR PROFESSIONAL SERVICES WITH PARK ENGINEERING, INC. FOR ON-CALL CONSTRUCTION INSPECTION SERVICES This First Amendment to the Agreement for Professional Services for On-call Construction Inspection Services is entered as of ___________, 2024, between the City of Pleasant Hill (“City”) and Park Engineering, Inc. (“Consultant”).
WHEREAS, City and Consultant entered into an Agreement for Professional Services (“Agreement”) on December 11, 2023; and
WHEREAS, City and Consultant entered into an Agreement to assist the City’s Engineering Division with Construction Inspection Services; and WHEREAS, City and Consultant now wish to amend the Agreement to extend the term and compensation.
NOW, THEREFORE, the parties agree as follows:
1. Section 2 of the Agreement is revised in its entirety to read as follows:
2. Time of Performance. This agreement commences from the date of execution until all work is completed to the satisfaction of the City, but no later than June 30, 2024.
2. Section 3 of the Agreement is amended to read:
“3. Compensation. Park Engineering, Inc.’s original proposal is in the amount of $75,000 for On-call Construction Inspections Services. This first amendment is in the amount of an additional $75,000. In no event shall Consultant's compensation exceed the total amount of $150,000 without additional written authorization from the City.
Consultant compensation will be based in accordance with the Cost Proposal set forth in Exhibit A, which is attached hereto and incorporated herein by reference. Payment by City under this Agreement shall not be deemed a waiver of defects, even if such defects were known to the City at the time of payment.”
3. All other provisions of the Agreement shall remain in effect.
