CITY COUNCIL STAFF REPORT
Meeting Date: August 18, 2025
TO: THE HONORABLE MAYOR AND CITY COUNCILMEMBERS
TITLE: ADOPT RESOLUTION -25 TERMINATING THE EMERGENCY AND

ACCEPTING WORK FOR THE CITY OF PLEASANT HILL POLICE

DEPARTMENT ROOF REPLACEMENT PROJECT AND AUTHORIZING

THE PUBLIC WORKS DIRECTOR TO ISSUE A NOTICE OF

COMPLETION

SYNOPSIS
The City of Pleasant Hill Police Department Roof Replacement Project removed and replaced the existing roof at the Police Department facility. This project was declared an emergency after staff discovered that termites had infested the roof sheeting for the building. The project is now complete.

The purpose of this item is to terminate the emergency condition, accept the City of Pleasant Hill Police Department Roof Replacement Project as complete, and authorize the issuance of a Notice of Completion.

DISCUSSION
Background
In April 2025, a termite infestation was discovered in the ceiling of the Investigations area on the second floor of the Police Department. Wallace Termite was hired in early May 2025 to inspect the building for termites and abate the termites at the point of the infestation. The Police Department building is a designated Emergency Services Building, and as such, cannot be vacated to “tent” the structure for termite fumigation; therefore, Wallace Termite only completed a spot fumigation in areas where the termites were readily visible. Inspection during the initial fumigation work revealed that termites had also infested the roof sheeting for the building. Staff consulted the Chief Building Official, who advised that the termites should be fumigated immediately because once they infiltrate a structure, the infestation will continue to spread and damage the structural integrity of the roof. If left unabated, infestation could potentially affect the entire Police Department building.

Item 9.4
City Council Meeting Agenda - Page 28 of 219 - Monday, August 18, 2025 Staff requested pricing from three local contractors known to perform this type of work: State Roofing, Inc., Pioneer Roofing, and San Fransico Roofing Services. In response, only State Roofing, Inc. submitted a complete project proposal and indicated they could start the work immediately
On June 2, 2025, the City Council approved Resolution No. 19-25 declaring an emergency and authorizing the City Manager to execute a construction contract with State Roofing, Inc. to remove and replace the existing roof at the Pleasant Hill Police Department facility.

Once the demolition of the existing roof was completed, Wallace Termite, Inc. reinspected the roof structure and determined that there was no additional termite activity noted in the roof structure, at which point State Roofing then completed the work.

Analysis
Construction began on June 23, 2025, and was substantially complete on July 30, 2025. City Council approved $558,558 for the construction budget, including a 10 percent contingency. The project's final contract cost is $507,780, and the City will retain 5 percent ($25,379) from State Roofing to ensure that all subcontractors and suppliers are paid. The procedure for releasing the retainer requires the City Council to formally accept the work and then authorize the Public Works Director to issue and record the Notice of Completion. If there are no claims filed within 30 days of posting the notice, the City will make final payment of the retained amount to State Roofing, Inc..

The remaining project funds in the amount of $50,780 will be returned to the Bicycle and Pedestrian Program.

FISCAL IMPACT
The total project construction cost is $507,780. The project was funded by the Police Department Roof Replacement Project ($300,000), as identified in the FY24/29 CIP, and $207,780 in available FY24/25 Pedestrian and Bicycle Program funds.

PUBLIC CONTACT
Public Contact was made through posting of the City Council agenda on the City’s official notice bulletin board, at the Pleasant Hill Senior Center, and at the Pleasant Hill Police Department. The agenda and staff report are posted on the City’s web page.

CITY COUNCIL STAFF REPORT
Meeting Date: August 18, 2025
TO: THE HONORABLE MAYOR AND CITY COUNCILMEMBERS
TITLE: ADOPT RESOLUTION NO. ___25 AUTHORIZING THE CITY

MANAGER TO EXECUTE A PROFESSIONAL SERVICES

AGREEMENT WITH KENNEDY & ASSOCIATES FOR COMPLIANCE

SUPPORT SERVICES WITH MUNICIPAL REGIONAL STORMWATER
PERMIT (MRP 3.0 & 4.0) REQUIREMENTS

SYNOPSIS
This item will consider authorizing the City Manager to execute a Professional Services Agreement with Kennedy & Associates (“consultant”) to continue its stormwater program MRP

3.0 & 4.0 compliance support services. The MRP 3.0 & 4.0 requires the City to implement several stormwater related implementations that are outside of staff expertise.

DISCUSSION
Background
The City of Pleasant Hill participates in the Contra Costa Clean Water Program (CCCWP), which was formed to enable jurisdictions to perform local and countywide clean water activities in a costeffective manner. These activities are mandated by the San Francisco Bay Regional Water Quality Control Board (RWQCB) under the Federal Water Pollution Control Act, through a countywide National Pollutant Discharge Elimination System (NPDES) permit. The permit is issued to the CCCWP with which the City is a co-permittee (with all Contra Costa cities, the unincorporated County, and the Flood Control District). Kennedy & Associates have historically assisted the City to ensure continued compliance in the following areas:

MRP 3.0 and 4.0 Trash Load Reduction Requirements:

On May 11, 2022, the MRP was reissued by the Regional Water Board and is referred to as MRP

3.0. MRP 3.0 became effective on July 1, 2022, and Provision C.10 requires applicable Permittees, including the City, to continue to make progress on reducing trash discharges from their MS4s to receiving waters from 2009 levels.

Item 9.5
City Council Meeting Agenda - Page 33 of 219 - Monday, August 18, 2025 MRP 4.0 trash load reduction benchmarks will be a continuation of the trash load reduction benchmarks included in previous versions of the MRP.

Development of a Green Infrastructure Plan (GIP):

The GIP identifies potential and future capital projects that can implement green infrastructure improvements such as landscape flow-thru planters and stormwater treatment facilities. These projects treat runoff within landscape areas prior to entering the storm drain system. The City has implemented similar type projects in the past, including Geary Road, Buskirk Improvement, and Pleasant Hill Road projects. Green infrastructure projects help meet our goal and permit requirements.

Managing Stormwater and C.3 Program: This task includes ensuring City compliance with Provision C.3h of the MRP (Operation and Maintenance of Stormwater Treatment Systems) and encompasses such tasks as preparing Operation and Maintenance Agreements for regulated projects; notifying property owners of inspection and reporting requirements, particularly those projects with proprietary devices; and modifying the installed project database to include installation of new pervious pavement. Preparation of the annual report and attendance at CCCWP Committee meetings are additional tasks performed under this program.

The consultant will also perform ongoing miscellaneous stormwater tasks to ensure compliance with various provisions of the MRP 3.0, including reviewing municipal maintenance Best Management Practices with City staff, updating both the City’s Enforcement Response Plan and Business Inspection Plans and other support activities.

Achieve PCB/Mercury Load Reduction
In each Annual Report, the City of Pleasant Hill shall report progress on the acreage of land areas investigated, including progress toward investigation of 100 percent of any old industrial land use, as a likely PCB source. The intent is to reach the load reduction requirement goals set by RWQCB through green infrastructure projects; identifying countywide contaminated hotspot sites for credit, and developing countywide abatement guidelines for building demolition permits that local jurisdictions would implement to capture/abate PCB and Mercury-containing materials during demolition projects. The CCCWP staff has conducted countywide surveys of potential “parcel/hotspots” to determine parcels that may contain potential or significant levels of PCB or Mercury, and allow jurisdictions to meet individual and County-wide requirements. But, the survey confirmed that the City of Pleasant Hill has no hotspot parcels within the City, and will need to rely on local green infrastructure projects and the County to meet this goal.

Analysis
Item 9.5
City Council Meeting Agenda - Page 34 of 219 - Monday, August 18, 2025 On June 6, 2016, the City Council authorized the City Manager to execute a Professional Services Agreement in the amount of $68,690 with Kennedy & Associates to assist the City in complying with MRP 2.0 requirements and its various provisions of the National Pollutant Discharge Elimination System (NPDES) permit. On October 15, 2018, the City amended the original contract to increase the agreement amount by an additional $105,920. In August 2020, a second amendment to the agreement increased the amount by an additional $187,839 for Kennedy & Associates to continue its services to the City to assure continued compliance with MRP 2.0 & 3.0 requirements.

The existing contract will have a remaining balance of $7,725.11 after payment of the June 2025 invoice for $7,867.83, which covered costs for preparation of the annual report.

Kennedy & Associates have provided an updated scope and proposal for Development Engineering and Stormwater Program Services in the amount of $65,000. Due to the enhanced scope of services that are required by MRP 3.0 & 4.0, staff recommends the City enter into a new contract with Kennedy & Associates.

Staff has reviewed the cost proposal from Kennedy & Associates and finds it to be complete and reasonable.

FISCAL IMPACT
The costs associated with Kennedy & Associates’ support services is funded using available NPDES Funds (Fund 19), with no General Fund money being used. The Finance Department has confirmed that the respective NPDES funds are available.

___-25 AUTHORIZING THE CITY

MANAGER TO EXECUTE A SECOND AMENDMENT TO THE

PROFESSIONAL SERVICES AGREEMENT WITH CONSOR
(FORMALLY PARK ENGINEERING, INC.), TO PROVIDE ON-CALL

CONSTRUCTION INSPECTION SERVICES

SYNOPSIS
The City Council is requested to authorize the City Manager to execute a Second Amendment to the Professional Services Agreement with Consor (formally Park Engineering, Inc.) to perform on-call construction inspection services. These services include general inquiries received by the Engineering Division, encroachment permits, utility projects, and Capital Improvement Projects as identified in the FY 2024-2029 Capital Improvement Plan (CIP).

DISCUSSION
Background
The City executed a Professional Services Agreement with Consor (“Consultant”) for on-call construction inspection services on December 11, 2023 in the amount of $75,000, due to the retirement of the City Construction Inspector. The City hired a full time Construction Inspector in May 2024. On April 15, 2024, the City Council amended the original agreement with a First Amendment to increase the Agreement amount by an additional $75,000. However, due to large utility projects currently taking place within the City limits by the East Bay Municipal Utility District (EBMUD) and Central Contra Costa County Sanitary District (CentralSan), additional assistance remains for inspection services. Consor will provide inspection services until the completion of these projects, at which time the inspection workload will be reviewed.

Analysis
Consor has satisfactorily performed the assigned tasks outlined in the original Scope of Services and has provided inspectors with experience managing roadway, bridge, building, water and sewer lines, flood control, landscape, utility, traffic signal, street lighting, and other public works Item 9.6
City Council Meeting Agenda - Page 49 of 219 - Monday, August 18, 2025 construction projects for local, regional, and state agencies. The Consultant inspectors have proven to have extensive knowledge and the required experience to conduct inspections of any type.

FISCAL IMPACT
The proposed Second Amendment to the Professional Services Agreement increases the compensation by $150,000 to a total, not to exceed, amount of $300,000. In an effort to minimize the impact on the General Fund, those inspections related to utility projects within the City, such as East Bay Municipal Utility District (EBMUD) and Central Contra Costa Sanitary District (Central San) projects, will be billed directly to the utility companies, whereas those inspections related to Capital Improvement Projects will be charged directly to the capital project budget.

PUBLIC CONTACT
Public Contact was made through posting of the City Council agenda on the City’s official notice bulletin board, at the Pleasant Hill Senior Center, and at the Pleasant Hill Police Department. The agenda and staff report are posted on the City’s web page.

RECOMMENDED CITY COUNCIL ACTION
Adopt the proposed resolution authorizing the City Manager to execute a Second Amendment to the Professional Services Agreement with Consor, to provide on-call construction inspection services.

AUTHORIZING THE CITY MANAGER TO EXECUTE A SECOND AMENDMENT TO

THE PROFESSIONAL SERVICES AGREEMENT WITH CONSOR (FORMERLY PARK

ENGINEERING) TO PROVIDE ON-CALL CONSTRUCTION INSPECTION SERVICES WHEREAS, the City Council is requested to authorize the City Manager to execute a Second Amendment to the Professional Services Agreement with Consor (“Consultant”) to perform construction inspection services related to general inquiries received by the Engineering Division, encroachment permits, utility projects, and Capital Improvement Projects as identified in the FY 2024-2029 Capital Improvement Plan (CIP); and WHEREAS, The City executed a Professional Services Agreement with Consor. (“Consultant”) on December 11, 2023, for on-call engineering inspection services in the amount of $75,000.

WHEREAS, the City and Consor (“Consultant”) entered into the First Amendment to the Agreement for Professional Services (“Agreement”) on April 15, 2024, for continued on-call inspection services for $75,000.

WHEREAS, the original agreement with Consor has expired, and their inspection services are still needed for large utility projects. Consor has satisfactorily performed all the assigned tasks outlined in the original Scope of Services.

NOW THEREFORE, BE IT RESOLVED by the City Council of the City of Pleasant Hill that the City Manager is hereby authorized to execute a Second Amendment to the Professional Services Agreement with Consor, in the amount of $150,000, for a new not-to-exceed total contract amount of $300,000. Inspections related to utility projects within the City will be billed directly to the utility companies, and inspections related to Capital Improvement Projects will be charged directly to the capital project budget.

CITY COUNCIL STAFF REPORT
Meeting Date: August 18, 2025
TO: THE HONORABLE MAYOR AND CITY COUNCILMEMBERS
TITLE:

Adopt Resolution No.___-25 Authorizing the City Manager to Execute an Agreement with Sable Computers, Inc. (dba KIS) for the Purchase of Palo Alto Networks Firewalls, Including Five Years of Support

SYNOPSIS
The firewalls deployed across City Hall and Pleasant Hill Police Department (PHPD) are nearing their end of life and must be replaced . To ensure the City's security against cyber threats, staff is seeking to replace the existing firewalls with the latest models. This will allow for continued manufacturer support and help prevent security breaches.

DISCUSSION
Background
A firewall is a network security appliance that monitors incoming and outgoing network traffic and determines whether to allow or block specific traffic based on a defined set of security rules.

It is the security barrier between the external cyber threats that exist on the internet and the City’s internal data network.

Currently the City has firewalls deployed at City Hall and PHPD. The Public Services Center (PSC) resides on an extended branch of the PHPD data network, so the PSC is also protected by the firewall at PHPD.

The City’s existing firewalls are more than five years old and need to be replaced. Replacing the firewalls with the latest models is necessary to maintain manufacturer support and ensure the firewalls remain current with the latest security software patches and updates.

Analysis
The City’s existing firewalls and the recommended replacements are both manufactured by Palo Alto Networks, a well-known leader in the firewall industry. Gartner’s Magic Quadrant, a wellrespected technology research and advisory company, has ranked Palo Alto Networks as a top leader for network firewalls eight years in a row. Palo Alto Networks solutions can be found in many Fortune 500 companies worldwide and in many government institutions.

Item 10.1
City Council Meeting Agenda - Page 79 of 219 - Monday, August 18, 2025 Palo Alto Networks do not sell their products direct; thus, the firewalls must be procured through one of their resellers, Sable Computers, Inc. 1. During operational performance testing (OPT), the City shall make a written record of any problems encountered, with appropriate supporting descriptions to facilitate diagnosis and correction. 2. If any problems are encountered, the City and Supplier shall attempt in good faith to reach agreement on whether the problems either prevent the City from commencing product operations with the Project or would substantially inhibit the City’s use of the system if such problem or defect were to remain uncorrected.

3. If agreement is reached that the problems either prevent the City from commencing system operations or would substantially inhibit the City’s use of the product if production operations were commenced, or if the City and Supplier are unable to agree, Supplier shall provide to the City a written statement that the problems shall be corrected by a stated date acceptable to the City, and the City shall certify that the system has passed the operational testing phase and shall communicate the results of its verification to Supplier.

8. Independent Contractor. It is understood that Supplier, in the performance of the work and services agreed to be performed, shall act as and be an independent contractor and shall not act as an agent or employee of the City. Supplier shall obtain no rights to retirement benefits or other benefits which accrue to City's employees, and Supplier hereby expressly waives any claim it may have to any such rights.

9. Interest of Supplier. Supplier (including principals, associates and employees) covenants and represents that it does not now have any investment or interest in real property and shall not acquire any interest, direct or indirect, in the area covered by this Agreement or any other source of income, interest in real property or investment which would be affected in any manner or degree by the performance of Supplier's services hereunder.

Supplier further covenants and represents that in the performance of its duties hereunder no person having any such interest shall perform any services under this Agreement.

Supplier is not a designated employee within the meaning of the Political Reform Act because Supplier:
a. Will conduct research and arrive at conclusions with respect to his/her rendition of information, advice, recommendation or counsel independent of the control and direction of the City or of any City official, other than normal agreement monitoring; and b. Possesses no authority with respect to any City decision beyond rendition of information, advice, recommendation or counsel. (FPPC Reg. 18700(a)(2).)

10. Ability of Supplier. City has relied upon the training and ability of Supplier to perform the services hereunder as a material inducement to enter into this Agreement. The primary provider of the services called for by this Agreement shall be KIS, Inc. This provider shall not be replaced without the written consent of the City. All work Item 10.1

12. Patent and Copyright Warranty and Indemnity. Supplier hereby warrants that its software, hardware and associated systems or products do not violate or infringe upon any patent, trademark, copyright, service mark, trade secret, mask work or other intellectual property right or proprietary right of any third party. Supplier agrees to defend, at its expense, any suits against the City based upon a claim that any of its software or hardware directly infringes a patent or copyright and to pay costs and damages finally awarded in any such suit, provided that Supplier is notified promptly in writing of the suit and, at Supplier’s request and at its expense, is given full control of the suit and all requested assistance for defense of the suit. This indemnity does not extend to any suit based upon any infringement or alleged infringement of copyright by the combination of any item of Supplier software or hardware and other elements added by the City nor does it extend to any product(s) of City’s design or formula. The foregoing states the entire liability of Supplier for patent or copyright infringement related to the Supplier software or hardware or associated systems.

13. Warranty Disclaimer. Supplier represents and warrants that Supplier shall, on the date of transfer to the City, have title to and the right to sell the software, hardware and associated systems or products delivered to the City. Any warranty issued by the manufacturer of products shall be solely that of the manufacturer and not of Supplier.

Supplier hereby assigns to City, as of the date that title passes to City for such product, all of the manufacturer’s or vendor’s warranties, express or implied, if any and if assignable, with respect to the software, hardware and associated systems or products. Supplier hereby authorizes City to make or settle any claims under such warranties directly with any such manufacturer or vendor. EXCEPT FOR THIS

SUPPLIER ARISING OUT OF OR IN CONNECTION WITH THE PERFORMANCE OF THE PRODUCT. THE FOREGOING WARRANTIES EXTEND ONLY TO THE CITY OF PLEASANT HILL AND SHALL NOT BE ASSIGNABLE TO ANY OTHER PARTY.

14. Limitation of Liability. Supplier is not liable, for alleged defects in products sold or services performed, to third parties or anyone with whom it does not have a direct contractual relationship. Supplier is not liable for defects in information provided by secondary sources. All documents, including reports, drawings, plans, designs and specifications, prepared by Supplier or its subcontractors are not intended or represented by Supplier to be suitable for use by or relied upon by anyone but the Customer or for uses beyond the scope of the specific uses or purposes set forth in the contract Item 10.1
City Council Meeting Agenda - Page 86 of 219 - Monday, August 18, 2025 documents. INDEPENDENTLY OF ANY OTHER REMEDY LIMITATION HEREOF

AND NOTWITHSTANDING ANY FAILURE OF THE ESSENTIAL

PURPOSE OF ANY SUCH LIMITED REMEDY, IN NO EVENT SHALL SUPPLIER BE

LIABLE FOR SPECIAL, INCIDENTAL, COST OF COVER, LOST PROFITS OR

CONSEQUENTIAL DAMAGES OF ANY KIND WHETHER UNDER CONTRACT, TORT

OR OTHER LEGAL ACTION UNDER THIS AGREEMENT, EVEN IF SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15. Nondisclosure. City acknowledges that, in the course of using the software, hardware and associated systems or products contemplated by this Agreement, City may obtain confidential or proprietary information relating to the technology or the accompanying documentation of Supplier or its subcontractors, including without limitation all technical know-how and specifications (“Proprietary Information”). For purposes of this Agreement, Proprietary Information further includes any information and data which is, or should be reasonably understood to be, confidential or proprietary to the disclosing party, which may include, without limitation, proprietary technical, financial, personnel, marketing, pricing, sales and/or commercial information with respect to the products and services of the parties, as well as ideas, concepts, designs, computer programs and inventions and all record bearing media containing or disclosing such Proprietary Information which are disclosed pursuant to this Agreement. Such Proprietary Information shall belong solely to Supplier. Proprietary Information shall not include information that is or becomes publicly known through no wrongful act of City. Notwithstanding that certain parts of such data may become a public record, Supplier shall not disclose or use any such potentially confidential information without the City’s prior written consent. Supplier agrees to take all appropriate steps to protect the integrity and confidentiality of the City’s computer systems.

Each party shall protect and safeguard the Proprietary Information of the other party using at least the same degree of care such party uses to protect its own Proprietary Information of like importance. The insurer shall agree to waive all rights of subrogation against City, its officers, agents, employees and volunteers for losses arising from work performed by Consultant for City.

This provision shall not apply if Supplier has no employees performing work under this Agreement. If the Supplier has no employees for the purposes of this Agreement, Supplier shall sign the "Certificate of Exemption from Workers' Compensation Insurance" which is attached hereto as Exhibit D. ii. Automobile Liability Coverage. Supplier shall maintain automobile liability insurance covering bodily injury and property damage for all activities of the Supplier arising out of or in connection with the work to be performed under this Agreement, including coverage for owned, hired and non-owned vehicles, in an amount of not less than two million dollars ($2,000,000) combined single limit for each occurrence.
b. Policy Endorsements. Each general liability and automobile liability insurance policy shall be with insurers possessing a Best's rating of no less than A:VII and shall be endorsed with the following specific language:
i. The City of Pleasant Hill, its elected or appointed officers, officials, employees, agents and volunteers are to be covered as additional insureds with respect to liability arising out of work performed by or on behalf of the Supplier, including materials, parts or equipment furnished in connection with such work or operations.
ii. This policy shall be considered primary insurance as respects the City, its elected or appointed officers, officials, employees, agents and volunteers. Any insurance maintained by the City, including any self-insured retention the City may have, shall be considered excess insurance only and shall not contribute with it.

If Consultant maintains higher insurance limits than the minimums specified herein, City shall be entitled to coverage for the higher limits maintained by the Consultant.
iii. This insurance shall act for each insured and additional insured as though a separate policy had been written for each, except with respect to the limits of liability of the insuring company.

d. Certificates of Insurance and Endorsements. Supplier shall provide certificates of insurance with original endorsements to City as evidence of the insurance coverage required herein. Certificates of such insurance shall be filed with the City on or before commencement of performance of this Agreement. Current certification of insurance shall be kept on file with the City at all times during the term of this Agreement.
e. Wasting Policies. No policy required herein shall include a “wasting” policy limit (i.e. limit that is eroded by the cost of defense).

f. Waiver of Subrogation. Consultant hereby agrees to waive subrogation which any insurer or contractor may require from Consultant by virtue of the payment of any loss. Consultant agrees to obtain any endorsements that may be necessary to effect this waiver of subrogation, but this provision applies regardless of whether or not the City has received a waiver of subrogation endorsement from the insurer.

17. Compliance with Laws. Supplier shall use the standard of care in its profession to comply with all applicable federal, state and local laws, codes, ordinances and regulations.

18. Licenses. CITY COUNCIL STAFF REPORT
Meeting Date: August 18, 2025
TO: THE HONORABLE MAYOR AND CITY COUNCILMEMBERS
TITLE: Adopt Resolution No. ___ - 25 Authorizing the City Manager to Execute an Agreement with RingCentral, Inc. for Hosted Voice over Internet Protocol Services

SYNOPSIS
The City currently utilizes the ShoreTel Voice over Internet Protocol (VoIP) Phone system that was implemented 10 years ago. In September 2017, Mitel Networks Corp. acquired ShoreTel and in July 2024 have decided they will no longer be supporting the system as of December 2029. Staff requests that the City Council adopt the proposed resolution authorizing the City Manager to execute an agreement with RingCentral, Inc. for their hosted VoIP services. This will allow the City to benefit from cost savings, provide staff with updated phone features, while still enabling the continued use of existing desktop phones.

DISCUSSION
Background
A phone system typically consists of phones, a management software application to control the features and integration of the phones, and a voicemail system that allows users to manage, store, and retrieve voicemail.

The City purchased the VoIP ShoreTel phone system in July 2015. Since then, Mitel Networks Corp. acquired ShoreTel, Inc. in September 2017. After acquiring ShoreTel, Mitel initially aimed to expand into the cloud market with ShoreTel's cloud offerings. Mitel's cloud efforts with ShoreTel's platform did not gain the expected market share, leading them to prioritize their core strengths in on-premise systems and other cloud solutions. In July 2024, Mitel decided to sunset the ShoreTel product by December 2029.

City staff recommends migrating away from ShoreTel at this juncture, as Mitel will invariably shift resources away from ShoreTel customer support leading to degraded quality of customer care and longer wait times for support. Moreover, Mitel has also significantly increased its maintenance and support rates, thus further incentivizing the City to migrate to another system sooner rather than later.

Item 10.2
City Council Meeting Agenda - Page 96 of 219 - Monday, August 18, 2025 ShoreTel is an on-premise based VoIP system, which means the City houses and maintains the ShoreTel hardware. At present, ShoreTel VoIP is installed at City Hall, the police department and the Pleasant Hill library. Each site must be maintained and administered separately. RingCentral is a hosted VoIP system, which means no on-premise hardware is needed, and its remote cloudbased system provides all the necessary functionality. By switching to a hosted VoIP solution, the City will be able to consolidate and simplify phone administration throughout the organization.

In addition, on-premise VoIP systems require organizations to purchase telecommunication lines via AT&T or other telecommunications carriers to enable their operation. Hosted VoIP solutions include the telecommunication connections within their service offering and pricing.

More organizations today are opting for hosted VoIP services because they generally have lower costs, less maintenance, and increased flexibility. Hosted VoIP eliminates the need for initial hardware purchases, installation, and ongoing update replacements, which reduces overall costs.

Hosted VoIP solutions are also more scalable, allowing the City to quickly expand services and functionality, as needed.

Analysis
Currently, the City utilizes Microsoft Teams for video teleconferencing and instant messaging.

RingCentral is one of the few vendors that can integrate seamlessly with Microsoft Teams. Thus, with the deployment of RingCentral, the City will be able to use Microsoft Teams’ built-in telephony features without having to purchase the telephony services from Microsoft.

Staff evaluated three of the top hosted VoIP vendors in the industry, including Zoom, RingCentral, and Microsoft Teams. Of the three, only RingCentral’s service is compatible with the City’s existing desktop phones. Not only were Zoom and Microsoft’s rates higher than RingCentral’s, but the City would also incur the additional cost of replacing all desktop phones throughout the organization.

RingCentral is trusted by over 400,000 organizations worldwide, such as the Golden State Warriors, Office Depot, and Salesforce. Many municipalities, including the cities of Los Altos, San Carlos, and the Santa Clara Valley Water District have also adopted RingCentral.

RingCentral’s proposal is based on the NASPO (National Association of State Procurement Officials) ValuePoint cooperative agreement, which satisfies the City’s purchasing policy to obtain competitive bids. NASPO is a public cooperative purchasing program that allows state, local, and educational institutions to access pre-negotiated contracts for goods and services. These agreements are formed through a competitive bidding process led by a "lead state" and are designed to simplify procurement, reduce costs, and increase efficiency for participating entities.

FISCAL IMPACT
Item 10.2
City Council Meeting Agenda - Page 97 of 219 - Monday, August 18, 2025 At present, the City pays AT&T $26,730 annually for telecommunication lines. RingCentral’s three-year proposal, which includes support, maintenance, and telecommunication lines, totals $80,136, which equates to $26,712 annually. Switching telephony services from AT&T to RingCentral will basically be cost neutral. The cost for RingCentral’s service will be paid monthly and will be funded from the General Fund Technology Budget Fiscal Year 2025-2026. The Finance Division has confirmed that adequate funds are available to fund this request.

Public Contact was made through posting of the City Council agenda on the City’s official notice bulletin board, at the Pleasant Hill Senior Center, and at the Pleasant Hill Police Department. The agenda and staff report are posted on the City’s web page.

No terms on either party’s Purchase Orders, Invoices, Ordering Documents, Website, Browse-Wrap, Shrink-Wrap, Click-Wrap, Clickthrough, or other Non-Negotiated Terms and Conditions provided with any contract activities will constitute a part or amendment of this Agreement or is binding for any purpose. All such other Terms and Conditions have no force and effect and are deemed rejected, even if access to or use of the contract activities requires affirmative acceptance of such Terms and Conditions

2. Definitions
Acceptance is defined by the applicable commercial code, except Acceptance shall not occur before the completion of delivery in accordance with the Order, installation if required, and a reasonable time for inspection of the Product.

Contractor means the person or entity delivering Products or performing services under the terms and conditions set forth in this Master Agreement.

Embedded Software means one or more software applications which permanently reside on a computing device.

Intellectual Property means any and all patents, copyrights, service marks, trademarks, trade secrets, trade names, patentable inventions, or other similar proprietary rights, in tangible or intangible form, and all rights, title, and interest therein.

Lead State means the State centrally administering any resulting Master Agreement(s).

Master Agreement means the underlying agreement executed by and between the Lead State, acting on behalf of the NASPO ValuePoint program, and the Contractor, as now or hereafter amended.

NASPO ValuePoint is a division of the National Association of State Procurement Officials (“NASPO”), a 501(c)(3) limited liability company. NASPO ValuePoint facilitates administration of the NASPO cooperative group contracting consortium of state chief procurement officials for the benefit of state departments, institutions, agencies, and political subdivisions and other eligible entities (i.e., colleges, school districts, counties, cities, some nonprofit organizations, etc.) for all states, the District of Columbia, and territories of the United States. NASPO ValuePoint is identified in the Master Agreement as the recipient of reports and may perform contract administration functions relating to collecting and receiving reports, as well as other contract administration functions as assigned by the Lead State

Participating State means a state, the District of Columbia, or one of the territories of the United States that is listed in the Request for Proposal as intending to participate. Upon execution of the Participating Addendum, a Participating State becomes a Participating Entity; however, a Participating State listed in the Request for Proposal is not required to participate through execution of a Participating Addendum.

The term Products, supplies and services, and products and services are used interchangeably in these terms and conditions.

NASPO ValuePoint Program Provisions

3. Term of the Master Agreement
a. The initial term of this Master Agreement is for 2 years. This Master Agreement may be extended beyond the original contract period for 3 additional years, with three separate 1 year extensions, at the Lead State’s discretion and by mutual agreement and upon review of requirements of Participating Entities, current market conditions, and Contractor performance. b. The Master Agreement may be extended for a reasonable period of time, not to exceed six months, if in the judgment of the Lead State a follow-on, competitive procurement will be unavoidably delayed (despite good faith efforts) beyond the planned date of execution of the follow-on master agreement. This subsection shall not be deemed to limit the authority of a Lead State under its state law otherwise to negotiate contract extensions.

4. Amendments
The terms of this Master Agreement shall not be waived, altered, modified, supplemented or amended in any manner whatsoever without prior written agreement of the Lead State and Contractor.

5. Participants and Scope
a. Contractor may not deliver Products under this Master Agreement until a Participating Addendum acceptable to the Participating Entity and Contractor is executed. The NASPO ValuePoint Master Agreement Terms and Conditions are applicable to any Order by a Participating Entity (and other Purchasing Entities covered by their Participating Addendum), except to the extent altered, modified, supplemented or amended by a Participating
Addendum. By way of illustration and not limitation, this authority may apply to unique delivery and invoicing requirements, confidentiality requirements, defaults on Orders, governing law and venue relating to Orders by a Participating Entity, indemnification, and insurance requirements. Statutory or constitutional requirements relating to availability of funds may require specific language in some Participating Addenda in order to comply with applicable law. The expectation is that these alterations, modifications, supplements, or amendments will be addressed in the Participating Addendum or, with the consent of the Purchasing Entity and Contractor, may be included in the ordering document (e.g. purchase order or contract) used by the Purchasing Entity to place the Order.
b. Use of specific NASPO ValuePoint cooperative Master Agreements by state agencies, political subdivisions and other Participating Entities (including cooperatives) authorized by individual state’s statutes to use state contracts are subject to the approval of the respective State Chief Procurement Official. Issues of interpretation and eligibility for participation are solely within the authority of the respective State Chief Procurement Official. c. Obligations under this Master Agreement are limited to those Participating Entities who have signed a Participating Addendum and Purchasing Entities within the scope of those Participating Addenda. States or other entities permitted to participate may use an informal competitive process to determine which Master Agreements to participate in through execution of a Participating Addendum. Financial obligations of Participating Entities who are states are limited to the orders Item 10.2
City Council Meeting Agenda - Page 189 of 219 - Monday, August 18, 2025 placed by the departments or other state agencies and institutions having available funds. Participating Entities who are states incur no financial obligations on behalf of other Purchasing Entities. Contractor shall email a fully executed PDF copy of each
Participating Addendum to [email protected] to support documentation of participation and posting in appropriate data bases.
d. NASPO ValuePoint is not a party to the Master Agreement. It is a nonprofit cooperative purchasing organization assisting states in administering the NASPO cooperative purchasing program for state government departments, institutions, agencies and political subdivisions (e.g., colleges, school districts, counties, cities, etc.) for all 50 states, the District of Columbia and the territories of the United States.
e. Participating Addenda shall not be construed to amend the following provisions in this Master Agreement between the Lead State and Contractor that prescribe NASPO ValuePoint Program requirements: Term of the Master Agreement; Amendments; Participants and Scope; Administrative Fee; NASPO ValuePoint Summary and Detailed Usage Reports; NASPO ValuePoint Cooperative Program Marketing and Performance Review; NASPO ValuePoint eMarketCenter; Right to Publish; Price and Rate Guarantee Period; and Individual Customers. Any such language shall be void and of no effect.

f. Participating Entities who are not states may under some circumstances sign their own Participating Addendum, subject to the consent to participation by the Chief Procurement Official of the state where the Participating Entity is located.

Coordinate requests for such participation through NASPO ValuePoint. Any permission to participate through execution of a Participating Addendum is not a determination that procurement authority exists in the Participating Entity; they must ensure that they have the requisite procurement authority to execute a Participating Addendum. g. Resale. “Resale” means any payment in exchange for transfer of tangible goods, software, or assignment of the right to services. Subject to any specific conditions included in the solicitation or Contractor’s proposal as accepted by the Lead State, or as explicitly permitted in a Participating Addendum, Purchasing Entities may not resell Products (the definition of which includes services that are deliverables). Absent any such condition or explicit permission, this limitation does not prohibit: payments by employees of a Purchasing Entity for Products; sales of Products to the general public as surplus property; and fees associated with inventory transactions with other governmental or nonprofit entities and consistent with a Purchasing Entity’s laws and regulations. Any sale or transfer permitted by this subsection must be consistent with license rights granted for use of intellectual property.

6. Administrative Fees
a. The Contractor shall pay to NASPO ValuePoint, or its assignee, a NASPO ValuePoint Administrative Fee of onequarter of one percent (0.25% or 0.0025) no later than sixty (60) days following the end of each calendar quarter. The NASPO ValuePoint Administrative Fee shall be submitted quarterly and is based on all sales of products and services under the Master Agreement (less any charges for taxes or shipping). The NASPO ValuePoint Administrative Fee is not negotiable. This fee is to be included as part of the pricing submitted with proposal. b. Additionally, some states may require an additional fee be paid directly to the state only on purchases made by Purchasing Entities within that state. For all such requests, the fee level, payment method and schedule for such reports and payments will be incorporated into the Participating Addendum that is made a part of the Master Agreement. The Contractor may adjust the Master Agreement pricing accordingly for purchases made by Purchasing Entities within the jurisdiction of the state. All such agreements shall not affect the NASPO ValuePoint Administrative Fee percentage or the prices paid by the Purchasing Entities outside the jurisdiction of the state requesting the additional fee. The NASPO ValuePoint Administrative Fee in subsection 6a shall be based on the gross amount of all sales (less any charges for taxes or shipping) at the adjusted prices (if any) in Participating Addenda.

7. NASPO ValuePoint Summary and Detailed Usage Reports
In addition to other reports that may be required by this solicitation, the Contractor shall provide the following NASPO ValuePoint reports.
a. Summary Sales Data. The Contractor shall submit quarterly sales reports directly to NASPO ValuePoint using the NASPO ValuePoint Quarterly Sales/Administrative Fee Item 10.2
City Council Meeting Agenda - Page 190 of 219 - Monday, August 18, 2025 Reporting Tool found at http://calculator.naspovaluepoint.org. Any/all sales made under this Master Agreement shall be reported as cumulative totals by state. Even if Contractor experiences zero sales during a calendar quarter, a report is still required. Reports shall be due no later than thirty (30) days following the end of the calendar quarter (as specified in the reporting tool).
b. Detailed Sales Data. Contractor shall also report detailed sales data by: (1) state; (2) entity/customer type, e.g. local government, higher education, K12, non-profit; (3) Purchasing Entity name; (4) Purchasing Entity bill-to and ship-to locations; (4) Purchasing Entity and Contractor Purchase Order identifier/number(s); (5) Purchase Order Type (e.g. sales order, credit, return, upgrade, determined by industry practices); (6) Purchase Order date; (7) Ship Date; (8) and line item description, including (if applicable) pricing for each: chassis, body/equipment item, and installation by product number if used. The report shall be submitted in any form required by the solicitation. Reports are due on a quarterly basis and must be received by the Lead State and NASPO ValuePoint Cooperative Development Team no later than thirty (30) days after the end of the reporting period. Reports shall be delivered to the Lead State and to the NASPO ValuePoint Cooperative Development Team electronically through a designated portal, email, CD-ROM, flash drive or other method as determined by the Lead State and NASPO ValuePoint. Detailed sales data reports shall include sales information for all sales under Participating Addenda executed under this Master Agreement. The format for the detailed sales data report is Microsoft Excel or equivalent.
c. Reportable sales for the summary sales data report and detailed sales data report includes sales to employees for personal use where authorized by the solicitation and the Participating Addendum. Report data for employees should be limited to ONLY the state and entity they are participating under the authority of (state and agency, city, county, school district, etc.) and the amount of sales. No personal identification numbers, e.g. names, addresses, social security numbers or any other numerical identifier, may be submitted with any report. d. Contractor shall provide the NASPO ValuePoint Cooperative Development Coordinator with an executive summary each quarter that includes, at a minimum, a list of states with an active Participating Addendum, states that Contractor is in negotiations with and any Participating
Addendum roll out or implementation activities and issues. NASPO ValuePoint Cooperative Development Coordinator and Contractor will determine the format and content of the executive summary. The executive summary is due thirty (30) days after the conclusion of each calendar quarter.
e. Timely submission of these reports is a material requirement of the Master Agreement. The recipient of the reports shall have exclusive ownership of the media containing the reports. The Lead State and NASPO ValuePoint shall have a perpetual, irrevocable, nonexclusive, royalty free, transferable right to display, modify, copy, and otherwise use reports, data and information provided under this section.

8. NASPO ValuePoint Cooperative Program Marketing, Training, and Performance Review a. Contractor agrees to work cooperatively with NASPO ValuePoint personnel. Contractor agrees to present plans to NASPO ValuePoint for the education of Contractor’s contract administrator(s) and sales/marketing workforce regarding the Master Agreement contract, including the competitive nature of NASPO ValuePoint procurements, the Master agreement and participating addendum process, and the manner in which qualifying entities can participate in the Master Agreement. b. Contractor acknowledges that the NASPO ValuePoint logos may not be used by Contractor in sales and marketing until a logo use agreement is executed with NASPO ValuePoint. f. The Lead State expects to evaluate the utilization of the Master Agreement at the annual performance review. Lead State may, in its discretion, cancel the Master Agreement pursuant to section 28, or not exercise an option to renew, when Contractor utilization does not warrant further administration of the Master Agreement. The Lead State may exercise its right to not renew the Master Agreement if vendor fails to record or report revenue for three consecutive quarters, upon 60-calendar day written notice to the Contractor. Cancellation based on nonuse or under-utilization will not occur sooner than two years after award (or execution if later) of the Master Agreement. This subsection does not limit the discretionary right of either the Lead State or Contractor to cancel the Master Agreement pursuant to section 28 or to terminate for default pursuant to section

30. g. Contractor agrees, within 30 days of their effective date, to notify the Lead State and NASPO ValuePoint of any contractual most-favored-customer provisions in third-part contracts or agreements that may affect the promotion of this Master Agreements or whose terms provide for adjustments to future rates or pricing based on rates, pricing in, or Orders from this master agreement. Upon request of the Lead State or NASPO ValuePoint, Contractor shall provide a copy of any such provisions.

9. Right to Publish
Throughout the duration of this Master Agreement, Contractor must secure from the Lead State prior approval for the release of information that pertains to the potential work or activities covered by the Master Agreement. This limitation does not preclude publication about the award of the Master Agreement or marketing activities consistent with any proposed and accepted marketing plan. The Contractor shall not make any representations of NASPO ValuePoint’s opinion or position as to the quality or effectiveness of the services that are the subject of this Master Agreement without prior written consent. Failure to adhere to this requirement may result in termination of the Master Agreement for cause.

10. Price and Rate Guarantee Period
Price and rate guarantee period information is outlined in Sections B4.11, B4.12, & B4.13 (Attachment B).

11. Individual Customers
Except to the extent modified by a Participating Addendum, each Purchasing Entity shall follow the terms and conditions of the Master Agreement and applicable Participating Addendum and will have the same rights and responsibilities for their purchases as the Lead State has in the Master Agreement, including but not limited to, any indemnity or right to recover any costs as such right is defined in the Master Agreement and applicable Participating Addendum for their purchases. Each Purchasing Entity will be responsible for its own charges, fees, and liabilities. The Contractor will apply the charges and invoice each Purchasing Entity individually.

Administration of Orders

12. Ordering
a.Master Agreement order and purchase order numbers shall be clearly shown on all acknowledgments, shipping labels, packing slips, invoices, and on all correspondence.
b.Purchasing Entities may define entity or project-specific requirements and informally compete the requirement among companies having a Master Agreement on an “as needed” basis. This procedure may also be used when requirements are aggregated or other firm commitments may be made to achieve reductions in pricing. This procedure may be modified in Participating Addenda and adapted to the Purchasing Entity’s rules and policies. The Purchasing Entity may in its sole discretion determine which Master Agreement Contractors should be solicited for a quote. The Purchasing Entity may select the quote that it considers most advantageous, cost and other factors considered.

Item 10.2
City Council Meeting Agenda - Page 192 of 219 - Monday, August 18, 2025 c.Each Purchasing Entity will identify and utilize its own appropriate purchasing procedure and documentation. d.Contractor shall not begin work without a valid Purchase Order or other appropriate commitment document under the law of the Purchasing Entity.
e.Orders may be placed consistent with the terms of this Master Agreement during the term of the Master Agreement. f. All Orders pursuant to this Master Agreement, at a minimum, shall include:

(6) A ceiling amount of the order for services being ordered; and (7) The Master Agreement identifier.
g.All communications concerning administration of Orders placed shall be furnished solely to the authorized purchasing agent within the Purchasing Entity’s purchasing office, or to such other individual identified in writing in the Order. h.Orders must be placed pursuant to this Master Agreement prior to the termination date thereof, but may have a delivery date or performance period up to 120 days past the thencurrent termination date of this Master Agreement. Contractor is reminded that financial obligations of Purchasing Entities payable after the current applicable fiscal year are contingent upon agency funds for that purpose being appropriated, budgeted, and otherwise made available. i. Notwithstanding the expiration, cancellation or termination of this Master Agreement, Contractor agrees to perform in accordance with the terms of any Orders then outstanding at the time of such expiration or termination. Contractor shall not honor any Orders placed after the expiration, cancellation or termination of this Master Agreement, or otherwise inconsistent with its terms. Orders from any separate indefinite quantity, task orders, or other form of indefinite delivery order arrangement priced against this Master Agreement may not be placed after the expiration or termination of this Master Agreement, notwithstanding the term of any such indefinite delivery order agreement.

13. Shipping and Delivery
a. The prices are the delivered price to any Purchasing Entity. All deliveries shall be F.O.B. destination, freight pre-paid, with all transportation and handling charges paid by the Contractor. Responsibility and liability for loss or damage shall remain the Contractor’s until final inspection and acceptance when responsibility shall pass to the Purchasing Entity except as to latent defects, fraud and Contractor’s warranty obligations. The minimum shipment amount, if any, will be found in the special terms and conditions. Any order for less than the specified amount is to be shipped with the freight prepaid and added as a separate item on the invoice. Any portion of an Order to be shipped without transportation charges that is back ordered shall be shipped without charge.
b. All deliveries will be “Inside Deliveries” as designated by a representative of the Purchasing Entity placing the Order.

If damage does occur, it is the responsibility of the Contractor to immediately notify the Purchasing Entity placing the Order. c. All products must be delivered in the manufacturer’s standard package. Costs shall include all packing and/or crating charges. Cases shall be of durable construction, good condition, properly labeled and suitable in every respect for storage and handling of contents. Each

14. Laws and Regulations
Any and all Products offered and furnished shall comply fully with all applicable Federal and State laws and regulations.

15. Inspection and Acceptance
a. Where the Master Agreement or an Order does not otherwise specify a process for inspection and Acceptance, this section governs. This section is not intended to limit rights and remedies under the applicable commercial code. b. All Products are subject to inspection at reasonable times and places before Acceptance. Contractor shall provide right of access to the Lead State, or to any other authorized agent or official of the Lead State or other Participating or Purchasing Entity, at reasonable times, in order to monitor and evaluate performance, compliance, and/or quality assurance requirements under this Master Agreement. Products that do not meet specifications may be rejected. Failure to reject upon receipt, however, does not relieve the contractor of liability for material (nonconformity that substantial impairs value) latent or hidden defects subsequently revealed when goods are put to use. Acceptance of such goods may be revoked in accordance with the provisions of the applicable commercial code, and the Contractor is liable for any resulting expense incurred by the Purchasing Entity related to the preparation and shipping of Product rejected and returned, or for which Acceptance is revoked.
c. If any services do not conform to contract requirements, the Purchasing Entity may require the Contractor to perform the services again in conformity with contract requirements, at no increase in Order amount. When defects cannot be corrected by re-performance, the Purchasing Entity may require the Contractor to take necessary action to ensure that future performance conforms to contract requirements; and reduce the contract price to reflect the reduced value of services performed.
d. The warranty period shall begin upon Acceptance.
e. Acceptance Testing may be explicitly set out in a Master Agreement to ensure conformance to an explicit standard of performance. Acceptance Testing means the process set forth in the Master Agreement for ascertaining that the Product meets the standard of performance prior to Acceptance by the Purchasing Entity. If Acceptance Testing is prescribed, this subsection applies to applicable Products purchased under this Master Agreement, including any additional, replacement, or substitute Product(s) and any Product(s) which are modified by or with the written approval of Contractor after Acceptance by the Purchasing Entity. The Acceptance Testing period shall be thirty (30) calendar days or other time period identified in this Master Agreement or the Participating Addendum, starting from the day after the Product is delivered or, if installed, the day after the Product is installed and Contractor certifies that the Product is ready for Acceptance Testing. If the Product does not meet the standard of performance during the initial period of Acceptance Testing, Purchasing Entity may, at its discretion, continue Acceptance Testing on a day-to-day basis until the standard of performance is met. Upon rejection, the Contractor will have fifteen (15) calendar days to cure the standard of performance issue(s). If after the cure period, the Product still has not met the standard of performance, the Purchasing Entity may, at its option: (a) declare Contractor to be in breach and terminate the Order; (b) demand replacement Product from Contractor at no additional cost to Purchasing Entity; or, (c) continue the cure period for an additional time period agreed upon by the Purchasing Entity and the Contractor. Contractor shall pay all costs related to the preparation and shipping of Product returned pursuant to the section. No Product shall be deemed Accepted and no charges shall be paid until the standard of performance is met.

The warranty period shall begin upon Acceptance.

16. Payment
Payment after Acceptance is normally made within 30 days following the date the entire order is delivered or the date a correct invoice is received, whichever is later. After 45 days the Contractor may assess overdue account charges up to a maximum rate of one percent per month on the outstanding balance, unless a different late payment amount is specified in a Participating Addendum, Order, or otherwise prescribed by applicable law. Payments will be remitted by mail. Payments may be made via a State or political subdivision “Purchasing Card” with no additional charge.

17. Warranty
Warranty provisions govern where specified elsewhere in the documents that constitute the Master Agreement; otherwise this section governs. The Contractor warrants for a period of one year from the date of Acceptance that: (a) the Product performs according to all specific claims that the Contractor made in its response to the solicitation, (b) the Product is suitable for the Item 10.2
City Council Meeting Agenda - Page 194 of 219 - Monday, August 18, 2025 _________________________________________________________________________________________________________________ ordinary purposes for which such Product is used, (c) the Product is suitable for any special purposes identified in the solicitation or for which the Purchasing Entity has relied on the Contractor’s skill or judgment, (d) the Product is designed and manufactured in a commercially reasonable manner, and (e) the Product is free of defects. Upon breach of the warranty, the Contractor will repair or replace (at no charge to the Purchasing Entity) the Product whose nonconformance is discovered and made known to the Contractor. If the repaired and/or replaced Product proves to be inadequate, or fails of its essential purpose, the Contractor will refund the full amount of any payments that have been made. The rights and remedies of the parties under this warranty are in addition to any other rights and remedies of the parties provided by law or equity, including, without limitation, actual damages, and, as applicable and awarded under the law, to a prevailing party, reasonable attorneys’ fees and costs.

18. Title of Product
Upon Acceptance by the Purchasing Entity, Contractor shall convey to Purchasing Entity title to the Product free and clear of all liens, encumbrances, or other security interests. Transfer of title to the Product shall include an irrevocable and perpetual license to use any Embedded Software in the Product. If Purchasing Entity subsequently transfers title of the Product to another entity, Purchasing Entity shall have the right to transfer the license to use the Embedded Software with the transfer of Product title. A subsequent transfer of this software of 20
license shall be at no additional cost or charge to either Purchasing Entity or Purchasing Entity’s transferee.

CITY COUNCIL STAFF REPORT
Meeting Date: August 18, 2025
TO: THE HONORABLE MAYOR AND CITY COUNCILMEMBERS
TITLE: ADOPT RESOLUTION NO. ___-25 ACCPETING FUNDS AND

AUTHORIZING EXPENDITURES FROM THE CALIFORNIA

SUPPLEMENTAL LAW ENFORCEMENT SERVICES ACCOUNT
(SLESA)

SYNOPSIS
The purpose of this item is to accept Fiscal Year 2025-26 grant funds and authorize the recommended use of grant funds from the California Supplemental Law Enforcement Services Account (SLESA).

DISCUSSION
Background
In 1996, California state legislation (AB 3229) created the Citizens Options for Public Safety (COPS) program allocating $100,000 to eligible local governments yearly for front line law enforcement services. These funds are distributed through the SLESA. SLESA funds can be used for salaries, services, supplies, equipment, and administrative overhead. SLESA funds cannot be diverted into an entity’s general fund and must be used for the aforementioned front line law enforcement services. The size of the total award to each recipient is proportionate to population with the minimum award for all entities set at $100,000 yearly.

The Pleasant Hill 2025-26 fiscal year award is approximately $174,000. Enabling legislation specifies a city council must appropriate funds as specified in the written request of the entity’s chief of police. Funds are distributed from the State to the County, which then distributes the funds to the City.

Analysis
The Police Department’s proposed use of SLESA funds in FY 2025-26 will go toward funding the following items:

Item 10.3
City Council Meeting Agenda - Page 201 of 219 - Monday, August 18, 2025 Automated License Plate Reader and Pan Tilt Zoom Camera Expansion and upgrading of the current Automated License Plate Reader (ALPR) program.

Several of our current ALPR cameras are over five years old and have required repairs. Staff anticipates the need will arise to replace and upgrade several of these cameras. ALPR captures digital images of vehicle license plates as they pass the reader camera. Any license plate matched to a license plate in the system’s database is reported in real time to law enforcement. This information enables officers to take action based on the type of data received. ALPR systems are very effective in locating and recovering stolen vehicles, alerting law enforcement officers to vehicles wanted in connection with other crimes, and obtaining investigative data that assist law enforcement in investigating and solving criminal cases. This technology is one of many programs designed to keep the City of Pleasant Hill safe and prevent crime.

It is imperative that the Police Department leverage additional resources to supplement our current community-oriented policing model with a technology-driven policy approach to reducing crime and solving investigations. The use of live stream pan tilt zoom video cameras (PTZ) in fixed locations has provided greater deterrence, coverage, and more detailed information for law enforcement to handle active incidents, prevent crime, increase public safety, and solve cases. In addition, PTZ video cameras can also be used to support the city’s emergency operations center.

The Police Department requests a commitment of $40,000 from SLESA funds for the purchase of ALPR and PTZ equipment.

Dispatch Supervisor Position
Until 2019, the supervision of the professional staff in the Support Services Division fell to a single civilian supervisor, but because of the ongoing changes and significant increased work requirements, it was no longer feasible to have a single supervisor oversee the numerous employees and job functions. Consequently, this led to a reorganization of the Support Services Division and the recommendation for a new Dispatch Supervisor position.

The Police Department requests a commitment of $30,000 from SLESA funds to offset the cost for this position.

Organizational Wellness
Organizational and employee wellness is an important component of any police organization.

While the city has an Employee Assistance Program (EAP) in place, Police Department employees have found it difficult to secure timely therapy and support services through the EAP. As Police Department employees are exposed to traumatic and stressful incidents on a regular basis, it was a concern that support services could not be obtained in a timely manner.

In June 2024, the Police Department secured a contract with a local Licensed Clinical Social Worker to serve as the department’s designated therapist. This provided Police Department employees with an alternative to therapy services provided through EAP. Not a replacement, but Item 10.3
City Council Meeting Agenda - Page 202 of 219 - Monday, August 18, 2025 an alternative that would make securing a therapist and scheduling therapy appointments more accessible and timelier for Police Department employees.

The Police Department requests a commitment of $15,000 from SLESA funds to cover the continued use of a designated Police Department therapist.

Unmanned Aerial Systems
The advancement in technology of Unmanned Aerial Systems (UAS) has rapidly evolved, creating many potential uses by local law enforcement agencies. Current UAS public safety uses include:
hazmat spills; explosive ordnance disposal (EOD); search and rescue missions; investigating and documenting crime scenes; barricaded suspect surveillance; active shooters; execution of search warrants; disaster response and recovery; training; and assistance requests from local and state fire authorities. The purpose of a UAS program is to increase public and first responder safety and provide a higher level of police service to the community. Our UAS program has been in operation since 2021, with dozens of successful deployments each year. The UAS team currently has seven members and 10 drones. Two members of the UAS team are also assigned to the Central County SWAT team and regularly deploy with the team. As UAS team responsibilities increase, it will require training and updated equipment for use by the team. Some of the systems used by the UAS team are now five years old and will need to be replaced, as there have been technological upgrades with newer models.

The Police Department requests the commitment of $15,000 to pay for the purchase of additional equipment, training, and maintenance of our existing UAS inventory.

Safety Equipment
The Police Department issues ballistic helmets and patrol rifles to each police officer. The Police Department is requesting the purchase of five ballistic helmets and two patrol rifles as reserve equipment in case equipment requires replacement. This is part of the department’s ongoing commitment to officer safety and community protection. These tools are essential for equipping officers to respond effectively to high-risk situations such as active shooter events, barricaded suspects, and other critical incidents. Ballistic helmets provide vital head protection, significantly reducing the risk of serious injury, while patrol rifles offer greater accuracy and range than standard sidearms, enhancing officers’ ability to neutralize threats from a safer distance.

The Police Department requests the commitment of $10,000 to pay for the purchase of additional helmets and rifles.

Emergency Medical Equipment
The Police Department has maintained automated external defibrillators (AED’s) in patrol vehicles as part of its ongoing commitment to public safety and emergency medical response. Officers are often the first on scene during medical emergency calls. These devices have assisted officers in providing critical care before emergency medical services (EMS) arrive. Current AED devices are Item 10.3
City Council Meeting Agenda - Page 203 of 219 - Monday, August 18, 2025 aging, as many are over eight years old. Some of the AED devices are no longer supported by manufacturers in terms of replacement parts and can be difficult to maintain. The Police Department is requesting the purchase of six new AED devices to replace the current AED devices.

New AED devices offer improved diagnostic features, easier operation under stress and better integration with other emergency services (e.g., data transfer).

The Police Department requests the commitment of $20,000 to pay for the purchase of new AED devices.

FISCAL IMPACT
No general fund fiscal impact is anticipated. By statute, funds from SLESA may not be combined with general fund accounts. The use and administration of SLESA grant funds require minimal staff time to manage. The Finance Department has confirmed funds exist in the SLESA account to cover all recommended expenditures.

Staff recommends that the City Council adopt the proposed resolution accepting the grant and the proposed use of funds.

ALTERNATIVES TO RECOMMENDED ACTION
Council could direct staff to not accept the grant, or revise the list of recommended items.

CITY COUNCIL STAFF REPORT
Meeting Date: August 18, 2025
TO: THE HONORABLE MAYOR AND CITY COUNCILMEMBERS
TITLE: ADOPT RESOLUTION NO.___-25 AWARDING A CONSTRUCTION CONTRACT FOR THE 2025 POTHOLE REPAIR AND ASPHALT
CONCRETE (AC) PATHWAY OVERLAY PROJECT NO. 01-25 AND

AUTHORIZING THE CITY MANAGER TO EXECUTE A

CONSTRUCTION CONTRACT WITH RAPID GRADING SERVICES

SYNOPSIS
The 2025 Pothole Repair and AC Pathway Overlay Project No. 01-25 will include pavement repairs (dig-outs) on arterial, collector, and residential streets, as well as a surface treatment for selected AC pathways throughout the City. The purpose of this item is to consider acceptance of the lowest responsive and responsible bid, submitted by Rapid Grading Services, and to seek authorization to award the construction contract.

DISCUSSION
Background
In November 2016, Measure K, a half-cent transactions and use tax (or sales tax), was approved by Pleasant Hill voters. The tax took effect April 1, 2017, for a 20-year period. The Measure generates approximately $5.5 million in needed revenue each year, and a portion of these funds has been allocated to the Street Resurfacing Program (SRP).

The City’s SRP provides for on-going maintenance of the City’s 110 miles of roadway pavement.

The condition of each street in the City’s network is evaluated every two to three years. The most recent pavement survey was completed in the spring of 2025. Staff uses this data, in part, to identify needed street resurfacing repairs on our arterial, collector and residential streets.

The 2025 Pothole Repair and AC Pathway Overlay Project (Project) consists of two main components: (1) localized dig-out repairs on deteriorated pavement sections, and (2) overlay improvements on selected AC pathways.

Item 10.4
City Council Meeting Agenda - Page 207 of 219 - Monday, August 18, 2025 In order to maintain our arterial and collector streets in good condition, the Project identified approximately 110,000 square feet of the most critical pavement failures to be repaired on the arterials and collectors identified on the attached Project List of streets. The project also includes approximately 14,000 square feet of residential pothole repairs. Addressing these concerns now will help prevent increased future repair costs, as delayed maintenance will lead to further deterioration and more expensive rehabilitation efforts.

Staff has also identified several City maintained asphalt concrete (AC) pathways (see attached list) in need of a surface maintenance treatment. These pathways, which serve pedestrians and bicyclists, will benefit from a surface treatment to improve user safety.

Environmental Review
The 2025 Pothole Repair and AC Pathway Overlay Project (Project No. 01-25) involves the removal and replacement of existing street and pathway facilities in-kind. The new improvements will be constructed at the same locations as the existing facilities and will serve the same purpose and capacity as the current infrastructure.

Accordingly, the Zoning Administrator has determined that the 2025 Pothole Repair and AC Pathway Overlay Project is categorically exempt from environmental review under the California Environmental Quality Act (CEQA), pursuant to Title 14, California Code of Regulations, Chapter 3, Section 15301 (Class 1: Existing Facilities) and Section 15302 (Class 2: Replacement or Reconstruction).

Analysis
The Notice Inviting Bids for the project was distributed to construction exchanges on May 1, 2025, and the project was advertised in the Contra Costa Times on May 5, 2025. A total of five bids were received and publicly opened on Wednesday, June 4, 2025, at 2:00 p.m. at City Hall.

In accordance with the bid documents, the City bases the project award on the lowest responsive, responsible total base bid. The table below summarizes the base bid amounts received, with the apparent low bid highlighted in bold.

CONTRACTOR BID PRICE
1 RAPID GRADING SERVICES $1,079,000
2 QA CONSTRUCTORS INC. $1,171,930
3 KEREX ENGINEERING, INC. $1,175,550
4 JV LUCAS PAVING, INC. $1,189,310

5. MCK SERVICES, INC. $1,266,500
Item 10.4
City Council Meeting Agenda - Page 208 of 219 - Monday, August 18, 2025 The Engineer’s Estimate (EE) for the project construction is $1,000,000 and the lowest bidder’s Rapid Grading Services bid is $1,079,000 which is $79,000 more than the EE. A detailed analysis of Rapid Grading Services bid revealed that it is within 8.1 percent of the average cost of the next two lowest responsive bidders, so staff considers its bid price reasonable relative to other competitive construction bids received.

Rapid Grading Services is a reputable paving contractor based in the City of Hayward. Staff has contacted various project references listed by the contractor and these references indicated that Rapid Grading Services has satisfactorily completed their contracts of similar size and scope; therefore, their bid is acceptable. Staff believes that Rapid Grading Services has the experience and professional competency that will result in a satisfactory product for the City.

Rapid Grading Services bid proposal documentation is complete, and staff has determined them to be the lowest responsive, responsible bidder. Bidding rules require that the City Council award the construction contract to the lowest responsive, responsible bidder or reject all bids. Staff recommends the City Council award the construction contract to Rapid Grading Services.

The project construction cost (base bid) is $1,079,000. It is reasonable to include a construction contingency of 15 percent or $161,850, which is typical for a construction project of this type.

FISCAL IMPACT
The project construction costs are funded as identified in the 2024-2029 Capital Improvement Plan (CIP) and summarized in the table below:

Project Revenues Project Expenditures
Street Resurfacing $1,240,850 Construction Cost $1,079,000 Contingency (15%) $161,850
Total $1,240,850 Total $1,240,850

Engineering Division staff has confirmed with the Finance Division that monies are available for construction of this Project.

PUBLIC CONTACT
Public Contact was made through posting of the City Council agenda on the City’s official notice bulletin board, at the Pleasant Hill Senior Center, and at the Pleasant Hill Police Department. The agenda and staff report are posted on the City’s web page.
