FIRST AMENDMENT TO AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN
THE CITY OF PLEASANT HILL AND HOLISTIC SOLUTIONS, LLC
This First Amendment to the Agreement for Professional Services between the City of PleasantHillandHolisticSolutions,LLCismadeon ec 0 2025, by and between the City of Pleasant Hill ("City") and Holistic Solutions, LC ("Consultant").
1. Section 2, Time of Performance, is hereby amended in its entirety to read as follows:
"The services of Consultant are to commence upon execution of this Agreement and shall continue until all authorized work is approved by the City. All such work shall be completed no later than April 30, 2026, subject to the scope of services outlined in Exhibit A."
2. Section 3, Compensation, is hereby amended in its entirety to read as follows:
"Compensation to be paid to Consultant shall be in accordance with the Schedule of Charges set forth in Exhibit A, which is attached hereto and incorporated herein by reference. The original Agreement in the amount of $90,000 was executed on October 21, 2024. This First Amendment of an additional $36,500 will bring the total compensation amount to $126,500. In no event shall Consultant's compensation exceed $126,500 without additional written authorization from the City. Payment by City under this Agreement shall not be deemed a waiver of defects, even if such defects were known to the City at the time of payment."
3. All other provisions of the Agreement shall remain in effect.

CONTRACT EXTENSION AGREEMENT
for
City ofPleasant Hil
PROJECT DESCRIPTION AND SCOPE
This Contract Extension ("Extension") is effective as of October 1, 2025, by and between Holistic Solutions, LLC (*Consultant"), located at 550 WAdams St #210, Chicago, IL 60661, and City of Pleasant Hill (Client"), located at 100 Gregory Lane, Pleasant Hill, CA 94523, and extends the original Agreement dated October 21, 2024 (ʻMaster Agreement") between the parties. The Master Agreement is linked here.
The purpose of this Extension is to continue consulting services to support the completion of the projects, as previously agreed.
The following changes apply to the Master Agreement; all other terms remain unchanged and in full effect:

SCOPE OF SERVICES (REVISED)
During the Extension Term, Holistic will provide the following services:
Consulting support for completion of the PD Project
Consulting support for implementation of the Performance Evaluation Process

PAYMENT STRUCTURE (REVISED)
November - December 2025: $7,500 per month
January - April 2026: $5,000 per month
Training services are excluded and not billable during this Extension.
Travel expenses for December 2025 (Guthrie) will be reimbursed by the Client, with an estimated total of $1,500.
All other invoicing and payment terms remain governed by the Master Agreement.
