SUBJECT: AMENDMENT TO SECTION 8.1 - INDEMNITY OF THE AGREEMENT WITH ALL CITY MANAGEMENT, INC. FOR CROSSING GUARD SERVICES RECOMMENDATION:
It is recommended that the City Council take the following actions:
Approve amended contract language to Section 8.1 - Indemnity of the Agreement with All City Management Services, Inc. to include language describing shared liability (Attachment No. 1); and Authorize the City Manager to execute the Agreement and any related amendments on behalf of the City , subject to approval as to form by the City Attorney.
EXECUTIVE SUMMARY: Action on this item will amend Section 8.1 - Indemnity of the previously approved Agreement language to include shared liability language provided by All City Management Services, Inc. (“ACMS”).
FISCAL IMPACT: No fiscal impact at this time.
PREVIOUS RELATED ACTION: On June 6th, 2022, City Council approved an award of bid to All City Management Services, Inc. for Crossing Guard Services.
DISCUSSION: During the process of obtaining signatures from listed representatives of All City Management Services, Inc., they requested that changes be made to Section 8.1 - Indemnity of the Agreement to include language describing shared liability. ACMS provided their preferred language to amend Section 8.1 of the Agreement, and City of Pomona’s Risk Manager Chris Millard approved the language. This constitutes a material change to the previously approved Agreement, and requires City Council approval to finalize the Agreement between ACMS and the City.
COUNCIL PRIORITIES & GOALS: This item supports the 2021-2022 City Council Priority 1: Fiscal and Operational Responsibility – Goal B: Improve efficiency and effectiveness of City Services to businesses and residents.
