AMENDMENT NO. 2 TO THE
AGREEMENT FOR CONTRACTOR SERVICES BETWEEN
THE CITY OF POMONA AND SERVICE FIRST INC.
This Second Amendment (“Second Amendment”), effective November 20, 2023, is between the City of Pomona, a California charter city (“City”) and Service First, Inc., a California Corporation (“Contractor”). City and Contractor may be individually referred to herein as the Party and collectively as the Parties.
Recitals
WHEREAS, On April 18, 2022, the Parties entered into a Contractor Services Agreement for Aquatics Maintenance Services (“Agreement”) for the Ganesha Park and Washington Park Pools for $465,696.
WHEREAS, On July 25, 2022, the Parties entered into the First Amendment to decrease the not to exceed amount from $465,696 to $197,694.
WHEREAS, the Parties now desire to amend the Agreement to amend Exhibit A “Scope of Services” and to increase the not to exceed amount to $202,158.
Terms and Conditions
Section 5.(A) of the Agreement shall be amended, in its entirety, to read: “CONTRACTOR agrees that the fees for services may not exceed the authorized amount of $202,158 as set forth in Exhibit “B,” attached hereto, unless the CITY has given specific advanced approval in writing.” Exhibit “A” of the Agreement entitled “Scope of Services”, the section entitled “Off Season: October – April” shall be amended, in part, to read as follows:
“Off Season: October – April
Visit once every other week at Ganesha for routine maintenance.
Exhibit “A” of the Agreement entitled “Scope of Services”, a section entitled “Repairs and Supplies” shall be added, to read as follows:
“Repairs and Supplies
Perform repairs to pool equipment and provide necessary supplies at Ganesha and Washington pools as directed by the City.” Except as amended by this Second Amendment, all terms, conditions, and obligations under the Agreement and First Amendment remain in full force and effect.
The Parties to the Agreement have entered into this Second Amendment as indicated below:
