3.3 IT IS MUTUALLY AGREED AS FOLLOWS:

3.3.1. POMONA and LA VERNE agree to split the cost of any major repair necessary for the continuous operation of the traffic signals, with such costs split based on proportionate ownership as provided in Section 2.1 (Intersection of Fulton Road at Arrow Highway – 75% Pomona and 25% La Verne) and 2.2 (Intersection of Fulton Road at Railroad Tracks - 50% Pomona and 50% La Verne). POMONA and LA VERNE agree to evenly split any required training and/or permit fees for any major repairs or required improvements by the railroad operators, Caltrans, California Public Utilities Commission (CPUC), or Federal Railroad Association (FRA) for the intersection at Fulton Road and Railroad Tracks.

3.3.3. POMONA and LA VERNE agree to evenly split the cost to implement any required improvements by the railroad operators, Caltrans, CPUC, or FRA for the intersection at Fulton Road and Railroad Tracks. Should any improvements be required by these agencies at the Fulton and Arrow Traffic Signal, the costs will be shared based on ownership as provided in Section 2.1.

3.3.5. Ownership and title to all materials, equipment, and appurtenances installed as part of this agreement will automatically be vested with the jurisdiction for which the improvements reside and no further agreement will be necessary to transfer ownership.

3.3.6. POMONA and LA VERNE shall each defend, indemnify and hold the other party and its officials, officers, employees, consultants, subcontractors, volunteers and agents free and harmless from any and all claims, demands, causes of action, costs, expenses, liability, loss, damage or injury, in law or equity, to property or persons, including wrongful death, to the extent arising out of or incident to any negligent acts, omissions or willful misconduct of the indemnifying party or its officials, officers, employees, consultants, subcontractors, volunteers and agents arising out of or in connection with the performance of this agreement, including without limitation, the payment of all consequential damages and attorney’s fees and other related costs and expenses. Each City shall also require all contractors and subcontractors performing work at either intersection to carry Workers’ Compensation coverage as required by law. This insurance amount is to be reviewed and updated every three years beginning with the effective date of the agreement.

3.3.7. This Agreement may be executed in one or more counterparts and when a counterpart shall have been signed by each party hereto, each shall be deemed an original, but all of which constitute one and the same instrument.
