1 First Amendment To
Towing Services Non-Exclusive Franchise Agreement Between City Of Pomona And Carpe Carma, LLC dba Pomona Valley
Towing, Inc.
This First Amendment to the Agreement is dated ____________, 2025 and is entered into by and between the City of Pomona (“City”) and Carpe Carma, LLC dba Pomona Valley Towing, Inc., located at 1731 E Mission Blvd., Pomona, CA 91766, (“Franchisee”). The City and Franchisee are sometimes referred to in this Agreement individually as a “Party” and, collectively, as the “Parties”. This Amendment is entered into by the Parties with references to the following recited facts:
RECITALS
A. City and Franchisee entered into a Non-Exclusive Towing Franchise Agreement (“Agreement”) effective on January 19, 2023.
B. The Parties now wish to enter into this First Amendment to exercise Section 2.B. of the Agreement to extend the Agreement term for a three (3) year extension period.
NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS:
1. Incorporation of Recitals. The Recitals of fact set forth above are true and correct and are incorporated into this Agreement, in their entirety, by this reference.
2. Term. This agreement is for a term of three years, commencing January 19, 2026, and continuing through January 18, 2029, with two, one-to-three year extension options, each subject to written agreement by the Parties. To exercise an extension option, the Parties must fully execute a written amendment to this Agreement at least 30 days before expiration of the then- current term, as set forth in Section 2.B. of the Agreement.
3.Except as provided for in Item #1 and Exhibit A all other terms and conditions of the original Agreement and Amendments thereto between the City of Pomona and the Contractor remain in effect.
