AMENDMENT NO. 1 TO
SHORT
FORM CONSTRUCTION CONTRACT
BETWEEN
CITY OF POMONA
AND
ALLEGIANCE ELECTRIC INC
This Amendment No. 1 to the Short Fo rm Construction Contract for Lighting Energy Efficiency Upgrades is made and entered into as of [***INSERT MONTH AND DATE***], 2026 (“Effective Date”) by and between the City of Pomona, a municipal corporation (“City”) and Allegiance Electric Inc (“Contracto r”), a California corporation.
City and Contractor are sometimes referred to herein individually as a “Party” and collectively as “Parties.”
RECITALS
A. WHEREAS, the City and the Cont ractor have entered into a Short Form Construction Contract, dated July 18, 2025 (the “Origina l Agreement”), for lighting
energy efficiency upgrades at the City Police Department (the “Project”); and B. WHEREAS, Contractor submitted Change Order No. 2320-1, dated April 7, 2026, as more particularly described in Exhibit “A”, describing certain additional work and adjustments to the Project’s Scope of Work; and
C. WHEREAS, such additional work and adjustments include, among other things, the installation of add itional canopy fixtures, troffe r fixtures, and lighting control devices; and
D. WHEREAS, the Parties now desire to amend the Original Agreement in order to additional compensation for such additional work and adjustments to the Project.
NOW, THEREFORE , in consideration of the above recitals and the mutual covenants, conditions, and promises contained in this Amendment No. 1 and the Original Agreement, the Parties mutually agree as follows:
AGREEMENT
1. Incorporation of Recitals. The re citals listed above are true and correct and are hereby incorporated herein by this reference.
2. Compensation. The compensation fo r services performed pursuant to this Amendment No. 1 shall not exceed Fifty Six Thousand Nine Hundred Twenty-Eight Dollars ($56,928), thereby increasing the total not to exceed compensation of the Original Agreement to the amount of Two Hundred Seventy Six T housand Five Hundred Sixty- Eight Dollars ($276,568). Work shall be performed in accordance with the Scope of Work, as amended by this Amendment No. 1, which is attached hereto as Exhibit “A” and incorporated herein by reference.

3. Full Force. Except as amended by this Amendment No. 1, all provisions of the Original Agreement, in cluding without limitation th e indemnity and insurance provisions, shall remain in full force and effect and shall govern the actions of the Parties under this Amendment No. 1.
4. Electronic Transmission. A manually signed copy of this Amendment No. 1 which is transmitted by facsimile, email or ot her means of electronic transmission shall be deemed to have the same legal effect as delivery of an original executed copy of this Amendment No. 1 for all purpos es. This Amendment No. 1 may be signed using an electronic signature.
5. Counterparts. This Amendment No. 1 may be signed in counterparts, each of which shall constitute an original.
