CITY OF POMONA
AMENDMENT NO. 2 TO THE
AGREEMENT FOR LOWER TIER SUBRECIPIENT SERVICES
This Amendment No. 2 to the Agreement (“Agreement”) is entered into by and between the City of Pomona (“City”) and TRIO Community Meals, LLC (“Vendor”), hereinafter referred to as the “Parties.”
RECITALS
WHEREAS, on June 22, 2023, the Parties entered into a certain agreement for the provision of certain professional catering and delivery services (the “Agreement”), for an initial term of three years with two, one-year extension options.
WHEREAS, on July 28, 2025, the Parties entered into Amendment No. 1 in order to adjust the pricing for the Agreement.
WHEREAS, the Parties now desire to enter into this Amendment No. 2 to extend the term of the Agreement for an additional consecutive three-month term.
NOW, THEREFORE, the Parties hereby agree as follows:
Incorporation of Recitals. The recitals listed above are true and correct and are hereby incorporated herein by this reference.
Term. The terms of the Agreement shall be extended through September 30, 2026, unless terminated earlier as set forth in the Agreement.
No Other Changes. Except as amended by this Amendment No. 2, all provisions of the Agreement, including without limitation the indemnity and insurance provisions, shall remain in full force and effect and shall govern the action of the parties under this Amendment No. 2.
Signature. A manually signed copy of this Amendment No. 2 which is transmitted by facsimile, email, or other means of electronic transmission shall be deemed to have the same legal effect as delivery of an original executed copy of this Amendment No. 2 for all purposes. This Amendment No. 2 may be signed using an electronic signature.
Governing Law. This Amendment No. 2 shall be governed by the laws of the State of California. Venue shall be in Los Angeles County, California.
Counterparts. This Amendment No. 2 may be signed in counterparts, each of which shall constitute an original. [SIGNATURES ON THE FOLLOWING PAGE]
