CITY COUNCIL
Approval of Agreement with Corodata Records Management, Inc. for Professional Records Storage and Management Services
This action will approve an agreement for professional records storage and management services for the City of Poway. Services include records storage, barcoding, automated tracking, retrieval, delivery and destruction services. The length of the initial agreement is two (2) years beginning November 19, 2025, through November 18, 2027. The agreement may be extended subject to City Manager approval for a total of three (3) separate one-year extensions.

Recommended Action:

It is recommended the City Council approve the agreement with Corodata Records Management, Inc. for professional records storage and management services and authorize the City Manager to execute the necessary documents.

Discussion:

The City of Poway maintains a Records Management Program, which consists of a City Council approved Records Management Policy and Records Retention Schedule per California Government Code section 340890 et seq. Objectives of the program include ensuring compliance with California state law, utilizing consistent record keeping systems, and controlling costs.

Due to the high volume of records maintained in accordance with the Records Retention Schedule, the City contracts with Corodata Records Management, Inc. (Corodata) to manage its digital inventory lists, as well as offsite records and document storage. Corodata's services include records storage, climate-controlled records storage, barcoding, inventory management, automated tracking, retrieval, delivery, and destruction services. The City currently stores over two thousand boxes with Corodata throughout their San Diego County facilities. The City's last multi-year agreement with Corodata has expired.

The City is seeking a new multi-year agreement with Corodata. Significant work has gone into 1 of 17
November 18, 2025, Item #5
establishing the existing record inventory and cataloging system with Corodata. Staff is recommending, as permitted in the Poway Municipal Code (PMC) Chapter 3.28 (Purchasing), the formal bidding procedures be waived for professional records storage and management services, as the process would not likely result in a lower price to the City, if anything there would be additional direct and indirect costs to transitioning to a new vendor for these services. Therefore it is not in the best interest of the City to formally bid these services.

The length of the initial agreement, if approved, would be two (2) years beginning November 19, 2025, through November 18, 2027. The agreement may be extended subject to approval by the City Manager for a total of three (3) separate one-year extensions. The maximum length of the Agreement would be up to five (5) years. The total annual fee for the first year of the agreement is not to exceed $25,250. Per the terms of the proposed agreement, the total not to exceed amount may be increased by up to 3% each year.

Environmental Review:

This action is not subject to review under the California Environmental Quality Act (CEQA).

Fiscal Impact:

The Fiscal Year (FY) 2025-26 adopted budget includes sufficient funding in the City Clerks, other contractual services account (101010-41200) to award the contract in the amount of $25,250.00, which may be increased up to 3% annually starting in year 2 upon approval by the City Manager. The length of the initial Agreement is two (2) years beginning November 5, 2025, through November 4, 2027. The Agreement may be extended subject to approval by the City Manager for a total of three (3) separate one-year extensions. If all options are exercised, the total contract amount for a maximum five-year period is not to exceed $134,055.69.

Public Notification:

None.
