CITY COUNCIL
Resolution Approving an Amended Water Rights Agreement with the City of San Diego and Authorizing an Appropriation for Retroactive Replacement Water Charges for Calendar Years 2017-2025
In 1968, the Poway Municipal Water District (PMWD) entered into a Water Rights Agreement (1968 Agreement) with the City of San Diego (San Diego) to resolve a protest related to San Diego's prior downstream water rights at Hodges Dam and to secure the permits necessary to construct Poway Dam. The 1968 Agreement requires the City of Poway (as successor to PMWD in 1980) to measure surface water diversions and provide replacement water to offset downstream impacts as surface water flows are diverted away from San Diego by the Poway Dam and stored in the Lake Poway reservoir.

Following completion of Poway Dam in 1971, the parties informally shifted from the 1968 Agreement's original measurement method to hydrology-based calculations and a compensatory replacement approach. Between 1972 and 1998, these methods resulted in ongoing disputes, technical studies, and unsuccessful attempts to formalize revisions. Although Poway continued reporting flows, San Diego ceased invoicing after 1992.

In Fall 2018, Poway staff discovered the lapse and notified San Diego of this apparent oversight to resume water rights administration and revise the outdated provisions. Since 2019, both agencies have negotiated terms, methodology, retroactive compensation, and resolution of past obligations.

In January 2026, staff reached consensus on an Amended Water Rights Agreement (2026 Agreement), which establishes updated procedures, includes a negotiated lump sum payment for 2017-2025, and provides a mutual waiver of prior claims.

Recommended Action:

It is recommended the City Council approve the Resolution adopting the Amended Water Rights Agreement with the City of San Diego and authorizing an appropriation for retroactive replacement 1 of31

water charges for calendar years 2017 to 2025 from the Water Fund Balance in the amount of $441,866 to the Water, Supply, & Storage, Replacement Water Agreement account (402060-28070) shown in the Fiscal Impact section of this report.

Discussion:

During the 1960s, PMWD determined that a large raw water reservoir was needed to equalize seasonal water demand and provide year-round emergency storage for approximately 30,000 municipal and industrial (M&I) customers including over 970 agricultural acres. PMWD developed plans for Poway Dam, designed to store imported water supplies from the San Diego County Water Authority (SDCWA) within the existing Warren Canyon Valley (Warren Canyon) and create Lake Poway.

To construct Poway Dam and the Lake Poway reservoir, PMWD was required to obtain an appropriative water rights permit from the State Water Resources Control Board (SWRCB) Division of Water Rights. The SWRCB is the regulatory body responsible for authorizing water rights diversions and ensuring their beneficial use.

In May 1965, following PMWD's application, San Diego filed a formal protest, citing its prior appropriative rights associated with Lake Hodges, located downstream within the same watershed.

San Diego held senior water rights within the San Dieguito River watershed, including rights to flows originating upstream of the proposed Poway Dam. San Diego asserted that flows from the unnamed intermittent stream in Warren Canyon were subject to its existing rights and objected to PMWD's proposed diversion into Lake Poway.

Following these discussions, PMWD and San Diego entered into the 1968 Agreement to address impacts to San Diego's senior water rights and establish PMWD's obligation to offset diversions through "replacement water."
In 1969, subject to the 1968 Agreement, the SWRCB issued Permit No. 15840 for the Diversion and Use of Water to PMWD, authorizing the construction of Poway Dam and an initial appropriation of water use set at 1,700 acre-feet (AF). Following incorporation of the City of Poway in 1980, the permit and 1968 Agreement transferred to the City as successor in interest.

Following more than a decade of review by the SWRCB and PMWD water resource engineers, the diversion permit was superseded by the 1986 License No. 12155 for Diversion and Use of Water establishing the following key conditions for Poway:
• Reduced annual diversions to 858 AF based on wet-year flows (582 AF during 1978 water year) • Limited diversion to the storage season (November 1 through May 31) • Required release of water collected outside the storage season Uune-October) Under the 1968 Agreement, following completion of Poway Dam in 1971, PMWD was required to annually provide San Diego with replacement water equal to 50% of total inflows to Lake Poway. This obligation was to be satisfied each October through a water transfer to San Diego at San Vicente Reservoir via the SDCWA aqueduct.

Runoff was to be measured using an overflow weir installed in the stream bed and defined to exclude subsurface flows. The 1968 Agreement also established a credit mechanism under which releases from Lake Hodges would offset PMWD's replacement water obligation at a 50% rate, as release volumes are not considered a beneficial use by the right holder. 2 of31
April 21, 2026, Item #5
In the decades following execution of the 1968 Agreement, the agencies engaged in periodic discussions regarding implementation, resulting in extensive correspondence, informal and unexecuted addenda, and a draft amendment prepared in 1982. Key recurring topics included:
• Payment in lieu of physical water delivery
• Alternative methods for estimating inflows
• Eligibility of seepage losses and downstream releases for credit Correspondence from approximately 1977 through 1998 indicates that both agencies generally accepted:
• Payment in lieu based on the prevailing SDCWA M&I rate • Hydrologic estimation methods in lieu of physical measurement Implementation of transfer and billing provisions remained a significant source of discrepancy between the parties. Billing and payments were frequently delayed, disputed, and protracted. In 1981, nearly a decade of retroactive replacement water obligations was consolidated for City Council authorization, reconciling obligations dating back to 1971. San Diego continued issuing invoices intermittently through 1992, when a final invoice of $33,503.61 was issued and paid. No further invoices were received thereafter.

In September 2018, after approximately 20 years without formal correspondence and 26 years without invoicing, Poway staff identified the lapse and reinitiated coordination with San Diego. Despite the absence of invoices, Poway had continued providing hydrologic data, including lake levels and inflow estimates.

In May 2019, both parties began discussions to reconcile past obligations, limited to the applicable four-year statute of limitations and mutually agreed to establish 2017 as the baseline year for Poway's retroactive obligations, and initiated a multi-year effort to update the 1968 Agreement to reflect current operational practices. In a good faith effort to prioritize sound negotiations, Poway agreed that the baseline period would remain the same even as years of negotiations progressed. Multiple draft iterations resulted in the proposed 2026 Amended Water Rights Agreement whose key elements include:
• Updated methodology for alternative measurements based on 1 % of Lake Hodges inflows • Requirement to install an upstream metering device within five years • Waiver of prior financial obligations
• Formalization of Payment in lieu of water delivery based on the prevailing SDCWA M&I rate • Lump-sum payment for retroactive replacement obligations within the statute of limitations • Credit to Poway for Hodges Dam releases for 10 years or until completion of required repairs While the 2026 Agreement requires installation of an upstream metering device within five years, it also establishes a proportional watershed approach for estimating inflows when direct measurement is unavailable. Because Lake Poway's catchment area (2.44 square miles) is approximately 1 % of the Lake Hodges watershed, Poway's diversions are estimated as 1 % of Lake Hodges inflows. Consistent with the 1968 Agreement, Poway's replacement water obligation remains 50% of that volume (i.e.,

0.5% of Lake Hodges inflows).

In advance of the 2026 Agreement and to improve internal tracking of local runoff, Poway Initiated the design and permitting efforts for the permanent upstream measuring device and associated 3 of31

G. 1968 AGREEEMENT: The Water Rights Agreement dated October 23, 1968, entered into by Poway and the City of San Diego to resolve the City's protest and recognize and make provisions for the protection of the City's prior rights to runoff which may be impounded by the unnamed stream tributary to San Dieguito River.

H. REPLACEMENT WATER: One-half of the annual measured runoff from the unnamed stream into Lake Poway, which Poway so undertakes to provide compensation to City.

I. METERED RUNOFF MEASUREMENT: The volume of surface flows into Lake Poway through the unnamed stream as measured by a suitable flow measurement device in the streambed, such as a meter Poway will complete installation of mentioned meter within 5 years of execution of this agreement.

J. CALCULATED (ALTERNATIVE) RUNOFF MEASUREMENT: The agreed upon method for estimating surface flows is by calculating the Poway catchment area at 1 % of Hodges catchment area. This method is detailed in Exhibit "B" as the calculated, or alternative, runoff measurement methodology. Parties may use this runoff measurement methodology to calculate surface flows in lieu of a meter, until the meter is installed or when the meter in not operable.

K. SPILL EVENT: When Lake Hodges water is spilling over Lake Hodges Dam.

L. ANNUAL PAYMENT: Poway' s annual per-acre foot payment to the City for one-half the annual measured runoff from the unnamed stream into Lake Poway, referred to as Replacement Water. The rate per acre foot cost of the Replacement Water will be based on the San Diego County Water Authority's (SDCWA) Melded Untreated M&I Supply Rate for the respective calendar year until such time as the City's costs per-acre foot for Repurified Water are less than the SDCW A's supply rate. ..

M. ANNUAL MEASURED RUNOFF: The volume of water that flows into Lake Poway between January 1 to December 31 from the unnamed stream in Warren Canyon ("Unnamed Stream"), as measured by a flow measurement device, or as calculated by the alternative runoff measurement. It shall not include any subsurface water which may seep into the Lake without recordation by the meter, or rainfall which may occur directly on the reservoir surface.

RECITALS
A. City is the owner of a water system including reservoirs and other works for the impounding, diversion and distribution of water to its residents, and in the operation of such system diverts and impounds water from the stream system known as San Dieguito River and its tributaries. City's point of diversion (in so far as this Agreement is concerned) is located at Hodges Dam in the Southeast Quarter of the Northwest Quarter of Section 18, Township 13 South, Range 2 West SBM, in the County of San Diego, State of California.

B. Poway is the owner of a water system, including reservoirs and other works for impounding, diversion and distribution to its residents and in the operation of such system diverts and impounds water from an unnamed stream in Warren Canyon, which is part of the system known as San Dieguito River watershed and its tributaries. Poway's point of diversion (in so far as this Agreement is concerned) is located at Lake Poway Reservoir and Poway Dam (referenced in the 1968 Agreement as "Warren Canyon Dam") at North 57°45' East 1,672 feet from Southwest corner of Section Township 13 South, Range 1 West SBM, being within SW¼ of SW¼ of said Section 29, in the County of San Diego, State of California.

C. Poway filed an application (Application No. 22093) with the Division of Water Rights, State Water Resources Control Board (SWRCB) for a permit to appropriate water from the unnamed stream and arising from the watershed of that stream which is a tributary to the San Dieguito River in order to build Poway Dam. When the request for a permit to appropriate water came before the SWRCB, the City filed a formal protest (Protest).

D. Poway and City previously entered into a Water Rights Agreement, dated October 23, 1968 (1968 Agreement), to resolve the City's Protest and recognize and make provisions for the protection of the City's prior rights to runoff which may be impounded by the unnamed stream tributary to San Dieguito River.

E. The 1968 Agreement provided the method for measuring runoff and replacement water at the Warren Canyon Dam along with Parties rights to the water. The 1968 Agreement was last enforced in 1993.

F. The Parties agree that the amount owed to the City under the 1968 Agreement from 2017 to 2025 is $534,266.00.

G. City and Poway wish to enter into an agreement to replace the 1968 Agreement and provide a method of measurement or calculation of local water to exchange between the Parties.

H. Poway agrees to provide to City compensation equal to one-half (1/2) of the Annual Measured Runoff of tributaries of Warren Canyon, as that term is defined in this Agreement. City agrees to accept such delivery in full satisfaction and recognition of all rights it may have in and to the natural runoff from the watershed tributary to Poway Dam. The water which Poway so undertakes to provide compensation to City is referred to in this Agreement as "Replacement Water."
I. Poway is a municipal corporation organized and existing under the laws of the State of California, and the successor in interest to the Poway Municipal Water District, a district organized under the Municipal Water District Act of 1911. Poway is an Agency as defined in San Diego Municipal Code (SDMC) section 22.3003.

J. Pursuant to SDMC section 22.3210, the Purchasing Agent has certified that this Agreement is exempt from competitive bidding requirements because this Agreement furthers a specific public policy, is in the public interest, and does not exceed the threshold set forth in the SDMC.

total
amount
due
for
years
2017
through
2025
as
provided
under
the
1968
Agreement
and
accounts
for
half
of
the
I%
of
Hodges
catchment
area,
which
is
representative
of
Poway's
catchment
area,
according
to
the
"Alternative"
method.

The
calculation
of
this
amount
is
shown
in
Exhibit
"B".

Poway
agrees
to
make
a payment
equivalent
to
the
value,
as
calculated
pursuant
to
Section
9 of
this
Agreement,
of
one-half
( 1/2)
of
the
Annual
Measured
Runoff
as
that
term
is
defined
in
this
Agreement,
to
be
delivered
to
City
annually.

City
agrees
to
accept
such delivery
in
full
satisfaction
and
recognition
of
whatever
rights
it
might
have
in
and
to
the
natural
runoff
from
the
watershed
tributary
to
Poway
Dam.

The
water
which
Poway
undertakes
to
provide
compensation
to
City
is
referred
to
as
"Replacement
Water."

2. Runoff
Measurement
and
Delivery
Poway
will
install
a
flow
measurement
device
(Meter)
in
the
stream
bed
of
the
Unnamed
Stream.

Poway
will
design,
construct,
permit
and
maintain
the
Meter
at
its
sole
expense
. In
general,
the
Meter
should
be
equipped
with
an
automatic
recording
device
and
be
designed
so
that
all
surface
flow
occurring
in
the
Unnamed
Stream
will
pass
through
it before
reaching
the
waters
impounded
by
Poway
Dam.

The
design
and
size
of
the
Meter
shall
be
approved
by
the
City
prior
to
installation.

The
City
shall
not
unreasonably
withhold
approval
of
any
plans.

The
Alternative
Runoff
Calculation
may be
used
when
the
Meter
is
inoperable.

Thereafter,
Poway
will,
on
or
before
the
I 5
th
day
of
each
calendar
month,
furnish
City
with
a statement
setting
forth
the
total
volume
of
flow
measured
by
the
Meter and
impounded
by
Poway
Dam,
for
the
previous
month.

3. Spill
Event
The
Parties
agree
that
in
the
event
Lake
Hodges
Dam
water
spills
over
the
spillway
during
the
rainy
season,
City
will
reduce
the
amount
of
Annual
Measured
Runoff
by
the spill
total
volume,
due
to
the
City's
inability
to
collect
the
runoff
and
put
to
beneficial
use
the
volume
of
water
spilled.

4. Replacement,
Repair
or
Construction
of
Hodges
Dam
The
Parties
recognize
that
Lake
Hodges
Dam
is
currently
under
consideration
by
the
City
for
multiple
administrative
options
including,
but
not
limited
to,
new
construction
associated
with
either
replacement
or
repair
of
the
current
Dam.

As
the
City
evaluates
various
options

for
its
continued
interests
in
the
Hodges
reservoir
and any
existing
rights
to
inflow
into
the
watershed,
it
is
understood
that
the
maximum
elevation
levels
at
Hodges
Dam
for
this
period
will
likely
be
reduced,
preventing
a spill
event
from
occurring.

During
the
period
of
replacement
or
repair
of
Hodges
Dam
or
ten
years
from
the
execution
of
this
Agreement,
whichever
occurs
first,
the
amount
calculated
under
section
2 of
this
Agreement
shall
be
reduced
by
the
amount
of
any
water
release
initiated
by
the
City that
otherwise
would
not
be
considered
a Spill
Event
under
section

3. This
section
is
only
intended
to
apply
for
the
duration
of
any
replacement
of
Hodges
Dam
or
repair
or
any
retrofit
to
the
current
dam
structure
or
a period
not
to
extend
beyond
ten
years
from
the
date
of
execution
of
this
Agreement,
whichever
occurs
first.

After
this
period,
the
Parties
will
calculate
the
amount
owed
to
the
City
for
any
diversion
of
inflow
to
the
Hodges
watershed
per
section

2. The
City
shall
retain
its
rights
to
inflow
regardless
of
the
option
the
City
chooses
to
exercise
in
concern
to
Hodges.

Any
future
releases,
elevation
reductions
for
normal
repair
and
maintenance,
other
administrative
or
operational
decisions
concerning
the
City's
right
to
inflow,
are
not
considered
Spill
Events
under
section
3 and
would
be
calculated
as
part
of
the
normal
replacement
water
method
under
this
Agreement.

5. Maintenance
of

its
sole
expense,
any
or

readings.

Poway
shall
conduct

as
necessary
or
when
requested
by
City,
to
determine
the
accuracy
of
the
Meter.

Poway
shall
notify
City

of
the
time
and

5.2 Access
to
Measuring Equipment.

During
normal
business
hours,
City
shall
have
access
to
the

and
records
pertinent
to
the
Meter.

Poway
will
provide
the
data
and
records
with
respect
to
matters
covered
by
this
Agreement.
5 .3
Verification
of
Calibration.

At
its
sole
cost
and
expense,
City
shall
have
the
right
to
independently
test
the
Meter
at
any
time
during
normal
business
hours
upon
forty
eight
hours
prior
notice
to
Poway.

Poway
shall
have
the
right
to
monitor
such
tests.

5.4 Measuring Equipment
Disputes.

In
the
event
of
a dispute
between
City
and
Poway
regarding the
accuracy
of
the
Meter
used
by
Poway,
City
and
Poway
may
mutually
agree
to
have
an
independent
accuracy
test
conducted.

Such
test
shall
be
conducted
by
an
independent
measuring
equipment
company
or
other
third
Party
suitable
to
both
City
and
Poway.

The
cost
of
the
test
shall
be
paid
equally
by
City
and
Poway.

arising from the established sole negligence or sole willful misconduct of the other Party, its employees, agents. and officers.

10. Insurance
Poway shall maintain its own insurance so as to protect any constructed assets and Meter.

11. Defaults and Remedies

11.1 Default. A Party shall be in default under this Agreement in any of the following circumstances ( each a "Default"):

11.2 Monetary Default. A Party fails to timely pay or deposit any amount of money, bond, surety, or evidence of any insurance coverage required under this Agreement, and this circumstance continues for ten (10) Business Days after the Party in breach of its contractual obligation receives written notice from the other Party identifying the nature of the breach.

If Poway fails to make payment within ten (10) days past due, Poway shall pay, in addition to the unpaid amount, five percent (5%) of the delinquent amount. If the amount due is still unpaid after fifteen ( 15) days past due, Poway shall pay an additional five percent (5%) (being a total often percent (10%]), which is agreed by the parties to be appropriate to compensate City for the cost of servicing the delinquent account.

Acceptance of late charges and any portion of the late payment by City shall neither constitute a waiver of Poway default with respect to late payment nor prevent City from exercising any other rights and remedies available at law or in equity.

11.3 Non-Monetary Default. Subject to any time extensions that may apply due to Unavoidable Delay, a Party fails to comply with any covenant or perform any obligation required hereunder and such failure is not cured within thirty (30) days after the delivery of written notice describing such failure by the other Party, provided that if such Default cannot reasonably be cured within such thirty (30) day period and the defaulting Party commences to cure such Default within such thirty (30) day period and thereafter diligently and expeditiously proceeds to cure the same, the defaulting Party will be afforded an additional sixty (60) days to cure a Default.

11.4 Remedies. Subject to the express notice and opportunity to cure provisions of this Agreement regarding a specific Default, and subject to utilizing the dispute resolution procedure in Section 16 of this Agreement, upon the occurrence of any Default by a Party under this Agreement, the non-defaulting Party may seek a court order that provides declaratory or injunctive relief to address the Default or pursue any other available legal or equitable remedy. Notwithstanding anything to the contrary set forth herein, neither Party will be entitled under any circumstances to recover any speculative, consequential or punitive damages from the other Party.

11.5 No Waiver of Other Remedies. The rights and remedies enumerated in this Agreement are cumulative and shall not limit a Party's rights under any other provision
