City Manager Gillison introduced item G1 and noted that the City Council received additional material following the delivery of the agenda packet and all additional material has been provided and made available to the City Council and is also available for the public to review. Correspondence received on item G1 received from: Poole, Shaffery Attorneys at Law; Lozeau, Drury LLP; and LSA Associates Incorporated.

City Manager Gillison introduced Tabe Van der Zwaag, Associate Planner, who provided the staff report for item G1 and recommended approval with updated language on the parking management plan condition of approval to include that any revisions to the parking management plan shall be approved by the Planning Director only if he or she finds that the revision will not cause a parking impact for the project.

Mayor Michael opened the Public Hearing.

Appellant, Hunt C. Braly, attorney at Poole, Shaffery, Attorneys at law, representing Eaglecell Group LLC/Barton Place, addressed the City Council and explained he was retained by Barton Plaza after the Planning Commissions’ approval to file an appeal and work with the applicant on the concerns with parking; spoke about parking requirements and recommended the City look at decisions that may potentially affect adjacent property owners and for the city to confirm that they do have code compliant parking. He noted that the main focus for the future is the parking management plan and appreciated the amendment that staff is proposing. He also asked the City to discuss and disclose which city department will be the focal point if there are any parking problems in quarterly reports; shared they have entered into an agreement on a construction management plan with the applicant; and shared appreciation for consideration by the City Council of the appeal and the applicant’s cooperation and noted that he hopes Council and staff will implement the provisions and changes to the parking management plan.

Appellant, Adam Frankel, Lozeau Drury, LLP, addressed the City Council on the appeal submitted. The Appellant asserted that the project has not yet complied with CEQA; that the project will have significant impacts on biological resources and human health that were not analyzed by the General Plan Update EIR. The appellant stated that the city is required to prepare an initial study and a Mitigated Negative Declaration (MND) or an EIR to address these impacts prior to approving the project. He concluded by stating the General Plan Update EIR did not analyze any of the impacts provided as significant and requested the City grant their appeal and send the project back to staff to conduct the appropriate environmental review as required by CEQA.

Applicant, Jeff Warmoth, representing Island View Ventures, LLC, thanked staff for their comprehensive staff report and shared that the design team worked with staff on a project that is fully consistent with the new General Plan and vision for the area; spoke on the Design Review Committee and Planning Commission’s unanimous approval of the project without changes; addressed the Lozeau Drury, LLP, appeals and stated that their experts looked at them and found no valid issues raised; addressed the neighbor parking appeal and stated they have worked well with them and they would continue working with property owners and parking.

Mayor Michael closed the Public Hearing.

City Attorney Ghirelli summarized that the City Council approved the General Plan update and at the same time certified a comprehensive EIR so that the City could rely on streamlining provisions in the CEQA guidelines for projects that meet the intent and comply with the densities and requirements of the General Plan. He stated that he disagrees with the appellant that the streamlining provisions do not apply here; staff determined that this plan was consistent with the General Plan, and the technical memorandum of this project provided substantial evidence that there were no significant biological impacts. With respect to the air quality impacts City Attorney Ghirelli disagreed that there is a defect in the CEQA analysis. City Attorney Ghirelli noted that the parking management plan attached to the staff report makes concessions for a shared parking arrangement with the project. He noted that additional revisions to the parking management plan were proposed before the meeting, and that planning staff would have to review those, and this is partly why the parking management plan condition has been revised to ensure the Planning Director has to approve any revisions to the parking management plan and make sure they are not going to cause significant parking impacts.

Council Member Hutchison asked for clarity regarding parking spaces and code compliance.

City Attorney Ghirelli advised that he did not believe any action on this project would compromise the code compliance for the two office buildings and noted that the code would protect the rights of existing properties developed under prior editions of the code.

Council Member Hutchison stated he agrees with Mr. Braly regarding limitations by state law and noted that the Rancho Cucamonga City Council is a huge proponent of local control and having control over zoning laws and standards in the city.

Mayor Michael spoke on the parking management plan, the efforts between Barton Plaza representative and staff working together, and noted he agrees with Council Member Hutchison on local control and spoke on his support of the Planning Commission.

MOTION: Moved by Mayor Pro Tem Kennedy, seconded by Council Member Hutchison, to adopt Resolution Nos. 2023-007 and 2023-008, as modified by staff, denying the appeals identified as DRC2022-00445 and DRC2022-00449 and upholding the Planning Commission's decision to approve Design Review DRC2019- 00850, to include a modification to Planning Commission Condition No. 3. CALL TO ORDER – COUNCIL CHAMBERS
The Regular meetings of the Rancho Cucamonga Fire Protection District, Housing Successor Agency, Successor Agency, Public Finance Authority, and the City of Rancho Cucamonga City Council were held on February 1, 2023, in the Council Chambers at City Hall, located at 10500 Civic Center Drive, Rancho Cucamonga, California. Mayor Michael called the meeting to order at 7:00 p.m.

Present were Council Members: Ryan Hutchison, Kristine Scott, Ashley Stickler, Mayor Pro Tem Lynne Kennedy and Mayor L. Dennis Michael.

Also present were: John Gillison, City Manager; Nicholas Ghirelli, City Attorney; and Linda Troyan, MMC, City Clerk Services Director.

Council Member Scott led the Pledge of Allegiance.

A. AMENDMENTS TO THE AGENDA
City Clerk Services Director Troyan announced staff requested item D10 on the Consent Calendar be removed from the agenda and return at a future meeting.

B. ANNOUNCEMENTS/PRESENTATIONS
B1. Presentation of a Certificate of Sympathy in Memory of Catherine Bridge for her Years of Service to the Community.

Sean McPherson, Acting Principal Planner, provided a PowerPoint presentation showcasing Catherine Bridge’s legacy, service and dedication to the community. Mayor Michael and Members of the City Council presented a Certificate of Sympathy in Memory of Catherine Bridge to her son Richard Bridge and family.

B2. Recognition of Women in Transportation (WTS) Woman of the Year, Erin Rogers, OmniTrans CEO and General Manager.

Mayor Michael and Members of the City Council presented a Proclamation to Erin Rogers, OmniTrans CEO and General Manager, in recognition of being designated as Woman of the Year by Women in Transportation (WTS) Inland Empire Chapter.

C. PUBLIC COMMUNICATIONS
Frank Atry, spoke about city fee adjustments and OmniTrans bus rider routes and staffing.

Bob White, thanked the Rancho Cucamonga Fire Department and City for saving his life last year during an emergency.

Janet Walton, offered a prayer.

Phillip Walker, requested the City support Black History Month and have a Proclamation presented at a local event on February 3, 2023.

Victor Hernandez, Representative from Senator Ochoa Bogh’s Office, introduced himself and announced the Senator’s Office looks forward to providing updates on various bills and receiving feedback in the future.

Council Member Scott announced that she will need to abstain on item D3, due to a potential conflict of interest as her employer is Southern California Gas Company.

SUBJECT: Consideration to Receive and File Current Investment Schedules as of January 31, 2023 for the City of Rancho Cucamonga and the Rancho Cucamonga Fire Protection District. (CITY/FIRE)
RECOMMENDATION:

Staff recommends that the City Council/Board of Directors of the Fire Protection District receive and file the attached current investment schedules for the City of Rancho Cucamonga (City) and the Rancho Cucamonga Fire Protection District (District) as of January 31, 2023.

BACKGROUND:

The attached investment schedules as of January 31, 2023 reflect cash and investments managed by the Finance Department/Revenue Management Division and are in conformity with the requirements of California Government Code Section 53601 and the City of Rancho Cucamonga’s and the Rancho Cucamonga Fire Protection District’s adopted Investment Policies as approved on June 16, 2022.

ANALYSIS:

The City’s and District’s Treasurers are each required to submit a quarterly investment report to the City Council and the Fire Board, respectively, in accordance with California Government Code Section 53646. The quarterly investment report is required to be submitted within 30 days following the end of the quarter covered by the report. However, the City and District Treasurers have each elected to provide this report on a monthly basis.

BACKGROUND:

The City Council sits as the Fire Board, Housing Successor Agency, Successor Agency, and Public Financing Authority. Regular Meetings of the City Council are held on the first and third Wednesday of the month.

ANALYSIS:

At the January 30, 2023, City Council Goal Setting Workshop, there was consensus to cancel the March 1, 2023, and January 3, 2024, City Council meetings and reschedule the September 20, 2023, meeting to September 19, 2023.

Cancellation and rescheduling of meetings are necessary to allow attendance at legislative business meetings, the Cal Cities Conference, and due to the City holiday closure.

The City Clerk Services Department will provide the appropriate legal notification of the change.

RECOMMENDATION:

Staff recommends that the City Council:

1. Approve the attached agreement;

2. Authorize the Mayor to sign the agreement;

3. Authorize the City Manager to execute amendments to the agreement and the City Engineer to make modifications to the scope of work for the study; and

4. Authorize the appropriation of revenue and expenditures in the amount of $200,000 into the Infrastructure Fund (Fund 198) and Account No.’s 11980004901 and 11983035300 respectively.

BACKGROUND:

On October 4, 2022, the City and SBCTA entered into a Disposition and Development Agreement (DDA) with DesertExpress Enterprises, LLC (dba Brightline West) for a portion of property located at the northwest corner of Milliken Avenue and Azusa Court along with various easements across City and SBCTA rights-of-way and property. Under the DDA, Brightline West will construct a high- speed rail station at Cucamonga Station, the hub of the HART District. Cucamonga Station would be the southern terminus of the new privately owned and operated 180+ mile rail line connecting Las Vegas, Nevada to Rancho Cucamonga, California along the I-15 freeway corridor. Expected top speed for the zero-emission all electric train sets is 180 MPH with the entire trip anticipated to take between 2 and 3 hours. Construction is anticipated to begin in 2023, with revenue service beginning in Fiscal Year 2026/27.

ANALYSIS:

The introduction of a high-speed rail station to Cucamonga Station and the HART District along with other planned and existing transit modes such as the West Valley Connector (a bus rapid transit line), local transit service, a tunnel that would provide on-demand shuttle service with autonomous vehicles between Cucamonga Station and the Ontario International Airport, and Metrolink service along with the envisioned development of a vibrant transit oriented district presents the need to assess the level and type of improvements that would be needed to accommodate traffic on Milliken Avenue from Foothill Boulevard to the I-10 freeway, as well as to

provide for traffic circulation to, from, and within Cucamonga Station.

The attached Funding Agreement with SBCTA would establish roles and responsibilities for preparation of the Milliken Avenue/Cucamonga Station Traffic Study. The traffic study would analyze the traffic needs along Milliken Avenue and within Cucamonga Station and provide conceptual level planning to determine infrastructure needs. The results of the study will allow for planning of future capital improvement projects and provide the necessary information to seek funding for those projects to ensure those traffic needs are met. Under the agreement, SBCTA would fund up to $200,000 to be used by the City to hire a qualified traffic engineering consultant that would prepare the traffic study by June 2024. The agreement includes an upfront payment to the City of $200,000, reporting and deliverable requirements, provides for reimbursement of any unexpended funds at the end of the contract.

FISCAL IMPACT:

The proposed agreement would provide revenue in the amount of $200,000 which would be used to cover expenditures incurred with the selected traffic engineering consultant. This revenue and associated expenditures have not been included in the Fiscal Year 2022/23 Budget and therefore appropriations are required in the following amounts for revenue and expenditures.

BETWEEN THE

SAN BERNARDINO COUNTY TRANSPORTATION AUTHORITY

AND CITY OF RANCHO CUCAMONGA

FOR PREPARATION OF THE

CUCAMONGA STATION/MILLIKEN AVENUE TRAFFIC STUDY
I. PARTIES AND TERM
A. This Funding Agreement (“AGREEMENT”) is entered into by and between the San Bernardino County Transportation Authority (“SBCTA”) and City of Rancho Cucamonga (“CITY”) (each individually a “PARTY” and collectively, the “PARTIES”) on the Effective Date (as defined herein).

B. This AGREEMENT shall be effective as of the last date of execution by SBCTA and CITY (“Effective Date”) and shall terminate on June 30, 2024, but may be extended or terminated earlier in accordance with the provisions of this AGREEMENT.

C. This AGREEMENT may be terminated without cause upon thirty (30) days ’ written notice by either PARTY. CITY and SBCTA are authorized to exercise their respective rights with respect to any termination of this AGREEMENT. The City Manager and the Executive Director of SBCTA , or their designees, ha ve authority to terminate this AGREEMENT on behalf of their respective agencies.

II. RECITALS
A. WHEREAS, CITY desires to prepare the Cucamonga Station/Milliken Avenue Traffic Study (“Study”).

B. WHEREAS, SBCTA has an interest in facilitating transit access and mobility for residents, visitors, and businesses and derives benefit from transit’s congestion - reducing effects on highway facilities in San Bernardino County.

C. WHEREAS, the CITY’s Scope of Work attached hereto as Attachment “A” includes the activities to be undertaken in the Study.

D. WHEREAS, $200,000 of SBCTA funding will be made available to the C ITY for completing the Study in accordance with the Scope of Work.

E. WHEREAS, CITY is qualified to manage the preparation of the Study.

F. WHEREAS, SBCTA desires that CITY prepare the Study in accordance with the Scope of Work, and CITY agrees to perform these services as set forth below.

G. NOW THEREFORE, SBCTA and CITY mutually agree to the following terms and conditions.

III. RESPONSIBILITIES
A. CITY Responsibilities:
i. CITY shall procure a Consultant (“Consultant”) to perform the services required for the Study as generally described as follows and as set forth in Attachment A to this AGREEMENT:

The Cucamonga Station /Milliken Avenue Traffic Study will evaluate the impacts related to antici pated increased traffic volumes on Milliken Avenue resulting from the development of the Brightline West high-speed rail station at Cucamonga Station. The study will also include preparation of conceptual plans for widening of Milliken Avenue in the vicinity of the new station to address capacity issues identified in the study. ii. CITY shall receive an up-front payment of funds from SBCTA, pay Consultant invoices, and , on a quarterly basis, submit to SBCTA progress reports and documentation of services provided and costs incurred within 30 days following the end of each calendar quarter. This will include copies of invoices received by CITY from the Consultant. No CITY staff time shall be charged to SBCTA under this AGREEMENT.
iii. CITY shall protect from unauthorized use or disclosure names and other Personally Identifiable Information (PII) concerning persons receiving services pursuant to this AGREEMENT, except for anonymous statistical information that does not identify participants. PII is defined as any information that identifies or describes a person, including, but not limited to: name; social security number; date of birth; driver license number; home address; telephone number; billing address; e -mail address; credit card number and expiration date; bank account information; medical and health information, including digital copies of personal, or protected, health information (ePHI); health insurance; user name or email address, in combination with a password or security question and answer that wo uld permit access to an online account; and other personally identifiable information as defined by California or federal law. CITY shall not use or disclose any PII for any purpose other than carrying out the obligations under this AGREEMENT, except as may be otherwise required by law. This provision will remain in the force even after the termination of the AGREEMENT.

B. SBCTA Responsibilities
i. SBCTA shall provide funding for the Study in accordance with Section V. Fiscal Provisions.

IV. MUTUAL RESPONSIBILITIES
A. SBCTA and CITY will establish mutually satisfactory methods for dispute resolution at the lowest possible level, with a procedure to mobilize dispute resolution up through the PARTIES’ respective chains of command.

B. SBCTA and CITY will cooperate and coordinate with Consultant and other parties in providing the services and responsibilities required under this AGREEMENT to the extent practicable with respect to the performance hereunder.

V. FISCAL PROVISIONS
A. SBCTA shall make an up -front payment to City equal to $200,000 (“Up -Front Payment”). The maximum amount of payment from SBCTA to CITY under this AGREEMENT shall not exceed $200,000.

B. CITY shall prepare an invoice for the full Up-Front Payment from SBCTA in a form satisfactory to SBCTA. SBCTA shall pay the Up -Front Payment to CITY within 30 days of receipt of CITY’s invoice. During the course of the project, C ITY shall maintain documentation supporting each element of measurement and/or cost deducted from the Up -Front Payment , in cluding costs incurred by CITY’S Consultant(s) and shall provide a financial status report and progr ess report on a quarterly basis, due not later than 30 days following the end of each calendar quarter . At the conclusion of the study, CITY shall provide a close-out report not later than 60 days following completion of the project summarizing total expenditures incurred.

C. CITY shall include in its closeout report to SBCTA all funds not expended from the Up-Front Payment for the performance of the Scope of W ork and shall reimburse SBCTA such remaining funds.

VI. GENERAL PROVISIONS
A. No waiver of any of the provisions of the AGREEMENT shall be effective unless it is made in a writing which specifies the provision(s) so waived and which is executed by both PARTIES. No course of dealing and no delay or failure of a PARTY in exercising any right under any AGREEMENT shall affect any other or future exercise of that right or any exercise of any other right. A PARTY shall not be precluded from exercising a right by its having partially exercised that right or its having previously abandoned or discontinued steps to enforce that right.

B. Any modifications of any terms or conditions of this AGREEMENT shall be valid only when reduced to writing, duly signed and approved by the Authorized Representatives of all PARTIES.

C. This AGREEMENT constitutes the sole and entire agreement among the PARTIES governing the matters set forth herein and supersedes any p rior understandings, negotiations, agreements, arrangements and undertakings, written or oral, between the PARTIES respecting the subject matter herein. All previous proposals, offers, and other communications, written or oral, relative to this AGREEMENT, are superseded to the extent that they are not incorporated into this AGREEMENT. It is the intent of the PARTIES that this AGREEMENT is an integrated agreement and that no evidence may be introduced to vary in any manner its terms and conditions. No repres entation, warranty, covenant, inducement or obligation not included in this AGREEMENT shall be binding.

D. Without the prior written consent of the other PARTY , the AGREEMENT is not assignable by either PARTY, in whole or in part.

E. If any legal action is instituted to enforce any PARTY’s rights hereunder, each PARTY shall bear its own costs and attorney fees, regardless of who is the prevailing PARTY.

This paragraph shall not apply to those costs and attorney fees directly arising from a third-party legal action against a PARTY hereto and payable under any indemnification or insurance requirements.

F. This AGREEMENT shall be governed by and construed a ccording to the laws of the State of California.

G. The PARTIES acknowledge and agree that this AGREEMENT was entered into and intended to be performed in Rancho Cucamonga, California. The PARTIES agree that the venue of any action or claim brought by any PARTY to this AGREEMENT will be the Superior Court of California, San Bernardino County. Each PARTY hereby waives any law or rule of the court, which would allow them to request or demand a change of venue. If any action or claim concerning t his AGREEMENT is brought by any third party and filed in another venue, the PARTIES hereto agree to use their best efforts to obtain a change of venue to the Superior Court of California, San Bernardino County.

VII. MUTUAL INDEMNIFICATION
A. City agrees to indemnify, defend (with counsel approved by SBCTA) and hold harmless SBCTA and its officers, employees, agents, volunteers from any and all claims, actions or losses, damages, and/or liability resulting from the CITY’s negligent or wrongful acts or omissions in CITY’s performance of its obligations under this AGREEMENT.

SBCTA agrees to indemnify, defend (with counsel approved by CITY) and hold harmless CITY and its officers, employees, agents and volunteers from any and all

claims, actions, losses, damages and/ or liability resulting from SBCTA’s negligent or wrongful acts or omissions in SBCTA’s performance of its obligations under this AGREEMENT.

In the event the CITY and/or SBCTA is found to be comparatively at fault for any claim, action, loss or damage whic h results from their respective obligations under the AGREEMENT, the CITY and/or SBCTA shall indemnify the other to the extent of its comparative fault.

VIII. INSURANCE
A. CITY is a self -insured public entity for purposes of Professional Liability, General Liability, Automobile Liability and Workers' Compensation and warrants that through its program of self -insurance, it has adequate coverage or resources to protect against liabilities arising out of the performance of the terms, conditions or obligations of this AGREEMENT.

B. SBCTA is insured for Commercial General Liability, Professional Liability, Auto Liability and Workers Compensation in amounts believed to be adequate to pro tect against liabilities arising out of the performance of the terms, conditions or obligations of this AGREEMENT.

IX. CONCLUSION
A. This AGREEMENT, consisting of seven (7) pages, including Attachment A, is the full and complete document including all covenants, conditions, and benefits.

B. The signatures of the PARTIES affixed to this AGREEMENT affirm that they are duly authorized to commit and bind them to the terms and conditions set forth in this document.

C. This AGREEMENT may be executed in any number of counterparts, each of which so executed shall be deemed to be an original, and such counterparts shall together constitute one and the same AGREEMENT. The PARTIES shall be entitled to sign and transmit an electronic signature of this AGREEMENT (whether by facsimile, PDF or other mail transmission), which signature shall be binding on the PARTY whose name is contained therein. OVERVIEW OF SCOPE OF WORK:

The scope of the study will include the following high-level tasks along with related lower-level detailed analysis resulting in a conceptual plan, scope, and timeline that will be the ba sis for detailed construction drawings and funding plan preparation.

Traffic Analysis
 Preparation of trip generation and distribution for the planned high-speed rail station
 Evaluation of the Level of Service for major and critical minor intersections along Milliken Avenue between the SR-210 and I-10 freeways utilizing existing, opening year, and horizon year scenarios
 Evaluation of segment levels of service for major segments of Milliken Avenue between the SR-210 and I-10 freeways
 Determination of additional capacity needs at the intersection and segment levels along with thresholds for implementation of needed improvements

Staff recommends that the City Council award a professional services agreement to Empire Economics, Inc., for the development of annual forecasting of the City’s economic and housing conditions, and supplemental analyses on an as needed basis, in an amount not to exceed $150,000.

BACKGROUND:

Over the years the City has worked with Empire Economics to develop an annual forecast of Rancho Cucamonga’s economic and housing growth and conditions. Additionally, supplemental analysis of items such as high-speed rail was prepared on an as needed basis. Factors impacting the City’s economy and housing market change regularly, and there is a need to understand the reasons behind these changes and the impacts they have on the community.

The City’s previous agreements with Empire Economics were prepared on an annual basis. Staff is now recommending that the City Council approve a three-year agreement, thus eliminating the need to develop and enter into a new agreement each year and setting the schedule for completion of the related work on an annual basis.

ANALYSIS:

As the City continues to grow and evolve, understanding changes to its economy and housing market remain key for future planning efforts. Generally, Empire’s scope of services will remain the same annually. Supplemental work may be requested annually, or on an as needed basis.

Staff envisions Empire’s annual scope of work to include, but not necessarily be limited to the following:

1. Forecast of Rancho Cucamonga’s Expected Economic & Housing Conditions a. Annual economic and housing market study that forecasts changes to the City’s employment sector and housing market. The 2023 study will include an analysis of the impacts of the Federal Reserve Board’s goal of 2% inflation.

Cost for the annual forecasting is $25,000. Staff anticipates work commencing in late February, with a presentation on the work’s key findings taking place in July of 2023. Work in the following two years would also follow this same timeline. Additionally, should the City Council approve this item, staff would also work with Empire to conduct supplemental research on warehouse and distribution centers as part of this year’s study. The cost for the supplemental work is $17,500 and it will be completed at the same time as this year’s annual forecast. This supplemental work is envisioned to include the following:

1. Characteristics of Current Warehouse & Distribution Market in Rancho Cucamonga and Nearby Cities

2. Historical Development of Warehouse & Distribution Market in Rancho Cucamonga

3. Forecast of Future Demand for Additional Warehouse & Distribution Uses Over the Next 10 Years

4. Potential Impacts of Technological Changes Including Enhanced Automation within Warehouses as well as Transportation Enhancements due to Driverless Vehicles and use of Green Energy

5. Benefit Cost Analysis of Potential Future Development of Warehouse & Distribution Facilities in Rancho Cucamonga

6. Conclusions on the Benefits & Costs of Warehouse & Distribution Facilities to the City of Rancho Cucamonga
In conclusion, staff is recommending approval a three-year agreement with Empire Economics, Inc. in the amount of $150,000. Annually, over the next three years, the City will receive a forecast of its expected economic and housing conditions. Upon request, supplemental analysis will be produced on an as needed basis. This year, Empire will prepare an annual forecast along a supplemental analysis of warehouse and distribution centers. The total cost associated with this year’s work will be $42,500.

FISCAL IMPACT:

The cost for the 2023 annual forecast and supplemental analysis of warehouse and distribution centers has been budgeted for Fiscal Year 2022-2023. Funding will come from General Fund- Non-Departmental General / Contract Services 1001001-5300. Funding for work in the following two years will be requested as part of the annual budget process. Total costs for the three-year contract period will not exceed $150,000.

AGREEMENT FOR

PROFESSIONAL SERVICES
THIS AGREEMENT is made and entered into this 15th day of February, 2023, by and between the City of Rancho Cucamonga, a municipal corporation (“City”) and Empire Economics, Inc., a Corporation (“Consultant”).

RECITALS
A. Consultant has submitted a proposal to perform the following professional services for a three year period: forecasting of expected economic and housing growth and conditions, and supplemental analysis as requested by the City and described in Exhibit “A” (“the Project”).

B. City desires to engage Consultant to complete the Project in the manner set forth and more fully described herein.

C. Consultant represents that it is fully qualified and licensed under the laws of the State of California to perform the services contemplated by this Agreement in a good and professional manner.

AGREEMENT
NOW, THEREFORE, in consideration of performance by the parties of the mutual promises, covenants, and conditions herein contained, the parties hereto agree as follows:

1. Consultant’s Services.

1.1Scope and Level of Services. Subject to the terms and conditions set forth in this Agreement, City hereby engages Consultant to perform all technical and professional services described in Recitals “A” above, including, but not limited to forecast of the City’s expected economic and housing conditions and growth, and also other services as requested, all as more fully set forth in the Consultant’s proposal, dated January 23, 2023 and entitled “Scope of Work”, attached hereto as Exhibit “A”, and incorporated by reference herein. The nature, scope, and level of the services required to be performed by Consultant are set forth in the Scope of Work and are referred to herein as “the Services.” In the event of any inconsistencies between the Scope of Work and this Agreement, the terms and provisions of this Agreement shall control.

1.2Revisions to Scope of Work. Upon request of the City, the Consultant will promptly meet with City staff to discuss any revisions to the Project desired by the City. Consultant agrees that the Scope of Work may be amended based upon said meetings, and, by amendment to this Agreement, the parties may agree on a revision or revisions to Consultant’s compensation based thereon. A revision pursuant to this Section that does not increase the total cost payable to Consultant by more than ten ATTACHMENT 1

percent (10%) of the total compensation specified in Section 3, may be approved in writing by City’s City Manager without amendment.

1.3Time for Performance. Consultant shall perform all services under this Agreement in a timely, regular basis consistent with industry standards for professional skill and care, and in accordance with any schedule of performance set forth in the Scope of Work, or as set forth in a “Schedule of Performance”, if such Schedule is attached hereto as Exhibit “A”.

1.4Standard of Care. As a material inducement to City to enter into this Agreement, Consultant hereby represents that it has the experience necessary to undertake the services to be provided. In light of such status and experience, Consultant hereby covenants that it shall follow the customary professional standards in performing the Services.

1.5Familiarity with Services. By executing this Agreement, Consultant represents that, to the extent required by the standard of practice, Consultant (a) has investigated and considered the scope of services to be performed, (b) has carefully considered how the services should be performed, and (c) understands the facilities, difficulties and restrictions attending performance of the services under this Agreement. Consultant represents that Consultant, to the extent required by the standard of practice, has investigated any areas of work, as applicable, and is reasonably acquainted with the conditions therein. Should Consultant discover any latent or unknown conditions, which will materially affect the performance of services, Consultant shall immediately inform City of such fact and shall not proceed except at Consultant’s risk until written instructions are received from the City Representative.

2. Term of Agreement. The term of this Agreement shall be three (3) years and shall become effective as of the date of the mutual execution by way of both parties signature (the “Effective Date”). No work shall be conducted; service or goods will not be provided until this Agreement has been executed and above requirements have been fulfilled.

3. Compensation.

3.1Compensation. City shall compensate Consultant as set forth in Exhibit A, provided, however, that full, total and complete amount payable to Consultant shall not exceed $150,000 (One Hundred Fifty Thousand), including all out of pocket expenses, unless additional compensation is approved by the City Council. City shall not withhold any federal, state or other taxes, or other deductions. However, City shall withhold not more than ten percent (10%) of any invoice amount pending receipt of any deliverables reflected in such invoice. Under no circumstance shall Consultant be entitled to compensation for services not yet satisfactorily performed.

The parties further agree that compensation may be adjusted in accordance with Section 1.2 to reflect subsequent changes to the Scope of Services. City shall compensate Consultant for any authorized extra services as set forth in Exhibit A.
