SUBJECT: Consideration to Receive and File Current Investment Schedules as of April 30, 2023 for the City of Rancho Cucamonga and the Rancho Cucamonga Fire Protection District. (CITY/FIRE)
RECOMMENDATION:

Staff recommends that the City Council/Board of Directors of the Fire Protection District receive and file the attached current investment schedules for the City of Rancho Cucamonga (City) and the Rancho Cucamonga Fire Protection District (District) as of April 30, 2023.

BACKGROUND:

The attached investment schedules as of April 30, 2023 reflect cash and investments managed by the Finance Department/Revenue Management Division and are in conformity with the requirements of California Government Code Section 53601 and the City of Rancho Cucamonga’s and the Rancho Cucamonga Fire Protection District’s adopted Investment Policies as approved on June 16, 2022.

ANALYSIS:

The City’s and District’s Treasurers are each required to submit a quarterly investment report to the City Council and the Fire Board, respectively, in accordance with California Government Code Section 53646. The quarterly investment report is required to be submitted within 30 days following the end of the quarter covered by the report. However, the City and District Treasurers have each elected to provide this report on a monthly basis.

SUBJECT: Consideration to Accept and Allocate Augmentation Grant Revenue in the Amount of $3,000 Awarded by the California State Library for a Library of Things Outdoor Collection. (CITY)
RECOMMENDATION:

Staff recommends the City Council approve and allocate $3,000 received from the California State Library “Parks Pass” Augmentation Grant to directly support the Library of Things (LoT) collection through the purchase of additional materials, programming, and marketing and promotion to the community.

BACKGROUND:

In early 2022, the California State Library announced a collaboration with the First Partner’s Office and the California Department of Parks and Recreation to provide California public libraries with free, vehicle day-use entry passes to over 200 participating state parks. The Parks Passes are checked out to library cardholders and are valid for the entry of one passenger vehicle. The Rancho Cucamonga Public Library (RCPL) received 13 California State Library Parks Passes and began lending passes in April 2022.

Subsequent to the distribution of the California State Library Parks Passes, an additional grant initiative was launched to offer libraries up to $5,000 to support the Parks Pass program and advance safe and equitable access to state parks within the community, especially with regard to vulnerable and underserved populations. RCPL successfully received $5,000 in California State Library Parks Pass grant funding for FY 2022-2023.

Again, in 2023, the California State Library offered Parks Pass grant recipients the opportunity to receive additional, or augmentation, funding of up to $3,000. RCPL applied and received $3,000 in funding in April 2023.

ANALYSIS:

The Library’s Parks Pass grant proposal focused on purchasing a collection of outdoor use items for the recently launched LoT Collection. These items, collectively known as the “Outdoor Collection,” will circulate free of charge and encourage residents to get outside and visit California State Parks and other open spaces. The Outdoor Collection will also support the LoT’s goals to reduce economic barriers, encourage sustainability, and offer new recreation and education opportunities.

Approval of these augmentation grant funds will help pay for the purchase of collection items, storage supplies, and marketing and promotional materials.

FISCAL IMPACT:

This grant provides augmentation funds from the California State Library and will be added as new revenue to the FY 2022-2023 budget that will cover the cost of items and materials for the Library of Things Outdoor Collection. Grant funds will be placed into Library revenue account 1291000-4740 and appropriated into Library expenditure accounts in the following manner:

RECOMMENDATION:

Staff recommends the City Council approve a single-source procurement and execute a 13-month contract with Allied Universal Security Services for security guard services at the Victoria Gardens Cultural Center effective June 1, 2023 through June 30, 2024 with an option to renew in one (1) year increments for a maximum of seven (7) years, in an amount not to exceed $197,170 for the remainder of FY 2022/2023 and for FY 2023/2024.

BACKGROUND:

The Victoria Gardens Cultural Center has experienced increased illegal activity over the past several months. This disruptive activity is primarily taking place in the courtyard area but is also occurring inside the facility, in the restroom areas, and other exterior surrounding locations throughout the site. The illegal activity consists of vandalism, graffiti, and fighting. Visitors to the Cultural Center feel unsafe and are turned off by the negative and disorderly activities occurring.

The Victoria Gardens shopping center currently contracts security guard services with Allied Universal Security Services. The purpose of requesting a single-source procurement is to allow for interoperability between the security services at the Victoria Gardens Cultural Center and the Victoria Gardens shopping center. Utilizing the same security services at Victoria Gardens will allow for shared site coverage, eliminate any potential redundancies, and provide solid communication to address illegal activity effectively and efficiently.

ANALYSIS:

Approval of the single-source procurement and execution of a contract with Allied Universal Security Services will allow for security guard services to take place in two overlapping shifts every day 3 p.m. to 11:30 p.m. and 8 p.m. to 4:30 a.m. except for Christmas and Thanksgiving Day. A copy of this agreement is available in the City Clerk’s Office.

1. Approve a Professional Services Agreement with Dawson Productions, LLC in the amount of $75,000 per year for up to four years for a total contract amount not to exceed $300,000 for the design, layout, and production of the Healthy RC Living and RC Spotlight shows;

2. Approve Dawson Productions, LLC as a single source vendor.

BACKGROUND:

Dawson Productions, LLC (formerly HD Productions, LLC) has created and produced Healthy RC Living and RC Spotlight since their inception 14 years and 9 years ago respectively. Healthy RC Living is a show that highlights the many ways the City of Rancho Cucamonga embodies a culture of health, and features various recreational and cultural amenities in the city, community events, sustainability efforts, among other health promotion activities. RC Spotlight is a show that highlights how Rancho Cucamonga is a prime location and compelling choice for businesses, visitors, and families. The show features projects that promote community investment and economic growth, new business openings and expansions, business and resident resources, and various quality of life amenities that make Rancho Cucamonga a great place to live, work, and play. Both shows are featured on the City’s Government Access Channel RCTV-3, the City’s website, and the City’s various social media platforms.

ANALYSIS:

The scope of work includes the design, layout, and production of sixty-four (64) Healthy RC Living segments and thirty-two (32) RC Spotlight segments. In addition, the scope includes the creation of a digital blog, integrated into the City’s website for outreach, engagement, and social media promotion. The term of the agreement is for one (1) year with the option to renew in 1-year increments for a total of 4 years.

The City of Rancho Cucamonga and Dawson Productions, LLC have a well-established relationship, as they have been the approved single source vendor for the Healthy RC Living and RC Spotlight shows. Single/Sole Source Justification is on file with City Clerk Services

Department. Dawson Productions is the original producer of the shows and has provided production services to the City for nearly 15 years. They are familiar with the City’s logistics, requirements, and expectations. Their historical knowledge, community partnerships, and overall expertise have been critical for the effectiveness and success of the shows.

FISCAL IMPACT:

Funding for the contract in the amount of $75,000 is included in the adopted FY 2022/23 General Fund Budget in both the Healthy RC and Economic and Community Development budgets in accounts 1001107-5300 and 1001301-5300 (Contract Services).

SUBJECT: Consideration of Amendment No. 3 to the Cooperative Agreement Between the San Bernardino County Transportation Authority (SBCTA) and the City of Rancho Cucamonga for the Rancho Cucamonga Metrolink Station. (CITY)
RECOMMENDATION:

Staff recommends that City Council approve Amendment No. 3 to the Cooperative Agreement Between SBCTA and the City of Rancho Cucamonga for the Rancho Cucamonga Metrolink Station.

BACKGROUND:

The City and SBCTA each own an equal fifty percent (50%) interest in the Rancho Cucamonga Metrolink Station and the surrounding parking lot. In 1993, SBCTA (then known as SANBAG) and the City entered into Cooperative Agreement No. 94-001 (the “Cooperative Agreement”) that defined the responsibilities of each party concerning the purchase, operation, and maintenance of the Metrolink Station. The Cooperative Agreement has been amended on two occasions. Once in 2011 to define the parties’ roles with respect to a new pedestrian underpass at the Station.

Then, in 2022, the parties executed a second amendment to update insurance and indemnification provisions for the Station assets. The 2022 amendment was partly attributable to the City and SBCTA’s agreement to sell a portion of the parking lot to Brightline West for the development of its high-speed rail station.

SBCTA is currently planning for the development of a subterranean tunnel and related infrastructure that will transport passenger-serving zero-emission vehicles between the Metrolink Station and the Ontario International Airport, known as the ONT Tunnel. The tunnel will pass under the jointly owned Station parking lot and the future Brightline station parking lot.

ANALYSIS:

In light of the fact that the ONT Tunnel is solely owned by SBCTA, the City has requested an indemnity and insurance coverage to protect against the risk, however unlikely, of future claims against the City that arise out of SBCTA’s operation of the ONT Tunnel. SBCTA is willing to provide the City with the requested indemnity and will name the City as an additional insured on any insurance policies SBCTA in regards to the ONT Tunnel. Although the Cooperative Agreement currently includes a general indemnification provision, the proposed amendment will provide the City with a specific indemnity for claims relating to the ONT Tunnel.

FISCAL IMPACT:

There is no fiscal impact associated with this amendment to the Cooperative Agreement. SBCTA is not charging the City for the additional insurance.

COOPERATIVE AGREEMENT 94-001

BETWEEN THE

SAN BERNARDINO COUNTY TRANSPORTATION AUTHORITY
AND

THE CITY OF RANCHO CUCAMONGA
This Amendment No. 3 to Cooperative Agreement No. 94-001 is hereby made and entered into, and is effective on, this ___ day of ________, 2023, by and between the SAN BERNARDINO COUNTY TRANSPORTATION AUTHORITY (SBCTA) and the CITY OF RANCHO CUCAMONGA (CITY) with regard to the management of jointly owned property at the Rancho Cucamonga Metrolink Station.

WHEREAS, under SANBAG Contract No. 94-001, dated July 21, 1993, SAN BERNARDINO ASSOCIATED GOVERNMENTS (SANBAG) and the CITY entered into an agreement (Agreement), defining the responsibilities of each PARTY concerning the Cucamonga Station; and
WHEREAS, SANBAG and CITY amended the Agreement on January 5, 2011, to define the roles and responsibilities of each PARTY concerning the addition of the Pedestrian Underpass at the Cucamonga Station (Amendment No. 1); and
WHEREAS, on January 1, 2017, SBCTA became the successor agency to SANBAG pursuant to California Public Utilities Code Section 130800 et. seq., also known as the San Bernardino County Transportation Authority Consolidation Act of 2017; and WHEREAS, effective October 5, 2022, SBCTA and CITY amended the aforesaid Cooperative Agreement to clarify the responsibilities of the PARTIES with respect to the insurance of assets under the Cooperative Agreement and the apportionment of costs for said insurance, and to update provisions concerning termination and the distribution to the PARTIES upon termination; and WHEREAS, SBCTA and CITY (collectively, the PARTIES, and individually, each a PARTY) desire to further amend the Cooperative Agreement to provide for indemnification and insurance obligations with respect to SBCTA’s Tunnel to ONT,
NOW THEREFORE, the PARTIES hereto do mutually agree to amend the Cooperative Agreement as follows:

1. The recitals above are true and correct and are hereby incorporated herein by this reference.

2. Except as specifically amended by this Amendment No. 3, all other provisions of the Agreement as previously amended shall remain in full force and effect.

3. ADD Article I, Section 1.01.h as follows:
h. “Tunnel to ONT” or “Tunnel” means the tunnel and related infrastructure currently being developed by SBCTA that is to transport passenger-serving zero- emission vehicles between the Station Site and the Ontario International Airport.

4. Article XI, Section 11.07 Indemnity is DELETED in its entirety and is REPLACED as follows:

Section 11.07 Indemnity. Notwithstanding any other provision of the Agreement, each PARTY agrees to indemnify, defend and hold harmless the other PARTY and their members and the officers, directors, council members, employees, agents, successors and assigns of them and their members (individually and collectively, “Indemnitees”), from and against all loss, liability, claims, demands, suits, liens, claims of liens, damages (including consequential damages), costs and expenses (including, without limitation, all fines, penalties, judgments, litigation expenses, and experts' and attorneys' fees), that are incurred by or asserted against them, whether the liability is alleged or fixed during the Term or thereafter, which arise out of or are connected in any manner with: (1) the acts and omissions of a PARTY or its officers, contractors, directors, affiliates, a PARTY's invitees or anyone directly or indirectly employed by a PARTY or providing service to a PARTY or for whose acts a PARTY is otherwise liable (collectively, “Personnel”) in connection with the property subject to a PARTY's maintenance and/or security activities, duties and obligations hereunder or arising from the presence upon or performance of activities by a PARTY or its Personnel under this Agreement; (2) bodily injury to or death of any person (including Indemnitees) or damage to or loss of use of property resulting from acts or omissions of a PARTY or its Personnel; or (3) non-performance or breach by a PARTY or its Personnel of any term or condition of this Agreement during the Term hereof. Each PARTY shall obtain and maintain during the time the Agreement, as amended, is in effect, adequate insurance or self-insurance to cover its liability, defense and indemnification obligations in order to protect itself and the other PARTY.

Further, with respect to SBCTA’s Tunnel, SBCTA shall indemnify, defend and hold harmless CITY and CITY’s Indemnitees, from and against all loss, liability, claims, demands, suits, liens, claims of liens, damages (including consequential damages), costs and expenses (including, without limitation, all fines, penalties, judgments, litigation expenses, and experts' and attorneys' fees), that are incurred by or asserted against them, whether the liability is alleged or fixed during the Term or thereafter, which arise out of or are connected with the acts and omissions of SBCTA or its Personnel in connection with the construction, maintenance and operation of the Tunnel. SBCTA will also ensure that CITY is named as an

RECOMMENDATION:

Staff recommends the City Council:

1. Approve the attached Right-of-Way Contract with San Bernardino County Transportation Authority (SBCTA) for the sale of a permanent access easement located at the northwest corner of Archibald Avenue and 8th Street needed related to Metrolink’s SCORE Program and authorize the Mayor to execute the contract and accompanying Easement Deed;

2. Authorize the City Manager or his designee to prepare and sign any documents necessary to complete the sale; and

3. Approve receiving the proceeds of the sale into Account No. 11980004901 (Infrastructure Fund).

BACKGROUND:

In October 1992, the Southern California Regional Rail Authority (SCRRA) began Metrolink commuter rail service on the San Bernardino Line that runs between San Bernardino and LA Union Station. In Rancho Cucamonga, this line runs in the former Southern Pacific right-of-way purchased by SBCTA (formerly SANBAG) in 1990. As of the second quarter of Fiscal Year 2022/23, the San Bernardino Line has the highest weekday ridership of the seven lines and serves nearly 4,800 riders a day via 84 trains 1. Since the rail right-of-way was converted from primarily freight use to commuter passenger use in the early 1990s, much of the line is single-tracked, meaning that trains traveling in opposite directions must be scheduled using shared track availability for both directions. improvements, and track additions 2 such as strategic double-tracking that will increase capacity of the lines. The Rancho Cucamonga Siding Extension Project (a project within the SCORE Program) will construct safety-related improvements at the at-grade railroad crossings at Hellman Avenue and Archibald Avenue. As well, additional sidings will be constructed to double-track and triple-track each of each of these crossings respectively. These improvements are anticipated to improve service reliability, enhance safety, and increase service availability of the Metrolink San Bernardino Line. During the design of the project, SCRRA’s design team identified the need to provide improved access to the rail right-of-way on the northwest corner of Archibald Avenue and 8 th Street, just south of the tracks. The improved access will consist of a driveway running north from 8 th Street to SBCTA’s rail right-of-way approximately 75 feet west of Archibald Avenue. The roughly triangular shaped vacant land on the northwest corner of the intersection is part of the City’s right- of-way for 8th Street and was acquired from the County at the time of incorporation. Construction of the driveway will require SBCTA to acquire approximately 1,620 square feet of permanent access easement from this City right-of-way. A vicinity map and plat of the area are included in Attachment 1 and a copy of the legal description for the proposed permanent access easement is provided in the Right-of-Way Contract in Attachment 2.

ANALYSIS:

In December 2022, SBCTA made an initial offer to the City to purchase a 1,622.37 square foot permanent access easement for the project. In response to that offer, staff and SBCTA have negotiated the attached right-of-way contract. Under the contract, SBCTA would purchase the permanent access easement for the sum of $13,015. SBCTA would pay all costs associated with escrow and completing the transaction except for costs related to the satisfaction of outstanding liens or taxes on the property, if any. Based on the history of the property and the City’s tax- exempt status, no such costs are anticipated.

FISCAL IMPACT:

Proceeds from the subject sale, anticipated to be $13,015, would be received into the Infrastructure Fund (Fund 198), Account No. 11980004901 and would be available for use on future City infrastructure projects.

City of Rancho Cucamonga (hereinafter, “Grantor”) owns the real property located at the northwest corner of Archibald Avenue and 8th Street, Rancho Cucamonga, California 91730, in San Bernardino County (the “Property”). The San Bernardino County Transportation Authority is partnering with the Southern California Regional Rail Authority (“SCRRA” or “Metrolink”) to support Metrolink’s SCORE (“Southern California Optimized Rail Expansion”) program. A permanent access easement in a portion of the Property is required for construction of the Rancho Cucamonga Siding Extension Project (the “Project”) to support Metrolink’s SCORE program. The Project is a public project designed to provide additional capacity for train operations and improve safety and reliability of the system. A Permanent Access Easement Deed in a form substantially similar to Exhibit “1” attached hereto covering the property interest as described and depicted in Exhibit “1” and the exhibits attached thereto (the “Property Interest”), will be executed during the escrow to be opened for this transaction. The San Bernardino County Transportation Authority and its cooperative partners, agents, and assigns will collectively be referred to as “SBCTA”.

In consideration of which, and the other considerations hereinafter set forth, it is mutually agreed as follows:

1. (A) The parties have herein set forth the whole of their agreement (“Agreement”). The performance of this Agreement constitutes the entire consideration and except as stated in Clause 11 below, shall relieve SBCTA of all further obligations or claims on this account, or on account of the location, grade or construction of the proposed public improvement. (B)

SBCTA requires said Property Interest described in Exhibit “1” for the Project, a public use for which SBCTA has the authority to exercise the power of eminent domain. This Agreement is executed under the threat of eminent domain.

Both Grantor and SBCTA recognize the expense, time, effort, and risk to both parties in determining the compensation for the Property Interest by eminent domain litigation. The compensation set forth herein for the Property Interest is in compromise and settlement, in lieu of such litigation.
(D) The parties to this Agreement shall, pursuant to Section 21.7(a) of Title 49, Code of Federal Regulations, comply with all elements of Title VI of the Civil Rights Act of 1964. This

It is agreed that SBCTA may open an escrow in accordance with this Agreement at an escrow company of SBCTA’s choice (“Escrow Agent”), Escrow No. to be determined.

This Agreement constitutes the joint escrow instructions of SBCTA and Grantor, and the Escrow Agent to whom these instructions are delivered is hereby empowered to act under this Agreement. The parties hereto agree to perform all acts reasonably necessary to close this escrow within sixty (60) days following the opening of escrow.

2. (A) SBCTA shall pay the undersigned Grantor the sum of Thirteen Thousand Fifteen Dollars and Zero Cents ($13,015.00) for the Property Interest conveyed by Exhibit “1”. At the discretion of SBCTA, Escrow Agent may clear any liens, deeds of trusts, encumbrances, assessments, easements, and leases (recorded and/or unrecorded), and taxes, except:
i. Taxes for the tax year in which escrow closes shall be cleared and paid in the manner required by Section 5086 of the Revenue and Taxation Code, if unpaid at the close of escrow.
ii. Covenants, conditions, restrictions and reservations of record as contained in Information Guarantee (92015942-920-CMM-CM8).
iii. Easements or rights-of-way over said land for public or quasi-public utility or public street purposes, if any.

SBCTA shall pay all usual escrow and recording fees incurred in this transaction, and if title insurance is desired by SBCTA, the premium charged, therefore. Due to SBCTA’s status as a public agency, no recording fees will be payable (pursuant to Government Code Section 27383) and no documentary transfer tax will be payable (pursuant to Revenue & Taxation Code Section 11922).

At the discretion of SBCTA, SBCTA shall have the authority to deduct and pay from the amount shown on Clause 2(A) above, any amount necessary to satisfy any bond demands and delinquent taxes due in any year except the year in which this escrow closes, together with penalties and interest thereon, and/or delinquent and unpaid non-delinquent assessments which have become a lien at the close of escrow.

3. FULL AND COMPLETE SETTLEMENT. Grantor hereby acknowledges that it is the sole and lawful owner of the Property and the compensation paid to Grantor through this Agreement constitutes the full and complete settlement of any and all claims against SBCTA, Southern

California Regional Rail Authority (“SCRRA”) and Metrolink (hereinafter “Releasees”) by reason of the Project and/or acquisition of the Property Interest, including, but not limited to, any and all rights or claims that Grantor had, currently has or may in the future have under Article 1, Section 19 of the California Constitution, the Eminent Domain Law, or any other law or regulation, except as provided herein. Grantor, on behalf of itself and its successors and assigns, further knowingly and voluntarily waives and expressly releases and discharges Releasees and any and all of Releasees’ employees, agents, officers, servants, representatives, contractors, attorneys, partner agencies and assigns, from liability in regard to any claims for the following: pre-condemnation damages, inverse condemnation, lost business goodwill, lost profits, lost rents, severance damages, mitigation damages, curative costs, landscaping, compensation for the construction and use of the Project in the manner proposed, damage to or loss of improvements pertaining to the realty, machinery, fixtures, inventory, equipment and/or personal property, interest, any right to repurchase, leaseback, or receive any financial gain from, the sale of any portion of the Property Interest, any right to challenge the adoption of a resolution of necessity, any right to receive any notices pursuant to Code of Civil Procedure section 1245.235, any right to enforce any obligation pursuant to the Eminent Domain Law, any other rights conferred upon Grantor pursuant to the Eminent Domain Law, and claims for litigation expenses, attorney’s fees, statutory interest and/or costs. Grantor further consents to the dismissal of any Eminent Domain proceeding that is filed pertaining to the Property Interest and further waives all attorney’s fees, costs, claims to money on deposit, disbursements, and expenses in connection with the dismissal of said proceeding.

4. The parties intend that this Agreement will result in a full, complete, and final resolution and settlement of any and all claims, causes of action or disputes which exist, or may exist, between them as to the acquisition, possession and/or use of the Property Interest, except as expressly provided herein. It is therefore understood that the waiver, under this Agreement, of any rights, damages, compensation or benefits to which Grantor is, or may be, entitled is intended to be full and complete. Accordingly, except as provided herein:
(A) Pursuant to the releases set forth in this Agreement, Grantor specifically waives the provision of section 1542 of the Civil Code of the State of California which provides:
"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
(B) Grantor represents and warrants that it understands the effect of this waiver of section 1542 and has had the opportunity to discuss the effect of this waiver with counsel of its choice.

5. Any monies payable under this Agreement up to and including the total amount of unpaid principal and interest on note(s) secured by mortgage(s) or deed(s) of trust, if any, and all other amounts due and payable in accordance with the terms and conditions of said deed(s) of trust or mortgage(s), shall upon demand(s) be made payable to the mortgagee(s) or beneficiary(ies) entitled thereunder; said mortgagee(s) or beneficiary(ies) are to furnish Grantor with good and sufficient receipt

6. Based on the Title Guarantee prepared by Commonwealth Land Title Insurance Company (Guarantee No. CA-SFXFC-IMP-81G17-1-21-92015942) for HDR-One Company and pursuant to Streets and Highway Code Section 989, Grantor represents and warrants that it is the owner of the property rights guaranteed in the Title Guarantee and that it has the right to convey the Property Interest. Grantor will defend and indemnify SBCTA, its successors and/or assigns against any and all claims, demands, causes of action filed against SBCTA, its successors and/or assigns by someone claiming a legal interest in or right to the Property, or any portion thereof. Grantor represents and warrants that it will defend and indemnify SBCTA, its successors and/or assigns in the amount of any due and unpaid real property taxes, assessments, liens and any penalties and delinquencies on the Property. Grantor represents and warrants that it has made no assignment of any interest in the Property.

7. Grantor agrees to defend and indemnify and hold SBCTA harmless and reimburse SBCTA for any and all of its losses and expenses occasioned by reason of any lease of said Property held by any tenant of Grantor for a period exceeding one month. Grantor acknowledges that a general release or quitclaim deed will be required from any lessee that has a lease term exceeding one month. Said general releases or quitclaim deeds are to be provided by Grantor prior to the close of escrow. The provisions of this paragraph shall apply to current leases on Grantor’s Property as well as future leases, if any, that are entered into after the execution of this Agreement.

8. It is understood and agreed by and between the parties hereto that included in the amount payable under Clause 2(A) above is payment in full to compensate Grantor for the purchase of the following improvements: None. Grantor agrees that it is not entitled to compensation for any improvements located within the areas of the Property Interest being purchased pursuant to this Agreement.

9. It is understood and agreed by and between the parties hereto that the following improvements within the areas of the Property Interest will be protected in place: None. It is further understood and agreed to by and between the parties hereto that the following improvements within the areas of the Property Interest will be relocated: None.

10. SBCTA shall not take actual/physical possession of the Property Interest until thirty (30) day advance notice by SBCTA or SBCTA’s contractor is given to Grantor of SBCTA’s taking actual/physical possession of the Property Interest. Prior to SBCTA’s actual/physical possession of the Property Interest, Grantor agrees to hold harmless, defend and indemnify SBCTA, its officers, directors, employees and agents against any and all claims, including property damage or injuries resulting from the use of the areas within the Property Interest by Grantor and/or Grantor’s guests, invitees, or any other person. SBCTA shall not be deemed to have control of the areas within the Property Interest nor duty to maintain the areas within the Property Interest in a safe condition prior to the time SBCTA or SBCTA’s contractor take actual/physical possession of the areas within the Property Interest.

Grantor further agrees to notify SBCTA in writing within thirty (30) days of any potential claim relating to the areas within the Property Interest prior to SBCTA taking actual/physical possession of the areas within the Property Interest.

11. It is understood and agreed by and between the parties hereto that payment as provided in Clause 2(A) includes, but is not limited to, payment for any and all past, present, and/or future damages, which have accrued or may accrue to Grantor’s remaining property by reason of its severance from the property conveyed herein and/or the construction and use of the proposed Project, including, but not limited to, any expense which Grantor may incur in restoring the utility of the remaining property. This release is not intended to extend to unanticipated physical damage caused by construction of the Project.

12. It is agreed between the parties hereto that SBCTA is not assuming responsibility for payment or subsequent cancellation of unpaid assessments on the Property Interest acquired under this transaction. Grantor acknowledges it has received and reviewed the Information Guarantee, order number 92015942-920-CMM-CM8, prepared by Commonwealth Land Title Insurance Company.

The assessments remain the obligation of Grantor. Payment for the Property Interest acquired under this transaction is made upon the basis that the Grantor retains its obligation to the levying body respecting said assessments. The Property Interest acquired under this transaction is to be free and clear of any liens, bonds and/or assessments at the close of escrow.

13. It is agreed and confirmed by the parties hereto that notwithstanding other provisions in this Agreement, the right of possession and use of the Property Interest by SBCTA, including the right to remove and dispose of improvements within the Property Interest, shall commence on the date the amount of funds as specified in Clause 2(A) herein are deposited into the escrow controlling this transaction. The amount shown in Clause 2(A) herein includes, but is not limited to, full payment for such possession and use, including damages, if any, from said date.

14. Any notice either party may or is required to give the other shall be in writing and shall be either personally delivered or sent by registered or certified mail, return receipt requested. If by mail, service shall be deemed to have been received by such party at the time the notice is delivered to the following addresses:

It is understood and agreed by and between the parties hereto that this Agreement inures to the benefit of, and is binding on, the parties, their respective heirs, personal representatives, subsequent purchasers, successors, and/or assignees. SBCTA may freely assign any or all of its interests or rights under this Agreement.

Grantor represents and warrants that, to its knowledge, during the period of Grantor's ownership of the Property, there have been no disposals, releases or threatened releases of hazardous substances or hazardous wastes on, from, or under the Property. Grantor further represents and warrants that Grantor has no knowledge of any disposal, release, or threatened release of hazardous substances or hazardous wastes on, from, or under the Property which may have occurred prior to Grantor taking title to the Property.

17. The acquisition price of the Property Interest being acquired in this transaction reflects the full and complete settlement of the Property Interest without the presence of contamination. If the Property Interest being acquired is found to be contaminated by the presence of hazardous waste which requires mitigation under Federal or State law, SBCTA may elect to recover its clean-up costs from those who caused or contributed to the contamination including, but not limited to, Grantor.

20. It is understood and agreed that the fully executed Permanent Access Easement Deed will be recorded in the Recorder's Office for the County of San Bernardino at the close of escrow.

SBCTA reserves the right to cancel escrow and terminate this Agreement if at any time SBCTA determines that the Property Interest is no longer needed for the Project.

This Agreement constitutes the entire agreement between the parties hereto with respect to the subject matter of this Agreement and may not be modified except by an instrument in writing signed by the party to be bound thereby.

If any term or provision of this Agreement shall be held to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.

Each individual executing this Agreement on behalf of an entity represents and warrants that he or she has been authorized to do so by the entity on whose behalf he or she executes this Agreement and that said entity will thereby be obligated to perform the terms of this Agreement.

23. This Agreement may be executed in counterparts, including by facsimile and/or electronic mail, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original, and all such counterparts together shall constitute one and the same instrument.

RECOMMENDATION:

Staff recommends that the Fire Board of the Rancho Cucamonga Fire Protection District:

1. Adopt a Resolution adopting “Annexation Map No. 23-3” showing Assessor Parcel Number (APN) 0229-151-27 (8629 Pecan Avenue), proposed to be annexed in Community Facilities District No. 85-1; and

2. Adopt a Resolution of Intention to Annex Territory referred to as “Annexation No. 23-3” into Community Facilities District No. 85-1 to specify the services to be financed, to set and specify the rate and method of apportionment of the special taxes proposed to be levied within the territory proposed to be annexed, and

3. Set a time and place for a public hearing regarding Annexation No. 23-3.

BACKGROUND:

The property owner of APN 0229-151-27, located within the Fire Protection District (the "Territory"), is conditioned by the City and Fire Protection District to annex “Annexation No. 23-3” into the existing Community Facilities District (CFD) No. 85-1 to satisfy fire protection service mitigation impacts.

Annexation proceedings were previously initiated, however in June 2022 the property owner voted against the levy of the special tax to finance fire protection and suppression services within the Annexation Territory. Since less than two-thirds of the votes cast in the election were in favor of levying the special tax on the Annexation Territory, the Board of Directors was unable to take

further action on annexing the Annexation Territory to the District for a period of one year from the date of the election, in accordance with Section 53339.9 of the Government Code.

ANALYSIS:

In order to initiate formal annexation proceedings, the Fire Board is being asked to adopt a resolution approving Annexation Map No. 23-3 of the territory proposed to be annexed and a Resolution of Intention to Authorize the Annexation of Annexation No. 23-3.

Resolution No. FD 2023-005 will adopt “Annexation Map No. 23-3” showing the property proposed to be annexed into CFD No. 85-1 (Attachment 1). The territory is inclusive of the entire development project proposed by the Property Owner.

Resolution No. FD 2023-006 declares the Fire Board intention to authorize the annexation of territory “Annexation No. 23-3” to CFD No. 85-1 (Attachment 2). The Resolution of Intention generally sets forth: (a) the District's intention to annex the Territory to the District shown in Exhibit “A”; (b) a description of the services and facilities which will, in part, be financed through the levy of the special tax on the Territory if annexed shown in Exhibit “B”; (c) the rate and method of apportionment of the proposed special tax shown in Exhibit “C”; (d) the date, time and location of the public hearing set for June 21, 2023, (e) election requirements.

Special Counsel for the District has worked with staff to establish the annexation process, timelines and draft resolutions. The resolutions are considered to be routine and non- controversial, as the property owners are in support of the annexation procedure. On June 21, 2023, there will be a public hearing for public input/concerns on this matter.

FISCAL IMPACT:

The special tax revenues that are collected from CFD No. 85-1 are used to pay for public facilities and services in the District area. Costs related to the administering of the District are the responsibility of the property owners within the District. Annexation of the property ensures the property owner covers the cost of increased demand for fire services resulting from new development within the Territory.

This item brings together portions of the Council’s vision and core value by providing a sustainable City and promoting a safe and healthy community for all. Annexation of the property into CFD 85-1 ensures the delivery of vital fire and life safety services to all residents while satisfying fire protection service mitigation impacts.

WHEREAS, this Board of Directors now desires to proceed to adopt its Resolution of Intention to annex the Territory to District, to describe the territory included within District and the Territory proposed to be annexed thereto, to specify the facilities and services to be financed from the proceeds of the levy of special taxes within the Territory, to set and specify the special taxes that would be levied within the Territory to finance such facilities and services, and to set a time and place for a public hearing relating to the annexation of the Territory to the District.

NOW, THEREFORE, the Board of Directors of the Rancho Cucamonga Fire Protection District does hereby resolve as follows:

1. Recitals. The above recitals are all true and correct.

2. Legal Authority. These proceedings for annexation are initiated by this Board of Directors pursuant to the authorization of the Act.

3. Intention to Annex; Description of the Territory and the District. The Board of Directors hereby determines that the public convenience and necessity requires that the Territory be added to the District and this Board of Directors declares its intention to annex the Territory to the District.

A description of the Territory is as follows:

All that property within the Territory proposed to be annexed to the District, as such property is shown on the Annexation Map as previously approved by this legislative body, a copy of which is on file in the Office of the Secretary and shall remain open for public inspection.

A general description of the territory included in the District is hereinafter described as follows:

All that property and territory as originally included within the District and as subsequently annexed to the District, as such properties were shown on original maps of the District and the territories

subsequently annexed to the District, all as approved by this Board of Directors and designated by the name of the District, reference is made to the attached and incorporated Exhibit “A” (the “Annexation Map”).

Copies of such maps are on file in the Office of the Secretary and have also been filed in the Office of the County Recorder.

4. Services and Facilities Authorized to be Finance by the District. The services that are authorized to be financed by the District from the proceeds of special taxes levied within the existing District are generally described in Exhibit “B” (the “Services and Facilities”) attached hereto and incorporated herein by this reference and all costs associated the District, administration of the District, the determination of the amount of special taxes to be levied, the costs of collection any special taxes, and costs otherwise incurred in order to carry out the authorized purposes of the District. If and to the extent feasible the Services and Facilities shall be provided in common within the existing District and the Territory.

5. Special Taxes. It is the further intention of this Board of Directors body that, except where funds are otherwise available, a special tax sufficient to pay for the Services and Facilities and related incidental expenses authorized by the Act, secured by recordation of a continuing lien against all non- exempt real property in the Territory, will be levied annually within the boundaries of such Territory. For further particulars as to the rate and method of apportionment of the proposed special tax, reference is made to Exhibit “C” (the “Special Tax Formula”), which is attached hereto and incorporated herein by this reference and which sets forth in sufficient detail the method of apportionment of such special tax to allow each landowner or resident within the proposed Territory to clearly estimate the maximum amount that such person will have to pay.

The special tax proposed to be levied within the Territory shall be equal to the special tax levied to pay for the Services and Facilities in the existing District, except that a higher or lower special tax may be levied within the Territory to the extent that the actual cost of providing the Services and Facilities in the Territory is higher or lower than the cost of providing those Services and Facilities in the existing District.

Notwithstanding the foregoing, the special tax may not be levied at a rate which is higher than the maximum special tax authorized to be levied pursuant to the special tax formula.

The special taxes herein authorized shall be collected in the same manner as ad valorem property taxes and shall be subject to the same penalties, procedure, sale and lien priority in any case of delinquency, as applicable for ad valorem taxes; however, as applicable, this legislative body may, by resolution, establish and adopt an alternate or supplemental procedure as necessary. Any special taxes that may not be collected on the County tax roll shall be collected through a direct billing procedure by the Rancho Cucamonga Fire Protection District, acting for and on behalf of the District.

Upon recordation of a Notice of Special Tax Lien pursuant to Section 3114.5 of the Streets and Highways Code of the State of California, a continuing lien to secure each levy of the special tax shall attach to all non-exempt real property in the Territory and this lien shall continue in force and effect until the special tax obligation is prepaid and permanently satisfied and the lien canceled in accordance with law or until collection of the tax by the legislative body ceases.

The maximum special tax rate authorized to be levied within the District shall not be increased as a result of the annexation of the Territory to the District.

6. Public Hearing. 8. Election. If, following the public hearing described in the Section above, the Board of Directors determines to proceed with the annexation of the Territory to the District, a proposition shall be submitted to the qualified electors of the Territory. The vote shall be by registered voters within the Territory; however, if there are less than 12 registered voters, the vote shall be by landowners, with each landowner having one vote per acre or portion thereof within the Territory.

9. Notice. Notice of the time and place of the public hearing shall be given by the City Clerk by causing the publication of a Notice of Public Hearing in a legally designated newspaper of general circulation, said publication pursuant to Section 6061 of the Government Code, with said publication to be completed at least seven (7) days prior to the date set for the public hearing.

A copy of this Resolution shall be transmitted to the City Council of the City of Rancho Cucamonga as required by the Act.

DESCRIPTION OF THE SERVICES AND FACILITIES
The Services.

It is the intention of the Board of Directors to finance certain types of fire services (the “Services”) that are in addition to those currently provided in or require for the Territory and are necessary to meet the increased demand for such fire services resulting from new development within the Territory and will not be replacing services already available to the Territory. A general description of the Services to be financed is as follows:

The performance of functions, operations, maintenance, and repair activities in order to provide fire protection and suppression services to the Territory.

The Facilities.

It is the intension of this Board of Directors to finance the purchase, construction, expansion, improvement, or rehabilitation of certain types of fire facilities (the “Facilities”) that are in addition to those currently provided to serve the Territory and are necessary to meet the increased demand for such fire services resulting from new development within the Territory and will not be replacing facilities already available to serve the Territory. A general description of the types of the Facilities to be financed is as follows:

Fire protection and suppression facilities and equipment, rescue equipment, with a useful life of five (5) years or more, including collection and accumulation of funds to pay for anticipated facilities cost shortfalls and reserves for repair and replacement to the extent that such facilities are necessary to meet the increased demand for such facilities resulting from new development within the Territory.

ANNUAL ADJUSTMENT SPECIAL TAX
The maximum Special Tax shall be annually adjusted for (a) changes in cost of living or (b) changes in cost of living and changes in population as defined in Section 7901 of the Government Code, as amended, whichever is lesser.

REDUCTION IN SPECIAL TAX
Commercial and industrial structures shall be granted a reduction in the Special Tax for the installation of complete sprinkler systems. In addition, multi-floor commercial and industrial structures shall be granted a reduction in Special Tax for each separate floor above or below the main ground floor of the structure.

LIMITATIONS ON TAX LEVY
The Special Tax shall only be levied on developed property; provided that the Special Tax shall not be levied until a “Certification of Occupancy” or “Utility Release” has been issued by the appropriate governmental agencies.

Developed property is defined to be property:
•Which is not owned by a public or governmental agency
•Which is not vacant
•Where a certificate of occupancy or utility release from the City of Rancho Cucamonga or the County of San Bernardino has been issued
•Which has an existing building or structure onsite
•Which does not have as its sole use power transmission towers, railroad tracks, and flood control facilities – these properties are exempt. Areas granted as easements to power transmission towers, railroad tracks, and flood control facilities shall be subtracted from the total acreage of the underlying lot and shall be exempt.

The annual levy of the Special Tax shall be based upon an annual determination by the Board of Directors of the Rancho Cucamonga Fire Protection District of the amount of other revenues available to meet budget requirements. As used in this formula, "available revenue" shall include ad valorem taxes, State of California augmentation, tax increment revenues received from the Redevelopment Agency of the City of Rancho Cucamonga and any other source of revenue except the Special Tax. The Board of Directors shall take all responsible steps to retain maximum Redevelopment Agency funding to which, by agreement, they may lawfully receive. To the extent available revenues are insufficient to meet budget requirements, the Board of Directors may levy the Special Tax.

THE ANNEXATION OF THE ANNEXATION AREA, THE LEGISLATIVE BODY SHALL ABANDON THE PROCEEDINGS OR MODIFY THE PROCEEDINGS. IF SAID MAJORITY

PROTEST IS LIMITED TO CERTAIN SERVICES OR SPECIAL TAX, THOSE SERVICES OR THAT TAX SHALL BE ELIMINATED BY THE LEGISLATIVE BODY.

SPECIAL TAX
The services and facilities shall be financed through the levy of special taxes on all property within the existing Community Facilities District, as well as the Annexation Area. A copy of the rate and method of apportionment of the special tax is on file in the Office of the Fire Chief and is available for inspection during normal office hours.

ELECTION
Following the conclusion of the public hearing, the Board will conduct a special election on June 21, 2023, where the annexation proposition shall be submitted to the qualified electors, being the property owners, with each owner having one (1) vote per acre or portion thereof of land owned within the proposed annexed territory.

RECOMMENDATION:

Staff recommends that the Fire Board of the Rancho Cucamonga Fire Protection District:

1. Adopt a Resolution adopting “Annexation Map No. 23-2” showing Assessor Parcel Number (APN) 0229-171-28 (13261 Arrow Route), proposed to be annexed in Community Facilities District No. 85-1; and

2. Adopt a Resolution of Intention to Annex Territory referred to as “Annexation No. 23-2” into Community Facilities District No. 85-1 to specify the services to be financed, to set and specify the rate and method of apportionment of the special taxes proposed to be levied within the territory proposed to be annexed, and

3. Set a time and place for a public hearing regarding Annexation No. 23-2.

BACKGROUND:

The property owner of APN 0229-171-28, located within the Fire Protection District (the "Territory"), is conditioned by the City and Fire Protection District to annex “Annexation No. 23-2” into the existing Community Facilities District (CFD) No. 85-1 to satisfy fire protection service mitigation impacts.

ANALYSIS:

In order to initiate formal annexation proceedings, the Fire Board is being asked to adopt a resolution approving Annexation Map No. 23-2 of the territory proposed to be annexed and a Resolution of Intention to Authorize the Annexation of Annexation No. 23-2.

Resolution No. FD 2023-007 will adopt “Annexation Map No. 23-2” showing the property proposed to be annexed into CFD No. 85-1 (Attachment 1). The territory is inclusive of the entire development project proposed by the Property Owner.

Resolution No. FD 2023-008 declares the Fire Board intention to authorize the annexation of territory “Annexation No. 23-2” to CFD No. 85-1 (Attachment 2). The Resolution of Intention generally sets forth: (a) the District's intention to annex the Territory to the District shown in Exhibit “A”; (b) a description of the services and facilities which will, in part, be financed through the levy of the special tax on the Territory if annexed shown in Exhibit “B”; (c) the rate and method of apportionment of the proposed special tax shown in Exhibit “C”; (d) the date, time and location of the public hearing set for June 21, 2023, (e) election requirements.

The existing Community Facilities District has been designated as Community Facilities District No. 85-1 (the “District”); and, WHEREAS, there has been submitted a map entitled “Annexation Map No. 23-2 to Community Facilities District No. 85-1, Rancho Cucamonga Fire Protection District, County of San Bernardino, State of California” (the “Annexation Map”) showing the territory proposed to be annexed to the District (the “Territory”).

AUTHORIZE THE ANNEXATION OF TERRITORY (ANNEXATION
NO. 23-2) TO COMMUNITY FACILITIES DISTRICT NO. 85-1
WHEREAS, the Board of Directors of the Rancho Cucamonga Fire Protection District, California, (“Board of Directors”), formed a Community Facilities District pursuant to the terms and provisions of the “Mello-Roos Community Facilities Act of 1982”, being Chapter 2.5, Part 1, Division 2, Title 5 of the Government Code of the State of California (the “Act”). The Community Facilities District has been designated as Community Facilities District No. 85-1 (the “District”); and, WHEREAS, the Board of Directors desires to initiate proceedings to consider the annexation of certain real property to the District (the “Territory”); and WHEREAS, a map entitled “Annexation Map No. 23-2 to Community Facilities District No. 85-1 Rancho Cucamonga Fire Protection District, County of San Bernardino, State of California” (the “Annexation Map”) showing the Territory proposed to be annexed to the District has been submitted, which map has been previously approved and a copy of the map shall be kept on file with the transcript of these proceedings; and
WHEREAS, this Board of Directors now desires to proceed to adopt its Resolution of Intention to annex the Territory to District, to describe the territory included within District and the Territory proposed to be annexed thereto, to specify the facilities and services to be financed from the proceeds of the levy of special taxes within the Territory, to set and specify the special taxes that would be levied within the Territory to finance such facilities and services, and to set a time and place for a public hearing relating to the annexation of the Territory to the District.

NOW, THEREFORE, the Board of Directors of the Rancho Cucamonga Fire Protection District does hereby resolve as follows:

1. Recitals. The above recitals are all true and correct.

2. Legal Authority. These proceedings for annexation are initiated by this Board of Directors pursuant to the authorization of the Act.

Copies of such maps are on file in the Office of the Secretary and have also been filed in the Office of the County Recorder.

Notwithstanding the foregoing, the special tax may not be levied at a rate which is higher than the maximum special tax authorized to be levied pursuant to the special tax formula.

The maximum special tax rate authorized to be levied within the District shall not be increased as a result of the annexation of the Territory to the District.
