Action Calendar No. I 8: Proposed 'Non-Compete" Provisions within an Updated Lease Agreement Between The Desert Healthcare District and Tenet Healthcare Corporation Good afternoon Mr. Mayor, Council Members and Staff.

I'm Isiah Harris and I live in Rancho Mirage.

I appreciate the opportunity to address you regarding the 'Non{ompete" provisions within an updated lease agreernent between The Desert Healthcare District and Tenet Healthcare Corporation.

I fully support the proposed resolution to object to the proposed non-corllpete provisiotts.

After reviewing the draft resolution, I have five (5) editorial cotnments and two (2) questions I believe would be important for the District to specifically address as it pertains to the non-compete provisions.

Since tirne is of the essence,l will start with my questions.I visited the District's website and reviewed its Mission Statement, Vision Statement and its Goals through2026. The preponderance of the goals is earmarked as on-going goals.

First question: The City questions how will the District accomplish its stated missiorr when Tenet at its sole and absolute discretion, denies the District from taking certain actions the District deem necessary for the residents of the District?
Second question: The City questions if the vision of the District will remain the same when this agreemeltt is implernented? If so, l'row will the vision of the District be realized witliout the say so of Tenet, given that Tenet at its sole and absolute discretion, can deny the District frorn taking certain actions?
I believe these questions should precede number 8 as it stands in the record.

Now I'll move to the editorial questions regarding the resolution. 1 . Page 1 ( I 8-4), Third WHEREAS: Add *,2024" after ooMay 27" .

2. Page2 (18-5), First WHEREAS:Add ", 2024" after "June 6".

3. Page2 (18-5), Second WHEREAS:Add ", 2024" after "June 6".

4. Page 2 (18-5), Second WHEREAS, itern 4: Replace "what is best with" with "how best to utilize". The sentence would then read "allow future elected District Board Members to determine how best to Lrtilize taxpayer funds".

5. Page 3 (18-6), itern 6: Replace "what is best with" with "how best to utilize". The sentence would then read 'That the District should "allow future elected District Board Members to determine how best to utilize taxpayer fllnds"".

I'm not aware of the status of the letter being sent to tlie District, however, I would suggest that this resolution find its way iuto the rnedia.

Thanks for your tirne and consideration.

Isiah Harris
