6. CHANGES: This Purchase Order may, at any time, be changed with regard to the materials or services to be furnished, the quantity ordered, the unit price, discount, delivery point or arrangements, terms or any other matters affecting a valid order. City Council Meeting L. 6.

DATE: 04/18/2023
TO: Honorable Mayor and City Council Members
SUBJECT: Consideration of the First Amendment to the Agreement with Southern California Fleet Services to increase the total compensation for an amount not to exceed $2,230,000; adoption of Resolution No. 8463 amending Resolution No. 8331 to approve a Purchase Order Modification with Ray Gaskin Service, Inc. not-to-exceed $300,000 to obtain equipment-specific parts (Assistant City Manager Boatman)
MOTION(S):

If the City Council determines that staff’s recommendation is appropriate, the following motions are provided:

I move that the City Council approve an amendment to an agreement with Southern California Fleet Services to increase the total compensation to an amount not to exceed $2,230,000; and

1. I move that the City Council adopt resolution No. 8463 amending Resolution No. 8331 to approve a purchase order modification with Ray Gaskin Service, Inc.

2. RECOMMENDATION:

Staff recommends that City Council approve an amendment to an agreement with Southern California Fleet Services to increase the not-to-exceed amount to $2,230,000 and adoption of Resolution No. 8463 approving a purchase order modification with Ray Gaskin Service, Inc.

Redlands Regular Meeting of 04/18/2023
373 of 411
DISCUSSION:

The City of Redlands Facilities and Community Services Department's Equipment Maintenance Division oversees the maintenance of approximately 470 vehicles and the City’s fuel station. In June 2021, the City Council approved an agreement with Southern California Fleet Services, Inc. to provide onsite fleet maintenance and repair services. During Fiscal Year 2022-23, the division experienced staffing shortages, resulting in a need for contractual services.

Recruitments for in-house staffing are underway and are anticipated to be filled by the end of this Fiscal Year. Therefore, the third and final term of the existing agreement will continue at the original contract rate. Staff is requesting an amendment to the agreement in order to increase the not-to-exceed amount of the second term of the agreement to $880,000, resulting in a total three-year agreement amount not-to-exceed amount of $2,230,0000.

In addition, on June 1, 2022, the City Council approved the annual purchase orders for the Facilities and Community Services Department, Resolution No. 8331 that included a sole-source purchase order with Ray Gaskin Service, Inc to provide heavy-duty truck parts (or Original Equipment Manufacturer (OEM)) on an as-needed basis. OEM parts have unique design features that cannot be replaced by non-OEM parts and use of alternate parts would void a manufacturer's warranty. Due to excessive wear, a solid waste front loader vehicle (unit #815) requires repairs to the body of the truck. City staff researched various options, including switching the body from another truck that was due to be decommissioned. However, it was determined the most fiscally sound decision was to refurbish the vehicle. The estimated cost to complete the work is between $30,000 and $50,000, which will result in the vehicle being put back into a like-new condition and extending the service life. In addition, this repair will require additional parts, also contributing to the increased cost of $50,000. In comparison, a new vehicle's estimated cost is over $455,000. Staff is requesting adoption of Resolution No. 8463 amending Resolution No. 8331 approving a purchase order modification with Ray Gaskin Service, Inc to increase the not-to-exceed amount from $200,000 to $300,000 to cover the cost of the vehicle repair.

ALTERNATIVES:

City Council may elect not to approve the amendment with Southern California Fleet Services or adopt Resolution No. 8463. However, this action will adversely affect the Division's ability to service the City's equipment.

In July 2021, the City entered into a Purchase and Sale Agreement for Assessor's Parcel Nos. (APN) 0292-041-08; -38; and -44-0000 with LDC Industrial Realty, LLC (now PR III/MP Redlands Industrial, LLC). APNs 0292-041-08 and -44 are fully within the County of San Bernardino, while 0272-041-38 is within the City of Redlands boundary. As APN 0292-041-38 is only .89 acres and any development of the remaining two parcels will be processed through the County of San Bernardino Land Use Services office, the City and County agreed that the County will be the sole permitting authority for all discretionary land use approvals associated with any development project for all three parcels, including, but not limited to, zoning approvals, variances, and issuance of conditional use permits or the like, to the extent any such approvals may be necessary for the entire property. The City agreed to delegate its Redlands Regular Meeting of 04/18/2023

may be necessary for the entire property. The City agreed to delegate its authority as the lead agency under CEQA to the County and to approve any improvements on the property as ministerial actions.

ALTERNATIVES:

There are no alternatives, as during the escrow process, the City agreed to delegate its authority as the lead agency under CEQA to the County, and to approve any improvements on the property as ministerial actions in order for the buyer to develop their project on all three parcels,

MEMORANDUM OF UNDERSTANDING
Land Use Entitlement Processing
This Memorandum of Understanding ( “MOU”) is entered into the last day listed below (“Effective Date”), between San Bernardino County (“County”), City of Redlands ( “City”) and PR III/MP Redlands Industrial , LLC (“Developer”). The County, City and Developer are collectively referred to herein as the “Parties” or referred to individual as “Party.”

RECITALS
A. Developer is proposing to develop an approximately 380,579 square foot high-cube warehouse distribution facility with associated parking and improvements (“Project”), located on Nevada Street, primarily located in the unincorporated area of San Bernardino County (APNs 0292-041-08 and 0292-41-44) with a de minimis portion of the Project Site located within the City (APN 0292-041-38) (“Property”). The Property is depicted in Exhibit A attached hereto and incorporated herein by reference. The portion of the Property located within the City is hereinafter identified as “De Minimis City Property.”
B. As proposed by Developer, the portion of the Project and associated improvements located within the De Minimis City Property includ e curb, landscaping, and a portion of parking stalls0 (collectively identified as “De Minimis Improvements”) . Proposals for similar type of improvements are reviewed and acted upon by the City as part of a ministerial action, such as a building permit.

C. Given that a very small portion of the Project is located in the City, the City agrees and concurs t hat all discretionary land use approvals for the Project are properly within the County’s sole land use jurisdiction and the development of the De Minimis Improvements on the De Minimis City Property will be reviewed and a cted upon by the City as part of a ministerial action. In addition, the City acknowledge s that the County is the sole lead agency in connection with processing the Project under the California Environmental Quality Act.

D. The Parties desire that the Property be developed in an efficient and timely manner, and in a manner compatible with the surrounding properties. In lieu of annexation of the De Minimis City Property, the City has agreed to accept a one-time sum from the Developer necessary to offset any obligations and municipal services, if any, that may be related to the De Minimis City Property portion of the Project.

E. Each of the jurisdictions will benefit from the development of th e P roperty, as compared to its existing undeveloped condition, in the event the Project is approved.

NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the Parties hereto agree as follows:

(b) The Parties agree that nothing in this MOU precludes the City and County from the proper exercise of its land use or police powers, or constitute a waiver of any lawful discretion under any law regarding the City and County’s future determination on Developer’s request for Project approvals or permits from the respective jurisdictions. (c) County will provide City with at least ten (10) days’ notice before any public hearing on land use matters and before any discretionary approvals associated with the Property.
