TITLE

APPROVE TRANSIT CENTER USE AGREEMENTS WITH THE CITIES OF GARDENA AND TORRANCE IN THE AMOUNT OF ONE DOLLAR PER YEAR, FOR THE TERM OF JANUARY 1, 2022 THROUGH DECEMBER 31, 2027.

APPROVE A TRANSIT CENTER USE AGREEMENT WITH THE LOS ANGELES METROPOLITAN TRANSPORTATION AUTHORITY IN THE AMOUNT OF $10,000 PER YEAR, FOR THE TERM OF JANUARY 1, 2022 THROUGH DECEMBER 31, 2027.

EXECUTIVE SUMMARY
The Transit Center Use Agreements for the Cities of Gardena and Torrance, and Los Angeles Metropolitan Transportation Authority (Metro) allow their respective transit systems to use the Redondo Beach Transit Center (Transit Center) on Kingsdale Avenue adjacent to the South Bay Galleria. The proposed Use Agreements are consistent with Agreements previously approved by the City Council and contain general provisions relating to bus bay assignments for the current Transit Center location and the new Transit Center location, insurance, indemnification, signage and advertising. The term of the new agreements is for the period January 1, 2022 through December 31, 2027.

There is a nominal annual one-dollar charge incorporated into the Transit Center Use Agreements with Gardena and Torrance, and the Metro annual fee has been increased from $400 per year to $10,000 per year. Most agencies, including Redondo Beach, do not pay bus bay fees at transit centers or rail stations because the transit systems draw from the same sources of Federal, State and Regional transportation restricted funds.

The City has entered into multi-year transit center use agreements for several years as a best management industry practice. The prior Transit Center Use Agreements, for the term March 21, 2017 through December 31, 2021, were approved by the City Council on March 21, 2017 with the Cities of Lawndale, Torrance and Gardena, and the Transit Center Use Agreement with Metro was approved on August 15, 2017.

BACKGROUND
The current Transit Center at the site of the South Bay Galleria Mall began operations on November 8, 1987. The Transit Center provides convenient transit access to the South Bay Galleria, the South Bay Marketplace, Target, the Artesia corridor of local businesses, and is walkable from the nearby residential community. The Transit Center serves local transit agencies including Gardena GTrans,

residential community. The Transit Center serves local transit agencies including Gardena GTrans, Torrance Transit and Metro, providing transit patrons a safe, centralized facility for accessing local and regional bus services. The agreements include the transition from the current transit center site to the new transit center facility at 1521 Kingsdale Avenue.

The City has entered into multi-year transit center use agreements for several years. The previous agreements were approved by City Council:
· Term - January 1, 2007 through December 31, 2011
February 6, 2007: Cities of Lawndale, Torrance and Gardena, and Metro · Term- January 1, 2012 through December 31, 2016
January 7, 2014: Torrance, Lawndale
February 18, 2014: Gardena
April 1, 2014: Metro
· Term - January 1, 2017 through December 31, 2021
March 21, 2017: Cities of Lawndale, Torrance and Gardena August 15, 2017: Metro
The Transit Center Use Agreements with Gardena, Torrance, and Metro are in the process of being approved by the respective agencies. The City of Lawndale has elected to delay entering into an agreement because their transit services remain suspended due to the Coronavirus 2019 pandemic.

Key provisions of the recommended agreements are as follows:
· Multiple year terms expiring on December 31, 2027;
· Allows for changes in the bus bay assignments for the new Transit Center operations; · Agencies are obligated to indemnify, defend and hold the City harmless; · Agencies are obligated to procure and maintain insurance on the City’s behalf; · Agencies may post signs and advertising related to their transit services; · Agencies must include their subcontractors as insureds in all policies, and provide separate insurance certificates.

Annual Fee Update
The Transit Center Use Agreements with the Transit agencies have been in place for over 20 years.

Staff negotiated an increase to the Metro bus bay fees for the new agreement as Metro will be using the majority of the bus bays, as well as have a higher usage of the improved driver amenities in the facility’s building. The fees have been increased from $400 per year to $10,000 per year. The fees for Torrance and GTrans remain the same, at one-dollar ($1) per year.

The annual bus bay fees are nominal for Torrance and GTrans, as Redondo Beach residents and community members who work in and visit Redondo Beach use the Transit providers. In addition, the low fee for Torrance and GTrans reduces the financial burden to use their Local Return Proposition A and C transit funds. Most agencies, including Redondo Beach do not pay bus bay fees at transit centers or rail stations, in recognition of this reciprocity. The following table shows bus bay fees paid by transit operators in the region.
