SECOND AMENDMENT TO SUPPORT SERVICES AGREEMENT
BETWEEN UAS AIR AND CITY OF REDONDO BEACH
THIS SECOND AMENDMENT TO THE SUPPORT SERVICES AGREEMENT (this "Second Amendment") is made between the City of Redondo Beach, a Chartered Municipal Corporation ("City") and Flying Lion, Inc., a California Corporation ("Contractor" or "Consultant").
WHEREAS, the parties hereto entered into that certain Project Services Agreement between City and Contractor (the "Agreement") on April 2, 2019; and WHEREAS, the parties wished to amend Exhibits "A"-"C" of the agreement and executed the First Amendment to the Agreement on March 9, 2021; and
WHEREAS, the parties wish to further amend the agreement to: clarify the not-to-exceed amount listed in Exhibit "C-1" is meant to be an annual amount.
NOW, THEREFORE, the parties hereby agree to amend the Agreement as follows:
1. Exhibit "C-1" subsection A "Amount" shall be amended to read:
"A. AMOUNT
Contractor shall provide services as described in this Second Amendment at the rates provided below. The total not to exceed amount for this Second Amendment is $105,080, annually."
2. NO OTHER AMENDMENTS. Except as expressly stated herein, the Agreement shall remain unchanged and in full force and effect. The Agreement, First Amendment and this Second Amendment shall constitute the entire agreement between the parties and supersede any previous oral or written agreement with respect to the subject matter hereof. In the event of any inconsistency between the terms of the Agreement, First Amendment and this Second Amendment, the terms of this Second Amendment shall prevail.
