All,
Looking over the Charter Review Committee resolution a couple points for clarification are offered for your consideration:

Section 2:

Alternates are not noted for the 2 Mayoral appointments

1. Consider to specify that "Each Councilmember and the Mayor shall appoint one (1) alternate for each of their respective Committee member appointments. An alternate will only be able to vote when the Committee member appointed by the same Councilmember or the Mayor is absent from a meeting. If a member resigns or is removed from the Committee, the alternate becomes the member and a new alternate shall be appointed by the respective appointing Councilmember or Mayor (or his/her successor)." (downside is that now the Mayor has to come up with 4 people...)
Section 3:

No option provided for removal of alternates

1. Modify language such that "Additionally a member or alternate may be removed without cause by a 4/5 vote of the City Council."
Section 4:

Not sure why Planning Commission is included here, maybe inadvertently left in from a cut and paste from GPAC language?

1. Remove "...the Planning Commission and..."
Section 5:

Does not limit scope beyond the listed specific topics, which is fine, just want to make sure that is the intent.

Section 7:

Noting that as written since just 4 (also of course 5) members would be a quorum then just 3 votes could be a majority to recommend changes, not likely to happen but possible.

General note
No provisions are noted for Chair (or vice-Chair) of the committee, there probably should be to avoid confusion, maybe add a new section or add language to an existing section.

1. Use language similar to Harbor Commission 2-9.707 Appointment of a chairperson. "At the first meeting of the Committee the members of the Committee shall appoint one of their number as a chairperson and one of their number as a vicechairperson, both of whom shall hold office for one year and until his or her successor is appointed."
or 2. Add language to let the Mayoral appointments be specified to serve as Chair and vice-Chair (similar to GPAC).

Either of these would need clarification as to whether the alternate to the Chair (especially if Section 2 is modified as suggested) or the vice-Chair (including his alternate) would serve as Chair if the selected Chair is not present. Maybe add "If the Chairperson is not present for a meeting the appointed vice-Chair shall act as Chair, if both the appointed Chairperson and vice-Chair are not present for a meeting the voting members present shall at the beginning of the meeting appoint an acting Chairperson for that meeting." It just seems better to have the Chairperson be someone more likely to have been at prior meetings rather than an alternate that may not be as up to speed on things.

Best,
Rolf
