AMENDMENT NUMBER THREE TO LETTER OF AGREEMENT
FOR FUNDING AND OPERATION OF REDONDO BEACH EMERGENCY
HOMELESS SHELTER
This Amendment Number Three to the Letter of Agreement for Funding and Operation of Redondo Beach Emergency Homeless Shelter, with an Execution Date of December 16, 2020 (hereinafter "Agreement"), is made and entered into this _ _ day of September, 2022 ("Amendment Three Execution Date") by and between the County of Los Angeles (hereinafter "County") and the City of Redondo Beach (hereinafter "City"). The County and the City are each individually a "Party" and collectively the "Parties" to this Agreement.
WHEREAS, it is the intent of the Parties hereto to amend the Agreement to extend the Term for one (1) year, increase the funding by $334, 731.78 for a total Amount Not to Exceed of $803,071.93, and update the City Responsibilities.
NOW, THEREFORE, THE PARTIES HERETO AGREE AS FOLLOWS:
1. This Amendment shall be effective on September 30, 2022.
Agreement, Section 1 - Term of Agreement, is hereby deleted in its entirety and replaced as follows:
"1. Term of Agreement: The term of this Agreement begins of December 16, 2020 and continues through September 30, 2023 ("Term"), with the option of extending the term for a different location as may be agreed to by the Parties ("Extension Term(s)") subject to the mutual consent of the parties in writing."
3. Agreement, Section 2. - Amount Not to Exceed and Payment of Funds, is hereby deleted in its entirety and replaced as follows:
"2. Amount Not to Exceed and Payment of Funds: City will provide the sum of $803,071.93 ("Funding") for the Term, which shall be payable to the County on a monthly basis as follows: $185,071 payable $30,845.17 per month for the first six (6) months through June 15, 2021, $245,499.93 payable at $18,884.61 per month for the following thirteen (13) months through July 31, 2022, and $372,501 payable at $26,607.21 per month for the following fourteen (14) months through September 30, 2023. Additional Funding for any Extension Terms) shall be determined by the Parties' mutual consent and written amendment hereto."
Agreement, Section 5. City Responsibilities, is hereby deleted in its entirety and replaced as follows:
"5. City Responsibilities
5.1 The City shall provide the pallets and access to the shelter space at no cost to the County or its subcontractor(s).
5.2 Within 30 days after execution of Amendment 3, the City shall submit a procedure to make beds available regionally when occupancy falls below 95%.
5.3 Within 60 days after execution of Amendment 3, the City shall submit a Partnership Plan describing how the City will partner with LAHSA, County Departments, and others in securing permanent housing for the Program clients to transition to.
5.4 The City will identify and secure at least ten (10) permanent housing units for the Program participants to exit to during the Agreement term."
6. Except as expressly modified by this Amendment, all other terms and conditions of the Agreement shall be and remain in full force and effect.
IN WITNESS WHEREOF, the Board of Supervisors of the County of Los Angeles has caused this Amendment to be executed by the County's Director of Health Services, or authorized designee and the City of Redondo Beach has caused this Amendment to be executed on its behalf by its duly authorized officer, on the day, month, and year first written above.
