SECOND AMENDMENT TO THE AGREEMENT
FOR CONSULTING SERVICES BETWEEN THE CITY OF REDONDO BEACH AND
SWA GROUP
THIS SECOND AMENDMENT TO THE AGREEMENT FOR CONSULTING SERVICES ("Second Amendment") is made between the City of Redondo Beach, a chartered municipal corporation ("City") and SWA Group, a California corporation (“Consultant” or “Contractor”).
WHEREAS, on August 17, 2021, the parties entered into the Agreement for Consulting Services between the City and Contractor (the "Agreement"); and WHEREAS, on June 21, 2022, the parties entered into a First Amendment (“First Amendment”) which extended the term to December 31, 2022; and WHEREAS, City and Consultant desire to amend the Agreement pursuant to the terms and conditions set forth herein.
NOW THEREFORE, in consideration of the promises and mutual covenants contained herein, and intending to be legally bound, the parties hereby agree to make the following amendments to the Agreement:
1. Compensation. Exhibit "C” of the Agreement is hereby amended to add Exhibit "C-2", which increases the compensation by $30,000 thereby increasing the total not to exceed amount to $272,872. Exhibit “C-2” is attached hereto and as expressly stated herein, Exhibit C of the Agreement shall remain unchanged in and in full force and effect.
2. No Other Amendments. Except as expressly stated herein, the Agreement and First Amendment shall remain unchanged and in full force and effect. The Agreement, the First Amendment and the Second Amendment constitute the entire agreement between the parties and supersede any previous oral or written agreement with respect to the subject matter hereof. In the event of any inconsistency among this Second Amendment, First Amendment and Agreement the terms of this Second Amendment shall prevail. This Second Amendment may be modified or amended only by a subsequent writing executed by all parties and approval by the City Council.

SCHEDULE FOR COMPLETION
COMPENSATION. Exhibit "C” of the Agreement is hereby amended to increase the compensation by $30,000 thereby increasing the total not to exceed amount to $272,872.
The “Cost Analysis” which is attached hereto as Attachment 1 to this Exhibit and incorporated herein, includes the Fee Proposal by Task ($242,872) and estimated reimbursable expenses to include website, graphic design and outreach materials ($30,000) that were outlined in F.1: Cost Analysis of the SWA Statement of Qualifications submittal.
