FIRST AMENDMENT TO REVOCABLE LICENSE AGREEMENT AND EQUIPMENT OWNER’S CONSENT
THIS FIRST AMENDMENT TO THE REVOCABLE LICENSE AGREEMENT AND EQUIPMENT OWNER’S CONSENT (“First Amendment”) is dated as of January 17, 2023, by and between BEACH CITIES HEALTH CARE DISTRICT, a California local health care district ("BCHD"), and the CITY OF REDONDO BEACH, a chartered municipal corporation on behalf of its Police Department (hereinafter, “City” or “RBPD”).
R E C I T A L S:
WHEREAS, BCHD and the City (collectively the “parties”) entered into the Revocable License Agreement and Equipment Owner’s Consent dated March 9, 2021 (the “Agreement”); and WHEREAS, the parties executed a subsequent written agreement dated March 7, 2022, to extend the Agreement to March 8, 2023; and
WHEREAS, the parties desire to extend the term of the Agreement.
NOW THEREFORE, in consideration of the promises and mutual covenants contained herein, and intending to be legally bound, the parties hereby agree to make the following amendment to the Agreement:
1. Section 3 of the Agreement shall be deleted in its entirety and replaced as follows.
TERM. The initial term of this Agreement shall be from the date that RBPD has satisfied all conditions precedent set forth herein to the Permitted Use, until March 8, 2024 (the “Term”). The Term shall automatically renew for one subsequent year period unless the City provides at least fifteen (15) days notice to BCHD of its intent not to renew. The Term may be terminated early and unilaterally by BCHD as provided herein.
2. NO OTHER AMENDMENTS. Except as expressly stated herein, the Agreement shall remain unchanged and in full force and effect. The Agreement and this First Amendment constitute the entire agreement between the parties and supersede any previous oral or written agreement with respect to the subject matter hereof. In the event of any inconsistency between the terms of the Agreement and this First Amendment, the terms of this First Amendment shall govern. [SIGNATURES FOLLOW ON NEXT PAGE]
