SECOND AMENDMENT TO THE COMPLETE PAPERLESS SOLUTIONS
MAINTENANCE AND SUPPORT AGREEMENT BETWEEN
THE CITY OF REDONDO BEACH AND COMPLETE PAPERLESS SOLUTIONS, LLC
THIS SECOND AMENDMENT TO THE COMPLETE PAPERLESS SOLUTIONS MAINTENANCE AND SUPPORT AGREEMENT ("Second Amendment") is made between the City of Redondo Beach, a chartered municipal corporation ("City") and Complete Paperless Solutions, LLC, a California limited liability company ("CPS").
WHEREAS, on August 6, 2019, the parties entered into the Complete Paperless Solutions Maintenance and Support Agreement between the City and CPS (the "Agreement"); and WHEREAS, on August 2, 2022, the parties entered into the First Amendment to the Agreement (the “First Amendment”) to extend the Agreement to September 3, 2023; and WHEREAS, the parties desire to add scanning services; and WHEREAS, the parties desire to amend the Agreement.
NOW THEREFORE, in consideration of the promises and mutual covenants contained herein, and intending to be legally bound, the parties hereby agree to make the following amendments to the Agreement:
1. Project Description of Services. Exhibit "A" of the Agreement is hereby amended to add Exhibit “A-1, which shall add scanning services. Exhibit “A-1” is attached hereto and incorporated by reference.
2. Compensation. Exhibit “C” of the Agreement is hereby amended to add Exhibit “C-1” to increase CPS’ compensation by $29,700, resulting in a total compensation limit of $133,827. Exhibit “C-1” is attached hereto and incorporated by reference. CPS shall be compensated for the services described in Exhibits “A’” to “A-1”.
3. No Other Amendments. Except as expressly stated herein, the Agreement shall remain unchanged and in full force and effect. The Agreement, First Amendment and this Second Amendment constitute the entire agreement between the parties and supersede any previous oral or written agreement with respect to the subject matter hereof. In the event of any inconsistency between the terms of the Agreement, First Amendment, and this Second Amendment, the terms of this Second Amendment shall govern.
IN WITNESS WHEREOF, the parties have executed this Second Amendment in Redondo Beach, California, as of this 6th day of June, 2023.

COMPENSATION
1. Payment: CPS shall be paid for the services outlined in Exhibit "A-1" in accordance with the quote attached hereto. However, in no event shall CPS’ total compensation exceed $133,827 under the Agreement and amendments hereto.
2. Schedule for Payment: City will pay within forty-five days (45) of City’s receipt of invoice for the services described in this Second Amendment.
3. Method of Payment: CPS shall provide invoices to City for approval and payment.
Invoice must be itemized, adequately detailed, based on accurate records, and in a form reasonably satisfactory to the City. CPS may be required to provide back-up material upon request.
