TITLE
APPROVE A FOURTH AMENDMENT TO THE AGREEMENT WITH VERONICA TAM AND ASSOCIATES, INC. FOR SERVICES RELATED TO THE PREPARATION OF AN INCLUSIONARY HOUSING ORDINANCE FOR AN ADDITIONAL $8,400 FOR A NEW CONTRACT NOT TO EXCEED AMOUNT OF $195,415 AND NO CHANGE IN TERM
EXECUTIVE SUMMARY
Veronica Tam and Associates, Inc. (VTA) is assisting with the preparation of the City’s Inclusionary Housing Ordinance. A fourth amendment to the Agreement is required for additional scope of work and costs. The Planning Commission discussion of the draft ordinances and additional revisions to the document constituted the need for additional scope and compensation. The cost of the additional work is $8,400. The work will be performed within the current agreement term of December 31, 2023. Additional changes to the contract scope are expected in the future to accommodate the information and studies requested by the City Council during the May 9, 2023 inclusionary housing discussion. That amendment will be presented for consideration of approval when the scope of studies is finalized.
BACKGROUND
On October 20, 2020, the City Council approved a contract with VTA to begin work on the 6th Cycle Housing Element update and the Inclusionary Housing Ordinance. VTA has substantial experience in assisting municipalities in preparing Housing Element Updates and in preparing Inclusionary Housing Ordinances. Subconsultants for the contract include Keyser Marston Associates (KMA), which is responsible for performing the financial evaluation for the Inclusionary Housing Ordinance.
The first and second amendments included additional funds for the Housing Element scope of work, as well as extensions to the term of the contract, based on the additional required work to complete the Housing Element stemming from the Department of Housing and Community Development’s feedback. VTA has completed the work on the Housing Element, which was adopted by City Council on July 5, 2022, in compliance with the State Housing Element Law.
With the work on the Housing Element complete, focus has shifted to completion of the Inclusionary Housing Ordinance. At the November 8, 2022 meeting, City Council requested evaluation of additional income brackets for consideration of the level of affordability to require in the Inclusionary Housing Ordinance. To complete that review, additional scope was required to update the Financial Analysis and for additional Planning Commission meetings.

This fourth amendment addresses additional review and research that was required at the Planning Commission level, as well as amendments to the ordinances based on that feedback.
COORDINATION
Preparation of the contract amendment was coordinated with the City Attorney’s Office.
FISCAL IMPACT
Funding for the original VTA contract amount of $161,950 was provided by the SB2 Grant Award for completion of the Housing Element Update ($106,700) and from the General Plan Maintenance Fund for preparation of the Inclusionary Housing Ordinance ($55,250).
The additional $10,440 of costs approved with the first amendment, the additional $1,500 for the second amendment, and the $13,125 for the third amendment were funded by the General Plan Maintenance Fund.
Funding for the $8,400 needed for the fourth amendment will also be paid by the General Plan Maintenance Fund.
