SECOND AMENDMENT TO
MEMORANDUM OF UNDERSTANDING
BETWEEN THE CITY OF REDONDO BEACH AND CLEAR INC.
THIS SECOND AMENDMENT (“Second Amendment”) to the MEMORANDUM OF UNDERSTANDING is made between the City of Redondo Beach, a chartered municipal corporation ("City") and CLEAR INC. (“CLEAR"), a California corporation.
WHEREAS, on September 1, 2020, the parties entered into a Memorandum of Understanding ("MOU") between the City and CLEAR, wherein CLEAR agreed to provide professional clinical services up to $5,000 per month for a mental health treatment program, to assist individuals experiencing homelessness in the City during the period of September 1, 2020 through August 31, 2021; and
WHEREAS, on December 7, 2021, the parties entered into the First Amendment to the MOU ("First Amendment"), to provide CLEAR a flat monthly fee of $3,875 for clinical services, along with hourly rates of $100, $50, and $25 for group therapy, individual therapy, and case management, respectively, for any services exceeding the monthly fee; and WHEREAS, pursuant to the First Amendment, the parties agreed to extend the MOU's term until June 30, 2023, increase the compensation limit by $50,000 for the entire duration, and confirmed the City's responsibility to provide the necessary space/venue for services conducted at Homeless Court.
WHEREAS, the parties desire to further extend the term of the MOU and increase CLEAR's compensation.
NOW THEREFORE, in consideration of the promises and mutual covenants contained herein, and intending to be legally bound, the parties hereby agree to the following amendments to the MOU:
1. Term. The term of the MOU shall be extended until June 30, 2024.
2. Compensation. CLEAR’s hourly group therapy rate shall be increased to $110, and for clinical hours exceeding 31, the hourly individual therapy rate shall be set at $85.
The total compensation paid under the MOU shall be increased by $110,000.
3. No Other Amendments. The MOU, the First Amendment, and this Second Amendment constitutes the entire agreement between the parties and supersede any previous oral or written agreement with respect to the subject matter hereof. In the event of any inconsistency between the terms of the MOU, First Amendment, and this Second Amendment, the terms of this Second Amendment shall govern.
